The United Empire Club shall consist of those who have at present signed the roll, and such others as may hereafter be elected in accordance with the rules — the number of members not to exceed one thousand, exclusive of all members of the Senate of the present or past, or any future House of Commons, or of the late Legislative Assembly or Legislative Council of Canada, or the present or past or any future Legislatr ) As- sembly of any of the Provinces of Canada, who are or may be elected members of the Club. II. The entrance money to bo paid on admission to membership of the Club shall be Twenty Dollars, and the annual subscription Twenty Dollars to those mem- bers who reside in the City of Toronto, or its suburbs, and for those resident outside of Toronto and its suburbs, half those amounts — the annual subscription to be paid on or before the first day of December, in advance. Each candidate for udniission mufcit be pro- posed ty one member of the Club, and seconded by another, and the names both of the candidate and of the proposer and seconder, must be entered at the same time in the book of candidates. IV. The election of members shall be made by the Committee now appointed and by ballot, eight to be a quorum, and one black ball in eight to exclude "V. The names of candidates to be taken in the order in -which they are inserted in the book with the exception of those members of Parliament and the Legislature who may be in excess of the one thousand, and who may be ballotted for immediately. VI. On the admission of each new mem.ber, the Secretary shall notify the same to him (in duplicate if abroad) ; furnishing him also with a copy of the Rules of the Club, and requesting him to remit an Order to its Bankers for the amount of his entrance-money and subscriptions. VII. As the payment of these sums will entitle a member to enjoy every benefit the Club can impart, ao is his acquiescence in thj Rules furnished to him there- by distinctly implied. VIII. No newly-elected member shall be eligible to participate in any of the advantages or privileges of the Club until he has paid his entrance and subscrip- tion money. I RULES AND REGULATIONS. d IX. If such new member does not, in compliance with the preceding Rule, pay the sum thereiii specified within the space of one month from the day of his ad- mission to the Club, if he be in Ontario, two months if elsewhere in Canada, and of six months if abroad, the Secretary shall report accordingly to the Committe, who shall cause his name to be erased from the list of members unless he can account for the delay to the satisfaction of the Committee. X. The name of every member failing to pay his annual subscription, due on the first of December, shall be placed over one of the mantel pieces of the Club on the first of February then next, notice of which shall be senii to him by the Secretary, and if the subscrip- tion is not paid on or before the first of Maroh then next, he shall cease to be a member of the Club, and his name shall be erased from the books, but he may be re-admitted by the Committee upon assigning reasons which they shall deem satisfactory for his fail- ure of payment. XI. All subscriptions shall be paid to the Treasurer of the Club. XII. The Committee shall consist 1st. Of the Trustees to be appointed under the fifteenth rule, who will be ex-offido members of the Committee. rSBM 10 UNITED EMPIRE CLUB. 2nd. Of one representatiye, being a member of the Club, from each electoral di^dsion in Ontario, to be annually elected on the first Wednesday of Decem- ber by the members of the Club in the division. 3rd. Of twenty-one members resident in Toronto, seven of whom shall go out by rotation ennually — the vavancies thus created to be filled up at the General Meeting on the first Wednc -jday in December in each year. The Committee list for the proposed new members of the Committee shall be put up a fortnight before the General Meeting at which they are to be elected, and any member proposing to substitute other list of names shall put up the same a week before the General Meeting. Provided that at the election held on the 2nd December, 1874, fourteen only shall be appointed who shall have power to add seven, resident in Toronto, to their number during the year. All the concerns of the Club, including the building or purchase of a suitable house, furniture, etc. , and the procuring by degrees a proper collection of books, maps, and periodical pub- lications, shall be managed by the said Committee. They shall also have the power to appoint all officers and servants of the Club, and shall name their own days of meeting for the transaction of business at which meetings three shall be a quorum. XIII. In the event of any vacancies occurring in the Committee after the Annual Election on the first I RULES AND REGULATIONS. 11 Wednesday in December, the Committee itself shall have the power of filling them up. XIV. Any infraction of the Rules and Regula- tions of the Club shall be taken immediate cognizance of by the Committee. ' ^ ; XV. There shall be three Trustees to accept and hold the land for the Club purposes, and grant mortgages in accordance with the £:cheme as adopted for procuring the building fund, such Trustees to be indemnified by the Club against any loss which may occur to them through accepting the trust. There shall also be three Trustees to accept the mort- gage, which is to secure the holders of the debenture, to be issued in accordance with said scheme. Vacancies occurring among the Trustees to be filled up by the Committee. There shall be a Corresponding Secre- tary, to be appointed by the Committee, who shall also fix the compensation to be received by him for services. XVI. The Committee may call an Extraordmary General Meeting of the Club, and shall call one on the written requisition of fcrty members, not being of the Committee, giving fourteen days notice, in oither case, specifying the object and confining the discussion to that object only. XVII. No new rule, nor alteration of any old rule shall be made at any Extraord'nary General 12 UNITED EMPIRE CLUB. Meeting unless there are at least seventy -five mem- bers present, and witlioiit there being the sanction of a majority of two-thirds of the same. It shall be competent however, for any member to propose at i:he Annual Meeting of the Club any new rule or regula- tion, or any alteration of an old rule, having posted notice thereof at least a fortnight previous, when, in the event of the same being adopted by two-thirds of the members then present, it shall become binding on the Club. XVIII. The Committee may make rules for the admission of visitors, which rules shall be in force until the next Annual Meeting. XIX. There shall be an Annual Meeting of the Cliub on the first Wednesday of December for the purpose of electing one-third of the Committee of the resident members, for the succeeding year, and receiving a report and abstract of the state of the accounts and general concerns of the Club for the past year, from the Committee, together with an estimate of the receipts and disbursements for the current year, which report, abstract and estimates shall be printed and placed in the Club- Room one week at least before the said meeting, and left there afterwards for the inspection of members, and for the purpose of deciding on such propositions as may have been submitted and for the purpose of pass- ing the said accounts. No member shall take away from the Club, upon any pretence whatever, any newspaper, pam- phlet, book, or other article, the property of the Club. XXI. No provisions cooked in the Club House, or wines, or other liquors, are to be sent out of the house on any pretence whatever. XXII. Any cause of complaint that may arise is to be written and signed by the member so complaining on his bill, which complaint must be specially noticed by the Committee, on settling the weekly accounts; and any inattention or improper conduct of a servant is to be stated by letter under the signature of such member, which letter being put into the Secretary's box, must be laid before the Committee at their next weekly meeting. XXIII. All members are to pay their bills for every expense they incur in the Club, before they leave the house, the steward having positive orders not to open accounts with any individuals, and being under the necessity of accounting to the Committee, weekly, for all monies passing through his hands. XXIV. No game shall, on any account, be played for money, except whist, ecarte, picquet, euchre, bil- liards, and pool; nor dice used in the Club Room, except at backgammon. No higher stakes than quar- ter dollar points shall be played fof at whist, nor *' ^ * n u l^ ^ 14 UNITED EMPIRE CLUB. shall any bet exceed one dollar. The games of ecarte, picquet, euchre, billiards and pool may be played for limited stakes, the limits to be fixed by the Committee, and the Committee shall have power to fix a limit to the hours during which cards shall be played in the Club, and to make such regulations in respect thereof as circumstances may heaeafter call for. XXV. It shall be the duty of the Committee in case any circumstances should occur likely to endanger the welfare and good order of the Club, to call a Gen- eral Meeting, giving fourteen day's notice; and, in the event of its being voted at that meeting, by two-thirds of the persons present, to be decided by ballott that the name of any member or members should be re- moved from the Club, their subscriptions for the cur- rent year shall be returned, and he, or they, shall cease to belong to the Club, or to have any interest in, or claim, to any of the property of the Club. XXVI. The members of the Club are expected to communicate their addresses, from time to time, to the Secretary. XXVII.
