A. Palmer, and all other Barristers and Attorneys of the Supreme Court
of this Province who now or hereafter having their offices in the City
and County of Saint John, shall at any time be engaged in the practice
of the Law in said City and County, are hereby declared to be a body
politic and corporate under the name of " The Saint John Law Society,"
and by that name shall have all the powers, authorities and privileges
made incident to a Corporation by Act of Assembly, for the purposes of
procuring and maintaining a Law Library in the City and County of
Saint John, with suitable rooms in connection therewith, and the institu-
tion and carrying out of such matters and things as may by the bye laws
the advancement of the profession, and of the study of the Laws.
2. An annual meeting of the Society shall be held for the transaction

for the purpose of enabling him to resume his practice, if otherwise
entitled to practise.
8. Any member of the Society can upon the payment of one hundred
dollars become a life member of the said Society, and thereafter he shall
not be liable for any annual fee to said Society.
9. The Society may borrow such a sum of money as it shall deem
necessary, not to exceed the sum of five thousand dollars, for the pur-
chace of a Library, which sum shall be taken in loans of not less than
fifty dollars each, and certificates or notes in the form set out in the
Schedule hereto, or to the like effect, shall be prepared and delivered to
the persons from whom such loan may be o'jtained, which certificates
or notes shall be negotiable by endorsement.
10. The said loans shall be repayable in ten years from the first day
of June next, with interest at six per centum per annum, the said interest
shall be payable half yearly on the first days of June and December in
each year, and shall be paid out of the annual income of the said
Society.
1 1 . The said loans, certificates or notes, with interest thereon, shall
be a first lien on the property of the said Society,
The Society shall provide a Sinking fund wherewith to repay

the said loans, by investing each year such a sum as shall, with the
interest thereon compounded half y. /, be equal to the total amount
of such loans at the time when they shall mature and be due and
payable,
13. The interest on the said loans, and the amount hereinbefore
directed to be invested as a sinking fund, shall respectively be a first
and second charge on the annual revenues of the Society, and shall be
provided for in preference to all other debts whatsoever.

I , I.— OBJECTS OF THE SOCIETY.
In addition to the objects and purposes mentioned in the Act to
incorporate the Society, the following, together with the several matters
and things contained in the several By-Laws of the Society, now or
hereafter to be enacted, are declared necessary for the governing of
the Society and the advancement of the Profession and of the study of
the Law, namely.
1. The improvement of the Law, and the suggestion of the introchiction of such
amendments as may be thought advantageous.
2. The establishment of uniform Tables of Fees.
3. The promotion of Legal Education.
4. The maintenance of etiquette and honorable dealings by and on the part of
Members of this Society.
5. The general promotion of the interests of the Legal Profession.
II.— MEETINGS.
1. The Annual Meeting of the Society shall be held on the second
Tuesday in May at Three o'clock in the afternoon, at the Rooms of the
Society.
2. By direction of the Council, or upon the written request of any
ten members of the Society, a Special Meeting of the Society may at any
time be held and shall be called by the President, at which any business
may be transacted, except such as must by the Act to incorporate the
Society be transacted at the Annual Meeting ; provided always that no
business shall be determined except such as shall have been mentioned
in or upon the notice given to the members of the Society of such
meeting.
3. Notice of every Special Meeting shall be posted in some con-
spicuous place in the rooms of the Society for at least one week, and
shall also be mailed to each member of the Society two days prior to the
day of such meeting.
III.— CONDUCT OF MEETINGS.
T. The Presidents or in case of his absence-, the member of the
Society of the longest standing at the Bar, being a member of the Coun-
cil, then present, shall preside at all meetings of the Society.

mail all notices, and advertise and call all meetings in the manner pre-
scribed by the Act of incorporation and the by laws and regulations of
the Society or the Council, and discharge all other duties imposed upon
him by the Act or by laws or by any regulation '>r direction of the

3. The Treasurer shall receive all moneys of the Society and disburse
the same under the direction of the Council. He shall also keep a
correct account of such moneys, and report thereon to the Society at
the annual meeting, and to the Council monthly and whenever reciuired
so to do. He shall also deposit or invest the funds of the Society in
such Bank or in such securities, and in such manner and amounts as the
Council may from time to time direct. It shall also be the duty of the
Treasurer to prepare and post in some conspicious place in the rooms of
the Society a supplemeiital list on which shall be entered forthwith after
payment the names of members of the Society who have paid the annual
fee of ten dollars ; and no person other than a life member who has not
made the anuual payment required by the Act, and no member indebted
to the Society in respect of any fine shall be allowed the use of the
Library or elected a member of the Council or appointed to any office
of the Society.
4. 'i'he Librarian shall have the care and custody of the rooms, and
be responsible for the safe keeping of all books, papers and periodicals
received by the Society, and shall number, label and keep a correct
Catalogue of all such books, papers and periodicals. It shall be his
duty to see that no book, paper or periodical is, on any pretence
whatever, taken from the rooms, and to observe the several by laws,
regulations and directions of the Society and of the Council from time
to time made or given or to be made or given with regard to the man-
agement of the Library and Rooms. He shall also forthwith and in
each instance report to the Council any breach or non-observance of any
such by law, rule, regulation or direction by any member of the Society,
with the name of the offender.
VII.— ROOMS.
1. The rooms shall be open and accessible daily, Sundays and
holidays excepted, between the hours of 9 a. m. and five p. m., the hour
from one to two p. m. excepted, and also during all meetings of the
Society, and at such other time as the Society or Council may from time
to time determine.
2. At such times as the rooms are used for chambers. Suitors and
Witnesses and Counsel and Attorneys engaged or interested in pending
cau.ses or matters shall have access thereto.
