I An Act to amend and consolidate the Acts relating to Manitoba Club. {Assented to jthjuly, 1883.) Whereas, The Manitoba Club, have Preamble, presented their petition praying that their Act of Incorporation and any amendments thereof, together with other amendments set forth in said petition, may be embod- ied and incorporated in one general Act of Incorporation ; And whereas, it is expedient to grant the prayer of the said petition. Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Manitoba, enacts as follows : 1. And by the same name shall and may be able and capable in law and in equity to sue and be sued, implead and be impleaded, answer and be answered unto, in any manner whatsoever. 2. The constitution, rules and regula- tions now in force, touching the admis- sion and expulsion of members, and the management and conduct generally of the affairs and concerns of the said Club, in so far as they may not be inconsistent with the laws in force in this Province, As shall be the constitution, rules and regu- lations of said Corporation. Provided always that the said corpora- f^^';,^^;^;;^^^, tion, may from time to time, alter, repeal and change such constitution, rules and regulations in the manner provided by the constitution, rules and regulations of said corporation. 3. All property and effects now vested in, or by, or in trust for, the said corpora- tion are hereby vested in the said corpor- ' ation, and shall be applied solely for the use and maintenance of the said corpor- ation. 4. The said corporation may, from time ^^/p^'^^^Vow to time, borrow money, not to exceed in money, the whole the sum of twenty five thousand dollars ($25,000) at such rate of interest and upon such terms as they may think proper ; and may for such purposes make, execute or issue any mortgages, bonds, debentures or other instruments, under the seal of the said corporation, which shall operate as a mortgage and charge against the lands and effects of the said corporation. 5. No member of the said Club shall be in any way liable for, or chargeable with, the payment of any debt or demand due by the said corporation beyond the extent of the entrance fee and annual subscriptions remaining unpaid by the said member and for any unpaid accounts he may have incurred to the Club for articles ordered by him in said Club. And every member of the said Club, not so indebted to the said corporation, will be allowed to withdraw and will cease to be a member on giving notice to that effect according to the form that may be prescribed by the constitution, rules and regulations of the said Club, and from henceforth shall be free from all debts and demands due by the said corporation. 7. That said corporation shall have power to draw, make, accept and endorse all bills of exchange and promissory notes necessary for the purposes of the said cor- poration, under the hands of their presi- dent and secretary, after authority from the committee of the said corporation so to do ; and in no case shall it be neces- sary that the seal of the corporation be affixed to any such bill or note, nor shall the president or secretary be individually responsible therefor. The Association shall be known as the *' Manitoba Club." 2. Politics and religious questions of every description shall be absolutely ex- cluded from the objects of the Club. 3. Admission to the Club shall be by ballot. Each candidate for admission shall be proposed by one ordinary mem- ber, and seconded by another, by a writ- ten proposal addressed to the secretary, who shall post the name of such candi- date, with the names of his proposer and seconder, in the place in the Club desig- nated for that purpose, for at least four- teen days previous to the day of ballot. Notice of such ballot shall be mailed to each resident member at least seven days previous to the day of ballot. 4. The ballot shall be held on the second Wednesday in each month, between the hours of nine o'clock a. m. and seven o'clock p.m. ; no ballot shall be valid unless at least twenty members vote, and one adverse vote in each five votes shall exclude. The annual subscription shall be as follows : Resident members $40 per annum, pay- able quarterly in advance. Non-resident members, $25 per annum, payable half-yearly in advance. Supernumerary members, $5 per annum payable in advance. If any member fail to pay his subscrip- tion within thirty days after the due date, if he reside in Manitoba, or within sixty days if he reside elsewhere, the secretary shall thereupon cause the name of the member so in default to be posted for a further period of sixty days, at the expir- ation of which, if still in default, he shall cease to be a member of the Club. Pro- vided that any member suspended by the conmiittee under this rule shall have the right to appeal to a special general meet- ing of the Club, at which voting shall be by ballot, and which it shall be the duty of the committee to call as soon as pos- sible after the member so suspended shall have notified the committee in writing of his intention to appeal. The secretary of the Club shall at once notify the member complained of, of the result of any special general meeting held under this rule. • 15. The committee shall have full power to make from time to time such rules and regulations not inconsistent with these by-laws, for the management of the Club, as they shall see fit, and it shall be the duty of the committee to take imme- diate notice of any itifraction of the by- laws or the rales and regulations of the Club, and such action in regard thereto as the nature of the case may require. 17. Three members of the committee shall retire at the end of each vear, in or- der of seniority. The members so retir- ing to be selected by the committee at a meetmg previous to the annual general meeting, but the retiring members of the committee shall be eligible for re-election No member shall be eligible for election to the committee unless he has been nom- inated and seconded and his name posted in the coffee room at least ten days before the meeting. If any member of the com- mittee shall resign, or should any vacancy occur by the death of any member, the committee shall have power to choose a member to act in his stead until the an- nual general meeting. At the first meeting of the commit- officers, tee after the annual general meeting, they shall elect from among the members thereof a president and a treavSurer, and, either from among the members thereof or otherwise, a secretary. 19. There shall be an annual meeting ceuerai of the Club in each year, on the first '"^^^^^^s. Wednesday of February, for the purpose of electing members to fill the vacancies in the committee, at which meeting it .shall be the duty of the committee to pre- sent a report and abstract of the state of accounts duly audited and general con- cerns of the Club for the past year, which report and abstract shall be printed and distributed among the members a fort- night prior to the date of the meeting. All propositions to be submitted by mem- bers at the annual meeting shall be posted in the coffee room at least seven days be- fore the meeting. The chair shall be taken at all meetings at four o'clock in i special meelings. House hours. 18 the afternoon. A quorum of twelve qualified members shall be necessary to constitute any annual or special meeting of the Club. ^ 21. (a.) The committee shall have the power at all times to convene a special meeting of the Club, on giving seven days notice, to be posted up during that period in the coffee room of the Club specifying the object of such meeting ; at which meeting no subject shall be dis- cussed beyond that specified in the no- tice. Complaints are to be made in the book provided for that purpose, or under cover, addressed to the secretary. The hall porter's duties include the care of all letters, papers, cards, messages, etc., for members. He will enter once a day in his book the name of every mem- ber coming into the Club House— see that non-members are not admitted unless brought in by a member. If strangers call to see a member who is in the House, he will show them into the strangers' room and immediately send notice to the member so enquired for. He will respect- fully call attention to any departure from the rules, reporting to the secretary per- sistent disregard of them. The Club will be opened at 7.30 a. m from 1st April to 31st October, and at b A.M. from November 1st to 31st March. The Club will close on Saturdays and Sundays ai midnight and on other days at 1 A. ^ Standard time will be kept.) The coifee room will be open at 8 a.m. Members leaving by early trains can have 2B breakfast at 7.30 a. m. by giving notice to the steward before 9 p. M. the night previous. Breakfast will be served from 8 A. m. till 11 A.M.; lunch from 1 p.m. till 3 p.m.; dii'uer from () p.m. till 8 p.m.; and cold suppt r from 8 P.M. till midnight. Hot suppers may be obtained by giving notice to the steward not later than 7.30 p. m. On Sundays breakfast will be served from 8 A.M. till 12.30 p.m.; dinner from 5.30 P.M. till 7 P.M. Hot dishes will not be served between 3 and 5.30 p.m. Smoking, except by special permission of the committee, will not be allowed in the coffee room until after dinner. During the above hours the Club will be open to all members in good standing, and to introduced members for the dates covered by their introductions. The strangers' room will be used for non-members who are brought into the Club by members, and members may not take non-members into any other room unless they have lunched or dined in the Club with them. When non- members have so lunched or dined they may be admitted into the bilHard, smoking and card rooms, but not otherwise. Members bringing non -members to dine 24 with them will enter the names of their guests in the book provided for that pur- pose. ^ No entertainment involving the upcet- ting of the ordinary routine of the Club shall be given without the consent of the committee. No stranger shall be admitted to view the House unless accompanied by a mem- No pamphlet, advertisement or notice of any kind will be laid on the tables or put up in the Club by a member, but any pamphlet, etc., which it may be wished to make known to the Club shall be sent to the secretary to be laid before the com- mittee for approval. No conversation will be allowed in the reading and writing room. No servant of the Club shall be sent out on messages under any pretext what- ever, except by order of the House com- mittee, secretary or steward. No member, except on special duty will be allowed into the kitchen, ba; room carving room, or any of the ser- vants' rooms.
