AuTicLE X. — The nomination of Corresponding and Honorary Members is solely vested in the Council, who must be unanimous ; and the election takes place, after the usual notice, at a meetmg of the Club. Aktici.k XII. — The officers of the C'luh nre .1 President, thre(! Vice-Presidents, a Secretary, and a Treasurer. Article XIII. — The business of the Ciub is transacted by a Council consistinjif of the otHccrs of the (Jlub, a Treasurer, and ten other Members. The presiding officer only to vote wlicii tliere is a tie, or when a unanimous vote of tin Council is re(|uired. Auticlk XIV. — The Officers and other Mendu'rs of Coun- cil arc elected from the Ordinary and Ordiimry-Life Members at the annual meeting of the Club. The vote is by ballot, and a simple majority of the votes cast at suid meeting ren- ders such election valid, AttTici.K XV.— It is the duty of the Council to attend to all the ordinary, literary and business transactions of the Club. Abticlk XVI. — If ft vacancy occur among the ten Members of Council, or in the office of Secretary or Treasurer, it is the duty of the Council to till up the vacancy from among the Ordinary or Ordinary-Life Members eligible ; ami, if the office of President become vacant, the Vice-President who was elected by the greatest number of votes becomes Presi- dent ; but no vacancy among tlio Vice-Presidents is lilled until the next annual meeting. Anxici.K XVII. — The Fellows form a pernmncnt body within the Club, in number not exceeding twenty-one. They are selected, in the manner hereinafter provided, from these ^lendjers of the Club who have earned for themselves a good literary reputation, or done good service in the cause of Letters. AuTit'LE XVIII. — The Fellows are elected by the Club, from the Ordinary ami Ordinary-Life Members, on the nom- ination of the Hoard of Fellows, and the voting is carried on at any meeting, after due notice, in the same manner as in the election of Members of Council. The election to the original Fellowships is regulated by the transitory Articles Nod. 2 and :{. AuTKLE XIX. — When any vacancy occurs in the body 10 of Fellows, it is the duty of the Fellows to numiuatc three Members of the Ordinary or Ordinary-Life Members to the Club for election to till such vacancy ; and, in like manner, for every vacancy, three Ordinary or Ordinary-Life Mcnibcra must bo nominated. From the persons so nominated by the Fellows, the Members of the Club, entitled to vote, elect one to till each vacancy. The votin<^ is by ballot, and a simple majority of the votes cast decides. A vacancy is when, by death, resignation or other cause, the number of Fellows is diminished from the highest number it has ever attained. AuTKLE XX. — The Fellows determine the subject or sub- jects of Poems, Treatises, Essays or Lectures, to which a prize or prizes may be assigned by the Club ; as also, the particular Poem, Treatise, Essay or Lecture, to which a prize may be assigned. They decide as to the particular works for the i)ub- licaiion of which assistance, either in the way of pecuniary conlrilnitionor subscription for copies, may be given, and the Club alone determines what assistance, if any is given ; \nd, if recommendation alone l»e thought advisable by the b'elhnvs, they decide upon its terms. All works to be pub- ished, as the literary transactions of the Club must receive .he sanction of the Fellows. AuTKi.K XXL — The Fellows shall nut hold any otticc in tlK' Club, or be Menjbers of the Council ; and if any ^Hiee-Beaier or Member of Council be elected a Fellow, he ihall thereupon cease to be such Othce-Bearer or Member of Council. AuTiCLK XXIL — The i)roceedings and mode of voting of the Fellows arc regulated l>y such rules as they nuiy, from time to time, adoi)t for their own guidance, and such as do not conflict witli any Article of this Constitution. AiiTiCM-: XXIII. — The proceedings and mode of voting of the Council are regulated by su{;h rules as the said Council may, from time to time, adopt for their own guidance, and as do not contiict-with this Constitution. AuTKLE XXIV. — The other affairs of this Club are regu- lated by such By-Laws as the Members may adopt, and such as do not conflict with this Constitution, Auticm; XXV. — This Constitution can only be altered 11 or amended at the annual meeting, on notice given of the alteration or amendment i)roj[)osed, at least one year before the meeting at which it is i)ropo8ed to make tho alteration and amendment in question, and on tl;e vote of at least two-thirds of the Members present at such meeting ; and the terms of no Article not mentioned in such notice can be altered or amended. TRANSITORY ARTICLES. Article I.— Tlie original list of Members will be closed witliin one hour from the adoption of this Constitution, when all who have signed the Constitution and roll of Members, personally or Ijy proxy, shall become Members of the Club, and they shall the. j^rocceil to vote for the OlKce-BearerB and ton Members of Council. Tlie names of the original ^lembers who shall not pay their subscription into the hands of the President within ten days from the date of this Constitution, shall lie struck from the roll and cease to bo Members of the Club.
