Incorporated under Sedion 5487 and following of the Revised Statutes of the Province of Quebec. BV-LK:Vi£S. I. — Management. 1. The property and affairs of the Ckib shall be managed by a Committee of eighteen of its members, to be called the Governing Committee. 2. The Governing Committee shall elect from its own body a Chairman, Vice-Chairman, Secretary, and Treasurer, who shall hold office until the fourth Wednesday of the succeeding January, and until their successors are elected. 3. The Chairman, if present, shall preside at all meetings of the Club, and of the Governing Com- mittee. He shall, with the Secretary, sign all written contracts and obligations of the Club, except bank cheques, and exercise the usual functions pertaining to the office of chairman. 4. The Vice-Chairman shall have the powers and perform the duties of the Chairman in the latter's absence, and in the absence of Chairman and Vice, the meeting shall electa Chairman /r^ tern. 5. The Secretary shall keep the minutes and record"; and conduct the correspondence of the Club and of the Governing Committee. He shall, with (11) 12 the Chairman, sign all written contracts and obliga- tions of the Club, except bank cheques, have the custody of the seal of the Club, and perform the usual duties pertaining to the office of a secretary. 6. The Treasurer shall collect and receive all moneys due and belonging to the Club, and deposit the same in a chartered bank to be named by the Committee, and have custody of all securities and title-deeds thereof. He shall pay all bills by cheque countersigned by a member of the Executive Com- mittee on the certificate of their correctness by two members of the Executive Committee. He shall keep regular and correct accounts, and submit a monthly report to the Governing Committee. He shall sub- mit at each annual meeting a report showing the financial condition of the Club. 7. The Governing Committee shall annually appoint a sub-Committee of five from its own body, to be known as the Executive Committee, whose duty it shall be, subject to the direction and control of the Governing Committee, to direct and manage the affairs of the Club, to receive and act upon complaints and suggestions of members, and to make rules for the use of the Club House by the members, and for their conduct therein. Any vacancies in the Executive Com- mittee shall be filled by the Governing Committee. II. — Meetings. I. The Annual General Meeting of the Club shall be held on the fourth Wednesday of January in each year, at four o'clock in the afternoon. If no quorum be present, the presiding officer shall adjourn the meeting to any other day and hour. 1 I J I 13 I I 2. Upon the written request of ten members the Governing Committee shall call a special meeting to consider any specific subject. 3. Twenty members shall constitute a quorum at any meeting of the Club. 4. The Governing Committee shall meet not less than once a month. Seven members shall constitute a quorum. III. — Election of the Governing Committee. 1. The committee appointed on the loth July, 1889, shall be the Governing Committee until the first annual general meeting in 1890. The Governing Committee shall then be elected by ballot (the eighteen members having the largest number of ballots being elected) and they shall divide themselves by lot into three divisions of six each, whose terms of office shall expire on the fourth Wednesday of January in the years 1891 .189 2 -and 1893, respectively, or when their successors are elected. 2. At each annual meeting of the Club six mem- bers shall be elected to replace the outgoing division, and shall hold office for three years, or until their successors are elected. 3. The election of members to replace the outgoing divisions shall be by ballot, and the polls shall be kept open for two hours 4. The six candidates receiving the largest number of votes ^hall be deemed to be chosen at such election. K. A vacancy existinn" nn the Gnvpniincrr'omrm'ftPf from any cause other than the expiration of a term, may be filled by themselves for the remainder of such term, and any member of the Governing Committee 14 who shall absent himself from three consecutive regular meetings without notification, unless he shall present at the next regular meeting an excuse for his absence satisfactory to the Committee, shall cease to be a member of the Committee. IV. — Membership. 1. The number of members shall not exceed five hundred. 2. Any person twenty-one years of age may become a member upon election by the Governing Committee and payment of the entrance fee and yearly dues. 3. Candidates for membership must be proposed and seconded by two members (not members of the Committee) in their own handwriting in a book kept for that purpose and their names shall be posted in a conspicuous place in the Club House at least ten days before any action can be taken thereupon by the Governing Committee. 4. Candidates duly proposed and seconded, whose names shall have been posted for a period of ten days, as above provided, shall be balloted for by the Governing Committee for admission to the Club, one adverse ballot in four excluding. 5. Persons not residing on the Island of Montreal, nor having a place of business in Montreal, may be elected non-resident members, and shall have all the rights and privileges of membership in the Club, except that of voting, but they shall not be counted among the number to which the membership is limited. 6. Persons not residing on this continent may be elected special non-resident members, with rights, restrictions, and provisoes ai= above. 15 U '^ 7. Candidates for non-resident membership must be proposed and elected in the same manner as is provided for the proposal and election of candidates for full membership. 8. A non-resident member may become a full member by notifying the Treasurer of his desire to become such, and payment of the difference of the then entrance fee and yearly dues, on the first vacancy after the candidates then up for membership are dis- posed of. 9. A full member, for cause shown, may, with the consent of the Governing Committee, become a non- resident member at any time by notifying the Treasurer of his right to and desire for such membership, and upon his application being approved by the Governing Committee, but he shall not be entitled to any return or rebate of his annual dues for the then current year. 10. On the election of a candidate the Secretary shall notify him of the fact, and if such newly-elected member shall not within thirty days after such notifi- cation p^y to the Treasurer his entrance fee and annual dues his election shall be void. He shall not be admitted to the privileges of the Club until such money shall have been paid. 11. A member desiring to withdraw from the Club must signify his intention in writing to the Treasurer before the first day of January ; otherwise he shall be liable to pay his annual dues for the succeeding year. 12. A former member who has resigned in good standing, upon being again proposed for membershio. - - — i ^ shall be balloted for before any other candidate. 13. Any member may be cautioned, suspended or expelled by a two-thirds vote of the Governing Com- Ik 16 mittee for any violation of the by-laws or rules, and for conduct improper and prejudicial to the Club. A copy of the charges against a member shall be served upon him at least ten days before the meetmg at which the same shall be considered, together with a notice of the time and place of such meeting; and any such member may be suspended by the Executive Committee until such meeting of the Governing Committee shall be held. 14. Members of the Dominion Cabinet, Lieutenant- Governors of the Provinces, Provincial Premiers and Justices of the Supreme Court of Cauada, may be made honorary members of the Club during their- term of office, on invitation by the Governing Com- mittee and acceptance of the same. V. — Entrance Fees and Dues. I. The entrance fee of full members shall be thirty dollars, and the annual dues twenty dollars. • 2. The entrance fee of non-resident members shall be twenty dollars and the annual dues ten dollars. 3. The entrance fee of special non-resident mem-- bers shall be nothing, the annual dues ten dollars. 4. The annual dues shall be payable as provided in Clause 10, Art. 4, and on the first day of January in each year ; and if not paid by the first day of March, the member in default shall cease to be a member of the Club, unless excused by a vote of the Governing Committee. 5. A person elected to full membership after the 31st day of March shall be required to pay only the proportion of the annual fee, reckoning at two dollars per month, including the current month of election. ., 17 6. A member who shall be continually absent from the city for a period of not less than one year may, on the consent of the Governing Body, have one-half of his annual dues remitted during such interval, pro- vided he shall notify the Treasurer of his intended absence prior to his departure. 7- It is specially provided that full members may pay one hundred dollars in advance in commutation of entrance fee and yearly dues up to the first day of January, 1894, such commutations to be limited to fifty members. VI. — Visitors. 1. A member may invite friends to accompany him to the Club House under such regulations as the Executive Committee may prescribe. The charges incurred for their guests shall in all cases be borne by the members introducing them. 2. A member may invite to the use of the privileges of the Club for a period of two weeks, a person neither resident nor having a place of business on the Island, but may not have more than two guests at a time. A two weeks' visitor may not be again intro- duced during a period of two months from the date of his former introduction. The names and residence of such visitors and the names of the members intro- ducing them must be recorded, and members shall be responsible for any indebtedness incurred by their guests. 3. Ofificers of the Imperial Army and Navy, per- sons holding military and civil appointments under the Imper ' Government, who may be stationed in Canada for any indefinite time, officers of Her 18 Majesty's active militia permanent force of the Dominion, and strangers not residing on the Island of Montreal, nor having a place of business thereon, upon being proposed by a member and approved by the Governing Committee, may become visitors for the period of one month, three months, and six months, upon paying the sum of five dollars, ten dollars, and fifteen dollars respectively. 4. The Governing Committee may invite any stranger of distinction to the use of the privileges of the Club, aud may cancel and revoke an invitation given to any stranger. 5. Visitors shall not have the privilege of introduc- ing strangers, but may entertain guests in the private dining-rooms. 6. Full members will be provided with tickets of membership, which, on presentation, shall entitle the ladies of their families to the privileges of the Sitting Room, Dressing Room and Tea Room, specially set apart for ladies' use. And said members may also introduce personally the ladies of their families and other lady friends to the uses of the Club, subject to such restrictions and regulations as the Executive Committee may impose. VII. — Accounts. No accounts shall be opened with members, they being required to pay cash. If a member fail to dis- charge his indebtedness within five days after notifica- tion from the Executive Committee, his name shall be posted. VIII. — Notices. A member may inscribe in a book, to be kept in 19 the Club House for that purpose, a mail address for . notices prescribed or directed by the by-laws or rules. In the absence of such inscription, such notices shall be served by depositing them in the Club letter-box addressed to him, and he shall be held to have re- ceived the same five days after they are so mailed or deposited. IX. — Amendments. These by-laws may be repealed, altered or amended at a meeting of the Club, by a vote of two-thirds of the members present, provided that notice of such repeal, alteration or amendment shall have been posted in the Club House for fifteen days before the meeting at which it is proposed to consider the same. X Presentations. No subscription list, or requisition, or picture shall be placed in any part of the Club without the consent of the Executive Commif.ee first obtained. ' EULES A]SD liEGULATIONS —OF THE — HOUSE COMMITTEE. I. — Hours. 1. The Club House shall be open to members daily, from 8 a.m. until 12 p.m., until further notice. 2. The Elevator shall not be used for passengers before 10 a.m., nor after 7 p.m., nor on Sundays. IT — Private Rooms. To members occupying the private dining rooms " B " and *' C," during lunch hours, a special charge of 50c. will be made for attendance. HI. — Ladies' Apartments. Gentlemen will not be permitted in the ladies' apartments — a family dining room being set apart for ladies attended by gentlemen— but ladies unattended may use the family dining room, if ^o disposed. IV. — Supplies. 1. Dining Room orders are required to be given in writing on the prepared forms, and the same will be pr scented to members at ,the cashier's desk for pa,y- 2. Wines, etc., required at meals must be ordered by cards supplied to the waiters. The amount will be added to bill by cashier. (20) 21 3- VVine Room supplies, other than at meals, are payable to the waiters. 4- Any member may, himself, take, or send away from the Club House, any provisions or liquors ordered by him, but none shall be sent out to a member except upon permission of a member of the Executive Committee. 5. A charge of fifty cents per bottle will be made for wines and liquors brought to the Club House by members. V — Restrictions. 1. Smoking is strictly prohibited in the Members' and Family Dining Room. 2. No books, periodicals or newspapers shall be taken from the Reading Room. 3. Servants shall not be sent out of the Club House by a member. 4- Dogs shall not be brought into the Club House. 5. Servants must not be feed. An employee of the Club who receives a fee or gratuity in any form from a member, visitor or tradesman, will be dis- missed ; and any member who sh^ll under any cir- cumstances give or offer a fee or gratuity to any servant or official of the Club, is liable to expulsion. 6. Glass, crockery or other property of the Club broken or injured by a member, or his guest, or visitor introduced by him, will be charged to such member. 7. No hats, sticks, umbrellas, coats, etc., maybe left anywhere but in the cloak room. 8. Notices of special regulations or changes posted m any of the rooms must be complied with. 22 VI — Special Privileges. I. Members shall have the privilege of asking friends to breakfast, lunch, dinner, or supper in the Guests' Dining Room, and may take them thence into the Strangers' Room, but no member shall at any other time introduce a non-member resident on the Island into any other room than the Strangers' Room. 2.' Members may not introduce more than two friends for any one meal without permission. 3. Members inviting friends to the Club House must enter their names in a book kept, for that purpose. 4. Members desiring to give special dinners must obtain permission of the House Committee. VII. — Complaints. Complaints and suggestions as to cooking, wines, attendance, service, and the general administration of the Club, to receive proper attention, must be made in writing in the book kept for that purpose on the office counter, or by written communication to the Chairman of the House Committee, and must be signed by the member making them. All such com- plaints and suggestions will receive the attention of the House Committee at its next meeting, and the answer thereto will then be entered in the Complaint Book. f n^ ,% .1 f I I:
