Adopted by the Grand Council^ Aprils rSgij R. SouTHAM, Printer, London. . CONSTITUTION — OF THE — C. p. A. of CANADA. THE GRAND COUNCIL. ELECTION OF OFFICERS. 1. The officers of the Grand Council shall be elected by ballot, and hold their offices for one year or until their successors shall have been regularly elected and installed. THREE SCRUTINEERS. 2. The presiding officer at the annual meeting shall appoint three Scrutineers, whose duty it shall be to count the ballots for .Grand Officers after they have been collected by the proper officers. The Scrutineers shall solemnly pledge themselves to make a correct report under their hands of the result of the ballot ; and having ascer- tained the number of votes for the respective candidates, they shall present their reports to the Grand Council. 3. The ejection of all officers of the Grand Council shall take place at the annual meeting, immediately after the call of the order of *' New Business "; and as soon as the election shall have been completed, the officers so elected shall be duly installed by some duly authorized officer. 4. the ofiicers of the Grand Council shall be styled and take rank as follows :— Grand President. Grand Vice-President. Grand Secretary of State. Grand Chaplain. Grand Secretary. Grand Treasurer. Grand Sergeant-at-Arms. Grand Guard. Grand Sentinel. GRAND ORGANIZER. 5. The Gnmd Council may elect annually a grand organizer, at such salary as shall from time to lime be fixed ; all deputy organizers shall be appointed by the Grand Executive, who shall also fix their remuneration. OFFICERS OF GRAND COUNCIL. 6. The Grand Council shall consist of the ofiicers mentioned in Section 4, with the immediate Past Grand President, Vice-President, Secretary and Treasurer, being in good standing in a Subordinate Council, and two delegates from each Divisional and Subordinate Council in good standing. WHO SHALL BE ELIGIBLE. FOR OFFICE, 7. Any member of the Grand Council shall be eligible for any office therein. SHOULD VACANCY OCCUR. 8. Should a vacancy occur in the office of the Grand President, duties of the office shall be assumed by the Grand Vice-President, and on his disability or death by the Grand Secretary of State, and on his disability or death by Grand Chaplain, either of whom shall have all the authority and prerogatives of the Grand President until the next annual election. 9. Should any vacancy occur in any other office of the Grand Council, the Grand Executive Board shall proceed to fill the vacancy so caused without delay, and appoint 4 ft member of the Grand Council to supply that office until the next election. NEGLECT RETURNS TO GRAND COUNCIL. ID. Should any Subordinate Council neglect to make its returns and payments to the Grand Council for more than six months, the representatives of such Subordinate Council shall not be permitted to attend any meeting of the Grand Council until such returns and payments are completed. QUALIFICATIONS OF REPRESENTATIVES. 11. No representative shall be permitted to attend the meetings of the Grand Council as a member thereof until the returns specifying his qualifications have been received by the Grand Secretary. ANNUAL MEETING OF GRAND COUNCIL. 12. The annual meeting of the Grand Council shall be held on the fourth Tuesday in January, at which the place of holding the next meeting will be determined. None but the members of the Grand Council shall be present at these meetings, except by a majority vote of the Council. No visitor shall speak to any question unless requested to do so by the Grand President ; nor shall he, on any occasion, be permitted to vote. EMERGENCY MEETINGS OF GRAND COUNCIL. 13. The Grand President may summon and hold Councils of emergency whenever the good of the order shall, in his opinion, require it, by giving fourteen day s notice of the same to the members of the Grand Council. The particular reason for convening such special session shall be expressed in the notice, and no other business shall be transacted at that meeting. GRAND OFFICERS ABSENT. 14. If, at any meeting of the Grand Council, the Grand President be absent, the Grand Council shall be ruled by the Grand officer next in rank and seniority who may be present ; and if no grand officer be present then by the senior Past Grand officer. The powers of any pro tempore presiding officer shall be the same as those properly be- longing to the office so filled by him. GOVERNMENT OF THE ORDER. 1$. The Grand Council has the power of enacting laws ancl regulations for the general government of the Order in Canada, and of altering, repealing and abrogating them, always taking care that the fundamental principles of the Order are preserved. The Grand Council has the inher- ent power of investigating, regulating and deciding all matters relative to the Order at large in Canada, to Divisional Councils, to Subordinate Councils, and to in- dividual members of the Order, which it may exercise, either of itself or by such delegated authority as, in its wisdom or discretion, it may appoint, but in the Grand Council alone resides the power of forming Pre incial and Divisional Councils in any portion of Canada, con- tinuing the same, and forming Subordinate Councils in any portion of Canada in which there are no Provincial and Divisional; Councils. In the Grand Council alone resides the power of erasing the Charters of Provincial and Divisional Councils, formed by the authority of the Grand Council. To the Grand Council of Canada belongs the sole power to establish, regulate and control the forms, ceremonies, written and unwritten work of the Order, and to change, alter or annul the same ; to provide and furnish all Rituals, Scrolls, Ceremonies, Warrants of Dispensation and Charter Plates ; to prescribe the form, material and color of all Regalia, Robesand Paraphernalia; to provide a revenue for the Grand Council, by means of taxation levied on all Subordinale Councils, and by charges for supplies furnished. All power and authority in the Order not expressly delegated to Provincial or Divisional and Subordinate Councils by their Charters, Cons'iitutions, Laws and Regulations by the Grand Council is reserved to the Grand Council. EXPULSION. i6. No Provincial, Divisional or Subordinate Counci shall be erased or mem bers expelled until the first fouroffi 6 cers of the Provincial, Divisional or Subordinate Council or the r ember offending shall have been summoned lo show cauw^ to the Grand or Provincial or Divisional Council having jurisdiction, why such sentence should not b^ en- forced ; .such summons being addressed and either deliver- ed personally or sent by registered post to the last knuwn place of residence of said officers or members beir.g deemed a sufficient service. INDECOROUS LANGUAGE. ♦ 17. When any memorial or other document shall be presented by any member of the Grand Council, either on behalf of himself or another, the member presenting it shall be responsible that such paper does not contain any improper matter, or any offensive or indecorous language. 18. ORDER OF AND REGULATIONS FOR THE GOVERN- MENT OF THE GRAND COUNCIL DURIN'. THE TIME OF BUSINESS. 1. Opening of the Grand Council. 2. Report of Committee on Credentials. 3. Reading the minutes of the last annual meeting and intervening special meetings of the Grand Council, which will be put for confirmation. 4. Appointment of a Committee of five to strike Standing Committees. 5. Annual address of the Grand President. 6. Report of Committee to strike Standing Com- mittees.! 7. Report from Provincial and Divisional Councils. 8. Reports of the Executive Board. 9. Unfinished Business. 10. New Business. 11. Closing the Grand Council. 19. All matters are to be decided by a majority vote, the Grand President giving the casting vote in case of a tie, unless the Grand Council, for the sake of expedition, think proper to leave any particular subject to the deter- mination of the Grand President or Grand Executive Board. The votes of the members other than as provid- ed in Section 6 are always to be signified by the usual voting sign of the Order, which vote shall be counted by the ^ergeant-at-Arms, unless the number should be so unequal as to render counting unnecessary. 20. All members shall keep their seats, except the Sergeant-at-Arms and such assistants as he may choose to assist him in the discharge of his duties, and who will be allowed to ^nove from placQ to place as necessity may require. 21. No member, except he moves in reply, shall speak twice on the same question, unless in explanation, except by permission of the Chair, 22. Each member who speaks shall rise and remain standing, addressing himself to the Grand President ; nor shall any member interrupt him unless to address the Grand President to a point of order, or the Grand President shall call him to order. 23. If any member shall have been twice called to order for transgressing the rules of the Grand Council and be guilty of a third offence at the same meeting, the Grand President r .y peremptorily command him to leave the Grand Council for that meeting. 24. No motion on any new subject shall be received, nor any new matter introduced after eleven o'clock at night. 25. The Grand President shall be elected and installed at the annual meeting, and there shall be no appeal from his decisions except to the Grand Council in actual session, and his decisions shall stand and be in full lorce until reversed by a majority vote of the members of the Grand Council present at such meeting. 26. The Grand President has full authority to preside in any Council and to order any of his Grand officers to attend him, and he may also send his officers to visit any Council he may think proper. The Grand President may summon any Council, or member thereof, to attend him, and to produce the Charter, books, paper and accounts of such Couacil, If this suitimons is not complied with, or a sufficient reason be not given for non-compliance, a peremptory summons shall be issued. If such peremptory summons be not attended to and obeyed, such Council or member may be suspended l»y the Grand President, and his action therein reported to the Grand Council. 27. The Grand President shall not be applied to officially on any business connected with the order, except through the Grand Secretary, the Provincial Council PresidenV or the Grand Executive Board. 28. The Grand Vice-President shall assist the Grand President in the discharge of his duties, and in his absence shall perform all the duties of the Grand President. The Grand President shall be chairman of the Grand Executive Board. 29. The Grand Secretary of State and the Grand Chaplain shall perform such duties as are required by the Ritual, or may be allotted to them by the Grand President or Grand Executive Board. 30. The Grand Secretary shall be elected and installed at the annual meeting. He shall sign and certify all in- struments from the Grand Council, under seal or other- wise ; he shall issue summons for all special meetings of the Grand Council and Grand Executive Board, and shall attend and take minutes of their proceedings ; he shall receive . their returns from the several Provincial and Divisional and Subordinai Councils, enter them in the books of the Grand Council and duly report the same at each annual meeting of che Grand Council, and here transmit to all Provincial and Divisional Councils and Subordinate Councils the proceedings of the Grand Council and all other papers ordered by the Grand President or the Grand Executive Board ; and shall furnish the Grand Executive Board with all proper docu- ments and information that they may require, and in his possession ; to receive all petitions, memorials, etc., and shali lay them before the Grand President, and the Executive Board of the Grand Council ; and shall con- duct all correspondence of the Grand Council ; and shall receive, credit and record all moneys of the Grand Council and pay over the same without delay to the Grand Treasurer, and annually report the amount received, and do such things as have been Oi should be done by the Grand Secretary. He shall give a joint bond with two sureties to the Grand Executive Board in such penalties and with' such conditions as may be deemed expedient for the due performance of his trust. For the faithful performance of his duties he shall receive such compensation as may be voted him at the annual session of the Grand Council. 31. The Grand Treasurer shall be elected and installed at the annual meeting. He shall give a joint bond with two sureties to the Executive Board, in such penalty and with such conditions as may be deemed expedient for the due performance of his trust. He shall receive from the Grand Secretary all the securities of the Grand Council, and pay the same out only on the order of the Grand President, attested by the Grand Secretary, and under the seal of the Grand Council. He shall produce his accounts of receipts and disbursements before every annual meeting, or when called for by the Executive Bi)ard, and his accounts shall be audited by the said Board, who shall make their report thereon at each annual meeting. 32. The Grand Sergeant-at-Arms shall be elected and installed at each annual meeting. He shall, with such assistance as he may need, collect all ballots, distribute all documents, and perform such other duties as may be assigned him by the Grand President or the Grand Council. 33. The Grand Guard shall be elected and installed at each annual meeting. He shall have charge of the inner door, and perform such other duties as may be required of him. 33/4- The Grand Sentinel shall be elected and in- stalled at each annual meeting. He shall have charge of the ante-room and outer door. 34. The Grand Executive Board shall consist of the Grand President, Grand Vice-President, Grand Secretary of State, Grand Chaplain, Grai d Secretary and Grand tf 10 Treasurer ; a majority of the Board shall constitute a quorum for the transaction of busincfs. 35. The Grand Executive Board shall meet at least one day before the annual meeting of the Grand Council at the place appointed for the meeting, and see that all preparations are made for the expeditious transactions of all business of the Grand Council. The Board shall have full power to inspect all books and papers relating to the accounts of the Grand Council. The Board shall like- wise have the care and regulation of the concerns of the Grand Council in the interim, and may recommend for its adoption, at the annual meeting, whatever it shall deem necessary or advantageous to the welfare on good government of the Order; and originate plans for the belter regulations of the Grand Council and the arrange- ment of its general transaction. The Grand President may call a meeting of the Executive Board as often as occasion may require, or shall do so upon a written requisition of three members of the Board. All neces- sary expenses incurred by the members of the Board, while attending these meetings, shall be paid from the current funds of the Grand Council. 35 a. All transactions and resolutions of the Grand Executive Board shall be entered in the minute book of the Grand Secretary, and all communication of Board to the Grand President or Grand Council shall be in writing! all minutes and papers of the Grand Executive Board shall be produced when called for by the Grand Council. 36. On the day preceding the meeting of the Grand Council, the Grand President shall appoint three members of the Grand Council as a Committee on Credentials, who shall attend within the ante-room of the Grand Council at the annual meeting, for the purpose of guarding agamst • the admission of any but those who are qualified, arid have signed their names to the proper papers and are, in all respects entitled to admission. 37. All of whom shall he elected at the annual meeting, and in the same manner as provided for he election of officers of the Grand Council. 44. Upon the organization of a Divisional Council, notice thereof, together with a list of its officers, shall be forwarded through the Grand Secretary to the Grand President, and the latter officer shall install or cause to be installed, the officers elect of said Divisional Council, after which it shall proceed to frame a code of laws for its own government, not inconsistent with the provisions of this Constitution ar,d the laws made in pursuance there- of, provided that laws of Divisional Councils, or amend- ments thereto, shall not go into effect or be of any force, until approved by the Grand Executive Board or Grand Council. 45. Divisional Councils shall conform to the ritual, form, ceremonies, regalia and paraphernalia prescribed by the Grand Council in accordance with the Constitution, and shall (subject to the provisions of this Constitution and right of appeal) have jurisdiction over all Subordinate Councils within their territorial limits. 46. Where Divisional Councils exist, no candidate for any public representative office shall be deemed to be a candidate of the Order until he has been endorsed by such Divisional Council, or by a Committee thereof specially appointed for that purpose. 47. Within his own division, the Divisional President shall be deemed the representative of the Grand President. 48. The Divisional Council may levy an assessment upon the Subordinate Councils within its own division for «4 i ij expenses. Part assessment to be perpetuated to its membership of its Subordinate Councils. Such assess- ment not to exceed half the capita tax levied by Grand Council. 49. Where a Divisional Council exists, no new Subordinate Council may be organized in such division without the consent of the Divisional Executive Board. 50. A charge against a member of any Subordinate Council may be preferred before the Divisional Executive Board, who shall have power to appoint a Trial Commit- tee to hear the evidence and report therein to the Divisional Council at its next scssi )n. After the decision of the Divisional Council, no further ac'ion in the same matter may be had in any Subordinate Council. 51. An appeal shall be from the decision of any Subor- dinate Council expelling or suspending a member to the Divisional Council. An appeal may be taken from the Divisional Council to the Grand Council, which shall be final. 52. Divisional Councils shall meet quarterly or oftener, as the Divisional Council may determine. 1^. A member of the Order hol.ding a lawful wi h- drawal card from a legal Council may make application to any Council, accompanying the same with his card of withdrawal and the fee prescribed by the By-laws, which application shall be referred to a committee of three^who snail examine into and report on the same, when, if the ballot be clear he shall be declared elected. No application for membership shall be received from anyone not a member of the Order, or from a member of the Order who resides in another jurisdiction, without the consent of the Piovincial or Divisional President of said jurisdiction, or Grand President. Councils shall have jurisdiction half way in a direct line to the nearest Council, except in cities or incorporated towns, where Councils shall have concurrent jurisdiction. 6i. Applications for withdrawal cards shall be made, either personally or in writing, to the Council, and if the member so applying shall be clear on the books, free from all charges made, the card shall be granted, but the granting of Uie same shall in no wise release such mem- ber from the effects of his obligation to the Order. 62. Any Provincial, Divisional or Subordinate Counci may be suspended or dissolved and its charter or dispen- sation forfeited to the Grand Council : — 1. For improper conduct ; 2. For neglecting or refusing to conform to the Consti- tution, law or enactments of the Grand or Divisional Councils, or the general laws and regulations of the Order ; 3. For neglecting or refusing to make its returns, or for non-payment of dues to the Grand or proper Division- al Council, bttt the charter or dispensation shall not be so forfeited in either of the above cases until the Divisional or Subordinate Council so offending shall have been duly notified of its offence by the Grand or Divisional Secretary, and suitable opportunity given to answer the charges made against it. 4. By its membership diminishing so that less than a constitutional quorum may be left. REVENUE. 63. Each Subordinate Council shall pay a semi-annual tax to the Grand Council of the sum of 15c. per member, payable on the first meeting in January and July, for every member on its roll. All Provincial or Divisional Councils and Sub> ordinate Councils under the immediate jurisdiction of the Grand Council shall make semi-annual returns of all members received, withdrawn, suspended or restored, with a complete list of its officers, together with the legal dues from such Provincial, Divisional or Subordinate Council to the Grand Council, to the Grand ? iretary, before the 1st day of January and ist of July of » .h year, and should any such Provincial, Divisional or Subordinate Council fail to make such report on or before the next annual meeting of the Grand Council, such Provincial, Divisional or Subordinate Council shall be liable to such punishment as the Grand Council may determine. 65. All appeals from the action of Provincial, Division- al or Subordinate Councils by the members thereof to the Grand Council, shall be received and passed upon in its capacity of a court of last resort. Said appeal, in proper form, shall come up without any intervention or preven- tion of Provincial, Divisional or Subordinate Councils, and when presented for certification by their official seal, the same shall be done. 66. There shall be no appeal from ihe decision of the presiding officer of a Provincial, Divisional or Subordinate Council, on the construction to be placed on any clause of this Constitution, to the Provincial, Divisional or Subordinate Council over which said officer presides. Should any decision of said presiding officer be consider- ed an injury to the Order at large, or to any individual member, any member of a Subordinate Council may appeal to the Provincial or Divisional Council, and if not satisfied with its decision, an appeal can be taken to the Grand Council, whose decision shall be final. 67. No person shall be admitted to any session of the Grand Council, or any meeting of any Provincial, Divisional or Subordinate Council unless he is in posses- sion of and gives at the proper places the proper pass- words, or is personally vouched for by some member present as being a member of the order in good standing; nothing but actual attendance at the same meeting in 19 Some regular Council of this Order shalllbe considered sufficient to vouch for any member not in fpossession of the proper pass-words. 68. The Supreme President shall have the exclusive right to create and promulgate all pass-words, and) to receive, call in and change the same, if circumstances re- quire or the case warrants. FEES AND SUPPLIES TO PROVINCIAL, DIVISIONAL AND SUBORDINATE COUNCILS. 69. All printed or other material furnished by the Grand Council to any Provincial, Divisional or Subor- dinate Council or members thereof, for creating a revenue for the Grand Council shall be known under the genoro I heading of supplies, which shall be furnished as may be from time to time specified, changed, altered or amended by legislation at any annual meeting of the Grand Council, but (or the time being shall be as follows : — Charter fee to Provincial Council . , Charter fee to Divisional Council . . Except in Manitoba or Northwest Terri- tories, which shall be Charter fee to Subordinate Council, in- cluding five Rituals, Charter Seal, Paraphernalia All supplies furnished by the Grand Secretary at such prices as may be determined upon from time to time by the Executive Board. 70. Every Provincial, Divisional or Subordinate Council has the power of suspending a member for the commission of an offence against the general laws of the Order, constitution of Grand Provincial or Divisional Councils, or the by-law of the Sul ^'latr Council to which he belongs; and for this c? 1 «; . v, recomr i^-ad him for expulsion or such other pU'.L:u.ienJ. as the Grand Council, Provincial or Divisional Council may see cause to inflict. No member of any vSubordinate Council shall receive the term word unless clear on the books of the Subordinate Council of which he is a member If a Subordinate Council suspend a member, the evidence on which the suspension was made must be transuiitted by the Secretar , of said Subordinate Council to the Grand Executive who may expel the offender from the order. 71. Each Provincial, Divisional and Subordinate Coun- cil shall have a seal which is to be affixed to all documents proper to be used. An impression of the seal is to be sent to the Secretary of the Provincial, Divisional and Supreme Councils, and whenever changed, an impression of the new seal shall, in like manner, de transmitted. 72. All provisions in every section of this Constitution are obligatory in every sense on all Provincial, Divisional or Subordinate Councils, and every member of the Canadian Protective Association ; and all Provincial, Divisioiial or Subordinate Council laws in contravention or conflict herewith are rendered void of effect and illegal in enforcement, or if enforced are acts of contumacy, liable and subject to proper punishment. 21 Order of Business TO BE OBSERVED BY ALL COUNCILS. 1.
