' At the line of intersection, where the exfoeme southerti< point of Kings County wedges in between the Counties ot Annapolis and Lunenburg, a chain of lakes forms the head- waters of the LaHave River, which hurls its turbulent waters in foaming cataracts and boiling whirlpools- towardi the Atlantic Ocean. The sharp, defined contour lines of the many ravines with their boulder deposits, at times assuming the shape of Morraines, guide the geologist in his explorations and point out to him the forces that have been at work for ages, long before the forest of the present age sprang into existence,, to give shilter to animal life in its various forms, or was penetrated by the aboriginal Explorer. Tradition makes him the first discoverer of the Dalhousie Copper Zbno and his name can only be found on the pages of the unwritten his- tory of man. • * In a little marshy ravine, close to the Alton fioad, the first evidence of Copper Ore was found! in the shape of boulders, which attracted, by their gteenish hue, the fanners' curiosity. When, afterwards , a piece of native copper was: ijloughed up, weighing over fceven poands, the presence of a copper vein appeared to be an established f^t. Nevada Capitalists, with an open eye for new fields of discovery and enterprise, dispatched last Summer one of their ablest and most trusted mining experts to Nova Scotia to examine the gcM deposits on the Atlantio Coast* Captain Hale arrited liiet September, and hearing acci- dentally of the Dalhoasie Copper Belt» he commenced^ at once to proiipect the whole region, devoting with untirins / energy the entire Fall to hi« retearchei. The ore vein proves to be What is known among English miners as IndigO Copper, resembling the CovelUne of Ger- many, Chili, Bolivia, Africa and New Zealand, and the Cantonit in Georgia, one of the richest and most valued Copper Or«e9, on account of its purity, compared with the many Varieties of that mineral. The Incorporators secured the aid of a Mining Engineer of vast eiperience and widely known in the scientific world, who had returned from Colorado, where he had been called to test the Auriferous deposits in Blue River Eegion : and the Copper Lode waa traced from Mack's Lake to Lake 60 in Kings County, running a distance of 2^ miles in the direction of N. 15° W., which establishes the Dalhousie Mineral Belt ae a continuation of the Blomidon Vein on the Bay of Fundy. The situation of the Belt is aa advantageous as can bo desired for producing the metal at reasonable cost. Extensive forests 6f Birch and Maple encircle the Belt which will enable the Company to produce their charcoal at a moderate cost, thus making the Mine entirely independent ofthecojd regions and the means of transportation from them. The vast chains of Lakes, which form the head-waters ot the different tributaries of the La Have Kiver, will produce unfailing water-powers, which can be conducted in clo*a pwaiaity to the Mines, thus dispensing entirely with -"^fT •t«ftm-powor and «xp«in«vo michinory for the produotioc of the mtttil. With the low rates of Nova Scotia Ubjr. and pleanant tnd healthy locmtion of the Mine^, the ored at less cost, and be brought mure economically into a mer- chantable atate, than at any other Mine on the American Continent. When the Nova Scotia, Nictaux and Atlantic Railway i» completed, the Mine can connect wit'u the same at a dis- tance of 7| miles on an inclined plane, or tidewater can be reached on the La Have lliver, at Bridge water, at a dis- tance of 31^ miles, over a good road with descending grades, which will make the mineii entirely independent of the railroad. The Dalhousie Copper Mining Company of Noya Sootia was. chartered by the Parliament of Nova 8cotia, A. D., 1879, which granted to the Company an exten?»ive and valuable franchise. We intend to make it strictly a Nova Scotian enterprise, chowing to the world that the boundless resources of our mineral wealth can be developed b}' Nova Scotian capital and labor, when it i-j conducted by proper skill and strici economy. The authorized stock capital is $500,000 00, divided into 50,000 shares, of $10,00 each, of which 10,000 shares have •been set aside as a working capital to develope the Mine. The shares of the working capital wiil be fall paid and forever unassessable ; in that way no proprietor of any of t*ie shares of the working capital can be called on to pay any assessments on the uaid stooks whatsoever, being legally pro- tected by the provisions of the Act of Parliament, which created the Company. It shall be lawful for the Company to make or construct any road, railroad, tramroad or tramway, over, under and across any road, railroad, tramroad, or river, brook or stream, not being navigable waters, subject in all cases to such regulations as may be made by the Court of Sessions for insuring the safety of the iniiabi- tants and their property. 11. The books and accountB of the Company shall at ell times be open to the examination of such persons as the Governor in Ck)uncil shall Hf^int to inspect the same. 12. This Act shall cease and determine if effective works shall not be commenced and continued under it within three years from the date of its passing. 13. DIEECTOB*. i._The affairs of the Company shall be managed by a Board of Five Directors, who shall be elected by the stock- holders in general or special meeting assembled, and con- tinue in office until their successors are chosen and duly qualified. PBESlDENT, SECRET AET AND TEEA8UEEB. II.— The Board of Directors shall, on their first meeting after their election, proceed to elect their President from their own number, and elect a Secretary and a Treasurer from the stockholders. GSNSBAL SUPEEINTENDENT. III. — The management of the Mines shall be under the General Superintendent, who shall be elected by the Board of Directors. CONSULTING ENGINEER. IV.— The Board of Directors shall elect a Consulting En- gineer, whom they shall consult on all technical matters connected with the Mines and works of the Company. SOLICITOR. v.— The Board of Directors shall elect a Solicitor, who shall be the legal adviser of the Company. He shall be the recognized Agent of the Company in Nova Scotia, on whom A 12 aH legal processes, noticej and other documents shall be served, in accordance with the Act of Incorporation. OENEBAL MEETINGS. VI. — There shall be one General Meeting of the Company on the first Wednesday in May each year, v/hen the officers of the Company shall render a full and faithful account to the stockholders, showing in detail the condition of the Mines and Works owned by the Company, the amount of business transacted during the past year, and the financial affairs of the Company. A majority of the entire number of shares of the stock-capital duly represented by the stock- holders, in person or by proxy, shall be considered a quorum to transact business. SPECIAL MEETINGS. VII. — Special Meetings of the Company may be called by the President and a mnjority of the Directors, or, when a number of stockholders, owning not less than one-third of the entire stock-capital, shall file a demand for such Special Meeting in writing with the Secretary of the Company, setting forth the purpose or purposes of said Meeting, then the President shall at once order the call of said Specittl Meeting, to be held within the expiration of twenty days from the day and date such demand was iiled in the Secre- tary's office. CALL FOR MEETINGS. VIII — The calls for all General and Special Meetings of the Company shall set forth the purpose or purposes for which such meetings are called, and shall be published in one Newspaper in each of the Counties of Lunenburg, An- napolis and Kings, or mailed, post paid, to the address of each stockholder, not less than ten days previous to each meeting. u^K • 13 BIOHT TO VOTE. lX.^Every stockholder who his held his stock in his own name on the books of the Company for not less than thirty davs previous to each General or Special Meeting of the Company, shall be entitled to one vote for each share of stock thus owned by him. PEOXt. X.— Every stockholder has a right to be represented by proxy, whom he has to furnish with a duly authenticated Fower of Attorney, to be filed with the Secretary not less than twenty-lour hours previous to the meeting. MEM'IHO OF DIBlCtOES. XL— The Board of Directors shall meet at least once in every month to transact the business of the Company. A majority of them shall be considered a quorum to transact business. At such meetings each Director shall be entitled to one vote DUTIES OF DIBE0TOR8. XTi.— The Director^ shall examine and audit all the ac- counts otthe Company; fix the salaries and bonds of the Agents and employees of the Company, and define their duties ; they shall be the keepers of the Seal of the Com- pany ; they shall direct imbursements to and payments from the Company, apportion and declare dividends on the capital stock, and perform all other acts which the Company is re- quired or empowered by the Charter and the By-Uws to perform. XIV. — The Secretary shall record the transactions of all General and Special Meetings of the Company ; he shall issue all calls for such meetings, when instrucfted to do so ; he shall countersign all Official Documents, Instruments, Obligations and Papers signed by the President for the Company, and keep such other records and Books as the Board of Directors may direct : he shall conduct the corres- respondence of the Company under the instructions of the Board of Directors. XXII.— These By-Laws cthall not be amended, unless any proposed amendment shall have been submitted in writing t a stated General Meeting of the Company to the stockholaerb. and if, on the next General or Special Meeting called for that purpose, three«fourths of the stock represented ut such meeting, shall vote for the amendment, then, such amend- ment shall become a legal part of these By-Laws. The foregoJng By-Laws were submitted by the Incorpor- ators to th<$ stockholders of the Dalhousie Copper Mining Company of Novj: Scotia, in General Meeting assembled, at Bridgewater, on the 15th day of May, A.
