Goate, George T. Walton, Qeorge Bilton, George Thomas, Henry Godson, Julian Sale, Isaac Faulkner, B. Saunders, Frank John Joseph, and others, have by their petition to the Leg^is- lature represented, that the Association, of which they are members, known as the St. George's Society of Toronto, has for many years been formed for the benevolent purposes of affording pecuniary, medical, and other relief to such natives of JBngland and Wales, and their descendants, as may from sickness or other causes have fallen into distress, and have prayed that for the better attainment of the objects of the said Association, it may be invested with corporate powers, and by reason of the good effected by the Association, it is expedient to grant the prayer of the said petition : Therefore, Her Ifejesty, by and with the advice and consent of the Legis- lative Oouncil and Assembly of Canada, enacts as follows : 1. The said John Beverley Robinson, M.^^P. P., Thomas Brown, George S. Jones, Robert Dodgson, F. W. Goate, George T. Walton, George Bilton, George Thomas, Henry Godson, Jnlian Sale, Isaac Faulkner, B. Saunders, Frank John Joseph, and such other persons as are now members of the said association, or shall hereafter l>eooiDe naembers thereof, undier the provisions of this Act, and the Byrlaws made un- der the authority thereof, and their successors, shall be and they an hereby constituted a body politic and corporate, by ST. aiOROB'S 80CIBTY OF TORONTO. tlio name of the St. Of.orge^a Society of Toronto^ and may by that name sue and be saed, implead and be impleaided, answer and be answered, defend and be defended, in all Courts of Law and places whatsoever, and by that name they and their successors shall have perpetual succession, and may have a common seal, and may break, change, alter, or renew the same at pleasure, and shall have power to purchase, take, receive, hold and enjoy such real estate, as may be required for the actual occupation of the said Corporation, and to alienate, sell, convey, lease, or otherwise dispose of the same, or any part thereof, from time to time, and as occasion may require; and to acquire other instead thereof ; Provided al- ways, that the said Corporation may acquire any other real estate or any interest therein, by gift, devise or bequest, if made at least six months before the death of the party mak- ing the same, and the Corporation may hold such estate for a period of not more than three years, and the same or any part or portion thereof or interest therein which may not, within the said period have been alienated and disposed of, shall revert to the party from whom the same was acquired, his heirs or other representatives ; And provided also, that the proceeds of such property as shall have been disposed of during the said period, may be invested in the public securi- ties of the Province, stocks of chartered Banks, mortgages, or other approved securities for the use of the said Cor- poration. 2. The affairs and business of the said Corporation shall be managed by a Committee of Management, consisting of a President, a first, second, and third Vice-Presidents, a Secre- tary or Secretaries, a Treasurer, two Chaplains, three Physicians, and seven other Members, to be elected annually at a General Meeting of the members of the Corporation held in conformity to the By-laws thereof, and any five members of the said Committee shall be a quorum for the despatch of business. 3. All deeds, sealed with the Common Seal of the Corpora- tion, and signed by the President or Vice-Presidents, and by some other member of the Committee of Management, and countersigned by the Treabarer, and none other, shall be held to be deeds of the Corporation : Provided always, that the Treasurer, for the time being, may receive all moneys payable to the Corporation and grant valid receipts therefor. 4. It shall be lawful fpr ^he said Corporation to make By- laws for the admission and expulsion of members, and for the proper administration of the property and affairs of the Cor- poration, and to repeal or amend the same from time to time ; ACT or IMOOBPORATION. and 8uch By-laws and amendments shall be proposed and seconded at a previous Quarterly Meeting. No number of members less than one-fifth of the Corporation (including the presiding Officer) shall form a meeting fcr tliu purpose of altering such By-laws, nor shall any alteration be made there- in unless two-thirds of the members present agree to it. ft. The General ?aeetings of the said Corporation shall be held in such manner, after such notice, upon such requisition, and at such times, in the Gity of Toronto*, as shall be directed by the By-laws of the Corporation then in force. 6. The usual place of meeting of the said Corporation shall be held to be the legal domicile thereof, and service at such place of any notice or process of any kind, addressed to the said Corporation, shall be held to be sufficient service of such notice or process on the Corporation. 7. The By-laws of the said Association, in so far as they may not be repugnant to this Act or the laws of this Province, shall be the By-laws of the Corporation, hereby constituted, until they shall be repealed or altered as aforesaid ; Provided always, that no By-law shall impose a penalty or forfeiture exceeding two dollars. 8. Until others chall be elected according to the By-laws of the Corporation, the present officers of the Association shall be those of the said Corporation, that is to say, the said J'ohn Beverley Robinson shall be the President, the said Thomas Brown shall be the first Vice-President, the said George S. Jones shell be the second Vice-President, the said Robert Dodgson the thifU Vice-President, the said F. W. Coate shall be the Treasurer, the said George T. Walton shall be the Secretary, the Reverend J. Beavan, D. D., and the Reverend H. Scadding, D. D., shall be the Chaplains ; Edward Hodder, Francis Badgley, and William Hallowell shall be the Physicians, and the said Geoi|^ Bilton, George Thomas, Henry Godson, Julian Sale, Isaac Faulkner, B. Saunders, and Frank John Joseph, the other members of the Committee of Man- agement. 9. No person otherwise competent to be a witness in any suit, action, or prosecution in which the said Corporation may be engaged, shall be deemed incompetent to be such witness by reason of his being or having been a member or officer of the said Corporation. 10. All subscriptions of members due to the Corporation under any By-law, all penalties incurred under any By-law by any person bound thereby, and all other sums of money due to the Corporation, shall be paid to the Treasurer thereof. The Annual Oeneral Meeting, and one each on thv first Friday of the months of April, Jnly, and October. Monthly Ordinary Meetings shall be held on the first Friday of each month throughout the year, excepting in January, April, July, and October, as otherwise provided. YII. Any gentleman desirous of joining the Society shall at a Oeneral or Ordinary Meeting , be proposed and seconded by members, and may be elected by a majoiity of such meet- ing, on payment of the first year's subscription, and not otherwise. VIII. The Annual Subscription of members shall be Two Dollars. The Subscription year shall be from 1st January to 31st December. Aay new member elected between the first of January and 30th of September «hallpty the AiU subscrip- tion for the current year ; any elected, on or after 1st October, may be admitted on paying for the current quavter only. IX. A Subscription of Five Pounds shall be a Life Sub- scription, and the same shall be invested at interest as a permanent fund for the charitablA purposes of the Society. X. The Annual Meeting shiUl order the investment of such propor'^nn of the surplus funds (if any) as may appear de- sirable, tku 1 in such manner as may be then determined, and the annual iubscriptions, witL the interest of investment, shall constitute the ordinary funds applicable to the charitable purposes of the Society. XT. The Treasurer shall be authorised to advance to a distressed individual, a sum not exceeding two dollars upon the written recommendation of the President or either of the Vice Presidents, or of any member of the Manuging Commit- tee by them appointed to grant such reliefs Provided^ tthoayt^ that such recommendation do not involve the payment of more than two dollars to any one person or ftunliy. In cases demanding more than the ordinary relief thus afforded, the same shall be referred for further enquiry and action to the Managing Oommittee ai hereinafter set forth. BT-IAWS. 9 XII. The Managing GommiUee shall meet w^klj, and ai|jr five members thereof shall form a quorum. It shall be their businesi? to direct the affairs of the Society, generally, under this constitution ; to determine all matters referred to them by the Society, and to prepare for each annual meetiog a Report jf the proceedings of the '%ciety for the year, to be submitted previous to the Election of Officers. XIII. The Managing Committee may ra&ke leans (not ex- ceeding five pounds to one person or family), from the ordinary funds of the Society, to persons in temporary distress or trouble, upon receiving such reasonable security as they may deem expedient, provided the periods of such loans does not exceed six mouths. It shall have power to grant extended relief in particular cases at discretion, the orders upon the Treasurer being in all such cases signed by two or more of the Members of the Committee. XIV. The Anniversary of St. Giorob shall be celebrated by a Dinner, or otherwise, as may be determined at the Qeneral Quarterly Meeting in April. No expenses of any Anniversary Festival, or of any social entertainment whatever, shall be charged against the funds of the Society. Xy. The President (or in his absence the senior Vice President,) shall direct the Secretary to convene a special General Meeting of the Society, upon requisition (stating the purpose thereof) from any five members, and the Secretary shall call a special meeting of the Managing Committee, either by direction of the President, (or, in his absence, the senior Vice President,) or upon the requisition of any two members of the Committee. XVI. The Chair shall be taken thirty minutes, precisely, after the hour appointed fojr meeting , and if there be not then a quorum of at least ten members present, the meeting shall be forthwith adjourned. XVII. Any member in arrears of subscription for two years shall be considered at having withdrawn from the Society, and ais name shall be erased from the list of members with- out further notice, and it shall be the duty of the managing B 10 8T. No member shall be entitled to vote at the annual Election of Officers, or at any subse- quent meeting, who shall not have paid bis previous year's subscription. XYIII. The annual subscription shall be considered due and payable in advance, on or before the 23rd of April in every year. XIX. Any member elected to fill any office, refusing to serve, shall be fineoi Two Dollars, and any member of the Managing Committee absent from the regular Committee meeting three times in succession, (unless absent from' home or in consequence of sickness,) shall be fined One Dollar, and it shall be the duty of the Managing Committee in all cases to see the fines collected. XX. The duty of the President shall be to preside and pre- serve order at all the meetings of the Society, and generally to watch over and superintend its concerns to the best of his ability. In his absence, the senior Vice-President present shall exercise the authority and duty of the President. In case of the absence of the four first officers from any meeting, the members present shall be empowered to elect a chairman out of their number. XXI. The Screetary shall have charge of the Seal, Banners, and other Insignia of the Society. He shall keep a fair regis- ter of all proceedings, orders, rules, and regulations, and manage the correspondence. He shall issue certificates of admission to each member on his having signed the Consti- tution, to which he shall affix the Seal of the Society. He shall, when necessary, summon the Society to its various meetings, and shall sign such cards of invitation to the Anni- versaryCelebration as may be required of him by the Stewards. He shall also, at all meetings of the Society, and of the Managing Committee, enter in the respective minute books the name of the members present at such meetings. XXII. The Treadiurer shall have the custody of the funds. BT-LAW8. 11 lie thall countersign such certificates of admissioc as maj be issued fcj the Secretary. His accounts shall be fairly kept and exhibited to the President and Managing Gommittee, wheneTer called for, and shall also be laid before the Society at its January Meeting. XXIII. In case of the death, iresignation, or remoTal of any of the officers during the year for which they were elected, the Society shall, at the next meeting, choose others in their places to serve for the remainder of the year. XXIV. To preserve order, and to expedite the business of the Society, any member who may have proposals tq make, or observations to offer upon any proposition, shall rise and ad- dress the President ; and no person shall interrupt another when speaking, if the speaker be in order. XXT. The introduction of political or religious subjects, or their discussion, shall never be allowed at any meeting of the Society, and in the event of any member introducing or speaking on such subjects he shall pay a fine of one dollar. XXVI. The members of this Society shall faithfiilly observe and conform to all the rules and regulations that shall be made by the Society, and entered in the Books thereof, on pain of being dismissed from it and having their names erased from the list of members. XXVII. If the majority of all the members present at any . general meeting shall vote for the expulsion of a member, his name shall be erased, and he shall never afterwards be admit- ted to any meeting of the Society, unless again elected by ballot, as in the first instance ; provided always, that no proposition for the expulsion of a member shall be in order, unless one clear month's notice has been given of an intention to submit it at the then next ensuing quarterly meeting. XXYUI. The Banners and Flags of the Society shall not be used except on occasions where the Society, as a body, takes part in the proceedings, or where the Society is repre- sented by its OflJicers. XXIX. That at any Quarterly or Annual Meeting the «^ memberi preient ma}, on one month's notice preyionilj givra, elect any one of its members an Honorary Life Member, in consideration of serrices rendered the Society, and also may elect any distinguished person, eligible to become a member, in like manner for serrices rendered either the Society or the Country. XXX An Obituary Record shall be kept by the Secre- tary of any member of this Society who may hereafter die ; stating his birth and parentage, if known, date of admission as a member, his position, general character, and such other facts in regard to him as may be interesting to chronicle. Such Record to hi published with the Annual Reports. XXXI. All Fines collected under these By-laws shall be paid to the Treasurer, and go to the general funds of the Society. XXXTI. Their satisfaction, however, is mingled with sorrow at the remembrance of the loss the Society has sustained during the past summer. Most of you and very many of the citizens of Toronto, have to mourn the decease of our late respected President, Mr. Qeorge Bilton. He was one of the Society's oldest members, one whose untiring exertions materially contributed to its perma- nency and success, and was, in every sense, a kind friend, a good citizen, and a thorough benevolent Englishman. Dnring our time, and so long as the Records last, his memory will be cherished and his name honoured by this Society of his Oountrymen when «,hey read of the good works done in his day. At the Monthly Meeting in June last, the following resolu> tion was moved, seconded and adopted, " That Master William George Bilton, eldest son of the late President be elected an Honorary Life Member in consideration of the valuable ser- vices rendered by his late father to this Society." At the same time the following address was read, nnanimonaly adopted, ordered to be entered in the Minute Book, and a Oopy en- grossed on parchment for presentation to Mrs. Bilton. « The President, Officers, and Members of the St. George's Society of Toronto, record with the deepest and sinecrest sor- row the sad loss which the Society has suffered in the death of its valued and lamented President, G«orge Bilton, Ssq. *' Having assisted in the organization of the Society, he was one of the oldest as he yas one of the most zeidous and re- spected members, and to his excellent fidelity to its interests may chiefly be attributed the extended usefulness which h«B recently marked its character as a Oharitable Institution. ? M'. .1 I i « Doe to the encouragement of his example and the rigour of his administration, the augmentation in the numbers of the Society, the liberalitj of its benevolent disbursements and the beneficial influence which it exercised during the year of his Presidency were alike without precedent in its annals. " A true, warm-hearted, upright, and fearless Englishman, he was a type of all that is honorable and estimable in the nationality he represented, and in every relation of life illus- trated and upheld its best characteristics. " As such, he is now mourned by the Society which, whilst it would not rudely venture within the sacred sphere of domestic sorrow, desires to be permitted to give such expres- sion to its own grief, as, although but feebly recording the affectionate regard in which its deceased President was held, may, in some measure, tend to comfort the widow and father- less in their affliction, by the assurance, that in their bereave- ment they sorrow not alone, but others, his attached country- men, mourn with them the loss of an estimable friend, a valu- able citizen, and a charitable, just, and good man." The demands upon the charitable fund during the past year have been very heavy, so that the Treasurer has seldom had a balance in hand. Your Committee would earnestly call upon the members to pay their subscriptions as early as pos- sible, and by this means save the expense of collection, which is a very serious item of expenditure, and it will also enable our successors in office to reMeve, immediately, many of our poorer fellow-eountrymen, who, at this moment stand in need of assistance. The emigration during the past year has fallen considerably below that of former years, so far it is satisfactory wheii we consider the scarcity of employment. The heavy drain upon our funds has arisen not so much from those who emigrated during the season of 1868, but principally from previous emi- grants, many of whom arrived in 186t, sent out by the Wel- lington Fund.and the Woolwich Emigration Society, and are still remaining in the City out of work, suffering ftom want and disease. Whatever may have been the motives of those Societies in shipping off to Canada their unemployed work- men, we know not ; but we do know the consequences to have been misery and want to hundreds. The accounts these poor people have sent home will, we trust, prevent any more sacb ill'timed emigration schemes. At the quarterly meeting in April, it was deemed advisable, considering the distress prevalent more or less amongst all classes of society, to dispense with the annual dinner on St. George's Day, and instead thereof, the members of the Society attended Divine L^rviue at St. James' Cathedral. Your Oom- mittee are very much indebted to the Rev. Dr. Beaven, the Rev. T. S. Kennedy, Mr. Garter, and the members of the choir for tlieit gratuitiotts services rendered on that occasion. Messrs. T. D. Harris and L. Moffat, Churchwardens, also kindly granted the free use of the Church as well as the gas used during the evenings the Choir were practising. A Collection was taken up on behalf of the Charitable Fund, realising the very hand- some sum of $171.60 after defraying expenses of Printing and Advertising, kc. At the quarterly meeting in July, your Committee recom- mended as a means of raising additional Funds to meet the pressing demands upon the Treasurer, that an Excursion should take place, and, this meeting the views of the members, a day was appointed, the 26th July, and arrangements were made to proceed to Queenston Heights. A large number of Englishmen with their families availed themselves of the opportunity thus afforded of visiting that celebrated locality, spending a very happy day, and returning in the evening well pleased with the Excursion. The profits arising, after pay- ing all expenses, amounted to $38.62. Your Committee would congratulate the Society on the success of their application to Parliament for an Act of Incor- poration. The Bill was entrusted to our President, J. B. Robinson, Esq., M.P.P., and through his instrumentality the Bill passed both Houses without opposition, and without expense to the Society. In consequence of this Act, it will be necessary to revise the By-Laws, and the Vice President, Mr. Thomas Brown gave the necessary notice at the Quarterly meeting in October of his intention to move resolutions alter- ing the Constitution and By-Laws that they may conform with the Act. Now that the Society is incorporated, thereby becoming one of Uie Permanent Institutions of the country, your Oommit- tee can with confidence invite such of you as are able to become Life Members. The Subscription is fixed at $20, and this amount is invested so that the interest alone is applicable to the ordinary expenditure. Every new Life Membership further adds to the permanency of the Society, and for this reason alone we hope many of yon will become Life, instead of Ordinary, Memberb. There have been 49 Members added to oar list during the past year, making the total number in our books 417, but we regret to state that a great many have, by non-payment of their subscriptions, ceased to be Members. Your Committee would recommend their successors to revise the list, striking out (according to the By Laws) the name of every one who has no right to be classed as a Member. Tour Cemmittee can refer with satisfaction to their distri- bution of Meat, Bread, Cheese, and Potatoes, to about one hundred and twenty poor English families on Christmas Eve, and if we reckon, men,women, and children, it was the means of fhrnishing a good Christmas dinner to upwards of four hun- dred and fifty persons. This was raised by subscription amongst the Members of this Society and Englishmen generally. One hundred and fifteen dollars were subscribed in Cash,and about seventy-five dollars' worth of Meat, &c. Every deserving ap- plicant was relieved and after paying all expenses a balance of $13 was handed over to the Treasurer. The distribution took place at Mr. Henry Shaw's warehouse in Front St., and to him we owe our thanks for the use of his rooms on that occasion. Your Committee, before closing their report, have to ac- knowledge their indebtedness to D. B. Read, Esq., ex-Mayor, who hasj on several occasions, kindly granted passes to differ- ent parti of the Province to poor Englishmen when recom- mended by your Committee. We have also to thank i i A. B. Hawke,E8q., Chief Emigration Agent.who has frequently forwarded poor emigrants to their destination on our appli- cation to him ; and to the several Railroad and Steamboat Companies who have, daring the past year, charged only half- fare to those yonr Committee have recommended. The Treasurer's Financial Statement is herewith submitted, by vrhich it will be seen that a small balance is due him of One pound, Four shillings, and Bight pence. In addition to this, the Society is indebted to the extent of $1*78.78, There is, however, a large amount overdue by many of the Members, which, if paid, would liquidate the debt and leave a very con- siderable surplus. The Society has a permanent investment of £146 5s. in the British American Insurance Company, and £45 in the Provin- cial Permanent Building Society, making a permanent fund of £191 6b., or seven hundred and ninety-five dollars.
