[yl copi/ whereof is subjoined.'\ MEETINGS OF THE COMMITTEE. 1. The Committee shall meet for the transaction of business, on the second Monday of every month, at the hour of seven in the evening, in the Sacristy or Committee Room ; and at such other times as may be necessary, either by adjournment or at the call of the President, or Chaplain of the Congrega- tion, of which Public Notice by announcement from the Pulpit, on the Sunday or Holiday imme- diately preceding such Meeting, shall be given by the Chaplain of the Congregation, or in his absenct* , by the officiating Clergyman. That the Meetings on the second Monday of every month, shall be considered and called " Regular Meetings," and all other Meetings ** Special Meetings." Should a Sunday or Holiday not intervene before a Special Meeting, it shall be tne duty of the Secretary, at the request of the President, to summon the Mem- bers either personally or by sending notice to their respective residences. I THE QUORUM. II. Seven Members shall be necessary to consti- tute a quorum, and if within half an hoiir after the time appointed for Meeting, the requisite number shall not have assembled, an .adjournment shall take place, and the business of that meeting transferred to next Regular or Special Meeting, as the case may be. m ELECTION OP OFFICERS. III. At the Regular Meeting, to be held in the month of January of each year, the Committee shall elect out of their Body, a President, a Treasurer, a Secretary, and an Assistant-Secretary, for the ensu- ing year ; and in the event of a vacancy in any of the said Offices, by resignation or otherwise, during the year, such vacancy shall be filled at the next Regular Meeting — provided, that the Members accepting the said Offices shall not be deprived of the rights or privileges of membership. The President shall preside at all Meetings, preserve order, put the question, and declare the decision — his decision on questions of order shall be final, unless appealed from. He shall not vote on any question except where the votes on each side are equal, in which case he shall have a casting vote. He may however express his views and opinions on all subjects under discussion. He shall sign all Drafts on the Treasurer for payment of money. He shall also sign the Minutes of the Proceedings of every Meeting. He may upon any exigency, in his opinion requiring it, call a Special Meeting of the Committee. He shall, at the requisition in writing of five Members, call Special Meetings. PRESmENT PRO-TBM. V. In case of the absence or indisposition of the President, the Committee shall elect a President pro-tern, and so at every Meeting from which the President may be unavoidably absent: and that upon such temporary President shall devolve, for the time being, the duties of the President, TtlE TREASURER. VI. The Treasurer shall receive and pay all Monies of the Congregation, for which he shall be allowed a Commission, to be determined by the f Committee from time to time. He shall furnish quarterly reports of the state of the finances. He shall, at the first Regular Meeting, each year, sub- mit a detailed statement of the Receipts and Dis- bursements of the past year, accompanied by all vouchers explanatory thereof. He shall also, at I i i ( II > '■■ I 10 the same Meeting, furnish for general infurmation, a statement showing, as correct as possible, all Monies due to the Congregation and by whom, all Monies owing by the Congregation and to whom, ibr what contracted, and when payable. He shall deposit in one of the Banks of this City, all sums which he may have in his hands exceeding £100 — and report the same at the next Meeting. He shall bring forward at the Regular Meetings, all accounts or claims for Money against the Committee, or Congregation, in order to their liquidation, and give all necessary explanation in relation thereto. He shall not pay away any Monies except under the sanction of the Committee, and upon an order signed by the President and Secretary — all fixed Salaries, Interest on Loans, Premiums on Insurance, and City Taxes, he may pay, (as heretofore) without any order, taking receipts for tiie same. He shall keep a Ledger, and proper Books ot Account, in which shall be regularly entered the Monetary affairs of the Congregation, which Ledger and Books shall be open tor inspection at all reasonable times, by any Member of the Committee, and shall be annually laid before the Committee with the de- tailed statement above mentioned ; and all such Books and Accounts shall be the property of said Committee. He shall lay before the Committee at the Regular Meeting, in December of each year, a list of the Pew-holders. He shall report when Members of the Committee cease to be Pew- holders. He shall report when Pews are given up or become vacant, and when Pew- holders are in arrear beyond the prescribed time, and he shall, under the direction of the Com- mittee, attend to the disposal of the vacant Pews, and enter into the necessary contracts for the leas- ing of the same. Th(j Secretary shall keep a faithful rtrcord of the proceedings of every Meeting of the Committee and enter the same in the Minute Book kept for that purpose, which shall be open for the inspection of every Member at all convenient times. He shall sign all entries so by him made. He shall :-ign or countersign all orders on the Treasurer, for ihe payment of Money. He 4iall have charge of the Minute Book and of all Documents and Papers appertaining to the Committee or Congre- gation. He shall conduct the Correspondence of the Committee and submit Drafts of any important^ letters before sending the same. He shall at the request of the President summon Members to attend Special Meetings. He shall record annually the Treasurer's statement of the Receipts and Disburse- ments of the past year, or the particulars thereof, as also the Debts and Credits of the Establishment, if deemed necessary. ASSISTANT SECRETARY. VIII. The Assistant Secretary shall aid and assist the Secretary in performing his duties, and in the absence of the Secretary he shall discharge the duties appertaining to that Office. It shall be his special duty to attend to the preservation and safe keeping of all Documents and Papers belonging to the Committee or Congregation, and keep lists of the same. He shall also keep a Register of the Committee of Management, from which he shall select in rotation, and submit at the Regular Meet- i . i 12 ings for approval, the names of the Members to be appointed Collectors for the ensuing month. He shall communicate to the Sexton the names of the Collectors, and the part of the Church where each is to collect, in order that the Sexton may notify them as usual. COMMrrTEE OF INSPECTION. IX. There shall be. annually appointed at the Regular Meeting in Januarj', three Members, who, with the President and Secretary shall be a Commit- tee of Inspection. They shall have charge of the Church and other property of the Congregation (the Monies and Papei^ excepted) ; they shall report from time to time the state and condition thereof, and what repairs may become necessary thereto — and in cases of emergency cause all minor repairs to be made. They shall see to the comfort and cleanliness of the Church as also to its external ap- pearance. They shall direct the Sexton and other inferior Officers in the discharge of their duties. They shall report the loss of, or injury to, any pro- perty in the immediate charge of the Sexton or others. They shall take and keep an inventory of all the moveable property belonging to the Congre- gation. They shall have a general superintendance over all the Church property, and at the expiration of the time for which they were elected, submit a Ueport shewing the state and condition thereof, to- gether with their doings for the past and recommen- dations for the future. At every Regular Meeting, the Committee I shall appoint six or more Collectors for the ensuing i month, assigning to each the portion of the Church I where he is to collect. In the event of there being I no quorum at any such Meeting, or at any Meeting I that may be called between such Regular Meeting, and the first Sunday of the approaching month, the Assistant Secretary shall, with the approval of the Secretary, appoint the Collectors and assign to each his place for collecting. Every Collector who shall fail to collect during morning and evening Service, ^ on Sundays and Holidays during his month, and who I cannot at the next Meeting satisfactorily justify his absence, shall forfeit and pay a penalty of five shillings, unless he shall have provided a substitute. CREATION OF INFERIOR OFFICES, &C. XII. The Committee shall make and create all necessary Offices about the Church, prescribe the duties and services of each, appoint the persons to fill them and fix their salaries — abolish such Oflices when they may deem them unnecessary' — remove the persons appointed to fill them, and appoint others in their stead, whenever they may think proper. — Any Member of the Committee accepting any such Office shall thereupon cease to be of the Committee. All persons holding Offices of emolument under the Committee shall be held to give security, if re- 14 i quired. Provided that no person shall be appointed to such office or maintained in it, without the sanc- tion and approbation of the Chaplain of the Con- gregation. MODE OF ELECTION. XIII. All Officers, and persons holding office under the Committee, and Committees and Sub Commit- te^es, permanent or temporary, shall be elected and chosen viva voce^ each Member calling out the name of the person he votes for, commencing at the Pre- sident's left and going round, and the person or persons having a majority of votes shall be declared duly elected. The President and Secretary shall b3 ex-officio Members of all Special or Sub-Commit- tees. That the three persons to be annually selected by the Committee to be submitted to the Congrega- tion lor their election of one therefrom to be added to the Committee of Management, be chosen by ballot at the Regular Meeting in January, or at a Special Meeting called for that purpose, and be submitted to the Congregation on the tlrst Sunday following in January : each Pew-holder being fur- nished with a card containing the namt^s of the said three persons, from which he shall erase the names of two, leaving the one for whom he votes ; and the person having the majority of votes, shall be declared duly elected. The Committee shall meet immedi- ately alter the votes are given in, and declare the result of the election. In case of the election of two Members, under Act of incorporation, the selection by Committee shall be as above, substituting six names for three, and the Pew-holders shall erase four names instead of two from said cards. In the event of there not being a Quorum at the General Meeting in January, a Special Meeting shall be called for the above purpose, and the election by Pew-holders shall take place the Sunday after said Special Meeting. XVII. It shall be the privilege of every Member freely to express his sentiments and opinions on every subject brought forward, and no Member shall be censured or questioned elsewhere, for any expressions used in the discussson of any subject, or for his opinions or vote thereupon. When speak- ing on a question before the Chair, the Speaker must address the President standing.
