Th e c hief planks of the platform on which the National Association was built, vi/ J mperia 10 Unity/' " the Consolidation of the Empire," and '* closer trade relations" remained as the watch- words of the National Club, and it g-raduall> became the centre of the Imperial Federation movement in the Dominion. The first Directorate of the National Club consisted of twenty-ei^^ht members, one-half ot whom represented the stock-holders who originally furnished the Club (taking a mort- gage on the building for the amount of $5,500 payable in twenty years without interest), and the other half represented the regular member- ship of the Club. The first officers were : President Dr. Goldwin Smith. I St Vice-President W. H. Howland. 2nd *' J^^^''" McNab. Treasurer John Gillespie. Secretary T. C. Scoble. During the first year of the Presidency of the Hon. Adam Crooks the Club was found to be embarrassed financially, and the stockholders who furnished the Club generously presented the Club with the mortgage for $5,500 on the building. The financial basis of the Club was unsatisfactory, involving as it did personal lia- bilitv of members, which led to a special Act 11 bein^r obtaineU from the Ontario Legislature reincorporating the Ck>b under which a reorga- nization took place. This Act is st,ll the Char- ter of the Club. , , r^ • During the Presidency of Lt.-Col. Der.son hnancial embarrassment again occurred, bui by the energetic efforts of a few of the members, ,t was agam restored to a satisfactory basis. In 1892 it was felt that the club premises were behind the requirements of the limes, and this tact combined with the increase in the number of Clubs in Toronto, rendered great "iiFOve- ,„ents necessary to enable the National Club to maintain a place in keeping with its traditions In the vear .893 an arrangement was adop ed bv a veVv large meeting of the members for the purchas; at $.7,500 of the leasehold building and premises formerly the home cl the Cm ed En^'re Club on King Street West, and then occupiec bv the Canadian Pacific Railway tor offices. The Club paid $2,000 on account ot this purchase money. Plans were prepared tor alterations and improvements to the budding involving an expenditure of $30,000, and a sum over $9,000 was actually subscribed by members ]lJ Unvards consumatini^- the scheme. Delays cx- CLirred throwing- the matter over till 1894, when the financial depression which had become wide- spread bv that time so atTecled the Club that it was tound impossible to raise the funds requir- ed. These circumstances and others acted very prejudicially to the Club membership, and it was felt in 1895 that some radical means had to be adopted to keep the Club in existence. The United Empire Building- purchase was happily o-ot rid of by i^ivinj^- up the deposit of $2,000 which had been paid and which procured the Club's release from liability In 1895, upon the iniative of President Frank Arnoldi, QX., a scheme was adopted by the members for carry- ing out enlargements and alterations of the ex- isting club premises in conjunction with the landlord involving an expenditure of $13,000 on the part o( the landlord and about the same amount for furnishings and decorating by the Club. This scheme was carried out between April and November, 1896. During the altera- tions the Club occupied as temporary premises the buildings Nos. 04 and 9b Hay Street to the south o( the Club House. The Secretary-Treasurer shall see thai all fees, charges and subscriptions, are regularly collected, have charge of all the funds oi^ the Club, and keep a reg"ular account thereof sub- ject to monthly examination and audit by the Executive Committee, and he shall pay out the same from time to time under the i^eneral direc- tions of the Board or any Committee th»^reof, by cheque or other order, countersi^'ned by the President or one of the Vice-Presidents ; and shall also keep a record of all matters trans- acted at the meeting's of the Club or Board of Directors or Executive Committee ; shall notify candidates for admission of their election, and execute such writini^s and acts, matters and thing's as he may be officially instructed and authorized to execute and perform ; and shall have the custody of the corporate seal of the 2() Club, hut which seal can only he affixed to any instrument or written document so as to le^-ally hind the Cluh as a corporation, when and as the same is also sioned and attested by the President or one of the Vice-Presidents. Executive Committee* 7. The Executive Con-imittee shall mak all purchases authorized by the Board of Directors, rei>-ulate the price to be charo-ed upon all articles to be sold in the Club, make monthly returns to the Board of all the stock of supplies on hand, and the amount boui^'ht and sold during- the month previous, and report monthly to the Board all matters necessary to be done for the comfort and convenience of the members of the Club. 2 The Executive Committee shall report the names of such members as are in arrears, jind the sums ihey owe respectively, once in each month, to the Board, see that the Secre- tary-Treasurer performs the duties of his office accurately, promptly and efficiently, and exam- ine and audit his accounts monthly, and execute 't 27 the details of all financial schemes and ckities as they shall be requested by the Board to carry out and perform, and have a-:eneral supervision of the finances of the Club, and shall from time to time make a report of the financial position of the Club to the Board. 3. The Executive Committee shall have sup- ervision of the billiard tables and room, library and periodicals, and shall make such rules and reo-ulations with respect thereto as they shall de'^em meet ; and shall report to the Board a monthly account of the billiard tables, with receipts and expenditures in respect of same. 4. The n;j.mes of the members constituting- the said Committee shall be kept posted in a consplcious place in the Club House. Powers of the Board. 8. The Board of Directors shall take into consideration all affairs atTectino- the welfare of the Club, shall authorize all expenditures, bal- lot for all candidates for admission to member- ship, and serve as the tribunal before whom all questions or differences which shall and mi-ht 28 effect the interests of the Club may ^^e laid, and the decision of the Board thereon shall be hna and conclusive, except in cases where an appeal is expressly .men in these By-laws to the mem- hers of the Club. The Board shall also have power to appoint such special committees as the interests of the Club may demand. Board Meetings. 9 The said Board shall hold monthly meet- •,„>.s, or whenever they shall be summoned by the President or a Vice-President, and shall have full power to suspend any officer on recen - ins evidence of the faithless discharge ot h.s duties bv said officer, and to appoint one to fill the vacancv until the regular election. Vacancies in Board. 10 The Board shall have full power to fill any vacancy which may occur from death, 29 resig-nation, or otherwise, either aironj^" the officers or Directors, and any electioi so by them made shall be valid until the next ensuing; annual meeting- of the Club.. Rules. 11. The Board shall also prescribe such rules for reg-ulating- the internal and domestic affairs and conduct of the Club, as in their judg"- ment may from time to time become necessary and proper ; and shall have full power to appoint and remove the steward and all servants of the Club at the pleasure of the Board. Removal from Office. 12. The Club shall retain the power o( vacating- the places of any members of the Board oi^ Directors by a vote of tw^o-thirds of the members present, at a special meetini,- called for that purpose. Suspension or Forfeiture of Membership or Expulsion. 13. The Board o( Directors shall have power, by \ ote of two-thirds of the members .so present, at a special meetini^' oi^ the Board called for the purpose, to inquire into, and thereupon in its discretion to suspend or forfeit the mem- bership of or expel im\' member for an} conduct on his part either in or out o\^ the Club House, likely to endaui^-er the welfare, interests or character o( the Club ; or for wilfullx' infrini^fini*" any of the By-laws, Rules or Regulations of the Club, or for conduct unbecomini^- a gentleman. 2. Xo vote shall be taken on proposed suspension or forfeiture of membership, or ex- pulsion, until after five days' notice at least shall have been given to the members in ques- tion, stating the ground of complaint, and time of meeting of the Board. Election of Members* 14. No person shall become a member of the Club until he shall have attained the age of t\vent\-one years. 2. Kvery candidate for admission must be proposed bv one member and seconded by another, previous Ic^ his being balloted tor by the Board of Directors. His name and those of the proposers shall be posted in a conspicuous place in the Club House, at least ten days before bein«* balloted for. 7. The names and residence of all pri\ilei>-ed members, and the duration of such privilci^e shall always appear in the Visitors' Hook. S. The Executive Committee may i^^rant the privilei^-es of the Club pendinj^^ the consideration of his application for membership to anyone so applying for membership. (9). '' Life members and honorary members are such members as ma\ be appointed by the Directors pursuant to sub-section five of Clause fifteen of this Constitution and By-Laws. 38 Visitors^ 17. Any member, at his own expense, has the privilege of introducing one or more of his friends to the visitors' room, and to breakfast, lunch or dinner, and the name of each such friend shall be entered in the Visitors' Book. 2. Guests of any member with whom they have dined or lunched at the Club, shall have all the privileges of the Club, while such mem- ber is with them. Club Hours and Rules* li". The Club shall open every day for the reception of members from eight o'clock in the forenoon until one o'clock on the following morning, except on Saturdays and Sundays, when the hour of closing shall be midnight. The Club House shall be closed and lights ex- tinguished after such hours, and no resident member shall, on any pretence whatever, be ad- mitted to or allowed to remain m the Club after such hours of closing, unless the previous per- mission in writing of the ''Executive Committee" has been obtained. 1 11 1. Any cause of complaint by any member is to be by letter to the Secretary, at d any inatten- tion or improper conduct on the pa t ot a servant is also to be stated by letter to the Secretary. 2. No i;-ambling- shall be permitted in the Club, and no games of any kind on Sundays. 2. Xo hii^-her stakes than quarter dollar points shall be played for at whist, nor shall in^\ bet exceed one dollar. 4. Ecane, picquet, euchre, billiards and pool may be played for limited stakes, the limits to be fixed by the Executive Committee, and such Committee shall have power to fix a limit to the hours during- which cards or billiards may be played in the Club. Further Causes of Forfeiture of Membership. 19. Any member shall be liable to forfeiture of his membership in any of the following cases (besides those authorized by any other by-law) : In case a member neglects to pay any dues and additions thereto or accounts due to the Club, for a period of one month after the same hall have become payable or ha\e been incurred. wmm 40 2. In case a member wilfully commits any breach o^ the Constitution or By-laws ot" the Club, wilfully violates or nei^Hects the observ- ance of any rule or ! e^i^-ulation provided by such Bv-laws or by the Board of Directors, on any Committee under the authority thereot. 3. A member forfeiting- his membership for non-payment ot his subscription or other dues, may be reinstated within three months of such forfeiture, by the unanimous \ote of a meeting of the Board of Directors, upon all arrears being- hrst paid up. 4. Any member who shall withdraw, resign or whose membership shall become forfeited from any cause, shall ipso facto cease to be a member of the Club, and -dl his right claiiri thereon, or in or to its property or funds, shall become vested in the Club. Annual and Other Meetings* 20. There shaP be a general Annual Meet- ing of the Club, to be held at the Club House, on the second Wednesday in May. The Board shall also have power to call from time to time special meetings of the Club. They shall also \ v I l' 41 call a special meeting at any time on the requi sition of ten members sent to the Secretary- Treasurer, and expressing- the specific objects thereof. Twenty resident members of the Club shall constitute a quorum at all general and special meetings. 2. All notices of meetings of the Club or of the Board shall be considered as duly given if posted in the Club for the required time, and all notices required to be given to members under any of these By-laws, shall be considered as dulv given if so posted, (except notices required to be given to a newly elected candi- date.) Amendments of the Constitution. 21. Anv amendment to the Constitution shall require an affirmative vote of two-thirds ot the members present, at a general or special meeting called for the purpose. 2. No amendment to the Constitution shall be voted upon, unless a copy thereof shall have been furnished to the Secretary, at least three weeks before the Annual o\' Special Meeting of the Club ; and it shall be the duty of the Secre- 42 tary to cause the same to be printed and dis- tributed to the members at the same time with the notice of the Annual or Special Meeting*, which shall be ij'iven at least ten days before any such meeting. These restrictions shall not apply to the amendment of a proposed amend- ment of the Constitution when being- considered by the Club. Scrutineers. 22. The President or the presiding officer at rhe Annual or special meeting- shall appoint three scrutineers, whose duty shall be to open the polls and count the ballot?, in the presence of at least fiye other members, and those per- sons haying the greatest number of yotes shall be entitled to office, aud shall enter upon their duties forthvyith, after the date of their election. Construction of Constitution and By=Laws. 23. In respect to all questions of the con- struction of the Constitution and By-laws, the decision of the Board once made thereon shall be final and obligatory until rescinded by the Board itself or by the Club, at any g-eneral or special meeting. RULES AND REGULATIONS* Directors^ Meeting* 111 the absence of the President a Chairman for the day will be first elected and the minutes of the last meeting' havin^^ been read, the ques- tion will be put by the Chairman: " That they be confirmed " If the minutes be objected to by a majority of the members present, the particular subject objected to will be reserved for consideration, either at a special meetin^^" or at the next ordin- ary meetini^- as may be decided upon, and if not objected to then the Chairman will affix his sii^nature thereto. After the disposal of the minutes of the pre- vious meetint^- all such matters as require the consideration of the Directors will be broug-ht before them, discussed and decided upon. A tarift' of meals, wines and cigars, which shall be observed by the Steward, shall be pre- pared by the Executive Committee and exhibited in the Cofi'ee Room constantlv. [ 4:^ ] 44 The Secretary -Treasurer* The Secretary-Treasurer shall collect and bank daily all moneys oi^ the club, and shall disburse them under the direction of the direc- tors. He shall keep proper accounts, and at each meeting" of the Directors shall submit a staterr-^nt hovving- the financial position of the Club, with the bank book showing- the balance at the ci dit of the Club. His book shall always be open to the inspection of the Directorij. He will have the general control and super- intendence of the establishment under the Directors and Hlxecutive Committee, and will attend all meetinp^s of the Directors and of the Executive Committee, note their resolutions, and minute them in a book 0^' their proceed- ings. In all his written official communications he will state expressely that they are made by direc- tion of the Directors or of the Executive Com mittee as the case may be. Besides his attendance upon the Directors and Executive Committee he will conduct the official correspondence of the Club, draw up 45 reports, keep rei^-ular accounts of all the finan- cial concerns of the Club, an account of the wine and other stores in the stock cellars of the Club, an account with the Steward for wines and stores delivered for the consumption of members and for the use o'i the establishment, examine all accounts previous to their beini,^ sub- mitted for final adjustment, and will pay the same when passed by the Directors or the Executive Committee as the case may be. He will have the custody of all the stock of wines in the Club and shall deliver thereout to the House Steward from time to time such wines as he may deem to be required for use of mem- bers during each day. He will ascertain that all goods and provi- sions delivered are in strict accordance with the orders given and correctly charged in the trades- men's books, and will sign such books. • He w ill attend to all communications, receive information upon all subjects connected with the business of the Club, and particularly all matters relating to the members thereof. He will place before the Executive Commit- tee the receipts for payments which have been 4() authorized by the Executive Committee at its previous meeting-, and he will submit to the Executive Committee a weekly statement of the receipts and disbursements of the Club. He shall take stock of all stores, supplies and property of the Club at the end of every month, and submit the results to the P^xecutive Committee on or as soon after the first day of each month as possible. House Stewart. The Stewart shall be subject to the rontrol of the P^xecutive Committee for the time being-, whose instructions shall be conveved through the Secretary -Treasurer. He will constantly reside in the Club House ; and will have the custody oi^ the Supply Cellars — other than the Wine Cellar — Plate, Cutlery, China, Glass, Linen, etc. He will have the gen- eral control and superintendence of the servants and be responsible for their conduct and cleanly appearance, as well as for the cleanliness and order o( the establishment. He will account daily with the Secretary- Treasurer for all moneys received from the ;U. 47 members for supplies, and for all vines i^'iven out by him for the use o( members. Subject to the Executive Committee, he will make the established chari^es for all pro\isions, wines, etc., and cast up and recei\e from the members the amount of their bills. He is required to notify members of any violation of the rei^-ulations, and to report the same to the Secretary-Treasurer for the informa- tion of the Executive Committee. GENERAL HOUSE RULES. Billiard Room- The following- reg-ulations will be in force in this room : — I St The game of English pool shall have choice of tables, and take precedence over bill- iards and pyramids, and may be played in conse- cutive games. 2nd. For billiards and pyramids the tables can only be engaged for one game and no game of billiards is to exceed one hundred points. Precedence in playing and choice of tables are 48 to be i^-ivini;- accordini;- to entry of names on the marker's slate. The charires will be as follows : En^dish Pool - Five cents per ball ; stars to pay extra. Black Pool Five cents per ball for every half hour or portion thereof. Billiards Thirty cents per hour ; no char^^e less than fifteen cents. Other g-ames, by the hour, thirty cents. The marker is instructed at the conclusion of each game to present to the loser a cheque for the amount oi" his g-ame, which must be deposited by the player in the box kept for that purpose in the billiard room. Should the player pay cash he will deposit the ticket in the box, irivinir the marker the amount due for same. All credit tickets to be sig-ned by the member previous to depositing same in box. Members cutting the cloth will be fined in proportion to the damage done. The Billiard Room shall be closed from 12 o'clock on Saturday night until lo o'clock on Monday morning. 49 Bed Rooms. No resident of the city or within fne miles of the city, is to be introduced to the Club more than once in thirty days. Members. The waiters, and all .other serxants in the establishment, will be subject to the orders of the Steward and Secretary, and will perform such duties as they may prescribe. The servants are strictly prohibited from receiving- \isitors or followers. No member shall o-ive and no servant shall receive a i^ratuity in the Club on any account or pretence whatexer. Servants, while on duty, are not to talk to each other except on matters connected with their business, and servants are prohibited from addressing- an individual member in the house on matters personal or relative to the concerns of the Club— all commu.iications of the latter kind to be made through the Steward to the Executi\e Committee. No servant o\' the Club shall be sent out of the house upon an errand on any pretence what- ever, except by the sanction and order of the Steward or Secretar)-. It any money or articles supposed to be the property of the members shall be found bv the 53 servants in the Club house, they shall be deliv- ered to the Secretary throui^h the Steward. The servants' entrance in the rear will be under lock and the key thereof be in custody o( the House Steward, and servants must not enter or go out of the Club except by the servants' entrance at the rear of the building'-. No lari^^e boxes, bicvcles or articles o\' lui'- gage belonging- to members will be admitted into the hall. Members are requested to make complaints in writiuiT, by entry in the complaint book, signed by themselves, to the House Committee for the time being-, of any matter in the admin- istration of the Club seeming to need correction.
