T. Toronto, March, 1844. CO^^'.TITUTION. Article T. The name of this Society shall be "The Saint Gkobge's Society of Toronto." II. The objects of the Society are, to unite Englishmen, and the Descendants of Englishmen, in a social compact, for the promotion of mutual and friendly intercourse, and for affording to such per- sons of English birth or descent as may stand in need of them, advice and counsel, and such pecuniary assistance as the funds of the Society may enabl. ,t to give. III. The Society shall consist of such persons of English birth or descent, in the male line, as shall be elected Members thereof according to the regulations made for that purpose: and until a sister Society of St David be organized, Welshmen and their descen- dants shall be considered as eligible to become members of this Society, and to stand in the same position therein as Englishmen and their descendants. IV. The affairs of the Society shall be managed by a Committee, consisting of a President, a First, Seconi), and Third Vice-President, a Secretary, a Treasurer, and seven other members, to be 8 CONSTITUTION, elected at the Annual Meeting in. January, all of whom shall hold office until the next Annual Meeting, and the Office BeurciS shall be (ex officio) mcnibcrs of all Conunittees. A Chaplain and a Physician shall also be appointed at said Ainnial Meetings. The Standabu Bearkks to be nonunated by the President. V. The general Annual Meeting of the Society shall be holdcn on the first Thursday in January in each year, unless the same be New Year's day, in which case the said meeting shall be held on the following Thursday. VI. In each Year there shall be holdcn four Quarterly Meetings: Ist. "The General Annual Meeting," and one each on the first Thursdays of the months of April, July, and October. VII. Any Gentleman desirous of joining the Society, shall at a General or Committee Meeting be proposed and seconded, and may be elected by the majority of such meeting; but no proposal shall be received, unless at the same time the Entrance Fee he deposited. VIII. The Annunl Subscription of members shall be ten shillings, and the Entrance Fee ten shillings. IX. A subscription of Five Pounds shall be a Life Subscription, and the same shall be invested at in- terest as a permanent fiind for the charitable purposes of I Society. CONSTITUTION. 9 X. XI. The Treasurer ; hall be authorised to advance to a distressed individual a sum not cxceedini^ twenty shillinf^s, upon the written recommendation of the President, or of any two Mei^ibers of the Managing Con mittee, but upon the occurrence uf any case demanding more than ordinary relief, the same shall be disposed of at a Committee Meeting. XII. The Managing Committee shall meet on the first Thursday :n each month of the year, except those in which the General Meetings of the Society are held, and any five members thereof shall form a Quorum, and it shall be their business to prepare for each Annual Meeting, a Report of the proceedings of the Society for the year, to be submitted previous to the Election of Officers. XIII. The Chair shall be taken fifteen minutes precisely after the hour appointed for meeting, and if there be not then a Quorum {of at lu.st Ten Members) present, the meeting shall be forthwith adjourned. XIV. The President (or in his absence the senior Vice-Presideut) shall be authorised to direct the 10 CONSTITUTION. Secretary to convene a Special General Meeting of the Society, upon requisition (string the cause thereof) from any five members, and the Secretary shall call a Special Meeting of the Managing Committee either by direction of the President (or in his absence the senior Vice-President), or upon the requisition of any two Members of the Committee. XV. The Anniversary shall be celebrated by a Dinner, for the arrangement of which six Stewards shaU be chosen by ballot at the April General Meeting, and the Secretary and the Treasurer shall (ex officio) be associate Stewards. XVI. "The Church of England" shaU be a standing Toast at the Anniversary Dinner, and it shall come next in order to that of " l^he Queen." XVII. The Officers of the Society shall bi elected by Ballot at General Meetings only. XVIII. All alterations to be made in this Consti- tution shaU be proposed and seconded at a previous Quarterly Meeting. No number of members less than one fifth of the Society (including the President or one of the Vice-Presidents) sliaU form a meeting for the purpose of altering the Constitution or Bye- Laws, nor shall any alteration be made unless two thirds of the ihombers present agree to it. *';iff BYE-LAWS. I. Any Member in arrears of subscription for two years, shall be considered as having withdrawn from the Society. II. That po Member be entitled to vote at the Annual Election of Officers, or at any subsequent meeting, who shall not have paid his previous year's subscription. III. The duty of the President shaU be to preside and preserve order at aU Meetings of the Society, and generally to watch over and superintend its concerns to the best of his ability. In his absence, the Senior Vice-President present, shall exercise the authority and duty of the President. In case of the absence of the four first Officers from any Meeting, the Mem- bers present shall be empowered to elect a Chairman out of their number. IV. The Secretary shaU have charge of the Seal, Banners, and other insignia of the Society; shall keep a fair register of all their proceedings, orders, rules, and regulations, and manage their correspondence! He shaU issue certificates of admission to each Mem- ber on his having signed the Constitution, to which 12 BYE-LAWS. he shall affix the Seal of the Society. He shall when necessary sunm.on the Society to its various Meetings, j and shall sign such cards of invitation to the Anniver- sary Dinner as may be reqmred of him by any four of the Stewards. V. The Treasurer shall have the custody of the funds. IJc shall countersign such certificates of admis- sion as may be issued by the Secretary on the payment of the adnn-ssion fee. His accounts shall be fairly kept, and exhibited to the President and Managing Com-' niittce, whenever called for, and shall also be laid before the Society at its January xMeeting. VI. In case of the death, resignation, or removal of any of the Officers during the year for which they were elected, the Society shall at the next Meeting choose others in then- place to serve for the remain- der of the year. VII. The introduction of political or religious subjects, or the; discussion, shall never be aUowed at any Meeting of the Society. VIII.
