Every menjber of the club, shall, on becoming the holder of a share, receive a certificate to that .effect signed* by the President and Treasurer, and shall thereaftei* enjoy the privileges .of the club: . 6. No member cair hold more than one ishare' and no person can be a member of the club unless he is a shareholder. 7. Every p^id-up share is transferable, but the share of a person who has ceased to belonje; to the club through his having been expelled or for iiot having^ paid his annual subscription or other dues, shall revert to the club. * 8. The share belonging to a member who resigns shall become th€ property of tibe club, if it be not transfei red within the jsix months following his resignation; 9. The officers are : a Trooident, a Vice-Pre- sident, a Secretary and Treasurer. 13. The affairs Of the club are liianaged by a- bbard consisting of nine direol^prs, of which the .President, Vice-Prmdeht, Secretary and Treasurer shall ex-officio be members. .« ^ ^ ELECTION^*' OFFICERS AND MEMBERS OP THE ' BOARD OF DIRECTOK^, / 14. The election of the officers- and directors ^aUl)e held at the general meeting of the month of December, and shall be by ballot and by 'the majority of the vote& of the members, present at the meeting, who have paid the annual subscription for the current year and all otlier sums due by them to the club. ) ^ ,. The directors and officers are elected for one year, but ihey remain in office until their successom are ejected; BOARD OF DIRECr(X>R8. 1 0. The board of Directors shall have the manage- / men^ of alt the aftairs oif the club. Five of its members shall constitute a quorum. 17. It shall meet as ofteli as may be necessary, or whenever called together by the President or two members by a requisition in writing to that effect made b^ them. A notice of every meeting shall be given to each member of the Board by the Secretary. 18. The Board shall draw up a tarifi or scale of prices to be paid for board, or other services, at the club-house. 19. It shall engage and dismiss all servants and the fishery overseer or overseers aiM shall determine their salary. It shall cause all constructions, repairs, changes and additions to be made which it may deem neces- sary in connection with the buildings and other property of the club* ^ ' ^^ 20. It shall levy, by means of an assessment on^the members, such anysunt as it may deem necessary to pay the expenses required for the T— /, *.*5ft"-*4v^¥lP •^ MilM; — 9 — purposes of the club, its buildings and other im* proveniejuter" The yeirly assessment upon each member shall not exceed twenty dollars. . The amount of each assessment shall be payable by the members fifteen days aifter notice thereof has been sent to them by the Treasurer by nlail. Every member who fails to pay the amount of such assessment may be sued for the recovery thereof, and the Board of Djiytors has power to strike his name from>the list iR" members after an additional delay of thirty days from the expiration of the fifteen days aforesaid. 21. The order of the day for meetings of the Board of Directors shall, as far as possible, be that followed at general meetings. PRESIDENT AND VICE-PRE8IDEN1»* . 22. The President shall preside at the meetings, see that the by-laws are observed, superintend the balloting and call special meetings. The Secretary shall keep a register in which shall be entered : L A copy of the Letters-Patent i incorporsfiting the club and all additional Letters-Paitent ; 2. The by-laws of the club ; 3. The names of the members, with their Addresses and occupations. T ' v \ : ^ 26. He shall keep a register of all the proceed- ing of the club and of the Board of Directors, and he shall have the custody of all the books and documents belonging to the club, with the exception of those of the Treasurer. He shall allow any member to examine the books during ordinary business hours. TREASURER. 27. The Treasurer shall keep the stock-book and collect all sums due to the Club. 28. He shalMeep a book in whicii shall be correctly entered all sums received and expended by him and he shall render an account and inake a report of all his operations during the year, at the General Meeting in the month of December. He shall submit all accounts and books in his possession to the Board of Directors, whenever required so to do. 31. In the absence of the Treasurer, the Secre- taiy shall replace him and vice-^veraa. FISHKRY OVERSEKH AND GAME-KEEPER. X :i\ K < 32. The fishery overseer and game-keeper shall see that the game and. fishery laws are respected. 33. He shall endeavor to protect the club and its property, by seeing that only authorized persons fish on the lakes. . 34. He shall, once a year, make the Hghts of the club known, by proclaiming them at the church door of the nearest parish. 35. Every person who wishes to become a mem- ber of the club shall be proposed by a motion in writing at a meeting of the Board of Director and at the next following meeting of the Board of Direc- tors he shall be balloted for. Onip black ball in three shall exclude. 37. Every person admitted as a member 6f the club^shall be informed of th© fact by a letter from the Secretary and^shall, without delay, pay the annual subscription for the current year to the Treasurer and either pay him the sum of fifty dollars or hand him a certificate of a share duly transferred to him ; upon which he will be given a certificate that he holds a paid-up share in the club and he shall thereupon i*eceive a certificate that he holds a paid-up share in the club. If, within one month, he does not comply with this regulation, his name shall be struck from the list of members of the club, unless he explain the delay to tho satisfa^on of' the Board^of Directora. ANNUAL S,CJBSCRII»TI0N. 38. ', V 39, The year commences to run on the first of December. , 40, No member shall enjoy the privileges of the clitb, vote, or be eligible to hold office unless he has paid his yearly subscription and all other dues owing to the club. 41, Every member who shall neglect or refuse to pay his yearly subscription within a delay of sixty days from the first day of December, shall be struck off the list and shall forfeit all his rights after the expiration of a delay of eight days from that on which a notice was sent him by the Treasurer calling upon him to pay such sum, unless he explains the delay to the satisfaction Of the majority of the directors present at a meeting of the Boiird. 42, Every member who shall leave the Province and give the notice to the Secretary that he does not wish to avail himself of the privileges of ttfo Club during his absence, may pay an annual sub- scription of twodollars only, and he may. at any time, 8,yail himself again ^>f the privileges of tbe Club by giving notice of his intention so to do and paying the full subscription for the current year. 43, If such member should return to reside in the province, ho shall, within two months alter his return, give notice thereof to the Secretary i ^^• "^"q f*?* cr-Mi^^i^fU \f\ i-^c / - ' ; —14 — and pay the^ii subBCription for the current y W otherwise, his name shall be struck from the list of members, unless he can explain to the satisfec- , tion of the Board of Directors his reason for having failed to comply with this role. y RK8I6NATION. 44. In the e^yent of any officer or member being guilty of unworthy conduct, or in the event of any serious infringemept of any of the niles of the club, the Board of Directors shall, upon a com- plaint being n^iide in writing by two members set* ting forth the charges against such officer or mem- ber, send to such officer or member a copy of the said charge in a registered letter and call a general meeting of the club to take the sanie into conside- tion. I' < I, VISITORS TO CLUB GROUNDS, ETC. • 51a No member shall have the rigfit to give a permit to fish or to visit the club. Such permit can only be granted with the consent of the Board of Directors, but shall neves^be granted to a resident of the district of Quebec. ' - 52. Any member can bring with him to the ^ club grounds his wife, minor children and one other guest. The Board of Directors may. however, for special reasons and on such conditions as it may deem advisable allow a member to, bring a larger number of guests. 53. Nevertheless, no one .who has been expelled, from the club shall be admitted to the Club House or grounds. . r. /I- ' ' . ■ ■,"»''■, 54. Every person shall carefully extinguish any fire which he may have lighted and shall be respon- sible for all damages. Any guide who neglects to perform this duty shall never again be employed by the club or its members. 56. The Board of Directors shall cause the pre- ceding section to be posted up in one or more , con- spicuous places in the Club-House. 57. If two or more members arrive at the club rendez-VQua together and cannot agree as to choice of the vacant beds, they shall draw lots to decide who shall haVe the first choice. 5S» If two or more members happen to be tog^ ther at the club rendez-vonB and cannot agree as to the choice of canoes, fishing-places, guides^ Ac, they shall draw lots every evening to decide who shall have the first choice on the following day.
