NICHOLAS STREET. 18G4. ■t I ^'^L dd CONSTITUTION OF THE MONTREAL LITERARY CLUB. Article I. — This Society bears the name of " The Montreal Literary Club." Article II. — Its object is to aid in the culture and foster- ing of Letters among its own Members, and in the commu- nity at large. Article IIL— The Club consists of Ordinary, Ordinary Life, Corresponding, and Honorary Members. Article IV. — Persons of Twenty-one years of Age are eligible as Members. Article V. — Admission to Membership is vested in the Club. Saving the case of original Members, provided for in Transitory Article No. 1, Candidates for admission as Ordi- nary Members are nominated by two Members at a regular meeting of the Club, and the nomination is in writing, duly signed by the Members nominating. The notice of nomina- tion is exhibited on the notice-board of the Club for the space of fourteen days before the election. Article VI. — Such election is held at a regular meetins: of the Club, and the voting is by ballot. Twenty votes are required to constitute a valid election ; and one black-ball in five excludes. ! ; I I Article VII. — A rejected Candidate is only to be again nominated after one year from the time of his rejection. Article VIII. — The fee payable by Ordinary Members is $10 per annum, and no Member is entitled to the rights and privileges of Membership while any such fee is unpaid, saving the case provided for in Transitory Article No. 1. Article IX. — By the payment of $80, an Ordinary Member becomes an Ordinary Life Member. Article X. — The nomination of Corresponding and Hono- rary Members is solely vested in the Council, who must be unanimous ; and the election takes place, after the usual notice, at a meeting of the Club. The voting is open, and a simple majority of the votes cast decides. Article XI. — Corresponding and Honorary Members pay no subscription, and are not liable for any of the expenses of the Club. They cannot put any Candidate in nomination, nor vote at any election for the admission of any Candidate, nor for the election of the Office Bearers nor the Council of the Club, nor hold any office therein, nor be Members of Council, nor are they eligible as Fellows ; but they are entitled to all the other privileges of Ordinary Members. Article XII. — The officers of the Club are a President, three Vice-Presidents, a Secretary, and a Treasurer. Article XIII. — The Council consists of the Officers of the Club and twelve other Members. The presiding Officer only to vote when there is a tie, or when a unanimous vote of the Council is required. Article XIV. — The Officers and other Members of Coun- cil are elected from the Ordinary and Ordinary Life Members at the annual meeting of the Club. The vote is by ballot, im m i M and a simple majority of the votes cast at said meeting renders such election valid. Article XV. — It is the duty of the Council to attend to all the Ordinary, Literary, and Ordinary Business transactions of the Club. Article XVI. — If a vacancy occur among the twelve Members of Council, or in the office of Secretary or Trea- surer, it is the duty of the Council to fill up the vacancy from among the Ordinary or Ordinary Life Members eligible ; and, if the office of President become vacant, the Vice- President who was elected by the greatest number of votes becomes President ; but no vacancy among the Vice- Presidents is filled until the next annual meeting. Article XVII. — The Fellows form a permanent body within the Club, in number not exceeding twenty-one. They are selected, in the manner hereinafter provided, from those Members of the Club who have earned for themselves a good literary reputation. Letters. or done good service in the cause of Article XVIII. — The Fellows are elected by the Club, from the Ordinary and Ordinary liife Members, on the nom- ination of the Board of Fellows ; and the voting is carried on at any meeting, after due notice, in the p •• je manner as in the election of Members of Council. Tht election to the original Fellowships is regulated by the Transitory Articles Nos. 2 and 3. Article XIX.— When any vacancy occurs in the body of Fellows, it is the duty of the Fellows to nominate three Members of the Ordinary or Ordinary Life Members to the Club for election to fill such vacancy ; and, in like manner, for every vacancy, three Ordinary or Ordinary Life Members I «) must be nominated. From the persons so nominated by the Follows, the Members of the Club, entitled to vote, elect one to fill each vacancy. The voting is by ballot, and a simple majority of the votes cast decides. A vacancy is when, by death, resignation or other cause, the number of Fellows is diminished from the highest number it has ever attained. Article XX. — The Fellows determine the subject or subjects of Poems, Treatises, Essays, or Lectures, to which a prize or prizes may be assigned by the Club ; as also, the particular Poem, Treatise, Essay, or Lecture, to which a prize may be assigned. They decide as to the particular works for the publication of which assistance, either in the way of pecuniary contribution or subscription for copies, may be given, and the Club alone determines what assistance, if any is given ; and, if recommendation alone be thought advisable by the Fellows, they decide upon its terms. All works to bo published, as the literary transactions of the Club, must receive the sanction of the Fellows. Article XXI. — The Fellows shall not hold any office in the Club, or be Members of the Council ; and if any Office Bearer or Member of Council be elected a Fellow, he shall thereupon cease to be such Office Bearer or Member of Council. Article XXII. — The proceedings and mode of voting of the Fellows are regulated by such rules as they may, from time to time, adopt for their own guidance, and such as do not conflict with any Article of this Constitution. Article XXIII. — The proceedings and mode of voting of the Council are regulated by such rules as the said Council may, from time to time, adopt for their own guidance, and such as do not conflict with this Constitution. Article XXI . . — The other affairs of this Club are regu- lated by such By-Laws as the Members may adopt, and such as do not conflict with this Constitution. Article XXV. — This Constitution can only be altered or amended at the annual meeting, on notice given of the alteration or amendment proposed, at least six months before the meeting at which it is proposed to make the alteration and amendment in question, and on the vote of at least two- thirds of the Members present at such meeting ; and the terms of no Article not mentioned in such notice can bo altered or amended. TRANSITORY ARTICLES. Article I. — The original list of Members will be closed within half an hour from the adoption of this Constitution, when all who have signed the Constitution and Roll of Members, personally or by proxy, shall become Members of the Club, and those present shall then proceed to vote for the Oflfice Bearers and twelve Members of Council. The names of the original Members who shall not pay their subscription into the hands of the Treasurer within ten daya from the date of this Constitution, shall be struck from the roll, and such Members shall cease to be Members of the Club, Article II. — The first seven Fellows shall bu : — Sir Wm.
