[Assented to 16th October, 1863.] WHEREAS the persons hereinafter named, with Preamble. a large number of others in Toronto, and elsewhere in Upper Canada, have associated them- selves for the establishment of a Club, for social purposes, and have prayed to be incorporated by the name of the ** Toronto Club," and it is expedient : to grant their prayer : Therefore, Her Majesty, by and with the advice and consent of the Legislative Council and Assembly of Canada, enacts as follows : 1. An Act respecting the Toronto Club. [Assented to 7th March, 1878.] WHEREAS the Toronto Club have presented Preamble their petition praying for an amendment to their Act of Incorporation, and whereas it is exped- jient to grant the prayer of the said petition : Therefore Her Majesty, by and with the advice [and consent of the Legislative Assembly of the ^rovince of Ontario, enacts as follows : — 1. It shall be lawful for the Toronto Club toPoweito )orrow money upon the credit of the Club and to money, hypothecate, pledge or mortgage the real or personal property of the Club to secure any sum or sums of loney so borrowed at such rate of interest and on [uch terms as may from time to time be agreed fpon. 2. RULES OF THE TORONTO CLUB. I. All former rules are hereby repealed. II. Politics and religious questions of every kind are absolutely excluded from open discussion in the Club. INTERPRETATION. III. The words " Ordinary Members " shall mean members who have paid the entrance fee required by the Rules; the words "Qualified Members" shall mean such Ordinary Members as are not in default with respect to their annual subscriptions or dues to the Club or Steward; the words "Privileged Members" shall mean such members, admitted to the privileges of the Club, as are not required or do not elect to pay an entrance fee. No member who has not paid an entrance fee shall] be entitled to attend or vote at any meeting of the Club, or to vote for the election of members, or be elected upon the Committee of Management, or have any interest in the property of the Club. The words " Privileges of the Club" shall mean, in the case of visitors introduced by members under Rule XXXIJ, such privileges as may have been or hereafter may bej prescribed by the Committee of Management, and inj other cases shall mean all the privileges of the Cluli^ enjoyed by ordinary members. ANNUAL MEETINGS. IV. The Annual General Meeting of the Olul. shall be held on the second Thursday in Januarjl for the transaction of general business, the election! of members to fill the places of the retiring memberi of the Committee of Management, and the appoint! ment of an Auditor for the current year ; and at sucl? meeting the Committee of Management shall present an audited report, together with a detailed statemenlj of the accounts, assets and liabilities of the Clurl for the past year, and an estimate of the receipts andj disbursements for the current year. V. Notices of motions to be brought before al| general meetings shall be handed to the Secretary anl posted by him at least seven days before the dai of such meetings, and no subjects shall be discussel thereat except those of which notice has been given. VII. The Chairman of the Committee shall take the chair at all the Club and Committee Meetings ; in his absence the members present at any such meeting shall elect a Chairman. QUORUM. VIII. Twenty qualified members shall constitute a quorum at any general meeting of the Club, and four members of the Committee of Management shall constitute a quorum at any meeting of the Committee. | COMMITTEE OF MANAGEl!it:ENT. IX. The Committee of Management shall consist of nine members, and shall elect a Chairman from their own number at their first meeting in each year. The: three senior members shall retire each year, and shall be ineligible for election that year except in the case of the retiring Chairman, and three members shall at the next annual meeting be elected in their place. In case no nomination, or not a sufficient number, have been posted, the meeting shall elect the required number. X. The Committee shall meet weekly or at the call of the Chairman, and as often as he shall think expedient, for the auditing of accounts, the transaction of current business and the taking cognizance of any infraction of the Rules or Regulations. XI. The Committee shall appoint all sub-committees and define their duties and powers, and, subject to the provisions of the general Rules, shall make Regulations for the internal management of the Club. XII. The Committee shall appoint a Secretary, a Solicitor and a Banker, and may appoint and employ such other officers, servants and agents as may be required for the proper working of the Club, and it shall have all the powers of the Club, except the power to rescind or alter any Rules, Resolutions or By-laws adopted or passed by the Club, the power to expel mem- bers save as otherwise provided by the Rules, and the power to raise money by way of loan on mortgages or de- bentures. XIII. The Committee shall have power to levy an assessment of not more than $10 in any year, subject to the approval of two-thirds of those present at an annual or a special general meeting called for the purpose of con- sidering the same ; and any members making default in ting. XIV. The Committee shall have power, at a meet- ing of the Committee called for the purpose, of which three clear days* notice shall be given, to fill by appointment for the current year, all vacancies in the Committee occasioned by death, resignation or otherwise. XV. Should any member of the Committee of Management be absent from six conr ecutive meetings of that body without a satisfactory excuse to the other members, he shall cease to hold office, and his place shall be filled in the manner provided by Eule XIV. SE0RETAR7. XVI. The Secretary shall keep correct Minutes of the proceedings of the Club, also all necessary books of account, and shall also receive all Club Moneys, and pay all accounts. He shall discharge all duties assigned to him by the Committee of Management, shall be paid such salary as the Committee may decide, and shall hold office during pleasure. AUDITOR. XVII. BALLOT. XVIII. The name of every candidate for admiBfiion shall, before nomination be submitted by a Qualified Member to the Committee of Management, accompanied by a letter addressed to the Secretary, declaring the fitness of the proposed candidate for membership, and unless approved of by two-thirds of the members of the Committee present at a meeting called for the purpose, such candidate shall not be eligible for nomination. All conversations and discussions before the Committee on the subject of admissions and all proceedings in reference thereto shall be deemed confidential, and shall not be divulged. XIX. Every nomination of a candidate for member- ship shall be entered in a book kept for the purpose, and such nomination shall be signed by two Qualified Mem- bers of the Club, one as proposer and the other as seconder, neither of whom shall be a member of the Committee of IManagement and shall state the can- didate's usual residence, rank, profession or occu- pation. The Secretary shall forthwith post the same, and at least two weeks thereafter such candidate shall be balloted for by Qualified Members on any Saturday between the hours of 12 o'clock noon and 6 o'clock p.m., by each voting member writing his name upon a card and putting the same with a white or black ball in a ballot box provided by the Secretary. No person who has been so rejected shall be eligible for election within twelve months. XX. The Secretary shall furnish each candidate so elected with a copy of the Rules and a memorandum of the amount payable for entrance fee and subscrip- tion, and until the same is paid such candidate shall not be deemed to be a m jmber of the Club or entitled to any of the privileges thereof. And if any person heretofore or hereafter elected fails to pay such entrance fee and subscription within four weeks after notification the election may be declared void by the Committee. PTBES. XXI. Ordinary Members shall pay an entrance fee of one hundred dollars and an annual subscription as follows : If a resident of Toronto or within ten miles thereof, thirty dollars ; if residing more than ten and less than one hundred miles from Toronto, twenty dol- lars ; and if residing more than one hundred miles from Toronto, an annual subscription of fifteen dollars. All ^able on members annual [)llars or ..1% 8 RULES OF THE TORONTO CLUB. fifteen dollars, as the case may be, shall, if elected on or after the 1st day of February, pay a sub- scription at the rate of three dollars, two dollars, or one dollar and fifty cents per month, respectively, for the current 3^ear ending on the 1st of December, provided that both Oidinaiy and Privileged Members, instead of paying their annual subscriptions of thirty dollars, twenty dollars, or fifteen dollars, as herein provided, may, if they so elect, pay the same in two half-yearly instalments of sixteen dollars, eleven dollars, or eight dollars, as the case may be, the first instal- ment to become due and payable on the 1st day of December, and the second on the 1st day of June, and every member failing to pay his annual subscription, or his instalment, as tile case may be, for one month after any of them becomes due, shall pay an additional sum by way of fine of two dollars for each month or portion thereof during which he is in default. If a Non-resident Member becomes a resident, he shall pay the usual entrance fee, if he has not already done so, and also the usual annual subscription of a Hesident Member, and a residence substantially for three consecutive months in Toronto, or within ten miles thereof, shall constitute such member a Resident Mem- ber, And failing to comply with the requirements of this Eule and the decision of the Committee upon his case, he shall be dealt with under those provisions of Rule XXI. which are applicable to members in default, and shall cease to be a member of the Club. XXIII. It shall be the duty of the Secretary to notify all members whose debts or obligations to the Club or the Steward thereof have remained unpaid for one month, and no member shall be allowed to vote for the election of a member, or to exercise any of the privi- leges of membership in the Club until such debt or obligation is satisfied. All entrance fees, subscriptions and dues shall be paid to the Secretary. LIFE MEMBERS. XXIV. All Life Members heretofore and hereafter elected shall be exempt from further subscriptions or assessments, but shall remain subject in all respects to the provisions of Rule XL, except that no portion of the amount paid by them to become a Life Member shall be returned. \n SUPERNUMERABT MEMBERS. XXV. RESIGNATION OF MEMBERS. XXVI. No member shall be permitted to resign his membership until his subscription, dues and debts to the Club have been paid, and any member who shall withdraw, resign, or be expelled, shall cease to be a member of the Clubj and shall forfeit ipso facto all right or claim to membership therein, or by virtue of his membership in or to its property or funds; and any member who shall be expelled shall forever there- after be ineligible to be readmitted a member of the Club, or to be introduced as a visitor into the Club. XXVII. Any member, whose dues and debts to the Club and to the Steward, are paid, shall be at liberty to withdraw from the Club, on his written application to that effect, sent to the Committee. XXIX. Ordinary Members of the St. James's Club, Montreal ; the Rideau Club, Ottawa; the Halifax Club, Halifax; the City Club, St. John's, Newfound- land ; the Manitoba Club, Winnipeg, and, in the dis- cretion of the Committee, of any other Club, and officers of Her Majesty's Forces stationed in or visit- ing Canada, or on duty in the Dominion, and the officers of the Active Militia Permanent Forces of the Dominion of Canada although residents of Ontario, but not residing in Toronto, or within ten miles thereof, shall be admitted to the privileges of the Club for two weeks, such members being eligible for one month longer on payment of five dollars, and such privilege not to be ropeated within six months. XXX. By the consent of the Committee or a quorum thereof, the officers of Her Majesty's Forces stationed in Canada, or on duty in the Dominion, and the officers of the Active Militia Permanent Forces of the Dominion of Canada may be admitted to the privileges of the Club for a period of not less than one year, on payment of the annual subscription in advance without entrance fee. The name of any person admitted under this Kule, with the name of his proposer, shall be entered in the Visitors' Book. XXXII. Subject to the regulations prescribed by the Committee of Management, any member may introduce gentlemen who are non-residents of Ontario to the privileges of the Club for two weeks, not neces- sarily consecutive, by entering their names in the Visitors' Book, but no introduction of the same gen- tleman shall be made for more than two weeks within six months, and he may introduce gentlemen to the Visitors' Room, but if they are residents, not oftener than once a month, and he may at his own expense invite guests to breakfast, lunch, dinner and supper. XXXIII. The member introducing a friend to the privileges of the Club shall be answerable for any debt he may incur to the Steward, and for any damage done by him to the Club property. XXXIV. The Committee may extend to guests of members tlie privileges of the Private Card Room during the afternoon, such guests having lunclied or having been invited to dine at the Club and subject to such regulations as the Committee may from time to time adopt, and guests of members shall have all the privileges of the Club after six o'clock in the even- ing provided they have dined at the Club, but these privileges shall only be enjoyed whilst the member introducing such guests is present with them. XXXVI. The Club shall be open every day for the reception of members at 8 o'clock in the forenoon and shall be closed and the lights extinguished at 1 a.m., except on Saturdays and Sundays, when the hour of closing shall be midnight ; and uo member shall be admitted into or remain in the Club after these hours on any pretence whatever, unless specially authorized by the Committee. XXXVII. The Committee of Maragement shall make regulations prescribing the conditions upon which billiards, whis- and other games may be played in the Club, and any member committing a breach of such regulations shall be liable to expulsion under Rule XL. XXXVIII. All credit shall be stopped to any member while posted. XXXIX. Any cause of complaint that may arise is to be written and signed by the member so complaining in the Complaint Book, or by letter to the Secretary, which complaint must be specially noticed by the Com- mittee at their next -.veekly meeting ; and any over- c^'^rge, inattention, or improper conduct on th«i part of a servant is to be stated by letter, under the signa- ture of such member, which being put in the Secretary's box, must be laid before the Committee at their next weekly meeting. XL Any member wilfully infringing the Rules of the Club, or being guilty of conduct in or out of the Club which, in the opinion of the Committee, or of any ten members who shall certify the same in writing to the Committee, is detrimental to the character or interests of the Club, or is unbecoming a gent^ lan, shall be liable to suspension from all the privileges of the Club on a vote of two-thirds of the Com- mittee present, when the question of the member's conduct shall be investigated, and notice of such sus- pension shall at once be given by the Secretary by post to such member's last known address, and iiuch member shall have the right of appeal by giving notice in writing within seven days after notification of his suspension, addressed to the Secretary of the Club posted and registered, and such appeal shall be f- ^ le ■fc 16 RULES OF THE TORONTO CLUB. '•it u- m to a meeting of the Club to be held within one month of such suspension, of which meeting at least seven days' notice must be given on the notice board, and also by post to the suspended member at his last known address, an' 'f such suspension is sustained by a majority of qu. led members at the Special General Meeting so called, or if the member suspended fail to notify the Secretary of his intention to appeal, he shall be considered to be expelled and shall forfeit all privileges of the Club, including his entrance fee, but his subscription for the current year shall be returned to him pro tanto, and he shall be forever after ineligible for membership. XLT. Any notice duly posted on the notice board shall be deemed a sufficient notice to all the members of the Club unless special notice is ordered. AMENDMENTS. XLII.
