No eonitittttion, by-laWf rule or regulation of the Society, or any abrogation, repeal, change or alteratlbn of the same, shall be of any force until it shall have been sanctioned an l confirmed by the Bishop of, and administering the Diocese for the tin.e being, by writing under ^hiihandV ^ ^ IIT. The payment at any one time of a sum not less than Ten Pounds, shall constitute a Life Member ; and the payment annually of any SUM, ho«rever small, shaiU constitute the person paying the same a Member of the Society. The Society shall have a President, who shall be the Lord Bishop of the Diocese { two or more Vice Presidents, of whom the^rchdeti- con shall be the first; one or mor Treasurers ; one- b^ more Secre- lari«)s ; two Auditors of Accounts ; and an Executive Committee of twenty-four Lay Members of the Society, being Life Members of the Society, or Sulwcribers.of at least One Pound to the funds of the Society ; who, with, the exception of the President and Vice Presidents, shall be annually elected at. the Anniversary Meeting. The Society shall embrace the follpwing objects, and none other, viz. : L Missionary Visits to places where there is no settled Clergyman, and aid to new and poor Missions. Si The establishment' of Divinity Scholarships at King's College, Fredericton ; and assistance, where necessary, to those who may be under preparation for the Ministry, ^specially Sons of Clergymen. 3. Aid to Sunday and other Schools, in which Church principles afe'taiight, and the training and encouraging of Schoolmasters and Cat^hms. 4; The supply of Books and TrnMs, in strict conformity with the principles of the Established Church* Vl. 5. Aid to the building and enlarging of Churchei and Chapel*. 6. Aid to the building of Parsonage Houies. 7. The Report of tho.Loan Committee having been read— On motion, Resolvedt That the same be received, and entered upon the Minutes. RBfOBT Or'xHB LOAN COMMITTEE. In pursuance of the powers vested in the undoisigned by the fore< going Resolutions, they have had the matters referred to, under tKeir consideration, and beg leave to report : First. That they have instructed the Treasurer to call upon the persona to whom the funds of the Society have been loaned, to repay with interest immediately on the same becoming due, to the Treasurer of the Society ; and-in case of the borrowers wishing to continue their loans, to give unexceptionable landed security for the samoi with power of sale: which the Treasurer has promised to do without delay. Secondly. Tho undersigned beg leave to suggest the following scheme for loaning the monies of the Society, so long as the Society remains unincorporated,,viz. : that a Loan Committee of three persons be appointed, Members of the Church Society, whose duty it shall hb to loian all monies of the Society, from time to time directed to be ap- propriated in that way. Thirdly. That such Committee loan the said monies in their joint namps, by bond and mortgage, with power of sale in case of default of payment of interest or pi;incipal, agreeably to the terms of the loan. Fourthly. That the securities thus taken for the monies loaded, be in the names of such Committee as Trustees of the said Church Society, payable to them ond the survivors of them, and the heirs and assigns of such survivors, as such Trustees as aforesaid, with a covenant in each mortgage to the>Bisho|i of the Diocese for the time being by the said Trustees, in behalf of themselves and the survivors of t|iem, and the heirs and assigns of such survivors, that they or the survivors of them, or the heirs and assigns of such survivors, do and shall hold such bonds and mortgag^s,and all monies received thereunder, for the sole use and benefit of the said Society, and subject to such orders and di- rections of the said Society as shall from time to time be made by the Society or tho Executive Committee thereof, and agreeably to tho Rules and Constitution of the said Sociely for the time being; and 90 further, that when and so soon as the nid Society shall be incorpo* rated (should the same at any future time be inoorpbrated) by Act of Assembly, by Royal Charter, or other means, that they the* said Trus* tees, their survivors, and the heirs and assigns of such survivors, shall and will immediately, on being so directed by the Corporation, transfer the said mortgages and securities, and all monies. that shall be in their hands, to the said Corporation, or to such purposes as the said Corpo- ration shall direct. * Fifthly. That a Solicitor to the Society be appointed, whose duly it shall be to see that the Securities for the monies to be loaned, be pro* perly and legally drawn up, and taken agreeably to the plan or scheme agreed upon by the Executive Committee. Sixthly. That one of the conditions of all loans by the Society shall be, that the Borrower shall pay all the professional expenses incurred in prepaiing the securities for the loan. The undersigned also beg leave to report, that after giving the respective appli<;aiions of J. F. W. Winslow for a loan of j£10Q, Thomas Wright for ;S70, and the Carleton Corporation for ;£400, full consideration, recommend that Mr. Winslow's application be com* plied with. But the Committee cannot recommend compliance with that of Mr. Wright upon the security offered ; nor the application of the Carleton Corporation, for the following reasons : 1st. That the security offered is in pait, upon Glebe lands and in part upon lands belonging to the Corporation of St Greorge^s Church, Carleton ; that^in respect to the Olebe property, the Committee are of opinion that the Corporation have no power to incumber that property beyond the in* cumbency of the present Rectqr, that the Glebe would not be bound by such incumbrance in the hands, of his successor. 8d. That the Com* mittee doubt the legality or even propriety under any circumstances of loaning money upon the Church Corporation property, especially for a large sum, inasmuch as the parties composing such Corporation cannot be personally bound : it must be therefore merely Corporation property to which the Society can- look for repayment of the inteieat or principal ; and to proceed to extremities against Church Corpora- tion property in case of need would be invidious, and might not only be injurious to the Society but to the Church. Resolved, That the several Depository Committees be required to jwmit to the Treasurer the amount of Sales of Books in their charge at the expiration of each quarter, together with the ba- lance of their Accounts for the past year ; and that a quarterly return of the sales be made to the Executive Committee.
