'I'his society shall be known by the name and title of '' The Young Men's Hebrew l>enevolent Society of Montreal " ARi'. 11. — oiijixrs. The objects of the Society shall be to assist and grant temporary relief to sick and indigent i)ersons of the Hebrew Religion. ART. 111. — .MEMHKRSHIP. Any ])erson of the Hebrew I'aith and of the age of thirteen years and upwards shall be eligible for membership. The Society shall not be dissolved while ten members remain. Any i)erson may be elected an Associate member of the Society, but such Associate Member shall not be entitled to vote or hold office. Application for membership may be made at any time to the Board of Directors, who shall consider the same as soon as pos- sible, thereupon the Secretary shall notified the applicant of the decision. As a mark of esteem and resDect anv oerson mav be elected an Honorary Member by a three fourths vote of members present at a general :/ meeting of the Society. All members shall be subject to the Deed of Incorporation and By-Laws of the Society. ART. IV. — OFFICERS. The Board of Directors of the Society shall consist of a President, Vice-President, Treasury and Secretary, who shall be elected annually, and six Directors, who shall serve for two years, three Directors being elected each year. The Board shall hold office until their successors are elected. Should any vacancy occur during the year, the Board shall elect a member to fill the same for the unexpired term. All officers are eligi- ble for re-election. AR'I'. v. — MKKTlNdS. The Annual Xreeting of the Society shall be held in the month of Oc; ")er, on a day to be fixed by the Board of Directors, and of which one week's notice shall be given by the Board of Directors. Special general meetings of the Society shall be called by the Secre- tary, after one week's notice, upon order of the President or the Board of Directors, or upon the written requisition of eight mem- bers. Fifteen members, including Officers, shall contitute a quorum at all General meet- 'VU^ ..}. .r r\az .„ , J tion of Reports shall take i)lace at the An- nual meeting. 8 ART. \ I. — SLHSCKIITfoN's. 'I'he Annual Subscription of Members shall be $5.00 payable quarterly in advance on the first days of October, January, April and July respectiyely, or should the member so elect in writing, by weekly instalments of ten cents. No member shall to be entitled vote or hold office, if he is in arrears, and not unless he has paid one full quarter's dues to the Sociely. The Subscription of Associate Members over 13 years of age, shall be five cents per week, and those under that age two cents per week. The names of Members vyho are in arrears for two years subscrip- tions may be struck from the roll of mem- bership, without notice, by the IJoard of Directors, and jjayment of the amount due may be enforced by Law. Any person may become a Life Member, and be entitled to all the rights and privileges of membership during his natural life on payment of $100.00 in one sum. ART. VII. — PRESIDHNT. ^ The President shall preside at all meet- ings of the Society and of the Board of Directors, sign the minutes of the same, and suj^rintendant the Society's affairs generally. He shall be ex-officio member of all Com- mittees, and have the right to vote at all meetings thereof. ARr. \ ir;. — vilk-prksidkxt. The Vice-President shall, in the absence of the President, or on the Presidential chair becoming vacant, exercise all the rights ap- pertaining to that office. ART. -trp:asl'rkr. age on I I 'I'he I'reasurer shall receive and account for all monies l)elonging to the Society, and shall only disburse the same upon the airthor- ization of the Board, and upon order signed by the Presiden^ or in the event of a grant made to a Committee, upon the order of the Chairman of that Committee. He shall keep the Financial books of the Society. He shall deposit all monies in the name of the Society in a chartered Bank, approved by the Board, and all payments shall be made by cheques to be signed jointly by the President and Treasurer, or in the President's absence or illness, by the Vice-President and 'I'reasurer, or in the absence or illness of the Treasurer, the Secretary shall be empowered to sign in his stead. The IVeasurer shall submit de- tailed Financial Statements at the end of the fiscal year. These statements shall be audited by a competent person or a committee appointed by the Board of Directors. The Treasurer shall afford all infnrmnM'on vi-lti. regard to the finances of the Society when required by the Board of Directors. 10 AKT. X. — SECRKIAKV. The Secretary shall notify members of all meetings, keep a roll of the members' names, as also a record of the minutes of the Society and the Board of Directors, and attend to the Society's correspondence and such other duties as generally appertain to that office. ART. XI. — HOARD OK DIRKCTORS. The l^oard of Directors shall be the (iov- erning Body of the Society. They shall meet at least once a month. 1 f any menber of the Board fail to attend three consecutive meet- ings of the Board, without satisfactory excuse, he may be removed from office by a two thirds vote of the other members of the Board. P^ive shall form a (|uorum at their meetings. The Board shall upon the monthly reports of the Standing Committees, make such grants to the respective committees as the funds of the Society will permit, and as they consider proper, and the amount of such grants shall be paid to the Chairmen of the different Committees who shall l)e account- able therefor. The Board may make and order such other grants and disbursements from the Society's Funds on behalf of the Society, as they may see nt. They may appoint and fix the salaries of such officials as they con- sider requisite for the proper carrying out of II f 4> the Society's work, or may depute such ap- pointments and fixing of salaries to that Committee within whose functions the ser- vice of the official is recjuired. ART. Xil. — ro MM IT IKS. There shall be five Standing Committees,, to wit : — Rki.ikk, School, Coli.ka mon, HorsK and Hirial, which Committees may berespeciively composed of such members as the Board of Directors may fix, and the mem- bers thereof shall be appointed l)y llu- IJoard at its first meeting after election or as soon as i)ossible thereafter. The Chairman of each Committee must be a member of the F)0ard of Directors, and no person shall be appointed to serve on more than two Com- mittees. 'I'he majority of the members of any Committee shall form a quorum of such Committee, and they shall make such rules- for the regulation of their work as they may see fit, but which rules must not be in con- travention of these By-I.aws. {a) The Rklikf Committek, shall have- control of all matters of Relief ; they shall enter in a Register to be kept for that pur- pose, the name, age, sex, nativity and occu- pation of all applicants for relief, the nature pf the relief afforded, and all such other lutorniatiori, rciaving tnereto as muy oe use- ful to the Society. Admission to the shelter of the Home I 2 shall he granted only by the Relief Commit- tee, but in the event of urgent necessity such permission may be given by the chairman or acting chairman of the Relief Committee. The order of admission shall si)ecify the ])eriod during which such shelter xhall be given. The Relief Committee shall provide for the necessarv food and meals which thev may grant to any inmate of the Home. (/;) The Sinooi, CoMMniKK shall have the conduct of the Day and Night School of the Society, the engagement and dismissal of the Teachers, and the supplying of the necessary educational apparatus. (c) The Coi.i.Kcriox Committkk shall keep a Register of the members accounts, collect all subscriptions and arrears due to the Society, and hand over the same to the Treasurer monthly. They may organize sub- associations, or appoint '' Helpers " to assist in securing active and Associate Members and to collect dues and donations. 'I'hey shall bring to the attention of the Board, the names of all members who are more than two years in arrears. (J) The House Commhtke shall attend to the heating, lighting and cleaning of the Home, and to the preservation of the pro- perty of the Society. They shall have con- trol over the Janitor or other official wlio Jiiay be entrusted with the care of the Home. ^3 (e) The Hikiai, Co.m.mi i tkk shall have charge of the Hiirial Ground of tlie Society, see that it is put and kept in proper order, and supervise the burial of the dead i)oor of the Hebrew religion in the City of Montreal. They may, if they see fit, grant {)ermission for the interment of the dead Hebrew poor of neighbouring towns. They shall keep a register in which they shall record the names, age, sex, and latest residence of the deceased, and the number of the grave in which the body havS been buried. All Standing Committees, shall report to the monthly meeting of the l^oard, their ac- tions and expenditure for the past month, and shall submit an estimate of their require- ments for the current month, and at the end of the Fiscal Year shall submit I'inancial Statements, and Reports of their proceedings. Special Committees may be a])pointed by the Societv or Board of Directors for anv specific purpose. Kvery Committee shall meet upon the call of the Chairman or Acting Chairman of such Committee, or upon the request of any two members thereof. ART. XIII. — FUNDS. The Funds of the Society shall comprise the Genral Find, the School Find and the Rkseve Fund. (a) The General Fund shall consist of all sums received from members' subscrip- tions, the annual interest on the Reserve Fund, and all donations not otherwise spe- "cially indicated. 'I'his fund shall be applied to the general objects of the Society. (h) 'I'he SrHooi. Fund shall comprise all donations and grants made for the purposes of education, and shall be devoted solely to the < Mpport and maintenance of the Schools of the Society. {c) The Rkskrvk Frxi) shall comprise all donations and bequests specially made thereto, and the subscriptions of Life Mem- bers. It may be added to from the (General Funds of the Society, by a resolution of the Hoard of Directors or of the Society, but it shall not be drawn upon except with the consent of the majority of the members at a meeting of the Society to be specially con- vened for that purpose. If any sums of money be given this Society in trust for the carrying out of any special object, the same shall constitute a Special Fund, which shall be kept separate and apart from any other Fund of the Society. ARl. XIV. FISCAL YEAR. The Fiscal year shall end on the ist of October, and reports of the actions of the Board of Directors and of the Society, together with the Treasurer's report for the year previous, shall be printed and transmitted to ' 15 the members at least one week prior U) the annual meeting. Supi)lementary reports up to the date of the annual meeting shall he submitted thereat. ART. XV. — (.()-( )1>KKAT[()N. 'I'he Board of Directors shall have the power to appoint Committees to co-operate whenever practicable with any other Bene- volent Institution or Organization for the more complete furtherance of the objects of the Society, and also to guard against imposi- tion. ARI'. XVI. OKDKk OF IHSINESS. The order of business at regular general meetings shall be as follows : 1. Confirming Minutes. 2. Correspondence. 3. Report of Board of Directors. 4. Treasurer's report. 5. Special Committee reports. 6. Election of Officers. 7. General business. This order of business may at any meeting be suspended or altered on a two-thirds vote. ART. XVI r. AMENDMENTS. 1 hese By-laws cannot be suspended as a whole, but at any meeting any special By-law may be suspended for the same on a three- fourths majority. Six nv)nlhs notice at least must be given in \vritin<; of all proposed repeals, alterations and amendments to these By-laws, and the same sh ill only be carried by a two-thirds vote.
