The afiairs of tbe Club shall be managed bj six Directors (constitating a Board of Management), of whom one ehall be chosen President, as hereinafter provided, and one Secretary-Treasurer ; and it shall be the duty of such Directors to attend to the general management of the Rink, and all matters connected therewith, the engagement of Riak-keepers, and such other incid'^ntal business as may from time to time arise. The President shall be elected by the Directors from among themselves, every yeai, after the annnal general meeting hereinafter provided for. The President shall preside at the meetings of the Board, or in his absence one of the Directors present shall be named to fill the chair. Three Directors shall constitute a quorum. The Chairman shall not vote unless in case of a tie, when he shall have a casting vote. The Secretary-Treasurer shall be appointed by the Directors, who may award him such remuneration as they may see fit. The President and the Secretary-Treasurer shall together have power to draw cheques, sign deeds, and to represent and sign for the Club in all matters of special import. II. The Directors shall be elected at the annual general meeting of the Shareholders, to be held on the second Monday in November, in each year, of which meeting all the Shareholders shall be notified by circular, and, if deemed necessary, by advertisement, signed by the Secretary-Treasurer ; and should any vacancy occur among the Directors previous to the annual meeting, the same shall be filled by themselves for the unexpired term ; and all elections for Directors shall be by ballot. um2 III. At all general meellnga five shall consUtate a qaorum. Every Shareholder shall be eligible to ofTice (under the restrloliona of the next Bection)^ and each Shareholder shall have one vote for every share. IV. No Shareholder shall bo allowed to vote on any occasion whatever, until he shall have paid all calls upon his shares. y. A special general meeting of the Shareholders shall be held on the second Monday in May, at which a report and abstract of the accounts and general concerns of the Club shall be presented by the Directors, and, if practicable, a dividend of so much per cent, on the Capital Stock shall be declared out of the profits of the Club, unless the meeting determine otherwise. VI. The President may, of his own accord, and shall on the written requisition of any twelve Shareholders, call a general meeting for any pur- pose whatever, of which the Shareholders shall be notified in the usual manner; and the President shall have power to call meetings of the Directors whenever necessary, and it shall be his duty to do so when any two of the Directors shall request him in writing to do so, stating the object of the meeting. In hib absence the Secretary shall call such meet* ings. VII. The Directors shall not devote the funds of the Club to the acqui- sition of any other buildings, or any real estate, without the sanction of a general meeting, of which fifteen days' notice shall be given by circular, stating the object of such meeting, VIII. Any Shareholder may transfer his share or shares by endorsement on the back of his stock certificate, which shall be handed to the Secretary for entry in the books of the Club, but no transfer shall be valid until ap- proved of by the Directors. Should any Shareholder be in default to the Club for any calls upon hia stock, the Directors, if they see lit, after due notice of three months has been given to such Shareholder, may, by a resolution of the Board, declare such share or shares forfeited, and such Shareholder shall then be considered to have withdrawn from the Club, and to have forfeited all interest in such share or shares, which the Directors may sell and dispose of, or cancel, for the benefit of the Club. X. The annual sabscriptiona to the Bink shall be as follows :— Family season ticket, $10.00 Single do 6.00 A reduction of $2 per ticket will be made to Officers of the Garrison. A family ticket will admit four members of a family living nnder the same roof; an extra charge of |2 will be made for each persoa over that number. XI. Any member wishing to introduce a friend who is a non-resident of the city or banHeu, can do so for one week's skating only, upon procuring a ticl;et for that purpose from the Secretary ; and afler that time such non-resident may be admitted to skate, on payment of $2 per month for each gentleman. Ladies not resident admitted to skate free, when intro- duced by a Subscriber. XII. Every person wishing to become a Subscriber, shall make applica- tion to the Directors annually, giving his or her name and address. Skating tickets shall not be transferable, and must bo renewed each year. XIII. The Directors shall have a general power to make Rules and Re- gulations for the internal management of the Rink, and for the admission of the public as spectators, with or without charge : they shall also cause a list of the Subscribera to be posted in the Rink. 6 XIV. Any Bylaw of the Club may be altered or annulled, or now By- laws passed, with the consent of a two-thirds vote of the Shareholders present at any general meeting, notice thereof having boon given by the proposer at the previous general meeting. XV. In default of a quorum at the annual general meeting, the old Directors shall remain in office until others are regularly elected.
