THE necessity for a larger Cemetery near the city was forced upon the attention of the citizens early in 1847. The Old Burial Ground within the limits of the city was about lo be closed by law, and the ground near the Marsh Bridge, which exclusively belonged to the Church of England, with a small area, was rapidly filling up, while the population of the city was gradually increasing. Under these circumstances a number of public spirited citizens, desiring to interest in the scheme all classes and denominations, prepared and addressed a circular to the office-bearers of the several churches in the city, pointing out the crowded condition of the cemeteries then in use and appealing to them to join in the effort to procure a larger one. All responded to this appeal excep the Roman Catholics and Methodists, they having cemeteries of their own. The result was the appointment of a general committee to select a site and place the scheme on a business basis. After a lengthened and labored investigation of all the localities in the vicinity of the city likely to be suitable for the purpose, the committee concluded to purchase seventy acres of Iflhd from James Peters, Junior, Esquire, and forty acres from Henry Gilbert, Esquire, forming a part of the present site of the Cemetery. The price paid for this property was ten thousand four hundred dollars, a lot being reserved for each of the proprietors. A subscription list for stock in a proposed company was then prepared. Each share was placed at ten dollars, and in a very short time the stock was all taken up. A meeting of these stockholders was immediately held, when twelve directors were chosen, who prepared a bill for the incorporation of the company, which was finally enacted by the Legislature of the Province on 30th March, 1848. By the terms of this Act, it will be seen that the capital stock of the company was twelve thousand dollars, which was expended in paying the purchase money of the property, and in laying out and improving the grounds. As lots were sold this stock was paid off and cancelled, and there is none of it now outstanding. Last year (1897) the Cemetery was enlarged by the purchase of the adjoining property, making the total area now to be one hundred and fortv-four and a half acres. FERNHILL. And be it enacted, That if any person or persons shall wilfully destroy, mutilate, injure, or rem«ve any tomb, monument, grave stone, or other structure placed in the Cemetery aforesaid, or any fence, railing, or other work for the protection or ornament of any tomb, monument, grave stone, or other structure aforesaid, or shall wilfully destroy, remove, cut, break or injure any tree, shrub or plant within the limits of said Cemetery, or shall play at any game or sport, or discharge any gun or other tire-arm, save at a militiiry funeral, within the said Cemetery, or who shall wilfully and unlawfully disturb any persons assembled in the Cemetery for the purpose of burying any body therein, or who shall commit any nuisance within the said Cemetery, shall be deemed guilty of a misdemeanor, and shall, upim conviction thereof before any justice of the peace, be punished by a fine of not less than one pound, nor more than five pounds, or be committed to the common gaol for the space of not more than ten days, according to the nature and aggravation of the offence. And such offender shall also be liable in an action of trespass to be brought against him in any court of competent jurisdiction in the name of the Corporation of the Saint John Rural Cemetery Company, to pay all such damages ns shall have been occasioned by his or their unlawful act or acts, which money, when recovered, shall b' applied by the said corporation to the reparation of the property destroyed or injured as above. And members of the said corporation shall be competent witnesses in such suit. XIV. And be it enacted, That the lois in the said Cemetery shall not be levied upon or taken in execution, but shall be altogether free from seizure at the suit of any person or persons whomsoever, and that the property in any of such burial lots or part thereof, shall not prevent any confined debtor from receiving support under the law in force for the relief and support of confined debtors. An Act to Amend an Act for the Incorporation of The Saint Jv,.in Rural Cemetery Company. Passed 3rd May, 1853. Whereas, The time for holding the annual general meeting of The Saint John Rural Cemetery Company is found very inconvenient, and it has become necessary that the same should be altered : -Be it therefore enacted, &e. : 1. So much of the sixth section of the Act of Incorporation as applies to the holding of the annual general meeling of the said company is hereby repealed • and in lieu thereof, from and after this present year, the annual general meeting of the stockholders and proprietors of the said company shall be held on th^ first Monday m April in each and every year, for the purpose of choosing directors etc., as expressed in and by the said sixth section. 2. The lots in the said Cemetery shall be indivisible, but upon the death of any proprietor of any lot in the said Cemetery containing not less than one h. . It is expressly declared that in connection with the authorities and powers conferred by section thirty-five of " The Joint Stock Companies' Act, 1893," the directors of the said company, or their duly authorized committee, have power to contract with any persons or person for the perpetual care of any lot, or of any monument, structure or improvement, now or hereafter to be made or placed on any such lot, within the limits of the land owned or controlled by the said company, which contract may be in the form set forth in Schedule A to this Act annexed, or in such other form as may be from time to time approved, prescribed or adopted by by-law of the company. 8. All such contracts heretofore entered into by the said company with any person or persons in form substantially the same or similar to the form referred to in, or in accordance with the provisions of the preceding section, are hereby legalized, ratified and confirmed, and are respectively declared to be valid con- tracts binding upon the said company according to the tenor thereof. 9. The annual meeting of proprietors of lots in the Cemetery of a size not less than one hundred and fifty wjuare feet shall be held on the first Monday in April in each year, for the election by nomination and ballot of twelve directors for the ensuing year, and for the transaction of other business connected with the Cemetery. Notice of each annual meeting shall be published by the secretary during at least the six consecutive days, not including Sundays, immediately preceding a meeting, in one newspaper published daily in the city of St. John. ARTICLE IL DIRECTOH8. Pursuant to section six of the Act of Incorporation the directors shall, at Uheir first meeting, by nomination and ballot, elect the president of the company Ifor the ensuing year from among their number, and shall also at th».6ame meeting, and by the same method, appoint a treasurer, secretary, and superin- tendent, lo hold office daring the pleasure of the directors, or until, but not later than the first meeting of directors following the next annnal meeting. Pursuant to section ten of the Act of Incorporation vacancies among the directors may be filled by the directors. In the event of a vacancy in any of the offices above provided for, such vacancy may be filled at any regular or special meeting of the directors, the person then appointed holding office during the balance only of the period for which his predecessor was appointed. In the event of the omission or neglect to appoint the treasurer, secretary, or superintendent at the proper time for such appointment as above set forth, it shall be lawful for the directors to make such appointments at a special meeting of directors to be called forthwith upon the discovery of such omission, and ni such meeting to confirm and ratify all transactions of the acting officials during such intervening period. Neither the secretary, treasurer, or superintendent may be members of the board of directors. Their salaries for the ensuing year shall be determined anr ;\ Mj by the directors. Th-. directors shall meet quarterly on the first Monday in July, October, January and April, or at the call of the president; special meetings shall be called by the president at any *ime when thereto requested in writing by three directors. 14 BY-LAWS. ARTICLE III. PRESIDENT. The president shall preside at all meetings of the corporation and of the director; shall fix tune and place of special meetings of the corporation and of the directors, and the method of calling the same. In the lence of the president his place shall be snpplieil by a temporary chairman. ARTICLE IV. SECRETARY AND TREASURER. -niese Offices may be held by the same person. It shall be the duty of the secretary to attend all meetings of the corporation and of the dirrctors, and to keep the minute«of such meetings; to receive applications for sales of lots and to lay the same before the committee on lots; to draw all conveyances directed by such committee, numbering the lots consecutively as sold, and collecting from each purchaser on behalf of the corporation the sum of one dollar for each conveyance; to keep a register of all such conveyances of lots, and of assignments and transfers of the same; to prepare and execute u^der the direction o such committee, and on behalf of the corporation, contracts with lot owners for the annual or perpetual care of lots, and to keep . detailed record of the same; to keep a record of al! interments in the C.metery, showing name age, residence and occupation of the person interred, and the number of the lot where interred ; to preserve in a portfolio all plans of lota which may be deposited with him for safe keeping, and generally to do and perform all such other acts and duties as may at any time be ordered by the directors. AUDITOR. The directors shall annually appoint some person not a member of the board to audit the treasurer's account and books, and to check the funds on hand. Hackmen must remain by their horses while waiting at funerals, to prevent damage to borders, shrubs, or trees; they must conform, while within thd Cemetery, to all directions given them by the superintendent. Soliciting employment, either verbally or by any form of advertisement, is forbidden, as is also the standing or waiting within the grounds in expectation of c.-:)ployment, or when not forming part o'f a funeral procession, Hackowners will be held responsible for any damage occasioned by their coaches, or horses, or for any neglect or refusal of their employees to observe the company's regulations. PUNEKALS AND BURIALS. Twenty-four hc-rs notice for graves must be given to the superintendent, otherwise the management cannot guarantee to be ready; and in all cases the T)Ox, if slate vaults be not ordered, must be sent at once to the grounds or its exact size communicated to the superintendent. Undertakers must observe all requirements of the superintendent, or direc- tions given them by him. Funerals and funeral processions on arriving at the grounds will be subject to the orders of the superintendent. No burial of a person other than a member of the family of a lot owner will be allowed in any lot except on written permisfeion of the lot owner filed in the office of the company, and no lot owner will be allowed to dispose of any grave or graves for a remuneration. ' Only one body will be allowed in a grave except in the case of a mother and child, in which case special permission must be obtained from the superintendent and an additional fee of $1.00 paid. CONTRACTORS AND WORKMEN. Soliciting any form of labor or employment, or the sale of any article, by any method, within the Cemetery, is proliibited. Persons, other than lot ownt s or their families, having work to perform within the Cemetery, must make known their business in detail to the superin- tendent, and obtain proper permits, before the work is begun. Hopes or supports must not be fastened to posts, monuments, trees, or other objects, without special permission from the superintendent. Sufficient padding must be used around trees to protect them. To protect paths, grass, or gutters from injury, planks must be laid upon them when heavy material is to be moved over them. The use of "shoe drags," or of any other form of brake, which, in the opinion of the superintendent is liable to injure the roads or paths in the Cemetery, is strictly prohibited. St. John Rural Cemetery Company: Gentlemen: — The directors beg to submit, for your information, their fourth report, under the new regime, of the work accomplished or in progress during the past year. They have completed the design of filling, and grading the gravel pit, so called, and the lots near it, making the section there very attractive. The lots in it are all drained by a thorough and expensive method, and are now ready for sale. The improvement of the section at the front, or marsh, entrance of the Cemetery has been commenced, and they hope to have it finished in the course of the present season. Drain pipes eighteen inches in diameter are laid down from end to end of it, which will make all the lots there perfect so far as drainage is concerned. But the principal and most important achievement of the year has been the purchase of the adjoining property, consisting of 34^ acres of land, with a dwelling house and barns, and making the area ^f the Cemetery now to be 144^ acres — sufficient to supply the wants of the city for a century. • The proprietors of lots, at a very recent meeting, approved unanimously of this addition to the Cemetery and of the issue of debentures to the extent of $4,500 for the payment and improvement thereof. They approved at the same time of a Bill, which has since become a law, embracing sundry provisions regulating certain features of their business, and exempting the land from taxation of all kinds. There was a little uncertainty in the minds of some persons as to the legality of the perpetual care contracts entered into by the company, and as to the perpetual safety of the moneys received by them on this account. These doubts are now set at rest, as the Act provides for them in future, and makes the moneys now absolutely secure. The directors have repeatedly called the attention of the lotholders to the advantages of placing their lots under perpetual care. They can do so now with the fullest assurance and authority. It relieves them for ever of any anxiety on account of the state of the place where the remains of those they love are laid ; It proves to all that they are not forgotten, and at the same time each lot so dealt with adds to the attraction of the whole Cemetery, and thus benefits every one. It may l)e useful and proper for them to state that the Act in amendment of their charter legalizes the issue of debentures, including those now outstanding, to $10,000 and extends the rights and powers of the "Joint Stock Companies' Act to this company. The company may, if desired, change its name without appealing to the Legislature by simple petition to the Governor in Council. A copy of any by-law of the company certified under seal is prima facie evidence in all courts. The right is given to make promissory notes and bills of exchange if so desired. The company may maintain any form of action against any of its members. It follows now from this outline of the enlarged powers given to the company, and in order to quiet any doubts as lo the legality of their by-laws, they deemed it to be advisable to revise, amend, and consolidate them. This work has been carefully done without altering or changing materially any single by-law. They are put in such a form as any court of law may recognize and enforce them if necessary. The directors recommend that they be now approved and enacted, and together with all Acts of the Local Legislature relating to the company be printed and circulated among the proprietors. One great object which they had in view in acquiring possession of the Trafton property was to secure a proper drainage of a large section of the Cemetery ; another was to make a new entrance into it from the Westrrjorland road on an easier grade than the present one. The drain is completed, but to construct the new avenue it will be necessary to borrow a sufficient sum for that purpose. This work can be--dione this year, and in future years, when the land adjacent to it is properly graded, laid out with roads and paths through it, on some artistic design, the whole aspect of this section will be so changed as to form the finest part of their grounds. The proposed new avenue will be 40 feet wide and 1,200 feet in length. It will be a grand approach to the Cemetery. Trees will be planted on either side of it as soon as it is in order and the land repared for them. There is another improvement which they have long desired to efTect, and that is the construction of a shelter house in a central part of the Cemetery. It is necessary for several good reasons, and it can be made both useful and orna- mental. It will at the same time clear and dress up a part of the Cemetery now very unsightly, nnfit for interment, and difficult to improve in any way. To secure botli of these improvements they recommend that $1,600 be borrowed at four per cent, interest per annum, payable in fifteen years from the first of May next. They have considered for some time that the location of single graves was quite unfit and unsuitable. A report is submitted from Mr. J. P. Clayton, superintendent, giving in detail an account of work done during the year. He has discharged the duties of his office to their entire satisfaction. They addressed a memorial to the Marine Department of the Federal Government calling attention to the neglected state of the Seamen's Lot, and urging, for several reasons, that an appropriation be made towards it. They offered to accept $1,000 to put and keep it in perpetual order. Correspondence is still proceeding on the subject, and they hope to receive a favorable reply in a short time. The matter has been brought before Parliament by Mr. Ellis, to whom they are mucli indebted for the interest he has taken in it. Complaints have been made to them of the defective drainage of certain lots in some old and long settled sections. They hope to apply a remedy as far as possible this year, but it must not be forgotten that this work ought to have been done when the lots were purchased many years ago. It is scarcely reasonable, to say the least, that the present directors should be held responsible for the neglect of their predecessors. In the new sections drainage is provided for, and considered to be absolutely essential before disposing of a lot. It must also not be forgotten that any work which they now undertake is done to the best of their ability, and with the utmost desire to' secure ihe best results and please every one interested. But, nevertheless, they sometimes fail in their efforts, and while submitting to fair criticism, a.sk that due consideration be extended to them for good intentions, and to their successors in office.
