That this Association shall be known as the YAifComrxB (Cnr) Abt AssoounoN, and located in the City of Vancoover. 2. That the aim and object of the Association be for the encoaragement of the Fine Arts by the establishment and maintenance in so far as may be practicable of a school for Art Stndies, and of design, and ultimately of a Gallery of Art, and by every means to aid and cultivate a taste for and to farther the interests of Art in the City of Vancoaver. MEMBERSHIP 8. This Association shall be composed of artists and persons interested in the progress of Art, who may be elected to membership. 4. Members shall be chosen by ballot, and shall be required to sign this Constitution, and Rules made in accordance therewith. Two-thirds of the ballot cast shall be sufficient to elect. They may be elected at any general meeting of the Association, and shall be. required to pay such fees and dues as are hereinafter mentioned. There shall be no discrimination in respect of membership on account of sex. Honorary members may be cho- sen who shall have all the privileges of ordinary members, but without any voting power. Corresponding non resident members may also be elected, who shall hold the same position as honorary members as to exemption from dues and fees. Applications for membership shall be referred to the Board of Directors, who shall report at the next meeting. ft. Every member shall be required to pay a fee of two dollars a year, and delinquency in paymei t thereof, unlnss excused for good cause by the Association, shall mark forfeiture of membership. 6. Honorary and corresponding members shall be persons of eminent ability in some branch of Arts or Letters, or such as may render the Asso- ciation important pecuniary or other service. ?. A subscriber of flOO in money, or of property to the value of 9400, in the opinion of the Directors shall be presented with a certificate of life membership in the Association, entitling him to all the privileges of mem- bership for lifa without extra charge, and the Directors may without the qualification of money or gift, nominate to life membership any person who rnay have attained proficiency in Art, or who may have rendered signal service to the Association entitling him to the same privileges. 8. Each life member ahall have two votes, and each annual member one vote at all meetings of the Assooiation. No member shall be eligible to office, or have the right to vote at any meeting, or to enjoy any of the privileges of the Assooiatioii so long as the dues for the onrrent financial year shall remain unpaid. 9. A roll of members shall be kept by the Secretary, and laid on the table at every meeting of the Association. OF THE COUNCIL AND OFFICERS. 10. The officers of the Association shall consist of a President, a first and second Vice-President, Secretary and Treasurer, who shall be ex-officio Directors, and shall be chosen by ballot annually, with six other Directors, from the Association at large, at the regular meeting in Decemb erand shall serve for one year or until their successors are chosen. All elections for officers shall be by ballot as provided, and notice of every election shall be given by the Secretary one month in advance. 11. The President, or the Vice-President in his absence shall preside at all meetings of the Association, or of the Board of Directors ; sliall watch over the interests of the Association, report its condition at the annual meetings, and make such suggestions ah he may deem fitting or necessary. 12. It shall be the duty of the Secretary to keep the minutes of all meetings or transactions of the Association or Board of Directors; He shall receive and give receipts for all monies due to the Association, and pay the same immediately to the Treasurer, taking his receipt therefor. He shall attest all orders on the Treasurer for moneyn appropriated by the Board ; shall notify members of their election, shall call special meetings when requested to do so by not less than three merabera, and shall report at ^nnnal meetings, or other times when requested by the Board of Directors. 13. It shall be the doty of the Treasurer to receive from the Secretary and receipt to him for all monies of the Association, to pay all properly au- dited accounts, and to hold the balance on safe deposit, subject to the order of the Directors. He shall keep the accounts of the Association, and submit at the annual meeting a statement of the receipts and expenditures of the preceding year, or when called upon to do so by the Association. His books and accounts shall be open at all times to the inspection of any mem- ber, and he may be required at any time to give bonds to the Association in such an amount as they may direct for the security of such money or property as he may hold. • 14. The Directors shall have general supervision and control of the affairs and interests of the Association, and shall execute such measures as they may deem best for its welfare, or as may be directed at any meeting of the Association, provided that the said Board shall in no case have power to expend or to make an indebtedness over and above the ordinary expenses of the Association in any one year without a two- thirds vote to that effect of the Aosociatiou when there are not less than twenty members present. They ip^ii^viaamaiv 1 \^ shall have power to appoint snoh special or standing committees to aid in carrying oat the objects of the Association as may be directed by the Rules or By-laws, or by vote of the Association. 16. In case of a vacancy on the Board of Directors, the Board shall have power to fill the same, which shall be confirmed at the next general meeting. 16. It shall be the duty of the Directors to keep all baildings, works of Art, books and other property belonging to the Association and also all pro- perty entrusted to it at all times fully insured against loss by fire, and in a report submitted at every annnal meeting of the Association to state in de- tail all doings whatsoever in respect of such insurance. 17. The Directors shall have full power in all respects to regulate and conduct all undertakings and affairs whatsoever of the Association, and to that end to promulgate and enforce all such regulations, whether general or special as they may see fit to ordain, and may amend at pleasure, but all such regulations and all amendments thereof shall be laid before the Associ- ation at latest at the annual meeting next after their promulgation, and if disallowed by the Association shall thereupon become and be null and void. But such annulling shall not destroy the validity or effect of anything previously done in good faith under any such regulation. MEETINGS. 18. There shall be a meeting of the Association for the reception of reports, and general action upon the affairs of the Association at the end of every three months, viz : on the first Tuesday of January, April, July and October. Special meetings for the transaction of business may be held at any other time when called at the request of not less than three members. Ten members shall form a quorum for the transaction of business. 19 The Directors shall hold regular meetings on the first Tuesday in every month, and shall keep a record of the proceedings thereat. Five members shall constitute a quorum for the transaction of business, and a majority vote of those present shall be sufficient to carry any measure. The Directors may appoint saoh committees as are necessary the better to perform the duties entrusted to them. 20. The Association shall hold an annual meeting not later than the third week in Decf mber, to hear an address from the President, and to receive the annual reports. The annual election of Ofiicers and six Direc- tors to replace those whose term expires shall then take place. There shall be a separBte ballot for eadi Officer and Director, all of whom shall enter upon their offices on the first day of January following, and shall hold office until their terms expire and thereafter until their successors shall have been duly elected. 21. All business meetings of the Association and of the Directors may be adjourned by vote of a quorum present j but not otherwise, and such adjournment shall not be for more then seven days. . All nxnuea arieing from ezhibitione, fees of mamberB, donation^, gnlees othei^riee directed by the donon, and from other soaroes over and above the ordinary expenses of the Association shall be devoted to the es- tablishment of an Academy or School of Design ; the formation of a permanent Gallery and Art Library, the purchasing or leasing of a lot of ground, aad the erection of suitable baildings thereon, to be the property ol the Association. 24. Schools for the instruction of students in Art shall be established and continued as the means and apartments of the Association permit, under the control and regulation of a Standing Committee, a majority of whom shall be artists in the practice of their profession, to be appointed by the Directors. 25. The Treasurer shall at an early meeting of the Directors after the annual meeting submit a statement of ways and means for the current year and it shall be the duty of the Directors to revise the same, making reason- ably sure that the year's expenditure shall not be in excess of its income. No expenditure shall be sanctioned by the Directors until the same shall have been referred to and reported on by a Finance Committee. 26. Receptions may be held at such times and places as the Directors may desire, the expenses of which shall be paid out of the Aesociation moneys, or these being insufficient, by subscription from the members, and at such receptions, the exhibition of original works of Art hy the members and others shall be provided for, with such literary and musical exercises as may be agreed upon. Every member in good standing shall be entitled to one ticket of admission to each reception, to be issued by the Directors. Extra tickets may be sold to members only, The price of tickf^ts shall be regulated by the Board of Directors. 27. There shall be held by the Association at least one public Art exhibition in each year at such time and place as may be designated by the Directors, who shall also fix the prices of admission to said exhibitions. 28. The reception, disposition and display of Works of Art at the receptions and exhibitions shall be under the control and regulation of a Committee of Arrangements to be appointed by the Directors. A janitor may also be appointed by the Directors to assist on these occassions, or to att'^id regularly the apartments and meetings of the Associc>tion. 29. All surplus moneys remaining on V .^ ^ at the end of e. year after all current expenses of the Association hn.> ' ,i^en paid and provision made for any forthcoming expenses shall bo '.^{irnt!ty ?' .i^i," on which shall also be placed any donations or subscriptions for the^:lefltof the said fund, and the Academy Fmid shall be inviolably preserved and safely invested as a naoleas for the establishment and maintenance of an Academy of Art or School of Design in the City of Vancouver.
