' ' . ■-.f . ' T ■ •* ■ . ' No. 24.] AN ACT [1880. To incorporate the Dominion Commercial Travellers' Association, WHEREAS James A. Cantlie, David L. Lockerby, George Forbes, Frederick Massey, Gustave Piche, Ralph B. Hutchison, Charles Hutchison, George Sumner, Alexander Gowdey, John Rogers, James O'Brien, Alexander W. Acheson, and Rollo C. Simpson, have by their petition represented that it would be for the interest of the "Dominion Commer- cial Travellers' Association," of which they are mem- bers, that it should be incorporated, and it is expedient to grant the prayer of their petition : Therefore Her Majesty, by and with the advice and consent of the Senate and House of Commons of Canada, enacts as follows : — I. The said James A. Cantlie, David L. Lockerby, George Forbes, Frederick Massey, Gustave Piche, Ralph B. Hutchison, Charks Hutchison, George Sumner, Alexander Gowdey, John Rogers, James O'Brien, Alexander W. Acheson, and Rollo C. Simpson, and such other persons as are now, or shall hereafter become Tiembers of the said Association and their successors, shall be and they are hereby consti- tuted a body politic and corporate under the name of the " Dominion Commercial Travellers' Association," DOMINION COMMERCIAL TRAVBLLERS' ASSOCIATION. 9 having its head office in the City of Montreal, with power to purchase, receive, acquire, hold, and enjoy property both real and personal, to and for the use of the said Corporation, and to sell, alienate, exchange, mortgage or lease the same : Provided always, that the said Corporation shall dispose of any real estate by it received except such as may be required for the actual use and occupation of the said Association, within five years from the date of its acquisition. 2. The objects of the said Association are to pro- mote the welfare and interests of its members, by making provision against sickness, misfortune, ac- cident, or death, and relieving the widows, orphan children or representatives of members deceased ; by obtaining for its members, concessions, privileges or reduced rates from railway, navigation, telegraph, insurance, and other companies and persons, and by devoting the funds of the said Association to such other lawful objects for promoting the intellectual, moral and material welfare of its members as may from time to time be determined, in accordance with the rules, regulations and by-laws of the said Cor- poration. 3. The present constitution and by-laws of the said Association shall be, until amended as thereby or herein provided, the rules, by-laws and regulations of the said Corporation, and the present officers and directors shall hold office until their successors are. appointed in accordance therewith ; and the said Corporation is hereby vested with all the assets and \\ 10 DOMINION COMMERCIAL TRAViSLLERS' ASSOCIATION. i ^ rights and made responsible for all the obligations and liabilities of the said Association. 4. The said Corporation may from time to time change, amend, add to, or repeal any of its rules, regulations and by-laws, observing always however such formalities as are and may be lawfully prescrilied to that end, provided that no rule, regulation or by- law shall be contrary to law or to ^his Act, 5. All ; jscriptions or other sums due or to 'oecome due to the Corporation may be recovered in any Court of competent jurisdiction, but any member may with- draw at any time on payment of all suras due by him, including his subscription for the then current year, after which he shall have no claim or demand of any kind against the Corporation. 6. The said Corporation may from time to time establish and maintain branch agencies in different parts of the Dominion of Canada, to promote the objects herein set forth. ■ -f ''-i>':.v DOMINION COMMERCIAL TRAVELLERS* ASSOCIATION. 11 CONSTITUTION AND BY-LAWS OF THE Dominion Comiercial TraTellers' Association, As Amended at Annual Meeting, Dec. 23rd, 1880. Formation. The formation of this Association shall be effected by the subscribing of at least twenty-five persons, who may either be Commercial Travellers, principals or representatives of Commercial Houses, or persons engaged in commercial pursuits, to a memorandum of Association, for the purposes hereinafter set forth. And they shall have the power, at their first meeting, to make Rules, Regulations and By-Laws, and to appoint officers in manner hereinafter described. Aj'iicle II. — Objects. The object of the Association shall be to secure, as far as possible, to its members, all concessions and benefits which, as a collective body, they are capable of obtaining over individuals ; for the general advance- ment of the 'welfare and interests of its Members, whether for mutual support or protection, information or provision ; and by an agreed annual subscription, the formation of a fund which shall be applicable to the insurance of its Members in such manner, by such means, and against such contingencies as may be recommended by the Directors for the time being and agreed to by the iSlembers, and for such other benevolent or approved purposes as the Members, or a majority of them, shall by their votes decide at any annual or special general meeting. Article III. — Condition of membership. 1st. — In order to be eligible for membership, a candidate must be a "Commercial Traveller," being a resident, or having a place of business or office in Canada. Not having been expelled from membership by any Commercial Travellers' Association in Canada, for any offence involving a breach of faith with any I ■ Company granting privileges to this Association, or on any other justifiable grounds. ; ";. 2nd. — A Commercial Traveller is a person who travels to sell merchandise, whether Employer or Employee for a Wholesale business, to take orders DOMINION COMMERCIAL TRAVELLERS' ASSOCIATION. 13 from Dealers or Manufacturers for Goods which shall be delivered afterwards. 3rd. — Each applicant for Membership shall fill up the required form (see page 6). and be proposed and seconded by two members, who shall sign their names on his apphciition, such application to be also endorsed by the firm he represents ; he shall then be balloted for at the first meeting of Directors thereafter, when a two-thirds vote of Directors present shall elect him. 4th. — It will be competent for the Secretary to issue conditional interim certificates to applicants sub- ject to subsequent election, and, should applicant be not elected, to annul the certificate and return the subscription, 5th — Ninety days from first January of each year will be allowed to Members to renew their Subscription without re-election. Ai-tide IV. — Subscription. 1st. — The Subscription of an ordinary Member, being a bona-fide Commercial Traveller, shall be Ten Dollars per annum, which will entitle him to all the privileges of the Association, such as concessions from Railways, Steamboats and Hotels. Duplicate Certificates $2.00 each. -v r: 2nd. — Each Member, upon payment of his Sub- scription, will be entitled to receive a Policy of Insu- 14 DOMINION COMMERCIAL TUAVKLLKKS' ASSOCIATION. ranee in an Accident Insurance Company, with whom the Directors shall have power to mak'» special arrange- ments, on behalf of the Association, for One Thousand Dollars in the event of death by accident, or Five Dollars per week for twenty-six weel:c or less during the continuance of disabling injury by accident. 3rd. — And so long as he shall remain a Meml)er of this Association, he will be further entitled to obtain from the same Company as much more similar insu- rance as he may wish up to $10,000, at such reduction on the usual tabular rates as the Directors may arrange for, on application to the Secretary of the Association. Article V, — Honorary Members. 1st. — Wholesale Merchants, Manufacturers, Whole- sale Salesmen, or any member in good standing for the three previous years, are eligible for Honorary Membership. 2nd. — A subscription of Ten dollars per annum shall, after being duly elected, constitute an Honorary Member, which will entitle him to all the privileges of the Association, except travelling privileges. 3rd. — A subscription of Fifty Dollars will constitute a Life Honorary Member, which will entitle him to hold office, and to vote at all meetings of the Asso- ciation. DOMINION COMMERCIAL TRAVELLERS' A8S0CIA ION. 16 Article VI. -^ Officers. 1st. — The Members, at their Annual Meeting shall elect a President, Vice-President, and a Treasurer, who shall hold office for one year, and ten Directors, five of whom shall retire annually, all, however, to be eligible for re-election, who shall conduct and super- vise the affairs of the Association until the next following Annual General Meeting. 2nd. — The Directors shall have power to appoint a Secretary, and such other officers as they may deem necessary for the purposes of the Association. 3rd. — The President or Vice-President, or, in their absence, one of the Directors, shall preside at all Meetings of the Directors and of the Association, and subscribe the minutes thereof. 4th. — The President or Vice-President may, as often as appears to him necessary, call a Special Me^ .ing of the Directors by the Secretary, of which at least one day's clear notice shall be given, five to form a quorum. 5th. — On the requisition of twenty-five of the enrolled Members, the President or Vice-President shall authorize the Secretary to call a Special General Meeting of the Association for the purpose or pur- poses set forth in the said requisition. Article VII. — Meeting s, 1st. — The Annual General Meeting of the Associa- tion shall be held in December in each year, for the purpose of receiving the report and balance sheet of -\ \ 16 DOMINION COMMERCIAL TRAVELLERS' ASSOCIATION. the past year, for the election of officers for the cur- rent year, and for the transaction of other business — thirty to form a quorum. 2nd. — General Meetings of Members shall be held at a place to be appointed by the Board on the second Saturday in March, June, September and November, at 8 o'clock P.M., fifteen to form *. quorum. Notice of these Meetings to be given only through daily papers. 3rd. — Directors Meetings shall be called from time to time, as may be deemed necessary by them, five to form a quorum. 4th. — The Secretary shall give seven days' clear notice of all Annual or Special General Meetings of Members both by advertisement in one or more of the public newspapers, and through the Post to the registered address of the Members on the books of the Association. • . 5th. — All notices of Special General Meetings shall state the business of the meeting, and at such meeting no other business than that stated in the notice shall be transacted. fj ; Article VIII. — Voting. • I St. — Each Member shall have an equal vote at all Annual or Special General Meetings, and also have the right to delegate his vote to a proxy, who must also be a Member of the Association. 2nd. — Members who have not paid their due sub- scription shall not be entitled to vote, or be eligible for office. The Secretary of the Association is not allowed to hold or vote on proxies. Article IX. — Secretary. 1st. — The duties of Secretary will include the keep- ing of accurate minutes of all meetings of the Board and of the Association, and the Register of Members. 2nd. -He shall also conduct the correspondence, and in general carry out the management of the Asso- ciation under the direction of the Board ; all certifi- cates of membership must be signed by him. He will receive all fees for membership and pay over to Treasurer, taking his receipt for same. 3rd. — ^The Secretary's remuneration shall be fixed by the Board. Article X. — Treasurer. ist. — The Treasurer shall receive and pay all monies on behalf of the Association. 2nd. — No payment over $10 shall, however, be made unless by cheque, signed by the President or Vice-President, and countersigned by the Treasurer. He shall balance his accounts monthly, and submit a statement of all receipts and expenditures on account of the Association at each monthly meeting of the Board. r .■ r 1. s 18 DOMINION OOMMEROIAL TRAVBLLIRS' ASSOCIATION. 3rd. — He shall have charge of all securities and monies of the Association, and shall pay into the Bankers of the Association all monies in his hands when they exceed fifty dollars. j , 4th. — Security to the satisfaction of the Directors shall be required from the Treasurer. •t Article XI. — Arbitrators. The Board shall after each Annual General Meeting appoint ten Arbitrators from the Honorary Members of the Association, who are not officers of the Asso- ciation ; and any dispute which may arise between Directors, Officers or Members shall be disposed of by reference to three of the nominated Arbitrators, one of whom shall be chosen by the complainant, another by the defendant, and the third to be chosen by the two Arbitrators themselves, and their decision shall be final. • .-v-iv^/ v '' < r •V . ; ■ - Article XII. — Audit. / V. The Directors shall employ the services of an Auditor to examine the accounts to be presented to the Annual Meetings of the Association. The Directors have much satisfaction in being able to meet the Members at the expiration of the Sixth year of the Association's existence with the following record of its continued prosperity : Membership at close of last year was, - 8ii It now consists of - - - - . 877 : Shewing a gain in membership of - - 66 And the financial position also shews the following improvement : Balance per last year's statement - $13,852 ',.; The balance to carry forward this year is 17,567 / Shewing the resources to have been increased by over $3,700, and this in the face of heavy and exceptional expenses in which the Association has been involved in protecting the rights of its Members by legal processes, and also in obtaining the Incorporation of the Association, which has been satisfactorily effected. *•/ r.ji-<-*:^ ^» i»*S fa/'j-^-fii/ 30 DOMINION COMMERCIAL TRAVELLRRS* ASSOCIATION. It is a matter of congratulation to state that the Association has not to record the death of any of its Members this year. There have been numerous accidental injuries during the year, which have been, as heretofore, promptly and satisfactorily compensated by the Accident In- surance Company of Canada. ^^ , . i ... -i „-?_.-.. r ♦ ff..-....lv r..v ^,*,^-rV The Directors having decided to renew their ar- rangements with that Company for ensuing year, they are pleased to state that they have received intimation from -them, that in consequence of the satisfactory result of their connection with the Associ- ation, that the amount covered by the death indemnity on each Member will be increased by io% without increase of premium. The concessions granted by the Railway and other Companies as reported last year remain the same, with the addition that the following Companies have conceded the 2c. per mile rate, as grante*^ by other Railways, viz : — The Intercolonial Railwa Antral Vermont Railway, and South Eastern Railway. A very valuable addition to the concessions hitherto granted has been made by the St. Lawrence and Ottawa and Canada Central Railways, who have removed the li lit of excess baggage from 200 lbs. to any reasonable quantity free. Arrangements have also been made with the Dining Cars on the Grand Trunk Railway for a reduction to Members. DOMINION COMMBRCIAL TRAVELLERS' ASSOCIATION. 31 The Directors are pleased to be able to say that the relations between the Association and the Companies granting these concessions have throughout the year remained in every way satisfactory, no serious cause for complaint having; arisen. The case of Mr. Jonas referred to in last year's Report was argued before the Supreme Court, at Ottawa, in October last, by Messrs. J. J. Maclaren, (^. C. of Montreal, and Jas. Bethnne, Q.C., of Toronto, for the Association, and decision is daily expected. The Treasurer's Statements have been audited by Messrs. Riddel! and Stevenson, Chartered Accountants, and are submitted for the inspection of the members. In accordance with the Minutes of last Annual Meeting, the Committee on By-Laws have had several Meetings, and they submitted their suggestions to a Meeting of the Members held 27th November last, -where it was unanimously resolved that their adoption be recommended for the approval of this Annual Meeting. It would appear superfluous to refer to the very gratifying progress of the Association, and there is no reason to doubt that with the continued co-operation and good feeling v/hich has existed amongst its Mem- bers, and the high and important position which the Association has thus far attained in the public esti- mation, that its advancement in popularity and usefulness in the future must be conceded a foregone conclusion. : -^ - 32 DOMINION :OMMIR0IAL TRAVBLLKRS' ASSOCIATION. The Directors hope that the Memhers will leave no effort undone to effect the completion of its Members to at least an even thousand at as early a date as possible.
