To establish and maintain, when deemed desirable, for the use of members, a Library and .Aluseum. embracing a col- lection of all articles likely to prove of interest in connection with the objects of the Chamber. To print and publish, as may be determined upon, weekly or monthly Journals. Stock Exchange lists, reports and other matters conducive to the in- terests, requirements and protection of the Mining Industrv in Central Canada and the general public investing in same, also to procure and file in the Reading Rooms of the Institution newspapers devoted to .Alining Interests in other parts of the world, also Scientific, lAIining and Machinery, Journals, Stock Exchange Lists, reports and other usual matter incidental to mining interests and requirements. 11. To fix and settle through the committee, from time to time all tees payable to this institution bv any companv or in- dividual, for the benefit and efficient working of this'institu- tion. 12. To register and keep records of such properties svn- dicates or companies as the committee of this institution may 8 deem desirable, and if so decided upon, to examine and ^rant certificates of competency to mine officials required for minino- operations, and keep records of the same in the books of the institution. _ V.\. The control, government, property and assets of the insti- tution shall be vested solely in the foundation members, who shall, by a majority of votes, elect from their members a gene- ral committee, who shall hold office until the next annual gene- ral meeting, to be held in the month of Alarch each year. The General Committee shall in their turn elect from their number a President, \'icc-Presidents and Executive Commit- tee, of not less than twelve in all, for conducting the business of the institution, who shall hold office for the same period as the General Committee, but shall in both cases be eligible for re-election. The committee may also elect Patrons, Honorary Presi- dents and Vice-Presidents at any time they may see fit and de- sirable. 25. A foundation member may appoint an alternate if at any time absent for a period, or in case of permanent absence, a representative, but such alternate or representative shall be approved by a majority of the members present at an Execu- tive meeting. 20. Under certain conditions a foundation member of the institution may transfer his seat of membership ; provided al- ways, that the transferee shall be nominated and seconded by two foundation members of the Chamber and duly elected by a not less than two-third majority of members present at a duly constituted meeting of the General Committee. Representative members may l^e of two classes, as toUows ; A duly appointed and approved nominee of a foun- dation member, also the nominee of anv public companv syn- dicate, : ssociation or owner of mines or minin- areas subscrib ing to and registered on the jjooks of the institution. ASSOCIATE xME.MBERS. _ 28. An associate member shall be a dulv elected subscrib- mg member of the institution, having all the privileo-es of membership, subject only to such reservations and limitations as hereinafter provided. HONORARY MEMBERS. 29. Distinguished personages taking an interest in the in- stitution, Its objects and aspirations, and likelv to be of direct or indirect benefit thereto, may, as hereinafter provided, be elected by the Committee, honorary members of the Chamber. REPRESEXTAT1\-E MEMBERS. 30. Any company or syndicate registered with limited lia- bility, which may eitlier hold mining propertv or be directly connected with the mining industry within Central Canada may become a representative member of the Chamber, sub- ject to the limitation and restrictions hereinafter set forth. Any s>ndicate and any owner or association of owners of mining areas may upon application be elected representative members by the Executive Committee, upon pavment of the subscription fees from time to time fixed bv the Executive Committee. 31. Representative members shall not in anv way take part in the general management of the institution, and shall only attend and take part and debate upon matters connected with the general details and interests of mining matters 12 32. No one shall he elig;ihle for nomination as a represen- tative nienihcr except an owner of niinino- areas, a director or a consnltnig engineer, manager or the local head office secre- tary, or, in case of foreign companies, the accredited agent of t le company making the nomination. -'^3. No company or firm shall have tnore than one repre- sentative, and the seat of no representative member shall be transferrable. -34. The noim-nce of snch company or firm mav be with- drawn or suhstituted. by their nominator or nominators, pro- vided that notice in ^^•riting be given to the Secretarv of the Chamber hy such nominator or nominators and the name of the substituted member notified at least seven davs before such withdrawal or substitution. ASSOCIATE MEMBERS. .'?.-,. Any person interested in the mining industry may, subject to t]ie following regulations, and payment of such fees as may be from time to time fixed bv the Executive Committee, '.ecome an associate member of the Chamber, such membership not conveying any direct interest in the general government or assets of the institution, or anv right to take part in the meetings of the full members hereinbefore defined. 3G. Each candidate for membership of whatver kind shall sign and deliver to the Secretary an application in the form following : — '• To the Executive Committee of the Central Canada Chamber of Mines, Winnipeg. Such application must be accompanied bv a note from two members, the one proposing and the other seconding the candidate's election. At the next meeting of the E.xecutive Committee all nominations shall be laid on the table, and the Executive Committee shall ])roceed to elect or reject them, and voting shall be i)y show of hands. 37. The Secretary shall, after each meeting of the Ex- ecutive Committee, give notice to each member of the Execu- tive Committee, stating the name and address of the candidate to be voted upon, and the names of his proposer and seconder. 38. Each application for membership shall be accompan- ied by the payment of the amount fixed bv the Executive Com- mittee for the class of mem]>ership requested. HONORARY AIEAIBERS. 30. The Executive Committee of the Chamber mav at any meeting thereof, upon the nomination of any two m'em- bers, declare and elect any prominent person to the honorary privilege of membership and such person, so elected, shall dur- ing his period of membership be entitled to all the privileges of associate and representative membership without liability for subscription. _ 40. Honorary members may be elected from persons ben- efiting the Chamber by donation of useful objects or contribu- tions of money or by any special furtherance, or ability to further the aims of the Chamber. 14 41. .Ml niciiihcrs, other than full mcnihors, i. c. represen- tative menihers. associate niemhcrs, and honorary memhers, shall be elected for one year, but shall be eligible for re-elec- tion. 42. Representative, associate and honorary members shall nr.t have any right of voting, nor shall they be eligible as members of the Executive Committee, or acquire any rights m any property, but they shall be entitled to take part in all (hscnssions at meetings of the Chamber, cjther than matters of the domestic, internal government of the institution and its internal affairs. 13. Any essential requirement not specially provided for in this Constitution, necessary or calculated to be of service to the more efficient working or scope of the institution, and like- ly to be of benefit thereto, may be provided for and adopted at any general meeting, or any meeting of members speciailv convened for that purpose. 44. Insolvency or failure to pay anv subscription shall de!var the defaulting member from exercising the privileo-cs of membership, and may. ipso facto,, should the ExecutK-e Committee so d.cide. terminate his membership, provided that thirty days' notice of default of pavment be posted or deliver- ed to the member by the Secretary of the Chamber in manner hereinafter provided for notices. 45. Any member may withdraw from the Chamber by giving one month-s notice, in writing to the Secretary, of his intention, and, upon expiry of the notice, he shall cease to be a member, provided that cessation of membership shall not release the member from any of his existing liabilities to the Chamber. • 4(5. Any member infringing the rules of the Chamber, or any regulation or order of the Executive Committee, or being in the judgment of the Executive Committee, guilty of any practice or proceeding likely to bring discredit upon the Chamber or be inimical to the objects thereof, may be exclud- J. ed from the Chamber by a rcsohuion passed at an extraorcHn- ary .i,an. Ordinary niectinqs of the Chamber shall be held at least quarterly, on such day and at such place as the Executive Committee ir.ay direct, and the Secretary shall give notice of such meeting to t!:c members, as hereinafter provided for no- tices, not later than svven days before the date fixed for such nu'cting. Ten ir.enibers shall form a quorum. 64. The Executive Committee may at any time in their discretion convene a special meeting of the Chamber. H5. The President, or in his absence either of the Vice- Presidents, shall take the Chair at all meetings, and if at any meeting neither of them be present, tlie members present shall choose some one of their number to be Chairman of the meet- ing. <16. Questions at any meeting shall be decided by a ma- jority of votes by show of hands, and in case of an equality of votes, the Chairman shall have a second or casting vote, 67. At the ordinary or other meetings of the Chamber, foundation members alone are entitled to vote. Honorary, re- presentative and associate members shall have the right of de- bate, but not of vote.
