Walton, George Bilton, George Thomas, Henry Godson, Julian Sale, Isaac Faulkner, B. Saunders, Frank John Joseph, and others, have, by their petition to the Legislature, represented that the Association, of which they are members, known as the St. George's Society of Toronto, has for many years been formed for the benevolent purposes of affording pecuniary, medical, and other relief to such natives of England and Wales and their descendants, as may from sickness or other causes have fallen into distress, and have prayed that for the better attainment of the objects of the said Associa- tion, it may be invested with corporate powers, and by reason of the good effected by the Association, it is expedient to grant the prayer of the said petition : There- fore, Her Majesty, by and with the advice and consent of the Legislative Council and Assembly of Canada, enacts as follows : L The said John Beverley Robinson, M.P.P., Thomas Brown, George S, Jones, Robert Dodgson, F. Sauiulora, Frank .John »lo.st'iili, and jsnch other i)er.son3 as are now uieuibers of tlio said Asssociution, or sliall liereafter be- come nienibors thereof, under the provisions of tliis Act, and the l?y-laws nuule under tlie autliority thereof, and their successors, shall be and they are liereby constituted a body politic and corporate, by the name of the St. Georges Society of Toronto, and may by that name sue and be sued, implead and be impleaded, answer and be answered, defend and be defended, in all Courts of Law and places whatsoever, and by that name they and their successors shall have perpetual succession, and may have a common seal, and may break, change, alter, or renew the same at pleasure, and shall have power to purchase, take, receive, hold and enjoy such real estate, as may be required for the actual occupation of the said Corporation and to alienate, sell, convey, lease, or otherwise dispose of the same, or any part thereof, from time to time, and as occasion may require, and to acquire other in- stead thereof ; Provided always, that the said Corpora- tion may acquire any other real estate or any interest therein, by gift, devise or bequest, if made at least six months before the death of the party making the same, and the Corporation may hold such estate for a perioil for not more than three years, and the same or any part or portion thereof or interest therein which may not, within the said period have been alienated and disposed of, shall revert to the party from whom the same was acquired, his heirs or other representatives ; And pro- vided also that the proceeds of such property as shall have been disposed of during the said period, may be invested in the public securities of the Province, stocks of chartered banks, mortgages, or other approved securi- ties for the use of the said Corporation. 2. The affairs and business of the said Corporation ACT OF IXroRl'OHATlON. 7 shall bo iiuuiaja-od by a Cominittoo of Manacrement, con- sisting- of a Prosident, a first, seciind, and third Vice- Prosidont3, a Secretary, or Secretaries, a Treasurer, two Chaplains, three Physicians, and seven other Members, to be elected annually at a General Meeting of the mem- bers of the Corporation held in conformity to the By-laws, thereof, and any five members of the said Committee shall be a quorum for the dispatch of business. 3. All deeds, sealed with the Common 8eal of the Corporation, and sigjied by the President or Vice- Presidents and by some other member ot the Committee of AFanapement, and countersigned by the Treasurer, and none other, shall be held to be deeds of the Corporation : ProvidiHl always, that the 'JVeasurer, for the time being, may receive all monies ])ayable to the Corporation and grant valid recei])ts therefor. 4. It shall be lawful for the said (corporation to make By-laws for the admiftsioii and expulsion of members, and for the proper administration of the property and affairs of the Corporation, and to repeal or amend the same from time to time ; and such ]3y-laws and amendments shall be proposed and seconded at a previous Quarterly Meeting. (including the pr(>siding Officer) shall form a meeting fur the purpose of altering such By-laws, nor .shall any alteration be made therein unless two-thirds of the members present agree to it. 5. The General Meetings of tho said Corporation shall bo held in such manner, after such notice, upon such requisition, and at such times in the City of Toronto, as shall be directed 1)y the By-laws of the Corporation then in force. 6. The usual place of meeting of the said Corporation slijill be held to be the legal domicile thereof, and service at such place of any notice or process of any kind. ST. The By-laws of the said Association, in so far as they may not be repugnant to this Act or the laws of this Province, shall be the By-laws of the Corporation, liereby constituted, until they shall be repealed or altered as aforesaid : Provided always, that no By-law shall impose a penalty or forfeiture exceeding two dollars. 8. Until others shall be elected according to the By- laws of the Corporation, the present officers of the Asso- ciation shall be those of the said Corporation, that is to say, the said John Beverley Bobinson shall be the President, the said 'I lionias Brown shall be the first Vice-President, the said George S. Jones shall be the second Vice-President, the said Robert Dodgsoa the third Vice-President, the said F. W. Coate shall be the Treasurer, the said George T. Walton shall be the Secretary, the Reverend J. Beaven, D.D., and the Rev- erend H. Scadding.D.D., shall be the Chaplains ; Edward Ilodder, Francis Badgley, and William Hallowell shall be the Physicians, and the said George Bilton, George Thomas, ]Ienry Godson, Julian Sale, Isaac Faulkner, B. Saunders, and Frank John Joseph, the other members of the Committee 6t Management. 9. No person otherwise competent to be a witness in any suit, action, or prosecution in which the said Corpo- ration may be engaged, shall be deemed incompetent to be such witness by reason of his being or having been a member or officer of the said Corporation. 10. The said Committee of Mana^-ement shall yearly in ilio month of January, insert in some newspaper pub- lished in the City uf Toronto a statement of the amount of the funds and property, debts and liabilities of the said Corporation, certified by the Treasurer and two Auditors elected at any (Jeneral Meeting of the Corpo- ration. 12. Nothing- in this Act shall affect any right of Her Majesty. Her Heirs or Successors, or any party or person whomsoever, such rights only excepted as are herein expressly mentioned and affected. 13. This Act shall be deemed a Public Act. 2* BI-LAWS. By-L vav I. The Society shall consist of such persons of Enj^liish birth or descent, in the male line, as shall be elected members thereof, according to the regulations hereinafter made ; and until a Sister Society of St. David's be organized, Welshmen and their descendants will be considered as eligible to become members of this Society, and to stand in the same position therein as English)neu and their descendants. II. The objects of the Sociotyare to unite Englishmen and the descendants of Englishmen in a social compact, for the promotion of mutual and friendly intercourse ; ond for affording to such persons of English birth and descent as may stand in need of their advice and counsel, and s'lch pecuniary assistance as the funds of the Society may aable it to give. III. In addition to the officers named in the Act of Parliament Incori^orating the Society, six stewards shoH be elected who shall arrange for the celebration of the Annual Festival on St. George's Day, and report such arrangements at the quarterly meeting next pre- ceeding for adoption. Also, a Marshal and Standard Bearers shall be appointed by the President. IV. The officers of the Society shall be elected as follows : Any member may nominate a Candidate for each office, in succession ; and in the event of more than one nomination for any one office, the decision shall be by ballot. V. The President and Vice-Presidents shall not be eligible for re-election to the offices respectively filled by th«m for the next succeedipg year. BY-LAW'S. 11 VI. The General Annual Meeting of the Society shall be holden on the third Friday in January each year. In each year thera shall be holden four Quarterly General Meetings, viz. : 1st. The Annual General Meeting, and one each on the first Friday of the months of April, July, and October. Monthly Ordinary meetingo shall be held on the first Friday of each month throughout the year, excepting in January, April, July and October, as otherwise provided, VII. Any gentleman desirous of joining the Society shall, at a General or Ordinary Meeting, be proposed and seconded by memljers, and may be elected by a majority of such meeting, on payment of the first year's subscrip- tion, and not otherwise. V]II. The Annual Subscription of members shall bo T\vo Dollars. The Subscription year shall be from 1st January to 31st December. Any new member elected between the 1st of January and 30th of September shall pay the full subscription for the current year ; any elected on or after 1st October, may be admitted on pay- ing for the current quarter only. IX. A Subscription of Tex Dollars shall be a Life Subscription, and the same shall be invested at interest and form a portion of the permanent fund, the yearly interest on which only shall be applied to the Charitable Fund of the Society. Life Members shall have all the privileges of ordinary members. X. The Annual Meeting shall order the investment of such proportion of the surplus funds (if any) as may appear desirable, and in such manner as may be then determined, and the annual subscriptions, with the interest of investment, shall constitute the ordinary funds applicable to the charitable purposes of the Society. In cases demanding" more than the ordinary relief thus afforded, the same shall be referred for further enquiry and action to the Managing Com- mittee as hereinafter set forth. XII. The Managing Committee shall meet weekly, and any five members thereof shall form a quorum. It shall be their business to direct the affairs of the Society, generally, under this Constitution ; to determine all mat- ters referred to tliem by the Society, and to prepare for each annual meeting a Report of the proceedings of the Society for the year, to be submitted previous to the Election of Officers. XIII. The Managing Committee may make loans (not exceeding twenty dollars to one person or family.) from the ordinary funds of the Society, to persons in temporary distress or trouble, upon receiving such reasonable security as they may deem expedient, pro- vided the period of such loans do not exceed six months. It shall have power to grant extended relief in particular cases at discretion, the orders upon the Treasurer being in all such cases signed by two or more of the Members of the Committee. XIY. The anniversary of St. (teoiuje shall be cele- brated by a dinner, or otherwise, as njay be determined at the General Quarterly Meetmg in April. No expenses of any Anniversary Festival, or of any social entertain- ment whatever, sl.all be charged against the funds of the Society. XV. The President (or in his absence, the senior Vice President.) shall direct the Secretary to convene a special BY-LAWS. 13 General Meeting of the Society, upon requisition (stat- ing the purpose thereof) from any five members, and the Secretary shall call a special meeting of the Managing Committee, either by direction of the President, (or, in his absence, the Senior Vice President,) or upon the requisition of any two members of the Committee. XVI. The Chair shall be taken thirty minutes, pre- cisely, after the hour appointed for meeting, and if there be not then a quorum of at least ten members present, the meeting shall be forthwith adjourned. XVII. Any member in arrears of subscription for two years g'lall be considered as having withdrawn from the Society, and his name shall be erased from the list of members without further notice, and it shall be the duty of the Managing Committee, to sue and recover the amount due, in any Court having competent jurisdiction. Hfo momher aliall be entitled to vote at the annual election of officers, or at any subsequent meeting, who shall not have paid his previous year's subscription. XVIII. The annual subscription shall bo considered due and payable in advance, on or before the 23rd day of April in every year. XIX. Any member elected to fill any office, refusing to serve, shall be fined one dollar — and any member of the Managing Committee absent from the regular Committee Meeting three times in succession, (unless absent from home, or in consequence of sickness,) shall be fined One Dollar, and it shall be the duty of the Managing Com- mittee in all cases to see the fines collected. XX. The duty of the President will be to preside and preserve order at all the meetings of the Society, and generally to watch over and superintend its concerns to the best of his ability. In his absence, the senior Vice President present shall exercise the authority and duty of the President. In case of the absence of the first 14 ST. GKORGE S SOCIETY OF TORONTO. >! four officers from any meetinjir, the members present shall be empowered to elect a chairman out of their number. XXI. The Secretary shall have charge of the vSeal, Banners, and other insignia of the Society, lie shall keep a fair register of all proceedings, orders, rules, and regulations, and manage the correspondence. He shall issue certificates of admission to each member on his having signed the Constitution, to which he shall affix the Seal of the Society. He shall, when necessary, sum- mon the Society to its various meetings, and 3hall sign such cards of invitation to the Anniversary Celebration as may be required of him by the Stewards. He shall also, at all meetl.igs of the Society, and of the Managing Committee, enter into the respective minute books the names of the members present at such meetings. XXir. The Treasurer shall have the custody of the funds. He shall countersign such certificates of admis- sion as may be issued Ijy the Secretary. His accounts shall be fairly kept and exhibited to the l*resident and the Managing Committee, whenever called for, and shall also be laid before the Society at its January meeting. XXIII. Tu case of the death, resignation or removal of any of the officers during the year for which 1 hey were elected, the Society shall, at the noxt meeting, choose others in their places to serve fur the remainder of the vear. V XXIV. To preserve order, and to expedite the l)usi- ness of the Society, any member who nuiy have jtroposals to make, or observations to offiT n\nn\ any proposition, shall rise and address the President ; and no person shall intorra})t another when speaking, if the speaker be in order. XXV^. XXVI. The members of this Society shall faithfully observe and conform to all the rules and regulations that shall be made by the Society, and entered in the Books thereof, on pain of being dismissed from it and having their names erased from the list of members. XXVII. If the majority of all the members present at any general meeting shall vote for the expulsion of a member, his name shall be erased, and he shall never afterwards be admitted to any meeting of the Society, unless again elected by ballot, as in the first instance : provided always, that no proposition for the expulsion of a member shall be in order, unless one clear month's notice has been given of an intention to submit it at the then next ensuing quarterly meeting. XXVIII. The Banners and Flags of the Society shall not be used except on occasions where the Society, as a body takes part in the proceedings, or where the Society is represented by its Officers. XXIX. That at any Quarterly or Annual Meeting the members present may, on one month's notice previously given, elect any one of its members an Honorary Life Member, in consideration of services rendered the Society, and also may elect any distinguished person eligible to become a member, in like manner for services rendered either the Society or the Country, and such honorary member shall be entitled to all the privileges of an ordinary member. XXX. An Obituary Record shall be kept by the Secretary of r.ny member of this Society who may here- after die ; stating his birth and paientage, if known, date of admission as a member, his position, general charac- ter, and such other facts in regard to him as may be in- teresting to chronicle. Such Record to be published with the Annual Reports. 16 ST. George's society op Toronto. XXXI. All fines collected under these By-laws shall be paid to the Treasurer, to go to the general funds of the Society. XXXII. All donations of Twenty Dollars and up- wards shall be invested by the Managing Committee, and form a portion of the permanent fund, the interest on which shall alone be applied to the ordinary expenditure of each year, unless such donation is made for a specific purpose. The total amount of receipts has been $2,740.79, and the expenditure $2,663.57, leaving a balance in the Treasurer's hands of $77.22, of which amount $70, having been received from life members, should be invested by the next Com- mittee. The value of the securities held by the Society is $875, invested in a permanent fund as follows :— City Debenture, $125; Yorkville Debenture, $100; Canada Permanent Building Society, $450 ; do., $200 ; total, $875. The interest received from this fund during the past year has been $113.36. The assets of the Society are composed of the amount due of members in arrears— 195 members at $2.00 each, $390 ; and 146 at $4.00 each, $584 ; making together $974. Of this amount, it is hoped that about $400 will be realized in the next three months. Add to this latter amount the cash on hand, $77.22, and it gives the total amount of the e&tiraated available funds as $477- 22. The liabilities are composed ol some old outstanding accounts, amounting at the commencement of the year to about $250, but now reduced to $171.35. 18 ST. OKOROE 8 SOCIETY OF TORONTO. li Jti I? I' The Annual Ball was held in tho Mupic Hall, on Tuesday 17th February. 18(13. A large number of members were present, and the arrangements gave satisfaction to every one. The proceeds amountetl to $59,08. On St. George's Day, 2Srd April, 18G3, the birthday of our Patron Saint, the members of the Society met at their rooms, in the Globe Hotel, and walked in procession to St. James' Cathedral. The Reverends D. Heaven, W. S Darling and Professor Irving conducted the services. Collections were taken up morning and evening, amounting to $(52.21, after deducting expenses amounting only to $1G.9G. The Annual Picnic was held at the Mimico The wea- ther was pleasant, but the number of persons present was not so great as on former occasions. The net proceeds were .$49.21. Professor Siddons. with great kindness and liberality, read for the benefit of the Society, Sliakspere's Merchant of Venice. The reading took place in the lecture room in the Mechanics' Institute. It yielded to the funds of the Society $10.65. Madame Anna Bishop's services, together with that of her daughter, Miss Louisa Bishop, just arrived from England, also J. D. Humphreys. Esq.. having been secured, it was determined to give a concert and ball at the Crystal Palace, but unforhiiately, owing to the lateness of the season and the unfavorable state ©f the weather, the affair was not a success, the expenses having exceeded the receipts by $.')5.28. The good old custom of distributing beef, bread and potatoes, &Q., to the poor on Christmas eve, was carried out this year with the greatest success, and not a single appli- cant who came properly recommended failed in getting a fiuflicieut sup[dy for a good Christmas dinner. The amount distributed was as follows :— 7,000 lbs. beef; 225 bushels potatoes ; 600 loaves of bread ; 18 hams ; 3 barrels apples ; 8 bags flour ; 48 lbs. tea ; 40 lbs. coffee ; 56 lbs. sugar ; 8 cords firewood. committp:k rf hki'Oiit. 19 The numbiT of those who partook f>f the bounty was 520 families, or about 3.000 souls, The Society are indebted to the liberality of Messrs. Geo. Micbie & Co., for tlie use of their store on Yonge stroot, and the gas consumed for ligliting the building on the occasion. The Committee are glad to be able to state that former recipients of relief have i"<'iurned the amount of $IG. The amount ot weekly relief granted has been $.") tl..36 amongst 423 cases. Out ot thij amount it cost the Society $33.75 for eight patients sent to the General Hospital, $36.99 for firewood sent to pirties in small quantities, and $38 for eight burials in the Society's lot in the Cemetery. A large proportion of the weekly relief was given ^"i dis- tressed emigrants from the coiton districts in England, who arrived here without means to proceed to their several places of destination, in many cases without money to pro- cure even a loaf of bread. The total number of members on the roll was G53 ; of these 31 are life members and G19 ordinary members. Of the latter number 120 have ceased to be members of the Society from various causes, such as death, removal from the city, and some by their own request, &c. This leaves •199 names on the roll. Of these 158 have paid up and 341 have not paid u]) their dues. The Society have lost by death the fcliowing members : --W. Ashall, W. II. Newton, William Short and John Trebilcock. The Committee have had great dilliculties to contend with in the management of the Society's affairs. Shortly after entering office they found that about $250 was due by the Society on old outstanding accounts, and that a further gum of $200 was due to the Permanent Fund for life mem- bers' subscriptions to be invested, making altogether due .S450, as against S200.82 cash balance handed to the treas- w I 1 Si I it 20 ST. The whole of this latter amount they wove obliged to invest according to the by-law, thus leaving the Committee without a single dollar in the Treasurer's hands, cither to relieve the distressed or pay off the old debts of the Society, for which they were constantly being asked. Finding themselves in this position they immediately made up the amount due by members, and found that 302 members at $2 each owed SdO^ 176 at S4 owed $70 i; 3(] at $0 owed $210 ; 8 at $S owed $fi4 : 8 at $10 owed $80 ; and 1 owed $12 ; total, Sl,(iSi). A collector was sent out and every exertion made to get in the available dues from the mem- bers. Some paid on application ; some said call again ; others that they could not afford to pay, and a large number could not be found, having removed from their former resi- dences. A number of gentlemen have organizKl for the purpose ot celebrating the Tercentenary of Shakspeare, and a notice has been sent to the President of this Society, asking him to take part in it. As the day is the 23rd of April, our own Saint's day, the Society may consider it appropriate to assist in the celebration. In conclusion, the Committee have the satisfiiction of having made every effort they possibly coidd, and if they have not been as successful as thoy could have desired, yet they can congratulate the members on the fact of leaving the affairs of the Society in a very much better state than they found them.
