The name of this Society shall be, the "St. ANDnFAv'd Society OP the Town op Kingston and Midland Dis* TRicT OF Canada," and shall have a common Seal, with its name engraved thereon, around the Arms of Scotland, and the National Motto *^ Nemo me impujic lacessiU^ ARTICLE II. Of the Resident Memhers. Scotchmen, and the Children, Grand Children, and groat Grand Children, of Natives of Scotland, shall be admitted ns resident Members of the Society, all resident Members to be considered as natives of Scotland. When any person is to be proposed for admission as a resident Member, the Member proposing shall give to the Secretary at a meeting of the Society, a written notification thereof, mentioning the name of the Candidate, his occupa- tion, and the place of his nativity, according to the form in the Appendix, which notification shall be read, and at the next meeting he may be elected. The election shall be by ballot, and the consent of three-fourlhsof the Members pre- sent shall be necessary to the admission of a candidate. — None but resident Members shall be entitled to vote iu Iho elections, or other business of the Society, and none shall bo considered as resident Members until they shall have |)aid the fee of admission, and subscribed the Constitution. ARTICLE III. Of Honorary Memhers. Natives of Scotland, or children, and grand-cliijdren, of 'Natives of Scotland, or of resident Members, and who may 6 bo strangers to the City, may bo proposed and ballotled for OS Honorary Members, on iho surnc evening, and they as well as the Resident Members shall be entitled to a certifi- cate of their admission authenticated with the Seal of the Society, and signed by the President and Secretary. Nono shall be admitted as Honorary Members who reside in tho Midland District. ARTICLE IV. Of the Officers of the Socielj/, A President, two Vice Presidents, nine Managers, two Chaplains, two Physicians, a Treosurer, a Secretary, and an Assistant Secretary, shall bo chosen annually from among the Resident Members at the Preparatory Meeting, hereal- ter mentioned, who shall be installed, and shall enter upon tho duties of their respective oflices, on tho Festival of St. Andrew next ensuing; the election shall be by ballot, and a plurality of votes shall decide. The President shall be first chosen and duly announced to the meeting, and afterwards the rest of tho Officers, shall bo ballotted for by their res- pective offices separately. The Officers of the same des- cription shall rank according to plurality of votes. ARTICLE V. Of the stated Meetings of the Society, The Society shall hold four quarterly meetings every year, viz : — on the second Thursday in February, May, August and November, tho last cf which shall be called, — ■*'ihe Meeting preparatory to tho Anniversary Assembly." The President, ot in his absence the Officer highest in rank who may be present, shall appoint the place of meeting, and the Secretary shall at his desire, give due notice thereof in the Resident Members, and thirteen thnroof shall be neces- sary to constitute a quorum. At all meetings the names of the Members present shall be recorded. ARTICLE VI. Of Special Meetings of the Society. Specir.l Meetings shall be competent to the tran- saction of any business that may come before them, except J when it is otherwise prescribed in this Constitution, but the i consent of two-thirds of tho Members present shall bo ne- cessary to constitute a vote, and the yeas and nays on each question shall be recorded. ARTICLE VII. Of the Anniversary Jlssembly. As tho benevolent views of the Society will be greaty pro- moted by a social intercourse among the members, the So- ciety shall hold an Anniversary Assembly, and such mem- bers as may be thereunto disposed, shall dine together on St. Andrew's Day ; and tho Members shall on that day appear with a St. Andrew's Cross, or a Thistle, displayed on the left breast. When SL Andrew's Day happens on a Sunday, the first day of December shall be observed as the Festival. ARTICLE VIII. Of the Duty of the President. The President shall when he is present preside in all meet- ings of the Society, preserve order, put the question, and declare the decision. He shall call a special meeting of the Society when he shall judge it proper, or when applied lo for that purpose by the Board of Managers before mention- ed, and ho shall appoint the place of all Meetings. He shall likewise sign all orders on the Treasurer from the Board of Managers. ARTICLE IX. Of the Duly of the Vice Presidents. The duties specified in the foregoing Article shall, in the absence of the President, devolve on the First Vice Presi- dent, and in the absence of both, on the Second Vice Presi- dent, only that in regard to signing orders on the Treasu- rer, each shall have equal powers with the President. AUTICLE X. Of the Duty of the Managers. The Managers shall constitute n Board for dispensing tho Society's bounty, ngroeabiy to tho regjilntions and restric- tions prescribed in this Constitution or by the Laws and lie- solves of tho Society, and for this purpose they shall meet, at least, once a month, and four shall bo necessary to form a quorum. At their meetings they shall only decide on tho application of claimants, and if a majority of those present consent to grant relief, they shall recommend them to tho President, and Vice Presidents, either of whom is authori- sed to draw on the Treasurer for the sum specified in tho recommendation of the Managers. — Provided that no moro than two pounds be given to any one head of a family in one year, unless it be othcrwiso determined at a meeting of "the Society, and provided also, thai the whole sum thusdis- peiiscd by tho Managers and by iho Society in one year, does not exceed the revenue of tho Society for that year, unless it bo done agreeably to the mode specified in the eighteenth Article. And none shall be objects of tho Socie- ty's bounty, but such resident members thereof as may be- come indigent, and poor natives of Scotland, and children and grand ciiildren of natives of Scotland, or of resident members of the Society, unless it shall be otherwise deter- iTjined at a Meeting of the Society. Tho Managers shall likewise recommend to the attention of the Chaplains and Physicians, such persons as ihey suppose might be benefit- ted by their assistance. At all meetings of the Society, they shall, under the direction of tlie presiding ofllccr, pre- serve order and decorum, regulate tho ceremonial, and at- tend to tho collection and payment of the expenses, and jointly or severally, pay attention to Emigrants from Scot- land, to enquire into their treatment during the passage, and into their circumstances and views, to assist them with their advice, and to recommend such of them as they may think proper, to the President or Vice Presidents for pecuniary relief. It shall be tho duty of tho Chaplains to perform tho rrii- pious duties customary at tho Meetings of the Society, by Jhcir counsel and advice, to promote harmony and g)i»d will among tho members, and to visit such sick and distressed persons as may bo rccomniondcd to their utlentioii by liiQ Board of Managers. ARTICLE XIL Of the Duly of the Physicians. It shall be tho duty of tho Physicians to give their ndvico and nssistnnce to such sick or maimed persons as may bo recommended to their care by the Boaid of Managers. ARTICLE XIIL Of the Duty of the Treasurer. Tho Treasurer shall have tho custody of tho money and other property of the Society. He shall keep reutular ac- counts of his receipts and expenditures, in suitable hooks provided for that purpose. Ho shall, at each Quarterly Meeting, present an abstract of his accounts, stating the sum re»jeived and expended since the previous meeting, and like- wise the wholo amount received and expended since tho pre* vious Anniversary Festival, and specifying the Cash in hand, and what may become due before next meeting, that the So. ciety may, if they think proper, take order for the disposi- tion thereof. He shall enter on his books each sum paid by him in consequence of the recommendation of the Board of Managers, the name of the President, or Vice President who signed the order, and tho name of the persci to whom tho money was paid. ARTICLE XIV. Of the Duty of the Secretary. The Secretary shall have the custody of all the records and journals of the Society, and shall make a regular entry of all ;he proceedings at each meeting. He shall keep a list of t'itQ members of the Society, and an account ol the fees B 10 anu cues that accrue, shall collect the same, and take re- ceipts when he ninkes payment to tho Treasurer. Ho shall summon the resident members to all meetings directed in this Constitution, or called by the presiding oflicer. He shall, on the order of the Society, erase from tho list ol members, tho names of all such persons, as by the terms of this Con- Kiitutinn, shall have forfeited their title to membership, ma- king a report theruot at the next meeting. He shall appoint a messengci to the Society, for delivering nctificntions of the time and place of meetings, a suitable person for collect- ing dues, under his direction, for whope fidelity he shall be responsible. He shall also have the custody of the Seal and the Badges of the Society. ARTICLE XV, Of the Death, Resignation, or Removal of Officers. In case of the death, resignation or removal of any of the Oflicors during the year for which they were elected, the Society shall, at the next meeting, choose others in their room, to serve for the remaining part of the year. ARTICLE XVL Of the Committee of Accounts, and the Committee of /«- stalment. The Members of this Society shall faithfully observe and conform to all the rules and regulations that shall be made by the Society, and entered in the Books thereof, on pain of being dismissed from it, and having their names erased from the list of Members. ARTICLE XXV. Of the Expulsion of Members. If twt) thirds of the Members present at any General Meeting shall vote for the expulsion of a Member, his name shall be erased, and he shall never aftervvards be admitted to attend any Meeting of the Society, untess again elected by Ballot as in the first instance. ARTICLE XXVr. Of the mode of altering the Constitution.
