D., John McMurray, Henry Pope, Jr., James Taylor, A. W. Nicholson, John Lathern, and Joseph Hart; Honorable Abner R. McClelan, Mariner Wood, Henry B. Allison, John Starr, Joseph Prichard, James D. M , and their successors duly appointed as herein provided, shall be and continue a body corporate under the style and name of " The Board of Governors of the Mount Allison Wesleyan College and Acade- mies," and shall have a common seal, with power from time to time to alter, renew and change the same as may be found convenient, and by that name shall have all the powers, rights and privileges made incident to a Corporation by any Law or Act of Assembly in force in this Province, and shall have full power and capacity in its corporate name to purchase, receive, take, hold, possess and enjoy for the use and benefit of said College and Academies, as well goods and cha:te]s as messuages, lands, tene- ments and hereditaments, and improve and use the same for the benefit of the said College and Academies , and also to receive, take, hold, possess and enjoy for the use and benefit of the said College and Academies any rights, privileges, goods, chattels, messuages, lands, tenements, hereditaments and moneys that may at any time be given, devised or bequeathed to the pame ; and shall have full powei to take, receive and enjoy all profits, rents, interests, dividends and increase of any such goods, chattels, right?, privileges, moneys, lands, messuages, tenements, or here- ditaments ; and the said Corporation is hereby fully empowered and authorized to convey, sell, assign and transfer any of its property, either by way of mortage or absolutely, and to convert the said property or any part thereof into money, and frori'. time to time to invest any moneys of the said Corporation in such securities and such manner as the Co-poration may see fit, and with full power in the said corporate name of " The Board of Governors of Mount Allison Wesleyan College and Academies," to release and cancel any mortgage or mortgages which may hereafter be made to them, or w, Ich may come to them as now belonging to •* The Trustees of the Mount Allison Wesleyan Academy : " 38 Vic. chap. 74, sees. 1 and 4. 2. That the said Corporation shall consist of eighteen (18) members, sixteen of whom shall be appointed by the General Conference of the Methodist Church of Canada at its quadrennial meetings, and two of whom shall be appointed annually by " The Alumni Society of the Mount Allison Wesleyan College and Academy:" Id. sec. 2. 3. The said Corporation, " The Board of Governors of the \ \ Mount Allison Wcsleyan College and Academies," shall not lapse by reason of either the said General Conference or the said Alumni Society failing to appoint members to the same as herein provided, but members of said Board shall continue members until others are appointed in their places : Id. sec. 7. 4. In case any vacancy shall occur in said Board by the death, removal or resignation of any member so appointed by said General Conference of the Methodist Church of Canada, or under the provisions of this section, the said Board at any meeting duly held shall have power to fill such vacancy, and such members so appointed shall be invested with equal rights and powers with the other members, and shall so continue in the same until reappointed or others are appointed in their places by the aforesaid General Conference: Id. sec. 5. 6. The said Board shall, at the first annual meeting .'ifter each quadrennial meeting of said General Conference, appoint a Chairman and Secretary, who shall hold office until the next quadrennial meeting of such Conference, and shall have power at any annual meeting, or any special meeting called for that purpose, in the case of the death, removal or resignation of such Chairman or Secretary, to appoint another Chairman or Secretary, and also to appoint a temporary Chairman or Secretary at any annual or special meeting, in case the Chairman or Secretary be absent : Id. sec. 6. 6. The annual meetings of said Corporation shall be held at such times and places as shall be from time to time appointed by said Corporation at its annual meeting: 19 Vic. chap. 65, sec. 3. 7. Ai:y two of the members of the said Corporation shall have power, at any time after fifteen days' notice, to call extra- ordinary meetings of the said Corporation, specifying in such notice the time and object of such meeting, which meeting shall be holden in or near the Academy at Sackville, and no business shall be done thereat other than what is specified in such notice : 12 Vic. chap. 65, sec. 5. 8. Six niombcrs of the said Corporation shall form a quorum for the transaction of business, bat any less number may adjourn from time to time till a lull attcn lance can be obtained, and in no case shall any corporate act or vote be binding unless it is assented to l)y at least four members of tiie said Corporation: Id. sec. 6. The Mount Allisox Weslkyan College. 9. The said Corporation aie hereby authorized and empow- ered to found, establish, maintain and manage a Collegiate Institu- tion at Sackville, to be designated and known as " The Mount Allison Wesleyan College:" 21 Vic. chap. 57, sec. 1. 10. The said Board of Governors shall from time to time appoint and remove the President, Professors and Tutors of the said College, and such other instructors, officers and servants as they may deem necessary for carrying on the financial, educational and other departments of the said College, prescribe their duties, and allow them suca remuneration for the respective servici^s as they may deem advisable: Id. sec. 3. 11. The President and the Professors appointed according to the preceding section shall constitute the Faculty of the said College : Id. sec. 4. \2. The College Board shall consist of the Faculty and said Board of Governors: Id. sec. 5. 13. The College Board shall prescribe the requisites for matriculation, the course of study for undergraduates, and regu- late all other matters relating directly to the department of educa- tion : Id. sec. 6. 14. Whenever the said Mount Allison Wesleyan College shall have a Faculty consisting of a President and two or more Professors, and ten or more regularly matriculated Students, it shall have full power and authority to confer upon properly- qualified persons the Degree of Bachelor, Master and Doctor in the several Arts and Faculties, in the manner and upon the conditions which may be ordered by the College Board : Id. sec. 7. The Mount Allison Wesleyan Academies. 15. The said Corporation shall have power to support and i a c s i * maintain an Academy (Academies), and carry on, conduct and manage the same : 12 Vic. chap. »)•">, src. 1. 16. In the event of the death, resignation, or removal from office of the Principal of the said Acudcmy, the siiid Corporation shall have power to appoint a Principal, and whenever they may consider the interost of the said Acad(;m> requires it, may remove the Principal from otricc; ; provided that in all such cases ii majority of the memhers of the ('orporation for the time hoing shall agree to such appointment or removal: LI. sec. 7. 17. The said Corporation shall have power to rpooint a Treasurer, Secretary, and such other officers and servants aa they may from time to time deem necessary for carrying on the fiiian- cial, educational, and other departments of the said Academy, and allow them such compensation for their respective services as they may deem advisable : Id. sec. 9. Genkkal. 18. No person shall teach, maintain, promulgate or enforce any religious doctrine, or practice in the said Academy (College or Academies;, cr any department thereof, or in any religious services held upon the said premises, contrary to what is cuataiiied in certain Notes on the New Testament, commonly reported to be the Notes of the Reverend John Wesley, A. M., and in the iirst four volumes of Sermons commonly reported to have been written by him : Id. sec. 11. 19.
