All persons who have already paid their entrance fee and three months' subscription, and all persons who shall be duly elected hereafter under this Constitution and these rej^ulations, and shall have paid their entrance fee and nionthh^ subscription for the time being, shall be ordinary members of the Club. Such members may be required at any time to sign a copy of the rules and by-laws. III. The legal title and ow^nership of all the property, effects and assets of the Club shall vest in the trustees in trust in the first place for securing the amount for the time being 199536 — 4— due and outstanding on debentures, and sub- ject thereto in trust for the benefit and en- joyment of the ineni1)ers so lon,t!j as they shall be members. I)c1)enturcs may be issued, not to exceed looo in number, for I25 each, bear- ing interest at not exceeding ten per cent, per annum (which interest shall be available for the payment of the monthly subscription of any member, whether a debenture holder or not), secured upon the land, buildings, furni- ture and other assets of the Club, but not so as to render any member personally liabde, IV. General meetings of the Club may be ordinary or annual, or else special or extra- ordinary. An annual or general meeting shall be held on the last Thursday in October in every year to elect a committee of management for the ensuing year ; to receive the reports and accounts of the Committee for the expire])lace n treasurer or secretary. (d), To suspend members as hereinafter mentioned. (e), To issue debentures and take other steps for carryinjji; out clause 3, as hereinbe- fore set forth. But no money shall 1)e raised by debentures except for strictly ca])ital pur- poses, and not at all for revenue, and not to exceed 125,000 in the aj^jjjrej^ate without the sanction of a s])ecial j^eneral meetintj, nor shall any money raised by debentures be applied for such purposes as ou^lit to be de- frayed by rej^ular revenue ; with power also from time to time to pay off the same deben- tures, or any of them as they may see occa- sion, and to authorize all expenditures con- cerning the Club. (f), To make such further provision for honorary, privileged and introduced members as they shall think fit. (g), To administer generally all the internal affairs of the Club, and by house rules (not being inconsistent herewith or with any by- law) to fix the tariff of prices and charges, arrange modes of payment and checks, and make rules for the billiard room and card room, and other parts of the Club premises. XII. The Committee shall meet on the first Thursday in every month if necessary, or oftener if they shall think fit, and at such place and hour as they shall think proper, and -9— I adjourn at pleasure. I'our shall he a quorum for the Irausactiou of husincss, except as in Section XXIII. A hare majority shall de- cide on any (juestion. The ])erson in the chair shall have a castinj^ vote in case of e(piality of votes, in addition to hi« own vote as Coniniitteenian. XIII. . The Cluh may at a special meetin.i( remove any Committeeman or other oiTicer (exce])t a Trustee), who shall, nevertheless, hold office until his successor is a])pointed. XIV. The receipt sijj^ned hy the Secretary shall he a sufficient dischar,iije for all monies due to the Cluh therein ex])ressed to he received ; nnd, in case of mem »er's suhscriptions, shall alone, without further si^j^nature or adoption of these or any other rules, entitle the mem- her holding such receipt to all the henelits and advantages of memhership, so far as the same depends on the payment therein referred to. And such payment hy such memher shall he a distinct acknowledgment on his part that he is hound hy all the rules and hy-laws, house rules and regulations ot the Cluh for the time heing in force. But no person shall he ahsolved from ohetlience to any such rule or regulation hy reason of not having re- ceived or signed the same. XV. All notices to he served on the Cluh shall be deemed duly served if hamled to or left for •10 — the Secretary at the Chib before 4 p. m. on any day. The Secretary shall be bound to countersign the same and post it on the notice board. All notices to be served on any mem- ber having his address in Nev/ Westminster shall be deemed duly served twenty-four hours after the posting of the same, duly prepaid, at the New Westminster Postoffice. All by-laws and hou.se rules within section (g) made by the Committee shall be posted on the notice board. House rules shall come into force at once; by-laws at the end of one calendar month, unless set aside within that time by a special general meeting. XVI. All new ordinary members shall be ad- mitted by ballot. No such balloting, how- ever, shall take place at general meetings, but only at ballot meetings (at which no business shall be transacted except the election of new members), and the said ballot meetings shall be monthly and be held on the first Tuesday of each month. Every candidate must be nominated by one ordinary member and sec- onded by another ordinary member. The name and address and calling of the candi- date, and the names of the proposer and seconder, must be posted upon the notice board, and also on such other place (if any) as the Committee shall think fit to direct, for at least ten days before the 1)allot meeting. The ballot box shall be kci)t open from I to 2 p. m. and from 4:30 to 6 p. m., and shall during these hours be in charge of the Secre- tary and one of the ordinary members of the — 1 1- Club, or, in the absence of the Secretary, one Committeeman. At 6 p. m, the ballot box .shall be opened ami the ballots counted in ,the presence of three ordinary members, one at least of whom shall be a Committeeman. If three committeemen are in the Club at 6 p. m. then the three committeemen .shall count the votes. If only one Committeeman be in the Club at 6 p. m. then he shall request such two ordinary members as he may think fit to assist in counting the l)allots in the presence of the Secretary or Committeeman in char;.(e. If there be no Committeeman in the Club at 6 p. m., or if there be less than two other ordinary members then present, the ballot box shall remain unopened in the custod}^ of the Secretary till the followin;^ day, when the same shall be opened at i p.m. and the result declared in the same manner as if the proper number of committeemen or members had been present at the closing of the ballot on the ])revious day. If there are not three onlinary members (one being a Committeeman) on the following day, then the whole of that ballot shall be void as if it had never taken place. If any candidate has less than fourteen votes in all the ballot shall (i)iit as to such candidate only) be null. One black ball in seven shall exclude. The re- suit, election or non-election, shall be im- me'iiately declared, but iio other particulars, ex' ept in case of a deficiency of the total nuiuber of votes. XVII. The entrance fee shall be $25, sulyect to increase at any annual general meeting. The monthly su1)Scription shall be $2 for resident ordinary and lionorary members, and $1 for non-resident or ordinary members, being those who reside a greater distance than five miles from New Westminster City, payable quarter- ly in advance. XVIII. The Committee may place on a list of honorary members (without ballot) : All officers of the regular navy or army of any recognized State, being on active service or on temporary leave of al)sence from their ships or corps, vShall, on payment of one nio;ith's ordinary member's subscription in advance, be admitted without any l)allot or entrance fee to all the privileges of the Club for a period of one calendar month, and shall at the end of such period of one month be re-eligible for a like period, and so on from time to time. XIX. XX. entrance fee or Any ordinary member may introduce, without any ballot or payment, any stranger for any number of days, not less than a day at a time and not exceeding fourteen in the year, if resident more than five miles from New Westminster. The Committee shall have the power of admitting by ballot, os a temporary member, any person not residing within five miles of New Westminster, who has been duly proposed and seconded by two ,, ordinary members of the Club and whose name .shall have been placed on the black- board for at least three days previous to his election as a temporary member for a period of one month, and not exce-^'ding three months, at the rate of $s per month, payable in advance. A register of the number of days for which a visitor is introduced shall l)e kept by the Secretary of the Club, and tlie introduced member shall be forthwith notified accord- ingly- Every honorary, privileged, introduced or tem])orary member shall be entitled during his respective mend^ership to all the priv- ileges and advantages of the Club, except voting, holding office or introducing mendoers. XXI. Any ordinary mend)er who shall be for one calendar month in arrear of any payment whatever due to the Club, may be posted as — 14— indebted to the Cliil), and after notice and a default of two calendar months further, it shall be the duty of the Committee to suspend him from being a member, and he shall thereupon lose all the privileges of a mem1)er and shall not be entitled to be admitted upon the premises unless restored as herein- after mentioned. XXII. Any person posted as being indebted to the Club shall not be entitled to propose or second, or to continue as the pro])oser or seconder, of any candidate, nor to introduce any stranger under vSection XX. XXIII. In case the conduct of any member, either in or out of the Clul) house, shall, in the opinion of the Committee, be injurious to the character or interests of the Club, the Com- mittee may reprimand, fine or suspend tem- porarily such member as a majority of the Committee may see fit, or they are empowered to recommend such member to resign ; pro- vided that no such recommendation shall Lv, sent to any member unless the same shall have Ijeen agreed to by two-thirds of the members of the whole Committee at a meet- ing of the Committee specially summoneil for that purpo.se. And if such members do not resign within the space of one calendar month from the notification of such recommendation of the Committee it shall be the duty of the Committee to sus])end him. Provided, also, that if the Committeemen present at such meeting are unanimously of opinion that the ofTence of such member is of so grave a char- acter as, in the interest of Lhe Chib, to war- rant his immediate expulsion, the Committee at such meeting are hereby emyjowered forth- with to suspend him from the use of the Club. All suspensions, either under this Section or Section XXI, shall be final, unless twenty ordinary members of the Club shall, within twenty-one days, demand an extra- ordinary general meeting to take the conduct of the offending member into consideration, and immediately on the close of such meeting a ballot for the restoration of the suspended member shall take place and be kept open for two hours. One black ball in seven shall exclude. Any fine under this Section shall not exceed I25.00. XXIV. No sectarian nor political discussion or demonstration shall be permitted in the Club. XXV. No member of the Club while serving as a Committeeman shall be directly concerned in supplying any stores to the Association. fG)(9) 13y = La\vs. 1. The Club shall be open every day ex- cept Sunday until i a. m., closing on that day at 12 o'clock, midnight. 2. No dogs shall be admitted on any part of the premises. 3. No games shall be allowed in the Club on Sundays. No games at cards shall be per- mitted in the Club, except such as are author- ized and approved by the Committee, who are also to have power to fix the limits of all stakes at any game i)layed in the Club. 4. No letter or communication for any newspaper shall be dated from the Club, nor shall the address of the Club be used for any advertisement. 5. No notice or advertisement shall be posted up or published in the Club, except such as are countersigned by the Secretary and sanctioned b}- the Committee. 6. All commnnications are to be addressed to the Secretary. 7. No member is to chide or in any way find fault with a servant, but shall, if he thinks fit, report him to the Committee, who shall deal with the case and announce the result. —17- 8. No member shall give any gratuity whatsoever to any servant. The receipt of any gratnity shall render the servant liable to immefliate dismissal without notice, and with forfeiture of any wages then due. 9. The introducer of any introduced mem- l)er shall be liable for any debts he may incur to the Club. ro. No smoking allowed in dining or writ- ing rooms. 11. Any member breaking or injuring any article shall replace or pay the cost thereof to the Club. 12. No member shall, under any pretext, remove from the Club premises any book, paper or other article belonging to the Club, except in accordance with the house rules, which the Committee are hereby authorized to make for such purposes if they shall think fit. 13. No one but an. ordinary, privileged, honorary, introduced or temporary member, within vSections XVIII. XIX and XX. shall, on any pretext, be admitted into the Club rooms, or supplied with any refreshments, or allowed to use or enjov anv of the privileges of the Club. If any member shall procure the admis- sion of any stranger contrary to the above rule, the Steward or other servants are strictly ordered to draw the a+tention o^ such member to this rule, and to report the same forthwith to the Secretary or to one of the Committee. Should a member infringe this rule a second time he shall, in the discretion of the — 18— Committee, be liable to exp sion from the Club. ' 14. No member being in arrears of any payment to the Club shall be allowed to retire from membership without the sanction of the Committee. 15.
