 Victoria by the Graôe of Gotl of the United Kingtloin of Great Biitein and

 To ail to whom thèse pnsents shall came, greeling : \ ' 
 
 Whereas William E. Logan, John O. Browne, Fre<lerick F. Passmore, Kivas 
 Tully, William Thomas, Thomas Ridout, Sandford Fleming, and others of Our 
 loving subjects in our Province of Canada, hâve formed themselves into a 
 Society for the encouragement and gênerai advancement of the Physical 
 Sciences, the Arts and Manufactures, in this part of Our Dominions ; and more 
 particularly for promoting the acquisition of those branches of Knowledge which 
 - are connected with the Professions of Surveying, Engineering, and Architecture ; 
 being the Arts of opening up the Wilderness and preparing the country for the 
 pursuits of the Agriculturist, of adjusting with accuracy thcf boundaries of 
 Properties, of improviiig and adorning our Cities and„ the habitations of our 
 subjects, and otherwise smoothing the path of Civili||^n ; and also being the 
 Arts of directing the great source^ of Power in NaTO«°for the use and con- 
 venience of man, as the means of production and of traffif both for external and-^ 
 internai trade, and materially atlvancing the developmeut of the .Resources and 
 of the Industrial Productions and Commerce of the country ; and hâve com- 
 menced the formation of a Muséum for collections of Models and Drawings 
 of Machines and Constructions, New Inventions and Improvements, Geological 
 and Mineralogical Spécimens, and whatever may be calculatetl, either as Natuial 
 Productions or Spécimens of Art, to promote the purposes of Science and the 
 gênerai interests of society, and hâve subscribed and collected certain sums of 
 money for thèse purposes. 
 
 And whereas, in order to secure the propefrty of the said Society and to 
 extend its useful opérations and at the same time to give it a more permanent 
 establishment among the Literary and Scientific Institutions of this part of Our 
 Dominions, we hâve been besojight to grant to the said William E. Logan, John 
 O. Browne, Frederick F. J>assmore, Kivas Tully, William Thoïkias, Thomas 
 Ridout, Sandford Fleming, and to those who now are or shall hereafter becomo

 members o£ the said Society,) our Royal Charter of Incorporation, for the purpose 
 aforesaid. ' i 
 
 Now knOw ye that We, l)eing désirons of encouraging a design so laudable 
 and 8alutary,Vf Our especiajl grâce, certain knowledge, and mère motion, hâve 
 willed, grante<l and decla;-e<}, and do by thèse présents for Us, Our Heirs and 
 Successors, will, grant and déclare that the said William E. Logan, John O. 
 Browne, Frederick Passmoife, Kivas TuUy, William Thomas, Thomas Ridout, 
 Sandford Flemiing, and suchi others of Our loving subjects as are now members 
 of the said Society, or shall at any time hereafter become members thoroof 
 acconling to such regulationis or by-laws as shall be hereafter framed or enacted, 
 shall by virtue of thèse présents be the members of, and forra one body politic 
 and corporate for the purposes aforesaid, by the name of " The Canadian Insti- 
 tute," by which name they shall hâve perpetuaF succession and a common seal, 
 with fuU power and authority to alter, vary, brt'ak, and reuew the sjime at 
 their discretioîi, and by the same name to sue and l>o sued, implead, anil be 
 impleaded, answer and be ahswered unto, in every court of Us, Our Heirs and 
 Successors, and be forever capable in the law to pureliase, reçoive, possess and 
 enjoy to them or their successors, any goods and ehabtels whatsoevcF, and 
 also to be able and capable in law (notwithstanding the Statutes of Alortmain) 
 to take, purchase, possess, hold and enjoy^ to them and their successors, a Hall 
 or House, and any Messuages, Lands, Tenements, or Hereditaments whatsoever, 
 the yearly value of which, including the site of the said Hall, shall not exceed 
 in the whole the sum of Two thousand pounds, Computing the sivme respectively 
 at the rack rent which might hâve been had or gotten for the same respectively 
 at the time of the purchase or acquisition thereof, and to act in ail the concerns 
 of the said body politic and corporate for the purposes aforesaid tis fully and 
 effectually, to ail intents, efiFects, constructions and purposes whatsoever, as any 
 other of Our liège subjects or any other body politic or corporate ^in Our said 
 Province of Canada, not being under any disability, might do in their respective 
 concerns. ' 
 
 And We do hereby grant Our especial license and authority unto ail and 
 every person and persons, bodies politic and corporate, otherwise compétent, to 
 grant, sell, alien, and convey in Mortmain unto and to the use of the said 
 Society and their successors any Messuages, Lands, Tenements, or Heretlita- 
 ments, not exceeding such annual value as aforesaid. And Our will and pleasure 
 is, and We further grant and déclare, that there shall be a General Meeting of 
 the Members of the said bbdy politic and corporate, to be held from time to 
 time as hereinafter mentioned, and that there shall always be a Council to 
 direct and manage the concerns of the said body politic and corporate, and that 
 ihe geneial meetings of the Council shall hâve the entire direction and manage- 
 meht of the ^me in the manner and subject to the régulations hereinafter 
 mentioned. But Our will and pleasure is, that at ail General Meetings and 
 Meetings of the Council, the majority of the members présent, and having 
 a right to vpte thereat respectively, shall décide upon the matters propounded

 E. Logan shall be the lirst Président of the said body politic and corporatei 
 
 And We do hereby further will, grant and déclare that it shall be lawful, for 
 the members of the said body politic and corporate hereby established to hold 
 General Meetings once in the year or "oftener, for the purposes hereinafter 
 mentioned — viz., that the General Meeting sTiall choose the Presideiit, Vice- 
 Présidents, and other Me,mber8 of the Council ; that the General Meeting shall 
 make and establish such by-laws as they shall deem.to be useful and necessary 
 for the régulations of the said body politia and corporate, for the admission 
 of members, the establishment of Branch Societiea, the management of the 
 estate, goods, and business of the said body politic and corporate, and for fixing 
 und determining the manner of electing the Président, Vice-Présidents, and 
 other Members of the Council, and the periotl of their continuance in office, 
 as also of electing and appoiijting a Treasurer, two Auditors, and two Secre. 
 taries, and such other officer^^tendants, and servants, as shall be Heemed 
 necessary or useful for the said botly politic and corporate, and such by-laws 
 fi-om tipae to time shall or may alter, vàry, or revoke, and shall or may make 
 such new and other by-laws as, they shall think most useful and« expédient, 
 so that the same be not répugnant to the la^s of England, to thèse présents, 
 or to the laws and statutes of this Our Province of Canada, and shall and may 
 also enter into any resolution and make any régulation respecting any of the

 management of the income and funds of the said body politic and corporate, 
 and also the entire management and superintendence of all^the other affairs

 contrary to the provisions of this Our Charter or any existing by-laws, thé laws 
 of England, or the lawa and statutes of Our said Province of Canada — do ail 
 such acts and deeds as shall appear to them necessary or essentiid to be done

 . 1. The Canadian Institute, established under Royal Charter, November 4th, 
 1851, shall consist 6^ Ordinary, Honorary, Corresponcjjng, Life, Junior, and 
 Associate membera. AJl pensons who are desirous of forwarding the objecta of 
 the Institute are eligible to me|nbership. 
 
 2. Persons wishing to be admitted as Ordinary members must be proposed at 
 least one week before élection, in accordance with a form of application given

 4. Honorary meinbers shnll be persons eminent for their services to science and

 memljers, who shall state the reasons for their recommendation, in writing, 
 sijich recommendation to be transniittetl throngh the Secretary to the Councii. 
 If approved, ît shall be si^ed by the Chairman, and read at the^next ordinafy 
 meeting, previous to the ballot being tjiken. 
 
 5. Corrosponding members shall be persons who hâve shown- interest in the 
 work of the Institute, or who hâve made or are likely to make contributions to the

 1. The Président shall hâve the gênerai direction of the affairs of the Institute 
 subject to the Régulations, préside at ail meetings of the Institute or the Coun- 
 cil at which he is présent, and regulate and keep order in the procéedings. 
 
 2. The Vice-Présidents shall (in the order of their precedence) discharge thèse 
 <luties in-the absence of the Président. 
 
 3. In the absence from any meetings of the Président and Vice-Présidents^ the 
 members présent may elect one of their number to take the chair. 
 
 4. The Treasurer shall receive foc or on account of the Institute ail moneys 
 payable to it, keep an account thereof, and deposit them forthwith in one of the 
 Bivnks in the cit^f Toronto to the account of and for the use of the Institute, 
 unless otherwise ordered by the Council. No money shall -be paid out except 
 by order of the Council. 
 
 5. The Secretary shall keep the seal of the Institute and send out the notices 
 provided for in thèse Rules. He shall take minutes of ail the procéedings of 
 the Iiiétitute and of the Council, enter them in proper boolcs, and read at each 
 meeting the minutes of- the previous meeting. Subject to the direction of the 
 Ghairman he shall bring before the meeting ail business matters according to the 
 order established in thèse régulations and conduct the correspondence of the 
 Institute. 
 
 6. The Secretaries of Sections shall perform the like duties for their respective 
 Sections, and shall, on or before the 20th day of April of each year, présent

 Council from among its membere at the first meeting thereof after the Annual

 intended for publication shall be handed to the Editor at the close of the meet- 
 ing» at which they are read, or as soon as possible thereaf ter, and the décision as 
 to publishing any paper shall rest with the Editing Committee. 
 
 Every report of any Section, Committee or officer of the Institute shall be

 9. The Librarian shall bave the care of ail books, documents, plans, drawings, 
 and the gênerai superintendence of the same, under the direction of the Council. 
 He shall keep a list of ail donations to the library, and report them to the

 10. The Curator shall bave charge of the muséums and of ail models and 
 spécimens deposited therein, and the gênerai superintendence of the same, under 
 the direction of the Council. He shall keep a list of ail contributions and con- 
 tributors to the muséums, and report them to the Council at the next meeting. 
 
 Assistant Curators may be appointed by the Sections, and shall assist the 
 Curator in the care of the muséums and the spécimens contained in them so far 
 as relates to their own departments. 
 
 SECTION VI. 
 
 OF MEETINGS. 
 
 1. The ordinary meetings of the Institute shall be held at such times as the 
 Council shall direct, but may be changed by resolution of the Institute at any 
 gênerai meeting, after one month's notice. Until otherwise ordered, they shall 
 be held at 20 o'clock on each Saturday from Ist November to Ist of May. 
 
 2. The ordinary meetings of Sections shall take place at the times agreed 
 upon by those sections, with the approval of the Council. 
 
 3. Spécial meetings of the Institute may be called : — 
 
 (o) By the Council, giving six days' notice in writing, and sending
