The obj-ctof the said Corporation is hereby declared to be the promotion of sound education and the advancement of the interests of the Mount Allison Educational Institu- tions, by such vvays and means as the said Corporation may from time to time deem advisable. 3. All graduates of the said College, and all persons hold- ing degrees from the said College, and all persons who have attended the regular classes of either the said College or Academy, shall be eligible as members of the said Corpor- ation, but none others ; all persons who may at the time this Act comes into operation be members of the said Society or Association hereby incorporated, shall be and they are hereby declared to be members of the said Corporation. 4. OFFICERS. '1. The Officers of the Society shall consist of a President, who shall be an Alumnus of not less than five years standing, three Vice-Presi ents, a Secrctaiy-Tr. asurer, and two Assis- tant Secietaries. The Officers so elected, together with five other member>* also elec'ed as hereinafter mentioned, shall constitute the Council. SENIORITY CP VUE-PKESIDENTS. 5. Seniority of Vice-Piesiderts shall be determined, first, by greatest number of votes received, or, if the number of votes be equal, then by seniority in years as an Alunmus. DUTIES OF OFFICERS 6. Pres'idcnf.— It shall be the duty of the President to pre- side at all meetings of the Socic'/, and in his absence, the senior Vice-President present. 7. Secretary-Treasurer.— li shall be the duty of the Secre- tary Treasurer to keep the records and conduct the corres- pondence of the Society, and to collect the dues and hold the funds of the Society, subject to its order. The Assistant Secretaries shall give such assistance to the Secretary-Treasurer in his duties as he may at any time require. THE COUNCIL. 8. The Council shall constitute a Board of Management for transactino; the business and affairs of the Society, and 11 shall meet for the transaction of business of the Society at such time and place as the President shall direct ; provided, that in case such meeting be held at any time other than the day on which the annu d meeting is held, or either of the two days immediately following the day of such annual meet- ing, due notice thereof shall be given by the Secretary- Treasurer. QUORUM — COONCIL. 9. Four members of the Council, of whom the President or a Vice-President shall be one shall constitute a quorum for the transaction of business, and shall have full power to fill all vacancies, appoint sub-committees and generally to exer- cise all the powers of the Society. QUORUM GENERAL MEETING. 10. Ten members shall constitute a quorum for the trans- action of business at any general or special meeting of this Society. ELECTION OF OFFICERS. U. The officers and other members of the Council shall be elected by ballot at each annual meeting and shall hold office for one year or until others are elected in their stead, such election to take effect immediately upon the conclusion of the annual literary exercises. LIFE MEMBERS. 12. Subject to the provisions of the Act of Incorporation any person may become a life member of the Society, by the payment of thirty dollars to the Secretary-Treasurer, who shall then enter his name upon a roll of life members to be kept by him for that purpose. 1' MKMHKR8. 13. Subject as aforesaid, the payment of the sum of two dollars by any person to the Secretary-Treasurer shall con- stiture him a member of this Society, and the Secretary- Treasurer shall thereiipon enter his name on the roll of mem- bers to be kept by him for that purpose. YEARLY SUBSCRIPTION. 14. All members other than life members shall pay a yearly subscription of two dollars, and no member whose fees are unpaid shall be allowed to vote at any meeting. DISCONTINUANCE OF MEMBERSHIP. 1 5. The Society may at any general meeting, or any special ireeting cfilled for that purpose, and upon good cause shewn, and after due notice to the member charged, by a two-thirds vote of the members present, strike irom the roll of member- ship the name of any such member, and any member may by notice in writing served on the Secretary-Treasurer, with- draw from said Society after payment of all dues up to the end of the the- year. ELECTION TO THE BOARD OF G0VEKN0R3, ETC. 16. The election of the two members to be members of " The Board of Governors and Trustees of the Mount Allison Wesleyan College and Academies," shall be by ballot at the annual meeting each year, and a certificate of their appomt- ment shall be given them under the hand of the President and Secretary-Treasurt r, and the seal of the Society. AMENDMENT OF BY-LAWS. 17. The By-Laws may be amended by a two-thirds vote at any regular moeting, or any special meeting called for that purpose. 18 DUE NOTICE. 18. Mailihg Notices of Meetings by the Secrttaiy-Treasurer to each meml.er of the Society at least ton days before any such meetings, shall be held to be "due notice." ORDER op PROCEEDINGS. 19. The Order of Business, at any annual meeting shall be as follows : — 1. Reading Minutes, Reports and pnssing Accounts of Secretary-Treasurer. 2. Receiving Reports of Council and Committees. 3. Under tae old By-Laws auy member vhose annual subscription was unp^iid for more than one year ceased to be a member.
