US th&t there has existed during the last two hundred yearis and uoes now exist in that part of our Province of Canada, called Lower- Canada, a Seminary estabUshed for the education and iastmction of youth, and known by and under the Corporate style and title of " Le S6minaire de Qu6bt'c ; " that the said Sc iiinary comprises a School of Divinity and classes of iustructior in Science and Literature at pre- sent frequented by more than four hundred pupils ; that the said Corporation is amply en- dowed, being provided with abundant means f.n- carrying out its objects without assistance from the Provincial Legislature ; that it possesses extensive and valuable libraries, rich and costly collections of all kinds of Philosophical and other apparatus requisite for assisting in imparting a knowledge of the Sciences. AND whoreas humble application hath been made unto US by the very Reverend IjOuis-Jacques Casault, Superior of the said Seminary, and the Reverend Antoine Parant, Joseph Aubry, John Holmes, Leon Gingras, Louis Ginoras, Michel FoRrtuEs, Elzear- Alexandre Tasohereau and Edward-Joiin Horan, Directors of the said Seminary, that We would be pleased to grant our Royal Charter for the purpose of authorising the said Cor- |M)ration to confe.- Degrees and granting unto the said Corporation all other the privileges usually granted to and enjoyed by Universities. AHD WE do hereby for US, our Heirs and Successors, declare, ordain and grant that the said Rector and said Professors of our said University, and all persons who shall be duly ma- triculated into and admitted as members of our said University and their Successors for ever shall be one distinct and separate body, politic in deed and in name, by the name and style of " The Rector and Members of Universitc Laval (Laval University), at Quebec, in the Province of Canada," and that by the same name they shall have perpetual Succession and a common seal, and that they and their Successors shall from time to time have full power to break, change, alter or renew such common seal at their will and pleasure and as often as they shall judire expedient ; and that by the same name they, the said Rector and Members of the said Uni- versity and their Successors, from time to time and at all times hereafter, shall be able aud capable in Law to sue and be sued, implead and be impleaded, answer or be answered in all or any Court or Courts of Record within our United Kingdom of Great Britain and Ireland and our said Provhice of Canada and other, our Domhiions and in all sin!,'ular actions, causes, pleas, suits, matters, and demands whatsoever of what nature or kind soever in as large, ample and beneficial a manner as any other body corporate and politic or any other our liege subjects, being persons able and capable in Law, may or can sue, implead or answer or be sued, im- pleaded or answered in any manner whatsoever. AND WE do hereby for US, our Hei"s and Successors, declare aud ordain that there shall be within our said University a Council to be called and known by the name of " the University Laval (Laval University) Council. " AND WE for US, our Heirs and Successors will and ordain that the said Council shall consist and be composed of the Rector of the said University, of the Directors of the said " S6minaire de Qu6bec, " to wit the Reverend AntoineParant, Joseph Aubry, John Holmes, Leon Gingras, Louis Gingras, Michel Forgues, Elz6ar- Alexandre Taschereau and Edward- John Horan, by virtue oftheir Office as such Directors and their Succesr,rs, whetlier the said Directors be or be not Professors in the said University, and of the three Senior Professors of the several Faculties of Divinity, Law, Medecine and Arts in the said University. AND WE do hereby for US, our Heirs and Successors further will and ordain that by the term " L'ector " shall be understood any and every person considered as such by the ^'aid Seminaire de Qu6bec. AND WE do hereby also for US, our Heirs and Successors further will and ordain thai all the powers and privileges granted by this Our Charter shall be vested in and exercised by the said Council. AND WE do hereby for US, our Heirs and Successors will and ordain that the members of the said University Council shall hold their seals in the said Council so long as they and each of them shall retain their respective Offices as aforesaid by w " in virtue ol' which they become members thereof. AND WE do hereby for US, our Heirs and Successors will and ordain that the Rector for the time being of our said University shall preside at all meetings of the said University Council, at which he may be present ; and that in his absence from any such meeting, it shall be presided overby such member thereof who may then be first assistant Superior of the said S6minaire de Qu6bec, or in the absence of this latter by the second assistant Superior thereof, and in the absence of all three of the above Functionaries, by the member of the said Council who shall be the Senior Director of the said Seminaire then present. AND WE do hereby for US, our Heirs and Successors declare and ordain that no meeting of the said Council shall be or be held to be a lawful meeting thereof unles.s a majo- rity of the members thereof be present during the whole of every such meeting ; and that all questions and resolutions proposed for the decision of the said University Council, shall be determined by the majority of the votes of the members of Council present, including the vote of the Rector or other presiding member ; and that in case of an equal division of such votes, the Rector or other member presiding at any such meeting shall give an additional or casting vote. AND WE do by these presents for US, our Heirs and Successors will, ordain and grant that the said Council of our said University shall have full power and authority to frame and make Statutes, Rules and Ordinances touching and concerning the good government of the said University, the studies, lectures, exercises, degrees in Arts and Faculties, and in all matters re- garding the same ; and also touching and concerning any other matter or thing which to them shall seem good, fit and useful for the well being and advancement of our said University and ngreeablo to this Our Royal Charter ; and also from time to time by any new Statutes, Rules or Ordinances to work, renew, augment or alter all, every o' any of the said Statutes Rules and Ordinances as to them shall seem fit and expedient. Provided always that the said Statutes, Rules and Ordinances or any of them shall not be rcijn^^'nant to the Laws and Statutes of the United Kingdom of Great Britain and In^land or of our said Province of Canada, nor repugnant to or inconsistent with this Our Charier or any of the provisions thereof. Provided also that a copy of all Statutes, Rules and Ordinances so to be made as aforesaid under and in virtue of this Our Charter shall be furnished with all convenient sj>eed after the making thereof to the Visitor of our said University for the time being, who shall have authority within two years from the day of the receipt of such copy, to disallow any such Statute, Rule or Ordinance or any part thereof, and such disallowance shall without delay be signified in writing under the hand of Oar said Visitor to the Rector of Our Said University, and thenceforward such Statute, Rule or Ordinance or any part thereof so disallowed, shall be void and of no effect, but other- wise shall be and remain in full force and virtue. Provided aNo that all Statutes, Rules or Ordinances repugnant to law as aforesaid or to this Our Charter or inconsistent therewith shall be ipso facto tuill and void. AilD WE do hereby for US, our Heirs and Successors will, ordain and declare that the said University Council shali have full power and authority to nominate and appoint the various Professors for the several Faculties of Law, Medecine and Arts and of revoking and cancelling all such nominations and appointments whenever they shall find just and sufficient cause ; and the said Council shall also have and possess the right and privilege ot |)resenting and submitting the names of Candidates for the Professorships of Divinity to the X'isitor of the said University, by whom alone the appointment of the Professors of Divinity shall be made and confirmed ; but the said Council shall have no power or authority to revoke or annull the iit)niination or appointment of the said Professors of Divinity, without the previous consent of the said Visitor. AM) Whereas it is necessary to make provision for the completion and filling up of the said Council at the first institution of our said University and previous to the ap- pointment of any Professors, NOW WE do for US, our Heirs and Successors further ordain, and declare that until such Professors be named the Rector and Directors of the said S6mi- naire shall be deemed to constitute the said Council and shall be to all intents and purposes capable of p(;rforming and exercising all and every the duties, powers, authority and privileges hereby granted to and vested in the said Council. AND WE do hereby for US, our Heirs and Successors charge and command that the Statutes, Rules and Ordinances aforesaid subject to the said provisions shall be strictly and inviolably observed, kept and performed from time to time under the peimlitiesto be thereby or therein imposed or contained. AND WE do for US, oiT" Heirs and Successors further will, ordain and grant that the said University Laval (Laviil University,) shall as such University hereby constituted, have, possess and enjoy all such and the like privileges as are now enjoyed by our Universities of our United Kingdom of Great Britain and Ireland so far as the same are capable of being had, possessed or enjoyed under and by virtue of this our Royal Charter, and that the said Uni- versity Council shall have power and liberty to grant and confer on all students whether they be or be not students in the said Seminary or University or in any other College or Seminary within our said Province which shall be affiliated to and connected with the said University as hereinafter provided who shall be found duly qualified according to the Statutes, Rules and Ordinances aforesaid to receive the same, the degrees of Bachelor, Master and Doctor in the several Arts and Faculties and the said University Council shall have power and liberty within itself of causing to be performed all scholastic duties for the conferring of ip m- w iuch degrees in such manner as shftU be directed by U»e Statutes, Rules and Ordinances aforesaid. jMvD we do farther for US, our Heirs and SnccessorH will, onlain and i^nt that tbe said University Council shall for the purposes of ♦his Our Royal Charter bnve, possess and eajoy the right and power to affiliate to and connect with the Said University any one or more Col- lege or Colleges, Seminary or SerAftiaries, pnblic Ins'itution or Institutions of education within Our Said Province as to the said Council may seem fit, subject nevertheless to the Statutes, Rules and Ordinances aforesaid. AND WE for US, our Heirs a..d Successors do further will and ordain that no Religious test or qualification shall be required of or appointed for any person to be admitted or matricu- lated as students within our Said University ; provided nevertheless that all persons admitied to any degree in any Art or Faculty shall make such declarations and subscriptions as by the Statutes, Rules and Ordinances aforesaid shall be fixed and appointed. Provided always and thi« Our Royal Charter is granted uptm the express terms and conditio iiB that the powers, authorities, privileges and rights hereby granted shall not in the exerci^ of them by the said University Council in any manner or way interfere v/ith, dimi- nish or^iSierwise affect the powers, rights and privileges of the said S^minaire de Quebec as now enjoyed and exercised by the Superior and Directors of the said S6minaJre but fliat all and every the said rights, powers, authorities and privileges of the said Corporation of " Le S6minaire de Qufebec," shall in the administration of the affairs of the said SCminaire de Quebec remain the same as heretofore. AM) WE will and by these presents for US, our Heirs and Successors do ordain and declare that these our Letters Patent or an exemplification thereof shall and may be good, firiii, valid, sufficient and efi'ectual in Law, according to the true intent and meaning of the same ; and shall be taken, construed and adjuged in the most favorable and beneficial sense and to the best advantage of the said " Rector and Members of our said University " as well in our Courts of Record a& elsewhere ; and by all and singular judges, justices, officer i and other subjectB whatsoever of US, our Heirs and Successors ; any roisrecitals, non-recital, omission, imper^JCtion, defect, m^tte', cause, or tiling vriiatsoever to the contrary thereof in anywise notwithstanding.
