 ORIGINAL INTRODUCTION.

 V 
 
 That " Union is Strength," is a maxim universally felt. It is 
 indispensable to the preservation of all social as well as political 
 institutions ; it, moreover, promotes and cherishes those feelings of 
 mutual love and affection which form one of the distinguishing 
 characteristics of our species ; and its prevailing influence gives to 
 our obedience to the precept, " Love the brotherhood ; fear God ; 
 honour the king," a strength and an endurance which cannot easily 
 be shaken. Hence it is that for the attainment of objects of general 
 or public value so many Societies are formed ; but there are none 
 in which the affections of the heart are so warmly engaged as in 
 those which are formed by the dwellers in a foreign land, or in a 
 remote colony, to keep alive and cherish the fond remembrance of 
 the country and the scenes and the associations from which they 
 have become voluntary exiles. Surely the greatness of one's native 
 country, and the value of its laws and civil and religious institu- 
 tions, must give much additional force to the feelings which prompt 
 such an Union. 
 
 What wonder, then, that Britons are found warmly uniting in all 
 countries where they are settled, for a purpose so hallowed ? And 
 if there be one country in which Britons have stronger inducements 
 than in any otner to form such an Union, that countiy is Canada. 
 Here is to be found the double motive of cherishing, in the 
 descendants of Englishmen, Scotchmen, and Irishmen, born in 
 the colony, their veneration for e^'ery thing British, and their attach- 
 ment to British laws and British rule, and of holding out the hand 
 of welcome, and of brotherly love, and of charity, to those numerous 
 and frequently distressed countrymen whom the pressure of a 
 superabundant population is annually forcing to emigrate to this 
 distant land. 
 
 It is with such feelings and such views that the St. George's 
 Society of this city has been formed, embracing those who are 
 natives of England, or descendants of natives of England, or 
 descendants of natives of the United Kingdom, born in British 
 Possessions abroad.

 An Act to incorporate the St. George's Society of Montreal. 
 
 19th June, 1861. 
 
 WHEREAS, the persons horeiual'tei* uainoit have by petition represented 
 that, for inauy years past, they, and others' ol" English birth or 
 extraction, residents of Montreal, have inaintainud, by voluutary contribu- 
 tions, a certain Charitable Association, whereof they are nienibcvs, for the 
 relief of distressed immigrants and others, from England, or of English 
 descent, under the name of " The St. George's Society ot Montreal," and have 
 prayed that for the bettor attainment of the objects of the said Association, 
 the same may be iiivostod with ccn'porate powers; and it is expedient to 
 grant the prayer of the said petition : Therefore, Her Majesty, by and with 
 the advice and consent of the Legislative Council and Assembly of Canada, 
 enacts as follows : 
 
 1; Robert Hart Hamilton, the Honourable George Moffatt, the Honourable 
 John Molson, John Jones, John Dyde, Thomas Walter .Fones, Hannibal 
 Hodges "Whitney, Henry Buhner, John Lewis, Kichard Birlcs, William 
 Walker, William Turner, William Henry Smith, Thomas Ireland, George 
 ' ) Swinbum, Samuel Brearey, Dan John Rees, William Johu Newton Turner, 
 
 William Dicker Stroud, Henry Thomas, Charles Jonathan Houghton, and 
 Edwin Clarke, Esquires, and such other persons as are now members of the 
 said Association, or shall hereafter unite with them, under the provisions of 
 this Act and the by-laws made under authority thereof, and their successors, 
 shall be and they are hereby constituted a body politic and corporate, by the 
 name of " The St. George's Society of Montreal ;" and may, by any legal title, 
 acquire, hold and enjoy any estate whatever, real or personal ; and may 
 alienate, lease, or otherwise dispose of the same, or any part thereof, from 
 time to time? and as occasion may require, and other estate, real or personal, 
 may acquire instead thereof; Provided always, that the clear annual value of 
 the real estate held by the Corporation at any one time shall not exceed five 
 thousand dollars. 
 
 2. Provided always, that the Corporation shall not hold any property 
 except such as shall be derived from the following sources, or purchased with 
 funds derived from the following sources, that is to say : The property of the 
 Association hereby constituted as the said Coi-poration, the life, annual and 
 other subscriptions of members, dtraations, bequests, or legacies made to the 
 Corporation, and the moneys arising from tines and forfeitures lawfully 
 imposed b^'^ their by-laws ; And provided also, that all property and funds 
 presently mvested, of the said existing Association, and all sums which may 
 hereafter be received by the Corporation for life subscriptions of members, 
 or from legacies, bequests or donations, amounting to twenty dollars or up- 
 wards, not specially made for other purposes, shall constitute the permanent 
 fund of the Corporation, no pari ot the capital amount of which shall be 
 expended or paid away, but the whole shall from time to time be invested in 
 real or immoveable property, (not exceeding the value aforesaid), in bank 
 stock, or Provincial or other securities, and the rents, Interest, or other

 other Hourcea, shall bo applied to the det'raving of the current expousoH of 
 the Corporatiou, aud the relief of peisons whom the Corporation may deem 
 proper objects of such relief according to their by-laws, then in force, and to 
 the pr<»vi8ions of this Act. 
 
 3. The affairs and business of the Corporation shall be managed by such 
 Officers and Committees, and under such restricticras as touching the powers 
 and duties of such Officers and Committees, as by by-law in that behalf the 
 Coi"poratiou may from time to time ordain ; and the Corporatiou nuiy assign 
 to any of such Officers such remuneration as they may deem re(iuisite. 
 
 4. The Cox-poration may make such by-laws, not contrary to law, as thoj- 
 shall deem expedient, for the administration and government of the Cori)o- 
 rati(ra, and of such Asylum, or other Charitable Institutions, as they shall 
 maintain ; and may repeal or amend the same from time to time, observiiii! 
 always, however, such formalities as by such by-laws may be prescribed to 
 that end ; and generally shall have all the corporate powers necessary to the 
 ends of this Act. 
 
 5. The by-laws of the said Association, not being contrary to law, shall be 
 the by-laws of the Corporation hereby, constituted, until they shall be 
 repealed or altered as atiu'csaid. 
 
 6. Until others shall bo elected according to the by-laws of the Corporation, 
 the present officers of the Association shall bc! those of the Coiyoration. 
 
 7. All subscriptions, and all penalties due to the Corporation under any 
 by-law, may be recovered by suit in the name of the Corporation ; but any 
 member may withdraw therefrom at any time, tm payment of all amounts 
 by him due to the Corporation, inclusive of his subscription for the year then 
 current. 
 
 8. ifo person otherwise competent to ha a witness in any suit or prosecu- 
 tion in which the Corporation may be engaged, shall be deemed incompetent 
 to be such witness, by reason of his being or having been a member or officer 
 of the Corporation. 
 
 9. The Corporation shall at all times, when thereunto required by the 
 Governor, or by either branch of the Legislature, make a full return of their 
 property, real and personal, and of their receipts and expenditure, for such 
 period, and with such details and" other information, as the Governor or either 
 branch of the Legislature may require. 
 
 10. This Act shall be deemed a Public Act. 
 
BYE-LAWS 
 
 OF THE 
 
 ST. GEORGE'S SOCIETY 
 
 OF 
 
 MONTREAL. 
 
 Article I. 
 
 Any person who is a native of England or Wales, or a 
 descendant of a native of England or Wales, born in the 
 British Possessions, may become a member of this Society, 
 after being proposed and elected by open voting (or by 
 ballot if requested by any two members present) at any 
 general meeting of the Society or of the Board duly con- 
 vened, and subscribing his name in the Register of Members 
 (to be kept for that purpose by the Secretary), and paying a 
 subscription fee of not less than three dollars ; which sum 
 or more, as may from year to year be subscribed, shall, for 
 the first year, be due for the then current year, and there- 
 after be due and payable between the first day of January 
 and the thirty-first day of December in each year. Any 
 member paying at one time a sum of not less than fifty 
 dollars, the same shall be deemed a life subscription and in 
 lieu of any further subscription or contribution. 
 
 Artie,, II. 
 
 The Society shall meet, for the transaction of its business, 
 at least four times in each year, to wit : on the tenth day of 
 the months of January, April, July, and October. The 
 Society shall also meet, and attend Divine Service, on St. 
 George's Day. Any of these days falling on Sunday, the 
 meeting shall be held on the day following. 
 
 Article III. 
 
 The following Officers shall be elected at the Annual 
 Meeting, held on the tenth day of January in every year, 
 viz. : — A President, two Vice-Presidents, a Treasurer, a 
 Secretary, an Assistant Secretary, eight Directors, two or 
 more Chaplains, and one or more Physicians, who shall con-

 stitute a Board of Management ; also, two Auditors. The 
 President shall, within one week of the date of election, ap- 
 point the following Sub-Committees from the members of 
 the Board : — Five Canvassing Committees, ol two members 
 each ; a Charitable Committee of five ; a Committee of 
 Festivities, &c., of five; and a Finance Committee of three; 
 and each of such Committees shall at its first meeting ap- 
 point one of its members as Permanent Chairman. 
 
 The President shall be ex-officio member of all the Com- 
 mittees, and shall have a right to vote ; and all Ministers of 
 the Gospel, being members of the Society, shall be ex-officio 
 members of the Charitable Committee, but shall not have the 
 right to vote at any of its meetings. The Board shall enter 
 upon its duties on the day following its election. At all 
 ordinary meetings of die Society, ten members shall consti- 
 tute a quorum, and t^^enty members for the election of 
 officers or amendment of bye-laws : five members shall be a 
 quorum at all ir " tings of tlie Board, and a majority a 
 quorum at all meetings of Committees. 
 
 Article IV. 
 
 The duties of the Officers of the Society, and of the Com- 
 mittees, shall be as follows : — 
 
 1st. The President shall preside at the meetings of the 
 Society, and superintend its operations generally. He shall 
 call special meetings of the Society, or of the Board of 
 Management, when deemed necessary to do so ; or at the 
 request of five of the members made to him in writing. He 
 shall also sign the minutes of the Society's meetings, after 
 having been approved ; and the Treasurer's Accounts, after 
 they are presented at the meetings of the Society. 
 
 2nd. One of the Vice-Presidents shall, in the abser e of 
 the President, perform all the duties that otherwise would 
 devolve upon the President ; and in the absence of both these 
 officers, there shall be elected by a majority of the members 
 present at any meeting, whether of the Board or of the 
 Society, one of its members other than the Treasurer or 
 Secretary, who shall, for the time being, be invested with all 
 the power and authority of the President. 
 
 3rd. The Treasurer shall be the custodian of all moneys 
 of the Society ; but he shall not at any time retain in his 
 hands a sum exceeding one hundred dollars, but shall deposit 
 the same in a Bank in which shall be opened an account

 with the Society. But not a less sum than fifty dollars shall 
 be deposited at any one time ; and when the sum in the 
 hands of the Treasurer does not amount to fifty dollars over 
 one hundied dollars, which he is authorised to retain in his 
 hands for casual expenses or relief, then, in such case, he 
 shall make up the deficiency out of the j^ioo, and make a 
 deposit as above provided. The Treasurer shall also be the 
 custodian of all books, vouchers, and documents appertaining 
 to his office, which he shall carefully preserve. He shall 
 keep an account of all receipts and disbursements of the 
 Society, in detail, in a Cash-book for that purpose. He 
 shall also prepare at each quarterly meeting an abstract from 
 the Cash-book of the receipts and disbursements of the So- 
 ciety for the preceding quarter, and at each annual meeting 
 in January an abstract of the receipts and disbursements of 
 the Society from the ist January to the 31st December in 
 the preceding year, both days inclusive ; giving the several 
 sources whence moneys have been received, and the sei^eral 
 heads under which disbursements have been made ; together 
 with a detailed statement of the assets and liabilities of the 
 Society, under the several heads, on the last above-mentioned 
 date. These several statements to be attested by a majority 
 of the Finance Committee. The Treasurer shall pay all 
 accounts due by the Society, and the drafts of the Charitable 
 Committee, not exceeding ;^20 to one person or family within 
 one year, unless by special authorization signed by all the 
 members of the Charitable Committee and the President. 
 (See also 2nd Section of Act of Incorporation.) 
 
 4th. The Secretary shall enter in a Register or Minute 
 Book all the proceedings, orders, rules, bye-laws, or regula- 
 tions of the Society. He shall keep and enter in a book an 
 alphabetical record of the names of all the members, the 
 date of their admission, places of birth, amount of subscrip- 
 tion in each year, if any shall have ceased to be members, 
 the date thereof, and the cause. The Secretary shall also 
 prepare a report of the proceedings of the Society during 
 the preceding year, ended on the 31st December, stating 
 the number of new members admitted. The Secretary shall 
 also duly notify, by circular or otherwise, as may from time 
 to time be agreed upon, the members of the Board and of 
 the Society of their respective meetings, and all members 
 and officers of their election or appointment. The Assist- 
 ant Secretary shall aid the Secretary in the discharge of his 
 duties, and supply his place when absent. He shall also

 keep a duplicate register of the Secretary's minutes of the 
 proceedings of the Society, which should be lodged with the 
 President. 
 
 5th. The Canvassing Committee shall canvass the city 
 (which shall be divided by the President into five districts) 
 for members, and donations in aid of the funds of the Society ; 
 and further, shall report at the next following meeting of the 
 Board any cases of destitution or distress they may discover. 
 Suitable books shall be provided for the several Committees, 
 in which shall be entered any information that may further 
 the objects of the Society. 
 
 6th. The Charitable Committee at its first meeting, which 
 shall be held within one week Ox'' the day of its appointment, 
 shall elect one of its members a Chairman, whose duty it 
 shall be, in addition to that as member of the Committee, to 
 keep a Register of applications for relief, with any particu- 
 lars that may be indicated in the heading of a book to be 
 kept by him for that purpose. 
 
 The Committee shall inquire into the circumstances and 
 condition of applicants for relief, visit the indigent and infirm, 
 and report all extreme cases to the Board of Management. 
 
 The Committee may afford at discretion pecuniary or 
 other relief and assistance to " distressed immigrants and 
 others from England or of English descent." 
 
 The Committee shall meet at least once in each month, 
 and shall produce accounts to the Treasurer of all the relief 
 afforded by them ir. kind, which accounts the Treasurer shall 
 pay, and at the same time inform the Committee what funds 
 he may have in hand, and any further information necessary 
 for their guidance, that the Committee may avoid exceeding 
 the means at the disposal of the Society. 
 
 The Chairman shall prepare, quarterly, a Statement 
 shewing the amount of relief given by the Committee or 
 during the intervals of its sitting, by the Chairman or in 
 the case of his absence or incapacity by such members as 
 he may appoint, to which document each member of the 
 Committee shall have free access for his guidance. 
 
 No money orders drawn upon the Treasurer shall be con- 
 sidered valid unless signed by two members of the Com- 
 mittee. 
 
 In the event of the Society having a " Home" for the 
 destitute and unprotected, its management shall be entrusted 
 to the Charitable Committee, subject to such directions as 
 it may receive from the Board of Management.

 The Committee shall, further, prepare a report of its pro- 
 ceedings to be presented at the regular quarterly meetings 
 of the Society. 
 
 7th. The Committee of Festivities, &c., shall have the 
 direction and management of all entertainments. 
 
 8th. The Finance Committee shall, at least once in each 
 quarter, thoroughly examine the Treasurer's accounts, which 
 shall be certified by two members. They shall also report 
 to the Board any irregularity therein, should any be dis- 
 covered. It shall be the duty of the Finance Committee to 
 furnish properly prepared books to the canvassing Com- 
 mittees. 
 
 9th. The Board shall meet when notified by the Secretary 
 so to do. 
 
 Article V. 
 
 Should a " Home" be permanently established, the Board 
 may appoint not more than ten Ladies, who shall be designated 
 Lady Directresses of the Home, whose duty it shall be to 
 act conjointly with the Charitable Committee in the general 
 management of the Home. 
 
 Article VI. 
 
 The management of the Home shall be in accordance 
 with such rules and regulations as may be from time to 
 time adopted by the Board. 
 
 Article VII. 
 
 The permanent fund of the Corporation shall be invested 
 as may be agreed upon at a meeting of the Board (vide 2nd 
 Sec. of Act.) 
 
 Article VIII. 
 
 All vacancies of offices, by resignation or otherwise, shall 
 be filled by election, at the next quarterly meeting after the 
 same shall have occurred. 
 
 Any other officer, as well as any member of the Society, 
 shall be eligible for election to the vacant office. 
 
 ' Article IX. 
 
 Any member who is in arrears to the Society shall neither 
 vote at the meetings nor be eligible for election to any office 
 in the Society. A member shall be deemed in arrear who 
 who has not paid his subscription for more than one year.

 Article X. 
 
 No officer who shall have served two years successively 
 in the same office, shall be re-elected to such office, except 
 by three-fourths of the votes of members present. 
 
 Article XI. 
 
 All officers shall retain their office until successors shall 
 have been elected, excepting when an office is vacated by 
 resignation, expulsion, or unavoidable circumstances. 
 
 Article XII. 
 
 Persons becoming members of the Society shall be liable 
 for the annual subscription for the year within which they 
 shall become members, viz., between ist January and 31st 
 December ; and if any member shall neglect to pay his 
 subscription for more than one year (unless he be in indigent 
 circumstances, of which the Finance Committee shall judge) 
 after he shall have been called upon by the Collector of the 
 Society and one of the Finance Committee, the name of 
 such member, and circumstances of the case, shall be stated 
 at the next quarterly meeting ; and it shall be competent to 
 the Society to declare that such person is no longer a 
 member. 
 
 Ai-ticle XIII 
 
 A m.ajority of votes shall decide every question. The 
 Presiding Officer to have the right of a casting vote only. 
 
 Article XIV. , 
 
 To preserve order, and to expedite business, any member 
 who may have any proposal to make, or observation to offer, 
 shall rise and address the Presiding Officer ; and no persoi^ 
 shall interrupt another while speaking, if the speaker be in 
 order, of which the President shall decide. 
 
 Article XV. 
 
 No member shall be permitted to introduce any topic of 
 political or religious controversy, at any of the meetings of 
 the Society. • 
 
 Article XVI 
 
 The Officers of the Society shall, immediately upon their 
 ceasing to hold office, deliver up to their successors all Books, 
 Papers, and any other property in their possession belonging

 to the Society, on pain of being prosecuted for non-compli- 
 ance with this bye-law. 
 
 Artk/e JCVI/. 
 
 The retiring or former Secretary of the Society, or an 
 officer who may act for him, shall, immediately after the 
 election of Officers, notify them respectively of their elec- 
 tion ; and no one shall be considered an officer until he shall 
 have signed in writing his acceptance of the office to which 
 he has been elected ; which acceptance shall be made within 
 one week of the day of his election ; and which failing to do, 
 the office shall be considered vacant, and shall be filled at 
 the next meeting of the Society. 
 
 Arttc/e XVIIL 
 
 Any officer who, after having signified his acceptance of 
 office, shall refuse or neglect to perform the duties apper- 
 taining to such office, shall be liable to a fine not exceeding 
 {S20, as may be decided at any meeting of the Society, unless 
 under special circumstances ; and shall thereafter be in- 
 capable of serving in any office in the Society, unless elected 
 by three-fourths of the members present at any meeting. 
 
 Article XIX. 
 
 Any officer may be appointed, by a majority of the 
 members of the Board, to perform pro tern the duties of any 
 absent officer, excepting as hereinbefore provided for. 
 
 Article XX. 
 
 Any matter or thing affecting the interests of the Society, 
 and not hereinbefore provided for, shall be provided for by a 
 Resolution at any regular meeting of the Board or the 
 Society ; and such Resolution shall have the same force as a 
 Bye-law, until rescinded or abrogated by a subsequent 
 Resolution or Bye-law. 
 
 Article XXI. 
 
 Any dispute or difference of opinion arising as to the 
 meaning of interpretation of the Act of Incorporation, or 
 any Bye-law, the same shall be decided by a vote of the 
 majority of the members present ; but such decision may be 
 annulled, or altered, at any subsequent meeting, upon the 
 motion of any two who shall have voted in the majority.

 Article XXII. 
 
 At all General Meetings of the Society the following order 
 of business shall be observed : — 
 
 1. The chair having been taken, the Minutes of the last 
 preceding General Meeting shall be read by the Secretary, 
 and, if found correct, confirmed and signed by the President 
 or Acting Chairman. 
 
 2. Proposals for Membership, received. 
 
 3. Election of Members. 
 
 4. Reports of Committees (if any) announced by the Chair- 
 man and read by the Secretary. 
 
 5. Communications relative to the business or interests of 
 the Society, read. 
 
 6. Deferred business (if any) disposed of 
 
 7. Motions duly made, and seconded, received. 
 
 8. Miscellaneous business transacted. 
 
 9. At the Annual Meeting in January rhe several officers 
 elected as directed by Article 3. 
 
 Article XXIII. 
 
 No alteration shall be made in these Bye-laws, unless 
 notice of such shall have been given at a previous quarterly 
 meeting of the Society ; but any By-law may be temporarily 
 suspended by a vote of two-thirds of the members present at 
 any ordinary or special General Meeting of the Society.

 Past Officers of the Society shall be entitled, if they think 
 fit, to provide, at their own cost, and wear on public occa- 
 sions, a badge indicative of the office which they have respec- 
 tively served. Such badge to consist of a George of gilt 
 metal, suspended from a ribbon of purple velvet, surmounted 
 by a shield argent, charged with a cross gules, surrounded 
 by embroidery, consisting of appropriate insignia, according 
 to the office served, dependent from a clasp composed of the 
 arms of England proper, supported by two lions rampant, 
 surmounted by an imperial crown in gilt metal, — the whole 
 attached to the left breast of the coat. The width of the 
 ribbon to be worn by a Past President, 2\ inches ; Past 
 Vice-President, 2 inches , Treasurer and Secretary, i J inch ; 
 and other officers i\ inch, without the clasp.
