Kino, and Resolved, That in Article IX. of the General By-Laws of the Society, the words from " The Board shall meet," to " the Annual Meeting," both included, be struck out, and that the following be substituted in their place :— " The Board shall meet three times a year, alternately at Quebec and Montreal, on the Wednesday nearest to the 15th May and 10th October ; and on the Fri- day next after the Annual Meeting. In the event of its being found necessary to nold a special meeting of the Board during the winter months of any year, such meeting shall be token to count as one of the meetings held alternately in the two cities." 10th. Article of the Bye-Laws relating to the Lay Committee be altered and amended by omitting all the words in the first line and to the word " Society" inclusive in the second line, and inserting the following words " This Committee shall consist of the members appointed before the Incorporation of the Society, and of such other members, not exceeding twenty-five m the whole, as may be appointed from time to time by the Central Board, at any of their stated or special meetings." That so much of the 4th Article of the Constitution, Rules, and Regulations of the Lay Committee as requires the presence of five members of the Commit- tee at meetings be repealed, and that three members shall in future constitute a quorum for business at the meetings of the Committee. That special meetings of the Lay Committee may be held by the memberv thereof residing in the Montreal District, for matters within the competence of the Comn)ittee arising within that District, such meetings to be called and the proceedings thereof to be conducted in the manner provided by the By-Laws of the Society and by the Constitutions, Rules, and Regulations of the Lay-Com- .mittee as now amended. That at such meetings a Chairman shall be elected for the occasion; the meetings so held shall be deemed to be valid meetings of the Lay Committee for all matters above mentioned, and the proceedings thereof shall be subject to the sanction of the Bishop of the Diocese, and shall be reported to the Central Board at their stated meetings. But it shall not be competent for such meetings to alter, in any manner, the Constitution, Rules, and Regulations of the Lay Committee- The Meeting was closed with the Apostolical Benediction. GENERAL BY-LAWS OF THE CORPORATION or THB Charch Society of the Diocese of Qoebec. ARTICLE I. The objects of the Society shall be comprehended in the following distinct departments of Christian exertion, viz : First — Missionary labour, including the creation of a fund towards the aug- mentation of the stipends of poor Clergymen — towards making a provision for those who may be incapacitated by age or infirmity, and for the widows and orphans of the Clergy. Third - Assistance, where it maybe necessary, to those who may be under preparation for the ministry of the Gospel. rourih. — Circulation of the Holy Scriptures, the Book of Common Prayer, and such other Bcol^ and Tracts as shall be approved by the Central Board, hereinafter to be piovidcd for. F{/th— Aid towards the erection of Churches, &c.. Parsonage Houses, aod the management of all matters relating to the endowment of the same. ARTICLE II. His Exeellencythe Governor General, if a member of the Church of England, ■hall be requested to become the Patron of the Society. ARTICLE III. The President of the Society shall be the Lord Bishop of the Diocese, or Bishop administering the Diocese— and the Vice Presidents shall consist of the Chairmen of the different District Associations, hereinafter provided for, and such other persons as shall be nominated at the General Annual Meeting of the Society. «^) I I lA 8 ARTICLE IV. The Secretary ihall be allowed a salary and travelling expenses, under the direction ofthe Central Board, and may appoint an Assistant Secretary, subiect to the approval of the Central Board, provided that such appointment shall entail no additional burden upon the Society. The appointments of Treuurer and lEiecre- tary shall not be for any specified period, but they m«y be removed at the pleasure of the Central Board. ARTICLE V. The Treasurer or Joint Treasurers shall collect all subscriptions, donations, rents, issues, and profits, payable to the Society, for which purpose a paid Col> lector or Collectors, may be employed. Such monies shall be deposited in the Bank of Quebec, and Bank of Montreal, and an account shall be opened in such Banks, in the name of the Society. No money shall be paid without the authority of a resolution of the Central Board, certified by the Secretary, and upon checks signed by the Secretary, and countersigned by the Treasurer, expressing the name of the person to whom, and the purpose for which, the money is to be paid. The Treasurer or Treuurers shall also have the custody of all deeds, bonds, andotherproperty ofthe Society, and shall submit his or their accounts at the stated periodical meetings ofthe Central Board. ARTICLE VI. The Secretary shall keep the Minutes of all the proceedings of the Society, as well as ofthe Central Board, and shall have the custody of, and be accountable for, the safe keeping of the same, and he shall be subject to the direction and control ofthe Central Board in all his duties and proceedings. ARTICLE VII. The Society shall meet annually on the first Wednesday in July, alternately at Montreal and Quebec, whereof not less than fifteen days notice ahall be given by the Secretary, in at least one of the leading Newspapers in Quebec and Montreal. A Special Meeting of the Society may be called at any time by the President, or in his absence from the Diocese, by two of the Vice Presidents and four o^er members of the Society, by a written order to the Secretary, who shall notify the same in the manner hereinbefore provided in respect of the Annual Meetings. Such Special Meetings shall be held at such places as the President shall fix, if called oy his order ; or otherwise at the place where the next stated meeting ofthe Central Board is to be held. ARTICLE VIII. Persons subscribing 25s. per annum, or giving a contribution once for all of JC12 10s. shall be capable of being elected Mernbers ofthe Corporation, (in the latter case for life) at any meeting of the Society or of the Central Board. Contributors may limit and direct any portion, not exceeding one half of their contributions, to be applied to special oojects within the designs and purposes ofthe Society. Lists of the persons so subscribing or contributing, shall be furnished by the Treasurers ofthe District Associations, or bv the Treasurer or Treasurers ofthe Society where there shall be no District Association, to the Secretary of the Society, to be laid before the next meeting ofthe Society or of the Central Board at which an election may take place. The Board shall meet three times a year, alternately at Quebec and Montreal, on the Wednesday nearest *o the 15th May, and 10th October, and on the Friday next after the Annual Meetiiur. In the event of its being found necessary to hold a special meeting of the Board during the winter months, such meeting shall be Uken to count as one of the Meetings held alternately between the two cities. At all meetings of the Central Board the Chairman, in case of an equality of votes, shall have a double or casting vote. The Central Boani shall have auUiority to make such rules as may be neces- sary for the Government of its own affiurs, provided that none of them be con- trary to, or inconsistent with, the spirit of tne Constitution or By-Law* of the Society. ARTICLE X. 0/Di$triet Juoeiationt. In connexion and correspondence with the Central Board, there shall be formed District Associations (except in the cities of Quebec and Montreal, and the Banlieues thereof) to be composed of the Cler^, and all other Members of the Society resident within the Dounds of such Districts,— «a contoibution of 5s. per annum, constituting membership of such District Associations. The District Associations (except as hereinbefore excepted) shall continue as hereto- fore settled by the Central Board of the Society, before iU Incorporation, until otherwise hereafter determined by the Central Board. The senior Clergyman holding a Pastoral Charge within such bounds shall be, tx officio, Chairman of such Association — they may have a Secretary and Treasurerr and shidl meet at such placee as they may themselves determine ; at one of which meetiiigs the officers shall be appointed and a report of the proceeciety, to be at the disposal of the Central Board, and the remaining half of all such collections shall, when required, be expended within the Parish or District in which they have been made, for such objects only as are specified in the Constitution of this Society — ^the allot- ment to be ipade by the Committee of the District Association. All monies remaining miapnropriated at the General Annual meeting of the District Associ- ation, shall be forthwith transmitted to the Treasurer or Treasurers of the Society to be at the disposal of the Central Board ; it being understood that nothing con- tained in this Article shall interfere with any existing arrangement or agreeoient between any Clergyman and bis flock. ARTICLE XIII. Of the Lay CommiUnqftht Ckurch SoeUty. This Committee shall consist of the Members appointed before the Incorpora- tion of the Society and of such other members, not exceeding twenty-five m the whole, as may be appointed from time to time by the Central Board at any of their stated or special meetings ; and shall be governed by the Constitution, Rules and rwulations, actopted and in force before imt period, until the same shall be alteredby the Committee or by the Society at the (General Meeting. The proceedings of the Lay Committee shall be subject to the sanction of the Bishop of the Diocese. The clerical and other members of the Central Board may attend at any of the General Meetings of the Committee, and may propose, and discuss matters therein, but shall have no vote ; and the Committee shall report their proceedings to the Central Board at their stated meetings. Engaged as is the Church Society, whose fifth anniversary we are this day met to celebrate, in helping to cultivate this portion of the Ix>rd*s vineyard, and to further the great interests of the Church in the Diocese, we may gratefully regard the Divine promise, <' I will water it every moment ; lest any hurt it, I will keep it night and day ;" and take encouragement, diligently to proceed in our work and labour of love, knowing that it will not be in vain in the Lord. The Lord, to whom we look for every good and perfect gift, without whom nothing is strong, nothing is holy, is Himself faithfulness and truth. Hath Ho said and shall He not doit? The declarations of His mind concerning his Church, shall be ac- complished, and the promises of His Grace will be wholly fulfilled. This interesting and important object of the Society has engaged the earnest attention pf the Central • Board during the past year. After maturely considering certain plans which had been proposed, of Xife Insurance, and of other profitable modes for investment of the sums that shall be raised for this purpose ; and finding the whole subject surrounded with many difficulties, arising from the condition of the diocese and the small resources of the clergy, inadequate to allow them to pay a premium of Insurance, or even to admit of their giving a special Annual Subscription for that object, it has been de- cided, for the present, to invest the amount received in Montreal Bank Stock, and to employ the interest accruing therefrom towards the relief of existing cases, which call for aid. (ffbttcation. The subject of EducaUon, in Day and Sunday Schools, has also received attention during the past year. A Sub-Committee of. the Board was appointed in October, to enquire into the state of Educa- tion in the Diocese, and to suggest in what way the Society could (to use the words of the 4th Resolution of the last Annual Meeting) provide for the suitable Education of the poorer members of the church. The information received is, on the whole, not so full or definite as could have been desired, but still much that is valuable has been obtained ; by means of which it is hoped that something may be done, conducive to the educational interests and the further religious instruction of the youth of the Diocese. ®raDeUmg Mvfsiomrxts. In July last, the Rev. A. W. Mountain was appointed by the Bishop Travelling Missionary for the District of Quebec, and proceeded to take charge of the Quarantine Station at Grosse Isle. Besides per- forming the important ministerial duties which devolved on him at the Island, he occasionally travelled to settlements in the vicinity, devoid of the regular ministrations of the Church, where he officiated. His journal is in the office of the Society. He retired in October last, his services being otherwise required by the Bishop. Iii May, His Lordship appointed the Rev. C. Forest Travelling Missionary, who proceeded to Grosse Isle. And when we consider the scenes of misery that have been there witnessed during this summer, we cannot but be thankful that the Society has been privileg- ed to supply a little help, by its Missionary, to alleviate the sor- rows of some of the afflicted, to tell of a Saviour^s love, and direct the prayer of faith of many a dying stranger, and to per- form the last rite of christian burial, where, but for his presence, the dust must have been returned to the earth, without a solemn word to soothe the heart and raise the soul to God,, of the sur- viving and sorrowing friend. But the ministerial duties required at Grosse Isle exceeding altogether the power of any one clergyman to fulfil | other clergy- men from the city and neighbourhood of Quebec have proceeded there, from time to time, to take part in the them. The District of Montreal has been, we regret to say, throughout I ^i! 1 ''<\', 19 the year, without a Travelling Miuionary. But it it with much ■atisfaction that ive announce, that there i« a probability of the aettle- ment, at no distant day, of two Travelling Miasionaries in that District. One of the congregations in Montreal has exemplarily charged itself with providing wholly for the second Missionary, to viuitthe numer* ous destitute parts of that section of the Diocese. It is proposed that certain alterations shall be noade in the con- stitution of the Lay Committee, with a view of facilitating its opera- tions, and reiidoiing it more effective towards the fulfilment of the important duties with which it is charged. In the 13th Article of the General By-Laws may be seen, in detail, their functions. They are entrusted mainly with the management of the temporalities of 4he Church, both for the time present, and prospectively. With a view of enabling the Lay Committee the belter to carry out the important purposes of its formation, the Lord Bishop, at the instance of the Central Board, propounded to the Clergy of the Diocese a series of questions, by circular, in February last, with the object of putting the Committee in possession of the actual state of the Pariithes and Missions in the Diocese, and of shewing what is needed for the more complete establishment of the Church . Although we have, in this case also, to express our regret that these en- quiries have not been more fully answered, and a greater amount of information obtained, the returns will yet furnish the Committee with some valuable Church Statistics ; a copy of which, when duly classified, will be preserved in a tabular form, in the office of the Society, for facility of reference by any member. The lands belonging to the Society are under the management of the Lay Committee, who, with the valuable assistance of the Sub Committees «f the Society, in the vicinities in which the lands are severally situated, will, it is trusted, be enabled to render them available for the interedts of the Church. A list and description of the lands will be kept in the Society's Office. m ii i ! I 20 It will have been perceived, that an alteration has taken place in the office of Assistant Secretary. The Rev. D. B. Parnther, who had held the office almost from the commencement of the Society, and who had kindly fulfilled its duties, so far as his other important avocations admitted,— for which he received but a small allowance from the Society, — having taken his departure for England in October last, it was considered desirable, owing to the increased and in> creasing duties of the office, to engage the services of a gentleman, who could devote his whole time and attention to the fulfilment of its various duties, and to the promotion of the interests of the So- ciety, in every way in his power. The appointment of Lieut. Lloyd, R. N., our present able and zealous Assistant Secretary, was then made, in conformity with the provisions contained in the 1 1th Article of the By-Laws, and approved by the Central Board, who granted an increased allowance for his stipend. With the duties of Assistant Secretary are combined those of Travelling Agent for the Society. In the latter capacity, he will, if it please God, usually attend at 4he annual meetings of the District Associations, and occasionally at the stated meetings of the District Committees ; and will be found ready at all times to lend his aid at Parochial Meetings, when it is thought his presence, statements, and efforts, can materially promote the interests of the Society.* In calling, however, for his services, it will be doubtless kindly remembered by the clergy and other friends of the Society what are his duties, in the office in Montreal, and also as charged with the care and direction of the Book Depository. * Since this Report was read at the Annual Meeting, it has pleased God to deprive the Society of the services of the Secretary and Assistant Secretary, both of whom fell victims to their attendance on the sick and dying Emi^nts. It will be perceived that no collection was made in Christ Church on Quinquagesima Sunday, for the Society, as on former years. The sum of j^lOO has been raised in this Mission, for the repairs of the two Churches. But little progress has been made during the year towards the com- pletion of the Russelltown new Church, except in the furnishing of materials. The Missionary finds increasing difficulties in raising additional funds from the residents in the vicinity, the greater part being in poor circumstances : he is therefore compelled to look around for further aid, to procure the completion of this much needed Church. The Committee of the Association have made grants during the past year to the three Churches in course of erection in the District, to the amount of j^37 lO, together with small sums for other Church purposes. This will be per- ceived to be in conformity with the 8th Art. of the General By>laws. In Stanbridge a Glebe has been purchased for the Church, chiefly from funds derived from collections made in England by the Clergy- man, during a recent visit at home. In the course of this visit, un- dertaken with the sanction of his Lordship the Bishop, the Rev. J Jones succeeded in obtaining an amount sufficient to erect and endow a Church in Farnham West, in addition to what has been expended in the purchase of the Glebe for Stanbridge. In the Mission of ShefTord, the sum of ^33 has been raised during the year, and expended on West ShefFord Church. The Clergyman has also received the sum of £18, stg., collected in England by the friends of a family resident in Sheiford, towards the completion of the Church at Waterloo. At Dunham, the new Church referred to in the last Annual Re- port, is progressing, and is expected to be ready for use in the Autumn. It is a substantial stone structure, 60ft. by 40ft., with a basement story. It is estimated that the cojitwill be nearly ^"700. An ad- ditional sum of ^100 has been raised during the past year for this important work. Notwithstanding these liberal sums for local objects, it is pleasing to remark, tha^ the Annual Subscription lists in the Pointe Levi Mission are greater than wo have had hitherto to record. In Upper Ireland half of the subscriptions have been applied to local Church purposes. At St. Margarets, in this Mission, where it is proposed to erect a Church, materials have been prepared for the building, and are on the site. Amount for the Society, «£10 15 IO4 ** appropriated by the donors, 54 6 Total, 64 16 41 We have now brought our statement for the past year .j a close, and on a review of what has been done, although there are some evidences of a continued inattention to the claims of the Society on the part of certain Parishes and Missions in the Diocese, and of a diminished interest in the great and good work before us, on the part of others, yet it is believed that the account now rendered will prove on the whole satisfactory. By a comparison of the income of the Society and the District Branches now reported, with the increase for the year ending July 1846, it will be seen that there is an increabe this^yearof ^11 17 5. But there h one feature in this report, which may have been observed, as it proceeded — the absence of any allusion to grants of lands toward the endowment of Parishes. From the comparatively small value of land at the present time, and the abundant evidence we possess of great ultimate advantages resulting to the Church from the possession of landed estate, it is a matter both of surprise and regret that we have to record so few donations of land. Were the subject fully explained, and the prospective benefits to the E ^ i if I 4 34 Church made known to those of our people who are proprietor! of land, that by the gift of a poruc.n of land, of but little present value to them, they may be perpetuating the ministrations of the Church, and laying up in store blessings for generations to come, they would not surely withhold the gift. How smaH a thing it doubtless appeared in the eyes of our forefathers, to set apart a little, perhaps forest, land for the services of the Church ; but for how many ages has that small gift caused the Church-going Bell to sound, and the hamlet to smile when a Sabbath appeared. We would fain urge upon all, to emulate in this particular, in this young land of our adoption, the deeds of our fathers. Did many contribute but a few acres, the aggregate might amount to an endowment, and under God, would prove a perpetual blessing to the land. But we would conclude, as we beg^n, by commending to the grateful consideration of all who long to be instrumental in advancing the Redeemer's cause on earth, that there are promises — Divine promises, rich and abundant,— that cannot fail, and that may wdl en- courage activity and energy in the sacred cause. The Lay Committee shall consist for the present of twenty- five Members, and all vacancies in the existing number of Members shall be filled up, and all additional appointments, if any shall be hereafter required, shall be made by the Central Board at any of their Stated or Special Meetings. 2. The Officers of the Committee shall be a Chairman and Secretary, to be chosen by the Committee at any Ordinary or Special Meeting. 3. Ordinary MeeUngs of the Committee shall be held quarterly, on the- 14th day of the months of January, April, July, and October, not being a Sunday, such Meetings to be summoned by a notice to be inserted in one of the leading NewspftpMs el* Quebec and Montreal, four times during fifteen days before thd period of such Meeting. Special Meetings to be called by the Chairman^ as occasion may require, or upon the re^st of any three of the Committee, and two days notice of such Meeting, and of the objects thereof, to be given by the Secretary in writing to saeh of the Members as it may be practicable to summon to the place cf meeting. ^ - »^ -,. 4.
