PONSTITUTION AND By-LawS. 1. The name of this orgfanization shiall be the Montreal Women's Club. 2. The object shall be mutual sympathy and counsel, and gfeneral literary and philanthropic work. 3. For the better execution of its objects, the Club shall be divided into departments, representing its different lines of work, Home and Education, Social Science, Art and Literature, etc. Officers. 1. The Officers of the Club shall be a President, two Vice-Presidents, Recording Secretary, Corre- sponding Secretary and Treasurer. 2. These Officers and three Directors from each department, shall constitute the Board of Manage- ment. Duties of Officers. 1. The President, or in her absence, one of the elected Vice-Presidents, shall preside at all meetings of the Club and its Board. She shall take a general supervision of all work. a. The Vice-Presidents in the order of their election, shall act in the absence of the President, or the Board may appoint an acting* President. 3. The Recording Secretary shall take careful notes at each meeting, and report the same at the subsequent meetings. She shall also prepare a memorandum of unfinished business for the use of the President. 4. The Corresponding Secretary shall receive, read to the Club, and answer all letters relating" to Club affairs. She shall notify members of their election, and of the limit of time when their fees are due, in order to continue members. She shall keep a correct list of members, with their addresses, and give a written report of her work at the Annual Meeting. 5. The Treasurer shall be custodian of the funds of the Club, which she shall pay out only upon the order of the Board of Management. She shall take and file vouchers for all disbursements of money, and shall keep an account of all receipts and expen- ditures. She shall sign and deliver tickets of mem- bership. A monthly statement shall be required by the Board, and full report of the finances of the Club at the Annual Meeting, the correctness of which must be attested by Auditors appointed by the Club. X Board of Management. 1. The Board of Management shall transact all routine business of the Club, fill all vacancies in its own body, and appoint all standing committees. 2. The chairman of Departments shall attend all stated meetings of her department, and manage and provide for the work of such meetings. The Secre- tary shall report the work done at such meetings, at the business meetings of the Club, and shall also report the work for the year at the Annual Meeting. 3. In case of the resignation or death of an Officer or Director, during the term of office, a sue- /C cessor shall be elected by the Board, to serve during the remainder of such term. Rules of Order. 1. Every person when speaking shall stand, and shall address the chair. 2. All special motions shall be in writing, and shall be seconded before being put by the chair, except motions to adjourn or debate, or for the pre- vious question, or mere routine business. 3. Motions and amendments shall be voted on in the reverse order to that in which they are sub- mitted, the last amendment being thus voted upon first. !i ■^ I 4. The President, or person occupying the chair) shall have a casting vote, but shall not otherwise vote as a member of the Club. 5. All correspondence of importance shall be submitted to the President, and copies of all letters of moment sent out by the Secretary, shall be kept and produced if desired by the Board. X / ] / 6. No communication shall be made, or public action adopted, in the name of the Club, or by any members styling* themselves members of the Club, or otherwise using iis name, unless such communi cation or public action shall have been previously approved of by the Club, and entered on its minutes. 7. No report of the proceedings of the Club shall appear in print, without official permission. Mem- bers will be held responsible for the observance of this rule by their guests. 8. Any article of this constitution and by-laws, by unanimous consent, may be suspended for not more than one meeting, except this article, which shall not be suspended. 9. Any member who desires to withdraw from the Club, is requested to notify the Corresponding Secretary to that effect. y / ■ 10. All sub-commiitees of departments for active work, shall have for chairman, one of the Officers of the Club. 11. The President shall appoint annually, a com- mittee of not less than three, nor more than seven ; no member of which shall be an officer, or director of any department, to nom'ui; .te a list of officers and directors for the ensuing* year. This committee shall notify their nominees, and in case of refusal, shall supply their places. No person refusing nom- ination by this committee shall allow her name to be again presented on the day of the Annual Meeting. 12. Members of the Club and guests shall be required to show their tickets at the door. Membership. 1 . A candidate for membership must be proposed in writing by two members of the Club, who are personally acquainted with her, or she mast present credentials showing fitness for membership. She shall be proposed at a regular meeting of the Board, and elected by the Club. 2. A candidate will accept membership within ^ three months of her notification, or such election/ shall be declared void. A membership thus for<^ feited, or name rejected, shall not be reccMisidered during the official term of the Board of Management. ^ r 3. A fee of $3.00 shall be paid upon acceptance of membership, and thereafter an annual fee of same. All rii^hts of membership shall be forfeited Vf until such dues are paid. 4. If the conduct of any member of the Club, either in or out of the Club-room, be or have been such as to endang-er the character, good order, or welfare of the Club, or be or have been prejudicial to its interests, the Board of Management may on its own resolution, and shall at the written requisi- tion of fifteen members of the Club, call a special meeting of the Board of Management to consider the question of censuring, expelling or suspending such member. At least six days' notice in writing- shall be given each member of the Board of such special meeting, and the notice must specify the business to be transacted. Six days' notice of the meeting must also be given, by registered letter, to the member whose conduct is in question, and such member shall have the right to submit a written answer to the charge, which must be mailed, regis- tered to the Corresponding Secretary. At such meetings at least ten members of the Board of Man- agement must be personally present, and the resolu- tion of censure, expulsion or suspension may be passed if at least two-thirds of those present vote in favor of the same. The Board may by a vote of a majority of those present decide to hear the mem- ber whose conduct is questioned, and may by a majority vote adjourn such special meeting from day to day — no further notice being necessary. Any member censured, expelled or suspended, as afore- said, shall be immediately furnished, by registered letter, with a copy of such resolution, and such member may at any time, within two weeks after such notice has been forwarded to her, appeal from such decision to a special general meeting of the Club. Six days' notice in writing must be given to each member of such meeting, and the notice must specify the object of the same ; twenty-five members shall form a quorum at such meeting, and the de- cision of three-fifths of those present shall be final. Meetings. 1. The regular meetings of the Club shall be held on the second and fourth Monday of each month. 2. The business meeting of the Club shall be held on the second Monday of each month, followed by a paper, or discussion, according to the printed programme. 3. The time of session shall be form 3.30 to 5 o'clock. 4* The meetingfs of the Board of Manag'ers shall be held on the first Saturday of each month of the Club year, at 10.30 a.m., which^ shall be. called by, individual notificatk >. w^ &io ^...i. A special meeting of the Board of Managers, for urgent business, may be called by the President, p>^ at her own discretion, or at the request of two or more members of the Board. A special meeting of the Board of Managers may be called immediately before the meeting of the Club, to execute urgent business, but there must be a quorum. , ^ 3. A special meeting of the Club may be called by the Board of Management by individual notifi- cation. ,, ,. , . 4. The Constitution and By-laws may be amended at an Annual or Special Meeting of the Club, by a two- thirds vote of the members present, the Amend- ments having been approved at a previous meeting of the Board, and a copy thereof appended to the notice of meeting given one week previous.
