The officers shall be a Commodore, Vice- Commodore, Rear-Commodore, Captain, Honorary Secretary-Treasurer, Measurer, Assistant Measurer and Fleet Surgeon, and they, together with a Com- mittee of seven members, shall be the Directors of the Club and be known as the Committee of Management. 11. Election ^^ rj.^^ Officers and Committee shall be elected Com- yearly at the annual general meeting by ballot and "™o/* shall hold office until the next annual meeting or "ment^ ^"^^^ their successors are appointed. 2. The mode of election shall be as follows : — Within two weeks of, and at any time thereafter, up to within forty-eight hours of the meeting, any member may, by written communication to the Secretary nominate one member for each office and seven members for the Committee, and the Secretary shall from day to day, as received, post up in the Club Room, or, when the Club premises are closed, in such place as the Committee of Management may direct, the names of all persons so nominated, together with those of their respect- ive nominators. In case however no nominations for any particular office or offices shall have been previously made as above provided, nominations for such office or offices may be made at the meeting, and in case no nominations for the Com- mittee or not a sufficient number have been previously made, then nominations for the Com- mittee may be made at the meeting. In the event however of such further nominations being neces- sary, those nominated previous to the meeting as above provided shall be declared elected forthwith, and only those nominated at the meeting shall be balloted for. ^ 3. Vacancies in the offices or on the Committee may be filled by the Committee of Management at any regular or special meeting of which the requisite notice shall be given. The fact of the election to be held shall be stated in the notice calling the meeting, III. Officers ^ ^' ^^ ^^^^^ ^^ t^^ duty of the Commodore to * preside at all meetings, to take command of the squadron, to enforce the provisions of the Charter of Incorporation, By-laws and Sailing Regulations, and generally to supervise the affairs of the Club. 2. It shall be the duty of the Vice-Commodore to officiate in the absence of the Commodore and to assist that officer in the discharge of his duties. 3. It shall be the duty of the Rear-Commodore to officiate in the absence of the Commodore and Vice-Commodore and to assist those officers in the discharge of their duties. 4. It shall be the duty of the Captain to take 3 ' charge of the practical work of the Club. He shall be chairman of the Sailing Committee, shall super- intend all regattas and races, and shall endeavor to promote the best interests of the Club in sailing matters generally. 5. It shall be the duty of the Hon. Secretary- Treasurer to call all meetings and conduct all correspondence of the Club and officers and to keep correct minutes of all such meetings, to post in the Club Room or when the Club premises are closed in such place as the Committee of Manage- ment may direct, all proposals for membership, nominations for office, notices and rules for the government of the Club and Club premises, to keep a correct roll of members with the dates of their election and resignation, to prepare the Club Book which shall contain such matter as the Committee of Management may think fit, to notify each newly-elected member of his election, to furnish him with a copy of the Club Book for the current year, to have the custody of all the books and records connected with the business of the Club and of all leases, title-deeds and other evidences of value belonging to the Club, to collect all dues and assessments, to prepare lists of those in default for use at general meetings, in posting, etc., to receive and account for all moneys belonging to the Club, and to disburse the same under the instructions of the Committee of Man- agement. He shall prepare an annual statement and cause the same to be audited, printed, and a copy to be sent to every member within ten days after the close of the fiscal year as defined in By- law No. 8, Sec. 3. He shall also keep a list showing the name, rig, dimensions, measurement and ownership of each yacht enrolled in the Club (a copy of which shall be posted in the Club Room) and a record of all Club races. 6. It shall be the duty of the Measurer to measure each yacht belonging to the Club and calculate its measurement and time allowance as required by the sailing regulations and make a return of the same to the Honorary Secretary. 7. It shall be the duty of the Assistant Measurer to assist the Measurer in the discharge of his duties. IV. 1. The Committee of Management shall meet as of^^n as they consider that the interests of the Club Sinot^^^^^"^^^' written notice of all such meetings to be menu givcn by the Secretary at least forty-eight hours beforehand, and four to constitute the quorum necessary for the transaction of business. 2. They shall have the entire management of the affairs of the Club, with full power to take whatever steps they may deem advisable in its interests and ' to pass, amend or repeal such rules for the govern- ment of the Club and Club premises as from time to time they may think fit, provided that in so doing they do not in any way infringe any of the provisions of the Charter of Incorporation or of these By-laws. 3. They shall cause all rules passed or amended Duties of Com- and notices of all rules repealed to be posted in the Club Room from time to time and shall enforce the observance of the same as well as of the pro- visions of the Charter of Incorporation and of these By-laws. 4. They :;hall have the custody of all the prop- erty of the Club and the control of all Club funds with power to invest any surplus part of them in such securities as they may think fit, and no liability shall be incurred or oills paid without their approval. 5. They shall be responsible to the Club for their actions and proceedings and shall make an annual report of the same which shall be printed and sent to every member at the same time as that of the Honorary Secretary-Treasurer in each year. 6. The entire body or any one or more of them shall be liable to expulsion from office or from the Club by a vote of two-thirds of the members present at any general meeting of the Club, of which the requisite notice has been given, provided that the notice of the proposed motion of expulsion shall be given to the Secretary and mentioned in the notice calling the meeting. 7. Should any one of the Committee be absent from three consecutive meetings of that body, he shall be liable to expulsion from office by themselves, unless such absence shall be satisfactorily explained to them and the place of any one so expelled shall be filled pursuant to By-Law No. 2, Sec 4. Mem bers. V. 1. The members of the Club shall be divided into three classes, namely, Honorary, Life and Ordinary. 2. An Honorary member shall be one to whom the freedom of the Club has been presented for important services rendered the Club or its repre- sentatives. He shall forthwith after his election be entitled to one share in the ordinary stock of the Club and be exempt from the payment of any fees, and shall be entitled for life ^o all the privileges of the Club. 3. Life members shall be entitled to all the privileges of the Club for life. 4. Ordinary members shall be sub-divided into two classes, Resident and Non-resident. (a) A resident member shall be one who resides in the City of Hamilton or within ten miles thereof. (d) A Non-resident member shall be one who habituully resides at a distance of not less than ten miles from the City limits of Hamilton and has no place of business in the City. 5. A list of the members of the Club shajl be posted in the Club Room at each of the Club Houses by the first day of June in each year. . Every other candidate for membership musi make written application for one share of the ordinary stock of the Club and for election as a member hereof, naming the class of membership desired, agreeing if elected to be bound by the Charter of Incorporation, By-laws and Rules of the Club and affixing his signature, description and address, which application must be signed by one member as proposer, and by another as seconder, and forwarded to the Secretary. 3. The Secretary shall forthwith post a notice containing the particulars in the application in the Club Room at each of the Club Houses, or Nviien the Club premises are closed, in such place as the Committee of Management may direct, and no candidate shall be elig'ble for election until his application shall have been so posted for at least one week. 4. The Secretary shall submit the application to the Committee of Management at its first meeting after the expiration of one week from the date of posting, and if no ballot shall have been demanded the Committee may in their discretion either direct the name to be held over for a subsequent meeting or declare the candidate elected. 5. Any member may compel a ballot to be taken by notifying the Secretary in writing that such is his wish, when the Secretary shall at once notify the candidate's proposer and seconder of the fact, and if the name be not withdrawn, shall post a 8 notice in the Club Room at each of the Club Houses stating the. particulars contained " in the application that a ballot has been demanded and the date on which it will oe held or that the same will be held at the next general meeting of the Club. 6. Should the Beach Club House then be open the ballot shall take place there between the hours of two and nine p. m. of the first Saturday after a clear week's notice has been posted that a ballot has been demanded. Each member voting shall write his name on a card to be provided for that purpose, which card shall be placed by such member in a box with the white or black ball, and the Honorary Secretary or in his absence any two members of the Committee of Management shall open the ballot box and declare the result to the Committee, but should the ballot be held at a time when the Beach Club House is closed, the ballot shall take place at the next general meeting of the Club, the notice callmg which shall contain the particulars above mentioned which ha-ve been posted. One black ball in every five shall exclude, and no ballot shall be valid unless at least twenty votes be cast. A separate ballot shall be taken for each candidate, and voting by proxy shall not be allowed. 7. No rejected candidate shall be again eligible for proposal within six months of the date of his rejection. Privi egeda Visitii Men bers a Visito VII. egeTand ^' ^^V ^^ember may introduce as a privileged Visiting member for a period not exceeding two weeks in bers and ^"Y ^nc year, any person resident at a distance of Visitors, not less than ten miles from Hamilton who is a member of a recognized yacht Club, and anyone introduced, being a yacht-owner, shall be entitled to take part with his yacht in any Club races or regattas which may take place during the period of his introduction except those for the Club or trophies, provided that the Club to which he belongs extends the same privileges to members of this Club. 2. Any member may introduce as a visiting member for a period not exceeding two weeks in any one year any person resident at a distance not less than ten miles from Hamilton, provided his name be approved of by two members of the Committee of Management. 3. Privileged or visiting members shall be ad- mitted during the period for which they are introduced to all the privileges of an ordinary member so far as regards the use of the Club premises and property, except that they shall not introduce friends to the Club nor in any way inter-, fere with its management. 4. The names and addresses of all privileged and members introducing and of the officers when neces- sary approving them shall be communicated in lO Fees. writing to the Secretary and shall be by him posted in the Club Room during the period for which they are introduDed. 5. The admission of any privileged or visiting member may be extended for a further period of of two weeks on the approval of the Committee. 6. Any member, at his own expense, shall have the right to personally introduce any person resident at a distance of not less than ten miles from the City of Hamilton to the Club premises and at breakfast, lunch or dinner, provided he shall previously enter the name of such person, together with his own name, in a book to be provided for that purpose, called the " Visitors' Book." 7. Guests introduced under the last preceding section shall have all the privileges of the Club for the day, provided they have lunched or dined at the Club, and while the member introducing them is present with them. 8. The member introducing a friend shall be answerable for any debt he may incur to the Steward, and for any damage done by him to any of the Club property. VIII. I. The entrance fee shall be one share of the ordinary stock of the Club, being $10.00. The annual subscription for resident members shall be $5.00. and for non-resident members $3.00, Life members shall pay a fee of $50.00 in addition to the entrance fee. The fiscal year shall end on the 28th day of February in each year. 4. No member in arrears shall be eligible to be elected to any office in the Club. IX. ' The Committee shall have power, by a two-thirds vote of the members present at any general meeting of the Club, to levy an assessment not exceeding the amount of half the annual subscription on each* member for any specified ojbect, or to mortgage or sell any property of the Club, provided full particulars of such proposed assessment, mortgage or sale, shall have been given in the notice calling the meeting, but no two assessments shall be made in any one fiscal year. X. 1. No newly elected member shall be admitted to the privileges of the Club until his entrance fee and subscription shall have been fully paid, and if the same shall remain unpaid for one month after his election, the latter may be declared void and his name may be struck off the roll of member- ship by the Committee of Management. 2. No member whose annual fee or any other amount due by him to the Club is unpaid shall be allowed to take any part in the proceedings of, or vote at anv general mpetinor nf thp Plnh nr hcp. the Club premises, nor shall his yacht be allowed to participate in any Club regatta or race. ra . 3. The name of every member failing to pay his annual subscription or any other amount due by him to the Club by the first day of July in each year shall be exhibited in the Club Room, and the Committee of Management shall have power to expel any member in arrear on or after the first day of August,, but any member whose annual sub- scription for the current year or any other amount due by him to the Club is unpaid on the first day of September, shall, ipso facto, cease to be a member and his name shall be erased from the books of the Club, unless otherwise ordered by the Committee of Management. 4. Any person expelled or struck off as above provided shall be liable for all arrears and may upon payment thereof be proposed and re-elected in the usual manner, and no person who has been so expelled or struck off and not re-elected shall be admitted to the Club or any of its entertainments. The annual general meeting shall be held on the third Saturday in April in each year at such place as the Committee of Management may direct. The hour of meeting shall be 8 o'clock p. m. ^' J^^ Secretary shall at any time by order of the Committee of Management or upon a requi- sition signed by "any five members call a special general meeting. 3. Notice of all meetings shall be sent to every member at least five days prior thereto. Notice of special meetings shall state the purpose for which they are called. 4. Ten members and a flag officer, and in case such offices are vacant or no flag officer be present, fifteen members shall constitute the quorum neces- sary for the transaction of business. 5. At all general meetings the order of business shall be as follows : , 1. Reading of minutes ofthe previous meeting, and business arising out of the same. 2. Correspondence. 3. Reports of officers and committees. 4. Unfinished business. 5. New business. 6. Election of Officers and Committee. 6. Each Ordinary member whose annual fee for the current year and every other amount due by him to the Club shall have been paid, and each 14 * Honorary and Life member shall be entitled to one vote, and voting by proxy shall not be allowed. 7. All motions or resolutions must be reduced to writing if required by any member present. 8. When any general or special meeting of the Club is about to be held in the Beach Club House, the card rooms and bowling-alley shall be closed at least a quarter of an hour before the time of and remain closed during the meeting. They shall have power to add to their number and to appoint all other necessary committees at the time of any regatta or race. They shall take charge of all races and shall enforce the observance of the Sailing Regulations generally. Three shall form a quorum. 2. A House Committee, consisting of the Secre- tary and five other members, shall be appointed each year by the Committee of Management; its duty shall be to formulate rules for, and generally to superintend the internal management of the Club House. A Finance Committee, consisting of the Secretary and three other members, shall be appointed each year by the Committee of Manage- ment; its duty shall be to superintend the financial affairs of the Club, and no accounts shall be sub- Discip- line. n 15 mitted to the Committee of Management for payment until they have been examined and certified by the Finance Committee. t4. The Saihng and House Committees and Fmance Committee shall be responsible for their actions to the Committee of Management, and shall report to the same whenever called upon. 5. The Committee of Management shall annually before the close of each fiscal year, appoint any two members to examine and audit the Secretary- Treasurer's books and accounts. XIV. Discip- I. Any member wilfully infringing any of the »'"«• provisions of the Charter of Incorporation or of these By-laws or of the rules for the government of the Club or Club premises, or being guilty of any ungentlemanly or other conduct, which in the opmion of the Committee of Management, merits such a course, may be suspended by them, and in such case they shall forthwith direct the^Secretary , I to call a general meeting of the members of the • Club, m whom alone the power of expulsion shall rest. The required notice of such meeting and of the object thereof having been given, the suspended member may be expelled from the Club by a vote of two-thirds of those present at the meeting. 2. Any person who may have been thus expelled shall forfeit all right or claim in or to the Club property or funds, and shall be forever after ineligible for re-election as a member. i6 .■>.,.. "^ > ■ XV. '^ ■ • ■ Houi. ^' Politics and religious questions of every kind * shall be absolutely e^ccluded from open discussion in the Club. 2. The Committee of Management shall have power to declare the hours during which the Club premises shall be open, and no member shall be admitted into or remain in the Club after these hours on any pretence whatever unless specially authorized by the Committee. 3. All members shall pay their bills for every expense they may incur in the Club before they leave the house. 4. Any cause of complaint that may arise is to be written and signed by the member so complaining in the Complaint Book established for that purpose, or by letter to the Secretay, which complaint must be specially noticed by the Committee of Manage- ment at its next meeting; and any overcharge, in- attention«or improper conduct on the part of a servant is to be stated by letter over the signature of such member, which being put in the Secretary's box, must be laid before the Committee at its next meeting. XVI. Flags. I. The Club flag shall be a triangular burgee white luff with white triangle and blue fly ; blue crown above blue block "H" on white triangle. The luff shall be two-thirds of the entire length of the flag, and the apex of the white triangle s-hall be 17 midway between the luff and the end of the flag. The luff of the flag should be three-quarters of an inch for every foot a boat is from truck to water line. 2. The Club ensign shall be blue, with a crown and maple leaf in the fly. 3. The Commodore's flag shall be of the same design as the Club flag, but rectangular in shape. The luff and triangle shall be blue and the fly white; white block "H" on blue triangle and yellow crown on fly. 4. The Vice-Commodore's flag shall be of the same design as the Commodore's, white luff and triangle and blue fly, blue block "H" on white triangle, and yellow crown on fly. 5. The Rear-Commodore's flag shall be the same as the Vice-Commodore's, except that the fly shall be red. 6. The Captain's flag shall be the same as the Vice-Commodore's, except that the fly shall be yellow and the crown blue. 7. The boats of the Club when sailing shall be at liberty to hoist the following, flags only, viz : the Club flag, the official flag, a distinguishing flag, which shall be of the same size and shape as the Club flag, and of such pattern as the owner may select, and the blue ensign. ^»-.^1^ ^r X.1 T -1-- ir. The Club buttons shall be gilt in the design of a fouled anchor surmounted by a crown, sur- rounded by the letters " R. H. Y. C." 3. The Club badge shall be gilt in the design of a wreath of maple leaves around a crown, below which shall be the letters '' R. H. Y. C." 4. The flag officers' badge shall have two fouled anchors crossed, flukes downward in place of the letters "R. H. Y. C," and the other officers' one fouled anchor set at an angle of forty-five degrees. 5. The Club uniforms shall be : First. Second. A dress uniform, consisting of a black or blue cloth dress coat, rolling collar, double- breasted with three large Club buttons on each side, lining black silk, cuffs to button with two small Club buttons on each cuff, and sleeves to be trimmed as in service uniform; the officers' coats to have lapels to side pockets with three large Club buttons on each ; a white dress waistcoat with three small Club buttons in front ; black or blue cloth dress trousers, and black tie. The officers shall wear a badge on each shoulder as follows : Commodore, crown, anchor and maple leaf on crowfoot gold ; Vice-Commodore, crown and anchor on crowfoot gold ; Rear-Commodore, crown and maple leaf on crowfoot gold ; Captain, crown on crowfoot gold ; Hon. XIX. These By-laws may not be altered or amended except at a general meeting of the Club, by a two- thirds vote of the members present, and unless full particulars of the proposed alteratian have been given in writing to the Secretary at least two weeks beforehand, and by him posted in the Club Room, or if the Club premises are closed, in such place as the Committee of Management may direct, and unless mention of the nature of the proposed alteration has been made in the notice calling the meeting. Amend- ments. HOUSE RULES PASSED BY COMMITTEE OF MANAGEMENT. 1. The Club shall be open every day for the reception of members at 8 o'clock in tb ^'orenoon, and shall be closed and the lights extinguished at midnight, and no member shall be admitted into or remain in the Club after these hours on any pretence whatever, unless specially authorized by the House Committee. 2. A member may introduce ladies to the Club premises on Mondays, Wednesdays and Fridays during Club hours, and on Tuesdays, Thursdays and Saturdays till 5 o'clock p. m., but they shall only be admitted to the second floor. No lady shall, however, be admitted to the Club premises on any general regatta day, nor on any public holiday, nor on any such other special occasion as the House Committee shall decide, notice of which shall be posted at the Club entrance. 3. A member may, on obtaining the consent of the House Committee through the Secretary, have the use of the Club Room or dining room for any specified time for the entertainment of a party of friends, which may consist in part of ladies, provided that no privileges granted under this rule shall interfere with the rights of any other member. 4. No children under the age of sixteen shall be allowed on the Club premises. 5. No member shall bring a dog into the Club. 22 6. Smoking shall not be permitted in the Club Room nor in the dining room. 7. No money shall on any account be paid to any servant or waiter for liquors or cigars unless a check for the amount paid shall be detached by the waiter in the member's presence from the stub of the book of checks furnished the waiter by the Club. 8. No member shall take away from the Club, upon any pretence whatsoever, any newspaper, pamphlet, book, map or any other article belonging to the Club. 9.
