THE Commissioners appointed by un act of the last session o!
the Provmcial Parliament, entitled " An Act vesting in certain Com-
'' missioners therein named, all the stock, debts, bonds, and property
**ofthe pretended Bank of Upper Canada lately established at King-
" ston for the benefit of the creditors of that institution," beg leave,
in conformity with the provisions, to report to your Excellency, that
havmg entered on the discharge of the important trust vested in them,
their first object was to procure the books, papers, bonds, notes
and other securities of the late establishment, by which means alone
they could be enabled to ascertain the state of its funds. After much
difficulty, they did obtain from the officer employed by the ' »fe direc-
tors, such property as had been committed to his charge ; La having
formed their establishment, they proceeded in the course which .they
considered best suited, to settle the affairs of the pretended Bank of
Upper Canada.
They gave immediate notices relative to their appointment, in order
to afford inforniation to such persons as had demands against the said
bank, and publickly named a day in each week for the purpose of hear-
ing and determining such claims as might be brought before them.
The commissioners had not made much progress before a subject of
great importance occurred to them.—Cortificates to a considerable
amount had been issued, some of which were soon presented for pay-
ment of the debts due to the pretended bank. While upon a general
view of the subject, it might seem just that an acknowledgment of debt
by the late institution should be admitted as a fair Kset-off against a
demand made by the commissioners, vet on mature consideration, it

Under the impression, therefore, that large sumamijiht be lost to the

ubsolutoly necessary to onforcft compliance with its just provisions.
Th<7, however, (eel thomHcivcs called upon most reMpcctlully to state
the obsrrvations which liavc resulted Irom their progress. They arc
iinprcbscd with the conviction that every doubt as to the construction
of the law must prove in a groat degree tatal to its due elfcct. The
prculiar ciicumsiances which n«)t only cause to man} persons the im-
mediate loss of large capital embarked in the speculation, but also
require (rom them what they conceive a second payment of it, render
many of them most willing to adopt any legal expedient of avoiding it.
The remedy, therefore, cannot be eflcctual which is of doubtful oper-
ation, and admits a possibility of evasion.
At the commencement of the late establishment, and the appoint-
ment of ^niith Bartlet as cashier, u bond was given by Benjamin
Whitney and Patrick Smyth, to secure the d«ie performance of his
duty in that orticc. By one of the last acts of the Directors that bond
was in part cancelled, and Benjamin Whitney alone released from its
penalties. A doubt has arisen whether by law it is restored to its full
validity in the hands of the Commissioners ; and if not, whether the
release docs not extend to both parties.
It has been urged that the provision in the first section, which inva-
lidates all transfers, ^'c. made by certain persons therein named, in
contemplation of the failure of said bank, contains so much obscurity
in the phrase " notwithstanding a further day may be given for the
payment thereof," as to render it liable to a construction wholly dif-
ferent from what the Commissioners conceive to have been the true
intentof the Legislature.
It may be also matter for consideration how far it would be proper
release the Commissioners from their charge of cancelled bills, which
they are not at present authorised to destroy. In consideratioii of the
liability which still attaches to persons concerned in the late institu-
tion, it might, in justice to them, he deemed fit to direct, that from
time to time such quantity of the bills of the pretended bank of Upper-
Canada as may have been redeemed by the Commissioners shall be
destroyed in presence of one or more of the late Directors, after such
manner as will best conduce to the satisfaction of all parties.
Having thus iurnished such material information as came within the
knowledge of the Commissioners, in performing the arduous duty as-
signed to them, they trust every difliculty will be removed which can
impede their progress, while they sincerely hope that the firial result
will not disappoint the just expectations which induced the Legisla-
ture to extend its relief to the public creditors of the pretended bank
of Upper-Canada. All which is most respectfully submittted.

Most respectfully state,
That observing how hopeless was every endeavonr to settle the af-
Jairs of the unfortunate institution confided to their caro, without the
adoption of compulsory measures, they determined, aller presenting
the first report, again to resort to legal aid ; aware, however, of their
habhiity to another fiiilurp,«nd of the great expenses attendant upon
such a result, if the whole of the detauiters were at once prosecuted,
they thought it advisable to act with much cirt irngpection, and accor-
dmgly selected the bonds of two principal debtors only, for the pur-
pose of ascertaining the correct course of legal procedure to be foU
lowetl on subsequent occasions.
A learned solicitor was employed to institute actions in these two
cases, and it was expected that a decision in rospect to both would be
obtained at the court which was to hold its sittings at York in the
month of March. If this decision should bo favourable, ample time

If, on the other hand, the attempt should miscarry, it was thought that
little comparative expense would be incurred, and that the experi-
ence acquired by the solicitor, ir. the mode of conducting the legal bu-
siness of the bank, would at least ensure full success to future efforts.
In pursuance of his instructions, the solicitor lost no time in com^
mencing the actions, and having joined issue with the adverse counsel,
be req[uested the Board, by letter dated on the 13th of March, to sup-
jply him with a variety of evidence, which he conceived essential to
his support, and with which it was necessary he should be provided

of a few weeks, as the regular term for hearing the arguments on the

of the Board were at all aware of their teing thus personally 1ml) e,
executions directed against them, were placed in the hands of tlie
Sheriff. Involved in this singular dilemma they satisfied, from their
private funds, the demands, so enforced agai. st them, amounting in all
to the sum of seventy-one pounds three shillings and one penny.
A hope v^as entertained that the Legislature in revising the r.tatute
during its last Session, would have considered the necessity of pro-
vir carrying its enactments into effect, for tliough tfie
Commissioners in their report of that time purposely abstained from
any observation on the subject, they yet conceived that the very sma 1
amount of current money stated to have been received, would itselt
have arrested notice and suggested the expediency of immediately
#uppljing in isumc way pr other the funds wanted lor defraying the
UOftVoulftble expenses of* the Board. Ft Is however to be lamented
that, instead ol any such provision being made as is here represent-
ed to have been requisite, the new law, even withdrew the discretion-
ary power hitherto possessed, of insisting on the payment of at least
a proportion of each debt in current money; a power, it is to be ob-
seived, which bad not, and perhaps never would have been exercised.
The same law forbade them to refuse the notes of the Bank and com-
inandfcd »he acceptance of certificates in redemption of debts; thus
leaving the Board totally without resources, and hnposing on them
the burthen of providing as they might, for the expenses of their
oflicp.
In this extraordinary situation it naturaUy became a subject of de-
liberation, so soon as the new law was published, whetber the Board
sfiould close their office and wholTy discontinue their procecdino-s, or
make advances from their private funds, on the presumption that
Parliament justly appreciating (h!ue confor-
mity to the Law. The notos destroyed amounted to eleven thousand
four hundred and eighty-ei^ht pounds nineteen shillings and three
fjence; of this sum one thousand and forty one pounds fifteen shil-
ings was redeemed by the Directors, but not surrendered by the
Bank of Canada, m whose possession it had remaii.ed until the ef-
fects of the late Institution had been placed under the controul of
the Commissioners.
The balance of ten thousand four hundred and forty seven pounds
four shillings and three pence, shows the net amount of notes cancel-
led by the Board in the course of their transactions.
Notwithstanding certain provisions of the late enactment, a large
amount of Bank notes is still held by the creditors of the institution.
This amount so far as it can be ascertained, appears in its utmost ex-
tent, to be seven thousand five hundred and thirty-eight pounds fif
teen shillings.
The claims which exist against the institution (including those of
the Stockholders, for eleven thousand one hundred and thirty-six
pounds ten shillings, the amount of their capital stock paid in,) reach
ihe sum of twenty-six thousand siv hundred and ninety-eight pounds
twelve shillings and three pence half penny. To meet these de-
mands the Board have io their possession, promissory notes, bonds,
book 4cbts, &c. amounting to eighteen thousand seven hundred and
eighteen pounds seven shillings.
Should the deficiency, amounting to seven thousand nine hundred
and eighty pounds five shillings and three pence halfpenny, be made
up from the stock paid in, there would be a surplus to be divided a-
mong the Stockholders, of three thousand one hundred and fifty-sis
pounds, four shillings and eight pence halfpenny, (less the expense
«f collection.)
Should the Cashier and his sureties ha requirpd to pay the sum of
five thousand eight hundred and eighty four pounds three shillings and
a halfpenny, stated as Iheamoy of the deficiency by the examinmg-

•bstraction from the funds of the Institution, the balance of cnpital to
be refunded the SlockhoUlers would, without takin;; interest into
calculation, be nine thousand and forty pounds four shiilinps and
eight pence halfpenny — occasioning a loss of two thousand and nine-
ty-six pounds five shillings & three penc '■ halfpenny only.--In this rase
also, deductions must be made for the expenses of collection and set-
tlement.
Should it however, be deter^Tiincd thit the cashier and his sureties
are to beheld responsible for the whole snm which appnirs d»'fici<-nt
in the means of extinguishing the claims against tho Institution, and
which according to the general statement, snl^mitted with this Uo-
port, amounts to seven thousand nine hundred and eighty ponntl- five
ahjllings and three pence halfpenny, the Stockhol*lers wonld in that
case lose no part of their capital, except the proportion that mouUI be
-consumed in adjnstins; the atHiirs of the Rank.
The Board, in making these remarks, do not fiiid thcmsolves requi-
red to give any opinion with respect to the amount for which the cisli-
ier should be considered bound. Indeed, it might perhaps be no ea-
sy task to declare the precise amount for which a CidI sljould be made
on him and his sureties u;itll ("urh'^r progress was made in investiga-
ting and settling the afiiiirs of the I istitnlion.
It would however, he CNceedingly unjust, that he should bo com-
pelled 'o answer for any losses which may have occurred in the tiniis-
-actions of the Bank, or wliich may have originated in a f uify sys-
tem of Book keeping, unless the mism wiageinent can be distinctly
-tSxed on him ; at ttie same time, it is equally clear. th;!t wherever in-
«tan«e3of negligence cr.n be adduced in the co iduct of so important
-an officer as the cashier, entrusted with the general snpeiinteudance
of the concerns of the Binkand the safe keeping of its funds, the
Sjockliolders in all sucli cases have an u:idoui)ted claim on luni tor
■me injury whicli such miscon Inct may have occasioned their interest*.
With respect to the several balances just stated, it is to be ol^ser-
ved that they are made under the most favourable 'ie\^ that can be
lakenof the affairs of the Bank ; for in computing them it has been
assumed that all the claims of the Institution will ultimately prove
good nnd bo recovered. The Commissioners however, cannot con-
ceal that this view of circumstances is unhappily fallacious. They
not only consider many of th" debts worthless and desperate, but are
€ven apprehensive, that after uU the capital Stock paid in, has been
ilcvofed to the purpose, many claims upon the Bank will still remain
unsatisfied, such th'jy conceive it proper to declare is the impressioti
made on their minds' after an .ittentive examination of the books and
p' lAVS of the Institution ; an impression which it would be gratifying
hereafter to find erroneous.

Having tbu^ exhibited an account of their proceedinsj in conformi-
ty to the Statute, the Board in concluding, respectfully entreat per-
mission to resign their trust to the Legislature, by whom it was im-
posed. '
The absolute failure of all their endeavours to culloct the debts of
the Bank, the very i emote prospect of any satisfictory settlement of
its all.iirs, the entire absence of mer.nd for defraying the expenses
attending such settlement, and the many aniioyances incidental to
such a slate of things, these considerations all unite in impelling th»
Board to solicit exoneration — other reasons, it is true, exist for wish-
ing to retire from the couimissiori which it does not appear necessarj
to assign.
Two y^ars of earnest appKcation and unceasing solicitudes vainly
•onsumed in the discharge of a duty, alike unpleasant and thankless,
and which was not merely unsought, but reluctantly undertaken froin
a pure sense of respect for the high authority that enjoir>ed it, do. it
is with deference conceived, constitute as great a sacrifice of time
and labour as under all the circumstances it is convenient to tnake,
or as the Legislature and the country can reasonably require from
persons in no wise connected with the Institution, except as Com-
loissioners.
All which is humbly submitted.
