 expedient to grant the prayer of the said petition , Therefore, Her Majesty,

 I._The said William Foster Coffin, Helier Vavasour Noel, Alexander C. 
 Kelty, Honey Preston, James Perry, George Otford, George Cox, Thomas 
 Hunton, William Mi .s, and such other persons as are now members of tlie 
 said Association, or shall hereafter unite with them, under the provisions 
 oi this Act, and the By-laws made under the authority thereof, and their 
 
 sonal ; and may alienate, lease, or otherwise dispose of the same, or any 
 part thereof, from time to time, and as occasion may reciuire, an<t otlur 
 <;state, real or personal, may acquire instead thereof; Provided always, that 
 the clear annual value of the real estate held by the Corporation at any one 
 time shall not exceed eight thousand dollars . 
 
 II.— Pro\ided always, that the Corporation shall not liold any property 
 except such as shall be derived from tlie following sources, that is to say : 
 The property of the Association hereby constituted as the said Corporation, 
 the life, annual and other subscriptions of members, donations, bequests or 
 lejp,cies made to the Corooration, and the moneys arising from iaics and 
 forfeitures lawfully imposed by their by-laws ;— And provided also, that all 
 property and funds presently invested, of the said existing Association,

«nd all r.iims which may hereafter be rectivod l)y the Corporation for lifi- 
 siibsfriptioiiH of nicinborH, or from legacies, iK'qiRKtH or donatioriH, amount- 
 ing to twenty dollars, or upwards, not specially made for other purposes 
 shall constitute the permanent fund of the Corporation, no part of the 
 capital amount of which shall he expended or paid away, but the whole 
 shall from time to time be invested in real or immovable property (not 
 exceeding the value aforesaid), in bank stock, or Provincial or otlicr securi- 
 ties, and the rents, intereHts,or other income arising frcmi such investments 
 together with the moneys derived from other sources, shall be ai)plitd td 
 the defraying of the current expenses of the Corporation, antl the relief of 
 jjersons whom the Corporation may deem ])roper ol)jects of such relief 
 according to the By-laws of the Corporation then in A)rce, and to the luovi- 
 sions of this Act. 
 
 III.— The affairs and business of the Corporation shall bo managed by 
 fiU4:h Oflficers and Committees, and under such restrictions as touchin'f 
 the powers and duties of such OfticerH and Committees, as bv By-iaw in 
 that behalf, the Corporation may from time to tim(^ ordain ; and the Cor- 
 ]ioration may assign to any of such officers, such remuneration as thev mav 
 deem requisite. 
 
 IV.— The Corporation may make such By-laws, not contrary to hnyl 
 as they shall deem expedient for the adyiinistration and government of 
 the Corporation, and of suc5i Asylum or other Charitable Institutions as 
 they shall maintain; and may repeal or amend the same from time to 
 time, oliscrving always, iiowever, such formalities as by such By-laws 
 may be prescribed totliatend; and generallv shall have all the corporate 
 powers necessary to the ends of this Act. 
 
 V. — Tlio By-laws of the said Association, not being contra:y to law. 
 shall be the By-hvws of the Corporation hereby constituted, until they 
 shall be repealed or alti'red as aforesaid. 
 
 VI.— Until others shall he elected according to the Bv-laws of the Cor- 
 poration, the present officers of the Association shall' be those of the 
 Cosporation . 
 
 VII.— All suhscriptions and penalties due to the Corporation under 
 any By-law, may be recovered by suit in tiie name of the Corporation ; 
 but any member may withdraw there.'rom, at any time, on payment of 
 all amounts due by him to the Corporaiioii, inclusive of his subscription 
 for the year then current. 
 
 VIII.— No person otherwise competent to be a witness in any suit or 
 pios(!cution in which the Corjjoratiou may be engaged, shall be' deemed 
 incompetent to be such witness, by reason of his l)cing or having been a 
 member or officer aftho Corporation. 
 
 IX- — The Corporation shall, at all times, when thereunto rcfpiired by 
 the Governor, or by either branch of the Legislature, make a full return 
 of their property, real and personal, and of their receipts and ex[)enditure 
 for such period and with such details and other information, as the Gover- 
 nor or either branch of the Legislature may require. 
 
 X. — This Act shall be deemed a public Act.

 Article 1. 
 
 Objects of the Society. 
 
 The objects of this Society are to unite 'Englishmen 'and Wclchmen, 
 
 and their descendants, in a social compact for the promotion of mutual 
 
 and friendly intercourse, and for affording to such Englislmien and 
 
 \ Wclchmen, iis may stand in need, advice and counsel, or such pecuniary 
 
 assistance as the funds of the Society may enable it to give.

 1. Any person of English or Welsh birth or descent, having been pro^ 
 posed at a general meeting, or at a meeting of the Committee of Manage- 
 ment, and elected by a majority at the then next general meeting, or next 
 meeting of the Committee of Management, (which ever shall first be held 
 after such proposal) duly convened, and having paid a subscription fee 
 of not less than taso. dollars, or having been u member of a St. George's 
 Society in another locality, and produced to and tiled with the Secretary 
 of this Society a satisfactory voucher of such St. George's Society, at- 
 testing his membership thereof, for the then current year, and good 
 standing therein, shall become amembcrof this Society upon subscribing 
 his name in the Kegistry of Members thereof, to be kept for that purpose 
 by the Secretary .

 Article 5. 
 
 Duties of Officers. 
 The duties of the Officcis and of the Committee of Management shall 
 be as follows : —

 cause thereof, call special general mccting.s of tho Society, or of the

 of the Society upon the requisition of four membt-rs thereof, and of tho 
 Committee of Management at the request of three members thereof. Ho

 there shall be elected by a majority of the members present at any meet- 
 ing, -whether of the Committee of Management, or of the Society, one of 
 its members other than the Secret/ / or Treasurer, who shall, during 
 that meeting, be invested with all the power and authority of the 
 President. 
 
 3.-_The Treasurer shall be the custodian of all the moneys of the 
 Society, but he shall not at any time retain'in his hands a sum exceeding 
 one hundred dollars, but shall deposit the excess in a Bank, in which 
 shall be opened an account with the Society. He shall also be the cus- 
 todian of all books, vouchers and documents appertaining to bis office,

 pf all flags, banners, and other properties of the Society, excepting so 
 for as may have been otherwise provided for herein. He also shall pre-

 not being a special general meeting, of all the rdceipts and disbursements 
 of the Society from the commencement of the then current year, and in 
 addition tliereto shall prepare and lay before the President, tm'.da^ be- 
 fore the General Annual Meeting, a report, in writing, setting forth the 
 state of the funds of tlie Society. In his "<^^ ilf-fitrn'^*- ""'^ '" ^^ said 
 report ho shall state the several sources whence moneys have been 
 received and the several heads under which disbursements have been 
 made together witli a detailed statement of the assets and liabilities of 
 the Society under the several heads on the latest date. He shall pay all 
 cheques issued by order of the Committee of Man.cgcmcnt, attested by 
 tlie Chairman of the meeting ordering the issue of all sucli clieques, and 
 two other members of such Committee. He shall also pay all oidors of 
 tlie President or either of tiie Vice-Presidents and two members of such 
 Committee, for the relief of a distressed person, provided that such last 
 mentioned order shall be in the form now in use in such cases, and shall 
 not exceed two dollars in amount. He shall produce the books of 
 account and all vouchers and otlier documents appertaining to his office 
 to the Committee of Management, and to such person or persons and at 
 such times as such Committee sliall require him so to do.

 tered in a suitable book for that purpose. Ho shali keep a register for 
 the signature of persons becoming members of the Society. The Secre- 
 tary shall have charge of the Seal of the Society. He shall issue certifi- 
 cates of admission to each member on his having signed the Constltu^'on \ 
 of the Society. He shall summon the Society to the general meetings, 
 and give notice on any other occasion, and in such manner as he may be j 
 directed to do by the President, or in his absence, by one of the Vice- 
 Presidents. THe shall sign such cards of invitation to the anniversary 
 dinner as may be requested of him by the Committee of I tanagement. ^ 
 
 5. The Assistant Secretary shall, in the event of the illness or un- 
 avoidable absence of the Secretary at any meeting, act in his stead, and 
 shall discharge the duties that would devolve upon the Secretary were 
 he present. He shall also render assistance in connection with the Sec- 
 retariat at such other times as his services may be required. 
 
 6 . For the efficient discharge of the duties of their respective offices, 
 the Secretary shall receive a salary of thirty dollars ($30) per annum, and 
 the Assistant Secretary a salary of twenty dollars ($20) per annum, to be 
 paid to them respectively on the expiration of their term of office, and 
 
 7 preparatory to the annual meeting appointed to be held on the first 
 ; Tuesday in each and every year until otherwise ordered, in accordance 
 I with the By-laws of this Society. 
 
 7. The Committee of Management diall meet on tbe first Tuesday 
 in each monlh of tke year— the hour and place to be appointed at the 
 previous meeting— and at such other times and places as they shall be 
 specially called together in accordance wiiih these By-laws. They shall 
 consider any application for relief presented to them and grant such 
 aid as the circumstances of the case may seem to require. They shall 
 receive all accounts presented to them of claims ay^inst the Society, and 
 pay the same by cheque on the Treasurer, subject to the act of Incorpora- 
 tion, and shall perform all duties imposed on them, at any general meet- 
 ing of the Society. The Committee shall further prepare a report of its 
 proceedings to bo presented at the regular general meetings of the Society. 
 Where, in the opinion of three members of the Committee of Manage- 
 ment, one of whom, being either a President or a Vice-President, upon a 
 case for relief presented to them, it shall appea. apon due investigation 
 that relief should be granted without the previous action of the Commit-

 tec of MannRcment, such three members shall Ix; authorized to advance 
 to tl.o applicant for such relief a sum not exceeding two dollars, and may 
 draw upon the Treasurer therefor, provided that their such draft upon 
 the Treasurer shall be in the form now in use in such cases, and the par- 
 ties making such advance shall report to the next usual meeting of the 
 Committee of Management each case in which such advance is made, 
 and furnish therewith duplicates of all such drafts upon the Treasurer. 
 
 8 The Committee of Management shall have power to grant ex- 
 tended relief in particular cases at discretion, the orders upon the 
 Treasurer being in all such cases signed by two or more of the Members- 
 of the Committee, 
 
 9. The Stewards shall be entrusted with the carrying out of all the 
 Entertainments in connection with the Society, having previously re- 
 ceived their instructions from the Committee of Management. They 
 shall not, however, incur any expense or liability, or subject the Society 
 to any claim for payment, without having first obtained the sanction 
 of the Committee of Management. They shall be eligible to vote at 
 all meetings at which their services are required. 
 
 in. The Auditors shall examine all accounts and books of accounts 
 having reference to the financial operations of the Society during their 
 vear of office, and if found to bo correct, they shall certify to that effect. 
 They shall prepare a Fa'port to be submitted to the Annual Meeting, 
 accompanied by such remarks as, in the interests of the Society, they 
 may think proper to make. 
 
 11 The Annual Meeting shall order the investment of such propor- 
 tionof the surplus funds as may appear desirable, and in such manneras 
 may then be determined, and the annual subscriptions, with the interest 
 of the investment, shall constitute the ordinary funds applicable to the 
 diaritable purposes and ordinary expenses of the Society. 
 
 Article 6. 
 Vacancies of Office. 
 AH vacancies of office, whether by resignation or otherwise, shall 
 be filled by election at the n«xt general meeting after the same shall

 have occurred. Any other officer, as well as any member of the- Society, 
 shall be eligible to the vacant office, but uo one person shall hold two 
 
 offices. 
 
 Article 7. 
 
 Members in Arrears. 
 Any member who at any time after one month from the passing o*" 
 X these By-laws is in arrears to the Society shall neither vote at the meet- 
 I ings nor be eligible for election to any office in the Society. 
 
 Article 8. 
 
 Tenure of Office. 
 All officers shall retain their office until successors shall have been 
 elected and signified theii acceptance of office, except when an office is 
 vacated by resignation or unavoidable circumstances . 
 
 Article 9. 
 
 / Decision of Questions. 
 
 / I A majority of votes shall decide every question, except as hereinbefore 
 
 I provided— the presiding officer to have a casting vote only. 
 
 Article 10.

 ^ To preserve order and to expedite business, any member who may 
 
 have any proposal to make or observation to offer shall rise and address 
 the presiding officer, and no pcraon shall interrupt another while spealv- 
 iug, if the speaker be in order, of which the presiding officer shall

 Article 11. 
 Certain Discussions ProJdbited. 
 All religious or political discussions are thoroughly excluded from this 
 Society. 
 
 Article 12. 
 Officers to deliver up Property— Penalty. 
 The officers ofthe Society shall, upon their ceasing to hold office, 
 deliver up to their successors all books, papers, and any other property 
 in their possession belonging to the Society; ^u pain of being prosecuted 
 for non-compliance with this By-law. I

 Article 13. 
 
 Mtlfication of Officers Elected, 
 The retiring or former Secretary of the Society, or an officer who may 
 act for him, shall, immediately after the election of officers, notafy 
 them of their election. 
 
 Article 14. 
 Befusal of Office, &c.—Fine. 
 T Any memher who. after having been appointed to office, shall refuse 
 or neglect to perform the duties appertaining to his office, shall be liable 
 to a fine not exceeding $5, as may be decided at any meeting of the bo- 
 ciety, unless under special circumstances, and shall thereafter be m- 
 capble of serving in any office in the r.ociety, unless elected by three- 
 fourths of the members present at any meeting. • 
 
 Article 15. 
 
 Neglect of Duty— Fine. 
 Any nv^mber of the Committee of Management, not being an ex-ofPcio 
 member, ^vbo shall be absent on the occasion of a usual or special meet- 
 in.^ of such Committee, which meeting shall be unable to transact busi- 
 ne°ss for want of a quorum, shral pay a fine of two shillings and sixpence 
 to the charitable fund-illness or unavoidable absence from his place of 
 residence being the only admissable excuse. | 
 
 Article 16. 
 
 Apjjointmcnts pro tern. 
 Except as hereinbefore provided a majority of the members of the 
 Committee of Management may in ca.e of the absence from the City of 
 Ottawa, of any officer or member of the Committee of Management, ap- 
 point any member of the Society to perform, 2>ro tem, the duties of the 
 absent ofiicei or member of such Committee. 
 
 Article 17.
