His Lordship having acknowledged the vote, closed the proceedings with the Apostolical Benediction. * < GENERAL BY-LAWS i or THE CORPORATION or THK CHURCH SOCIETY OF THE DIOCESE OF QUEBEC, ADOPTED AT A OSmOBAL MXETIKO OF THE 80CIKTT, AT QUEBEC, ON THE 2SMD DAY OF OCTOBER, IMft. ARTICLE I. The objects of the Society shall be comprehended in the following distinct departments of Christian exertion, viz : JVrst— Missionary labour, including the creation of a fund towards the au^entation of the stipends of poor Clergymen — towards making a pro- vision for those who may be incapacitated by age or infirmity, and for the widows and orphans of the Clergv. Second — ^Education, Day and Sunday Schools. Third — ^Assistance, where it may be necessary, to those who may be under preparation for the ministrv of the Gospel. Fourth — Circulation of the Holy Scriptures, the Book of Common Prayer, and such other Books and Tracts as shtul be approved by the Central Board, hereinafter to be provided for. Fifth — Aid towards the erection of Churches, &c.. Parsonage Houses, and the management of all matters relating to the endowment of the same. ARTICLE IL His Excellency the Govemoi General, if a member of the Church of England, shall be requested to becoi^e the Pntron of the Society. ARTICLE HI. The President of the Society shall be the Lord Bishop of the Diocese, or Bishop administering the Diocese — and the Vice Presidents shall consist of the Chairmen of the diiferent District Associations, hereinafter provided for, and such other persons as shall be nominated at the General Annual Meet- ings of the Society. ARTICLE IV. The Treasurer i>r Joint Treasurers, the Secretary, Auditors and other necessary Oilicers of the tiociety, shall be appointed' by the Central Board. The Secretary shall be allowed a salary and traTelling expenses, under the direction of the Central Boud, and may appoint an Assistant Secretary, subject to the approval of the Central Hnam, provided that such appoint- ment shall entail no additional burden upon the Society. The appointments of Treasurer and Secretary shall not be for any specified period, but they may be removed at the pleasure of the Central Board. ABTICLE V. The Treasurer ur Joint Treasurers shall collect all subscriptions, dona- tions, rents, issues, and profits, payable to the Society, for which purpose a paid Collector, or Collectors, may be employed. Such monies shall be de- posited in the Bank of Quebec, and Bank of Montreal, and an account shall be opened in such Banks, in the name of the Society. No money shall be paid without the authority of a resolntion of the Cen- tral Board, certified by the Secretary, and upon checks signed by the Secre- tary, and countersiened t>y the Treasurer, expressing the name of the per- son to whom, and the purpose for which, the money is to be paid. The Treasurer or Treasurers shall also have the custody of all deeds, bonds, and otiiet property of the Society, and shall anbiDit his or their ac- counts at the stated periodical meetings of the Central Board. ABTICLE VI. The Secretary shall keepthe minutes of all the proceedii^ of the Society, as well as of the Central Boanl, and shall have the custocfy of, and be ac- coui^table for, the safe keeping of the same, and he shall be subject to the direction and control of the (Antral Board in all his duties and proceedings. ARTICLE Vn. The Society shall meet annually on the first Wednesday in July, alter- nately at Montreal and Quebec, whereof not less than fifteen days notice shaU be given by the Secretary, in at least one of the leading Newspapers in Quebec and Montreal. A Special Meeting of the Society may be caUed at any time by the President, or in his absence from the Diocese, by two of the Vice Presidents, and four other members of the Society, hv a written order to the Secretary, who shall notify the same in the manner nereinbefore pro- vided in respect of the Annual Meetings. Such Spedrl Meetings shall be held at such places as the I'resident shall fix, if called by his order ; or other- wise at the place where the next stated meeting of the Central Board is to beheld. V ARTICLE IX. V •► . ■ Of the Central Board. There shall be a Central Board for the management of the ceneral basi' ness of the Societv, consisting of the President, Uie Vice Presi^nts, and the other officers of the Society, and a Committee of not less than twelve Cler< gymen, and not less than twelve Laymen, who shall be chosen annually at the Genend Meeting of the Society, from among the Members of the Cor- poration. The Board shall meet four times a year, alternately at Quebec and Montreal, on the Wednesday nearest to the 2l8t January, I5th May, and 10th Octo- ber ; and on the Friday next after the Annual Meeting. The first meeting thereof shall be held on the 23d day of Oetober, in the present year, at Que- bec. Special Meetings may be ctuled by the President, or in his absence from the Diocese, by two of the Vice Presidents, and four Members of the Board ; and not less than seven members present at any meeting shall form a quorum. When a sufficient number of piembers to form a quorum shall not assemble on the regular day of meeting, the members present shall have power to acyoium to another day, and so on totiea quoties, until a quorum shall be found ; and business shall and may then be proceeded in. At all meetings \ • / In laying before you the Third Annual Report of the proceedings of the Church Society, the Central Board would renew their expression of humble and sincere thanks to the Author of all Grood, for the gracious tokens of His favour continued to the Society, and for the measiu« of success which has attended its operations. The nussion of our Society is grand and comprehensive. It is not only calculated to render aid, in the present exigencies of the Diocese, but to settle and consolidate the Church, and to provide for the time to come. Having been Incorporated by Provincial Statute, with the sanction of the Sovereign and the Executive Government at home, and numbering amongst its members the clergy and the great body of the laity of the Diocese, it cannot fail, if only adequately supported, of attaining, xmder the Divine blessing, the purposes of its establishment. In a new country, such as this, in which, in Grod's Providence, ^e reside, it must be obvious to every reflective and observant mind, that all those institutions and regulations which are needful, under Grod, for the moral and reli^ous well>being of the community, or, in other words, for the full and effective administration of the Church of Christ, are to be origmated and established. Having, in the first instance, planted Ministers and erected Churches in the more populous sections of the country — ^which has been done to a degree that we may all rejmce at — ^we may now discern that there are four things of primary importance required for the present settlement and future well-being of the Church. They are objects of our Society, and to each and all of them should the earnest attention of Chiuvhmen be directed. First — A provision for the education of young men in the Province for the sacred Ministry. .-^^^^ , ^-^'jr u> 14 Secondly — The fUl eatablishment of the existing Churches and Mi- nisters throughout the Diocese, by securing an adequate endowmantfor them, severally. Thirdly — The engagement of a sufficient number of Travelling Mis- sionaries, to visit every destitute settlement in the country, with a view both to supply the present spiritual wants of our people, and as pioneers of a settled Ministry ; and to provide means for the erection of Churches and the establishment of resident Ministers, wherever the Lord shall open for us a door through their instrumentality. Fourthly — The creation of an adequate fund for the relief of the Wi- dows and Orphan Children of deceased labomrers in this part of the Lord's vineyard. With reference to the first, the recent foundation of Bishop's Col- lege, at Lennoxville, will offer many facilities for educating and train- ing young men for the sacred Ministry. It cannot but be regarded as a propitious circumstance, thatalmost coevalwith the full establishment of the Church Society, the new College should be coming into opera- tion. We have here a chartered institution, immediately connected with the Church and partially endowed, that will, it is trusted, afford an education in every respect satisfactory for the pupils in general, and especially for those designed for the Ministry of the Church. It is re- served for the Society, and its individual members, to raise a fund for the endowment of a few exhibitions for divinity students. Many a pious and estimable youth, in whose heart there is a desire to be a " Labou- rer in the Lord's vineyard," might thus be encouraged to make known his desire, and to enter upon a preparatory course of study, under the prospective advantages that may thus be rendered him, who otherwise might have permitted the desire to languish in his breast, from the ap- parent hopelessness of attaining the end. With a sufficient number of divinity scholarships, or an adequate fund to assist in the maintenance of young men through their College course, may we not expect that, with the Divine blessing, the College, and the Society co-operating, \nll hereafter present a source of supply of faithful and efficient work-* men, equal to the necessities of the Diocese. That the second object named should engage the anxious attention of all who value their Church and would extend and perpetuate its blessings, cannot for a moment be questioned. It is necessary to en- deavour to secure a sufficient endowment for the existing parishes and missions in the Diocese. Our deep obligations to the Society for the Propagation of the Gospel in Foreign Parts, which has so nobly com- menced and continued in this country the " good work " which its title imports, must ever be acknowledged with thankfulness to God. But I \\ 15 t the time hika confessedly arrived when an earnest and contioUotu effort should be made to provide penD«nently for the Churches of the Dio* cese. In this work the Church Society, fi-om its character and posi- tion, must take a leading part. Being now a Corporate body, it has the right of holding property and of managing it, with the sanction of the law, for the best interests of the Church. But if any effectual pro- gress is to be made in this great work, the Society must not be merely a depositoryofiunds and lands for this purpose, but must be itself an active agent and vigorous promoter of the undertaking. It has recog- nized this duty in its general By-Laws, and it is trusted that, by liberal contributions from its wealthier members, directed to this end, and from friends of our Chiurch in England, it may be enabled to fulfil it. In every long settled parish or mission, in which a Church is erected and the necessary appurtenances are provided, it is strongly recom- mended that a commencement should at once be made towards the en- dowment of that Church, by placing annually a small sum at interest, taken from parochial collections or pew-rerts, or derived from other sources, with a view to the production of an accumulating fimd, which, in the coiuse of years, may realize an ample provision tor the clergy- man. Under the existing state of the Church in the Diocese, the third . point mentioned is of pressing importance. Experience has testified to the suitableness of Travelling Missionaries to the state of newly-formed and destitute settlements in this country. It is an excellent expedient where a resident ministry cannot early be established. It is computed that there should be four Travelling Missionaries, in order that the many sections of the Diocese, destitute of a settled ministry, might be visited with sufficient frequency and regularity. Andupon the Church Society must devolve the maintenance of such Missionaries. But however vaiiiable this plan may be esteemed for supplying our destitute members and others in the wilderness with the ministrations of the Church, it is not to be regarded as a sufficient and final provi- sion for such portions of the Diocese, but only as preparing the ground for the more r^pilar and perfect cultivation of a resident spiritual hus- bandman. In this point of view, sending forth the Travelling Missio- nary may always be regarded as entailing frirther expenses upon the Society, if it would complete the work it has begun. For the Missio- nary, when enabled to visit periodically a back-woods settlement — ^if blessed and prospered in his woric — will soon find it his privilege to promote the erection of a Church by the people, and thus prepare the yiay for placing a resident minister amongst them. To the Society he will look for aid in this good work, and should never have to look 16 in Tun. It u then very important that a large Missionary fund ihould be created, whereby the Bishop might be enabled to send an adequate number of Travelling Missionaries into the wide field open before us, and the Missionary be assisted to carry onward to completion the ** work of love," in which he has zealously engaged. There is yet one other thing of primary importance which cannot fiul to awaken the sympathies of every Christian heart, and engage the co-operation of all, viz : the making provision for the Widows and Or- phans of the Clergy. Thepresent state of theincomes of the great ma- jority of our clergy, whilst it shews the necessity of such provision, at the same time evinces the difficulty of organizing any definite scheme, — such as will not draw, except in a very small degree, upon the inade- quate resources of the Clergy themselves. Upon a sufficient fund being procured for this grateful object, must much depend that deeply concerns the spiritual interests of the Church, as well as the comfort and confidence of the clergy. A plan, combining subscriptions specially appropriated to this purpose and collections after sermons, through the Church Society, with a well-ordered nnd limited scheme of a Clergy Mutual Life Insurance Company, might be the most desirable method for the present of effecting this object. With all this in view, surely the plan of our Society is comprehensive it is greatly concerned in the consolidation of the Church in the Dio- cese, as well as (to apply the language of an Apostle) " to lay up in store a good foundation for the time to come." The Society having become Incorporated, as has been intimated, a Special General Meeting was held in October last, for the purpose of framing a series of general By-Laws for its future government. It will be perceived, by a comparison of the By-Laws then enacted with the original Constitution, that but few alterations have been made. The old model, accordant with which the Act of Incorporation was itself fhuned, has been in all its more important features closely followed. In this we have materially differed fiY>m the sister Society of Toronto, which has formed itself upon the model of the Society for the Promotion of the Gospel in Foreign Parts. We believe it will be found that the exis- ting rules are well adapted to our peculiar position and circumstances. The chief alterations made were directed toward promoting the greater effidency of the general Society, as respresented by its executive, the Central Board, enabling it to accomplish, in some measure, the great purposes before mentioned, by securing to it as a large an income as was deemed compatible with the interests of the District and Parochial » 17 v] Asaociations, and their due attention to and provision for local neces- sitieB. income sidr tfj^raHtturr. Of the balance named it should be observed, that the sum of £100 has been appropriated, in accordance with the last section of the 13th Art. of the general By-Laws, toward the creation of an endowment fUnd for Nicolet Church, the people having raised and invested a cor- , responding sum far the same purpose ; and the sum of £50 is to be paid to Trinity Church, Christieville ; laying a net balance in favour of the Society of £454 58. 6^d.— By this account will be seen^ that du- ring the past year the sum of £300 has been invested. The invest- ment comprises subscriptions of life members, and is designed to be the nucleus of a fund for the general purposes of the Society, the inte- rest only of which is to be expended annually. The amount is invested in twelve shares of Quebec Bank Stock. The grants referred to, under the head of ezpenditur'., ware made by the Central Board at its seve- ral meetings, and are tourteen in munber, amounting to £192 10s., inclusive of three payments made on grants of the late Montreal (pro- per) District Association, and assumed by the Central Board on the dissolution of that body. We have satisfiiction in saying that these grants, chiefly made to assist in the erection of Churches and Parson- age-houses, were acknowledged with much thankfulness, and will prove, it is trusted, encouiftging to the several places assisted. 18 Crabelling fMHatuxiti, The Bum of £250 per annum has been appropriated to enable the Lord Bishop to have two Travelling MisBionarieB constantly employed. The Rev. C. Rollit, appointed in May, 1844, to the Quebec District, has been imremittingly engaged in the interesting and arduous duties of his office. During *hc winter months he has been travelling on an extensive mission, on the south shore of the St. Lawrence ; and his journals, which have been punctually rendered, exhibit an interesting detail of his labours, and of the success with which he has been blessed. His Lordship has recently appointed the Rev. E. 6. Sutton to be the second Travelling Missionary, and has directed him to proceed to des- titute parts of the Eastern Townships. His labours will be divided between that section of the country and the numerous destitute settle- ments in the Ottawa District. It would be very desirable if the So- ciety could, at an early day, enable the Bishop to send another labou- rer into this extensive field, that the one might confine himself to the Ottawa District, and the other to the Eastern ToMDtiships. May the Lord hasten the time t And permit the remark, that as we earnestly desire a full blessing may attend the labours of our Missionaries, let them not be without the comfort and benefit of our prayers. The Statute of the Imperial Parliament, 3 and 4 Vict, ch. 78, pro- vides for the sale of those lands, and the distribution of the proceeds. It is considered most desirable for the interests of the Church — with a hope of rendering this property available for its partial endowment — that the lands, rather than the proceeds of their sales, should be gran- ted to us, and left to our control and management. — ^This is the judg- ment of the Church in the United 'Province. The great and overwhel- ming expenses charged hitherto upon the sales of the lands, render it essential that the existing method of disposal should not continue, or there is a prospect that the Church will receive little or nothing firom them. Under these circumstances, the Society petitioned the Provin- cial Legislature, during its last Session, that it would recommend to Her Majesty to cause measures to be adopted for vesting in thelncor- p<»ated Society a portion of the Reserves, corresponding with the in- come assigned to the Church of England by the Imperial Statute ; to be managed by the Society in all time to come for the benefit of the Church. Similar petitions were forwarded from nearly all the parishes and missions in the Diocese ; and petitions, with the like prayer, were presented very numerously tnan the Diocese of Toronto. The important interests of the Church are much involved in this mat- ter. Its ftiture endowment, so far as these lands are concerned, will be nmch affected by the issue. In February last, the Parochial Association, as provided in the 11th Art. of the general By-Laws, was formally organized. The City of Montreal, during the past year, has been disturbed in its operations on behalf of the Society, by the dissolution of the Mont- real (proper) District AxBociation, of which the city was the centre, consequent upon the adoption by the Society of the new general By- Laws. Since that time, efforts have been made by a few gentlemen in the city, connected with different congregations, to obtam collections for the Society ; and to T. B. Anderson, Esq., and Ogilvie Moifatt, Esq., on the part of Christ Church, and to Dr. Holmes and — M*Kay, Esq., on behalf of Trinity Church, the acknowledgments of the So- ciety are due for the larger amount of the annual subscriptions which we are enabled to announce. As yet, no systematic plan of proceed- ing appears to have been adopted by the Parish Church or the Cha- pelries, and to this must be chiefly ascribed the very small sum which has been this year contributed to the Society in that wealthy city. But ere another year shall elapse, Montreal will doubtless take its proper position, and will stand foremost amongst the benefkctors to the Society. A subscription, intended to be annual, has been made for clothing and educating poor children ; and many improvements have been made in the Church, by means of contributions from the parishioners. In Lacole, it has been found necessary to erect a gallery in the new Church, because of insufficiency of accommodation for the people, for which purpose the sum of £15 has been subscribed in the mission. At Clarenceville, the siun of £30 has been raised, diuing the year, for newly fencing the church-yard, and £10 for repairing St. Thomas' Chui-ch. The subscriptions for the Society, in this parish, are small ; but it should be remarked that the sum of £268 13s 8d has been col- lected, within a short time, toward the erection of a Chim:h at Henry- ville. This work is progressing but slowly, for want of more assist- ance. The District Association Committee has granted £10. At Hemmingford, where the foundation of a Church had been laid four years ago, and the walls partially raised, the work has been re-i sumed this summer, and, by the encouraging aid afforded by the So- ciety, the District Association, and other friends of the Church, it is trusted that this much-needed edifice will at length be brought to completion: This work is almost wholly dependent on foreign aid, the people being able to do but very little. It is proposed to erect a Church at Sutton, twelve miles from the residence of the Rev. Jos. Scott, at Brone, within his mission, to- wards which the sum of ^£200 has been subscribed. In Granby, the sum of £40 5s has been contributed for the purpose of finishing the Church recently erected in this village ; and at Milton, in the same mission, the sum of £1 15s toward the completion of their Church. At Phillipsburgh, the new Church is advancing, and it is expected will be soon ready for divine service. The Rector has made several collections in different Churches in this and in the Diocese of To- ronto, and the building committee have raised a further sum of X62 10s among themselves, for the purpose of hastening this needful work to its completion. At Waterloo, in Shefford, the Church has been standing nearly three years incomplete. I'he Church in the west of the township is undergoing extensive repairs, which are needed to preserve its exis- tence. The sum of £75, it is computed, will be necessary to accom- plish those repairs. The pe<^le are poor, and the contributions to the mission are chiefly in lumber, produce, and labour. The Rev. A. Balfour, the Missionary, asks from the Central Board the whole amount obtained for the Society in his mission for the last year, with an additional grant from the funds of the Society, to assist in this work. At Abbottsford, a new front fence has been put up the past year, and the church has been painted within, at a cost of £20 to the people. \ At Rougement Mountain, a new Church has been commenced. The Clergyman writes, " Great and praiseworthy exertions have been made by the people ; but unless they can be assisted by some foreign aid, it is feared its completion must be long delayed. This small Protestant settlement, surrounded entirely by a Romish population, is worthy of . every encouragement. It has adhered to the ministrations of the Church through evil report and good report." The amount subscrib- ed in the neighbourhood, in materials and labour, is estimated at £70. This statement exhibits a j^tifying increase on this year compared with those which have preceded it. On comparing the amount re- ceived by the Treasurers of the Society, it will be seen that there is an increase of £110 Is 6d; and upwards of £500 more has been re- ported as contributed for Church purposes generally than we had to announce the previous year. It should be remarked, with reference to the sum above mentioned, raised for local Church purposes, as distinct from the amount contri- buted to the Society, that it has been necessary to preserve this dis- tinction because of the 8th general By-Law of the Society. It is therein provided, that " Contributors may limit and direct any por- tion, not exceeding one-half, of their contributions, to be applied to special objects within the designs and purposes of the Society." But as that sum has been wholly applied by the contributors, though for Church purposes, which the Society contemplates, it could not be regarded strictly as subscribed to the Society, and therefore it is named separately. On a re\new of the whole of the proceedings for the past year, though the amount contributed cannot be deemed equal to the ability of the Diocese, or corresponding with its great necessities, yet must it be considered satisfactory and encouraging. The alterations in the working of the Society, consequent upon the adoption of certain new rules under the Act of Incorporation, will, in some measure, account fbr the little that has been annoimced from some parishes and mis- sions. In many places, we see a steady maintenance of their original receipts ; and in others, an increased amount contributed. The position of the Society is at present favourable, to seek the ac- complishment of those objects essential to the stability and growth of the Church in the Diocese, referred to in the introductory remarks. By its incorporation, it will be greatly facilitated in the management of permanent stock-funds ; and the creation of such funda is favoured by existing regulations of the Society. May tliey be steadily kept in view by all ! and, according to our several abilities and opportunities, may all labour cheerfully and zealously in this righteous cause, follow- ing the godly admonitions of our revered and beloved Diocesan, to- day delivered to the Clergy in his Triennial Charge, respecting this Society, which owes so much to him : and co-operating in unity of spirit, in the bond of Christian love and peace, we cannot fail, under the smile of a gracious Providence, to behold hereafter realized the great mission of our Society, and thus advance the kingdom of God on earth. 30 TREASURERS' ACCOUNTS.
