I Revised October, 1888. Akticlb I. — The Society. 1. The Society shall consist of Graduates and Under- Graduates of the Medical Faculty of the University of Toronto. , . i- 2. It shall be called "Toronto University Medical Society." 3. The object of this Society shall be the encouragement of original research in medical science and mutual assistance in the studies pursued in the Medical Faculty of the Univer- sity of Toronto, by discussions, lectures, papers and critical readings from scientific authors, and by the supply of such periodicals, magazines, etc , as shall be deemed advisable. 4. The members of the Medical Faculty of the University of Toronto, shall be the patrons of the Society, and shall have the right of attendance at all its meetings. Article II. — Members. , , , 1. The Society shall consist of four classes of members, viz. : Ordinary, Life, Corresponding and Honorary. 2. Ordinary Members shall consist of Graduates of the old Toronto School of Medicine and of Graduates and Under- Graduates of the University of Toronto Medical Faculty. vil. •^ i I 'i 8 TORONTO UNIVKRHITY MEJUCAL SOCIETY. 3. Life Members shall consist of such Ordinary Members as shall have paid four years' membership fees to the funds of the Society. 4. Corresponding Members shall consist of such Graduates of the b'aculty, not resident in Toronto, as may be desirous of contributing to the objects of the Society. 5. Honorary Members shall consist of (1) all ex- Presidents of the Society ; (2) such gentlemen as shall be elected by a vote of five-sixths of the members present at any regulai* meeting of the Society. t). Candidates for membership shall l)e nominated at a regular meeting preceding their election. 7. Names of all candidates for membership shall be posted up in the Treading Room at least one week before their election, an'' "*iy member ma3% by private notification to the President, require that a ballot be taken for the election of « >ch candidates.. , -v < 8. In case no ballot be demanded before the next regular jvictjng^ of the Society, the President shall announce at such meeting the names of the candidates proposed, and declare them duly elected. In case a ballot is demanded, the Presi- dent shall announce the same without disclosing the name of the member who requested it ; the ballot shall be taken in the usual manner, and the votes of five sixths of the members present shall be necessary for the election of such candidate. 9. No Ordinary Member shall be entitled to any of the privileges of the Society after the second regular meeting until he has paid his fees for the year. Article III. — Officers. ' 1 . The Officers shall constitute the General Committee of the Society, and shall consist of a President, two Vice-Presi- dents, Recording Secretary, Treasurer, Assistant Treasurer, Corresponding Secretary, Curator, and five Councillors ; who shall rank m the above order. ^ * TORONTO LNIVKRSITY MBDICAL SOCIETY. Only members or graduates of the Faculty shall be eligible for the office of President ; the first Vice-President and Corresponding Secretary shall be chosen from those entering their fourth year ; the second Vice-President and Recording Secretary from those entering their third year ; the Treasurer, a Member of the Faculty resident in Toronto ; the Assistant Treasurer and Curator from those entering their second year ; and the five Councillors from any year. 3. The President, or, in his absence, one of the Vice-Presi- dents, or an ex-President, or a Graduate member, at the request of the President, shall preside over all meetings of the Society, enforce the due observance of the Constitution, decide all questions of order, announce the result of all voting, and give the casting vote in crse of a tie. 4. In the absence of the President and both the Vice- Presidents, the members present may choose one of their number to act as chairman and perform the duties of the President. , .. , , ,/t:,,, -._ :-^':.iM ... -. : ^^-'^-v .:v^vk;-^: 5. The Recording Secretary shall keep full and correct minutes of the proceedings of all meetings of the Society, the names of all candidates proposed and elected, and the number of votes cast at every election or division. He shall also be responsible for the correctness of the vote, shall prepare and sign the notices of all meetings of the Society, and post the same in the Reading Room. 6. The Treasurer shall, on the night of the Annual Meet- ing, receive from the Assistant Treasurer, all moneys and books of the Society then in his possession ; and hold them subject to the direction of the General Committee. 7. The Assistant TreaHurer shall, at the beginning of the Academic year, receive all moneys belonging to the Society ; sliall receive moneys collected during the year ; shall, under the direction of the General Committee, pay all expenses incurred by the Society ; before the Annual Meeting, shall submit his Report to two Auditors appointed at a previous meeting ; and shall, on the night of the Annual meeting, hand over all books and moneys of the Society to the Treas- 10 TORONTO UNIVERSITY MEDICAL SOCIETY. urer. He shall also keep a roll book, in which shall be en- tered the name of every member of the Society with the date of his admission, and of each payment of fees made by him. 8. The Correspondinfi^ Secretary shall conduct the corres- pondence of the Society, under the direction of the President; shall keep copies of all letters sent, and files of all letters received in behalf of the Society. C. The Curator shall have general charge of all property of the Society, except that in the hands of other officers ; shall have general charge of the Reading Room, and shall enforce the rules relating thereto, subject to an appeal to the General Committee, to whom he shall submit a monthly report. 10. The Councillors shall assist the Curator in the im- mediate supervision of the Reading Room and jproperty of the Society. ^ ^ 11. All records in the possession of any officers of the Society shall be open to the inspection of any member there- of, and every officer of the Society shall, at the conclusion of his term of office, deliver to his successor all property of the Society in his possession, and such successor shall thence- forth be responsible for the safe keeping of the same, except as provided in Sections 6 and 7. • Article IV. — Committees. 1. Tht General Committee shall have power to make By- laws for conducting the business meetings of the Society and for the government of the Reading Room ; shall be respons- ible for the propriety of all subjects discussed ; shall make appointments for all regular meetings, and shall be respons- ible for the due and regular supply of periodicals, magazines, etc., to the Reading Room. 2. Their meetings shall be held at least once a month, five members forming a quorum, and they shall appoint one of their number permanent Secretary of Committee, who shall prepare and post notices in the Reading Room, and keep the minutes of all meetings of the Committee, and shall present i f li TORONTO UNIVERSITY MEDICAL SOCIETY. 11 I their reports to the Society. He shall also report at the penultimate meeting of the Society for the year, the number of meetings held by the Committee, togetner with the at- tendance of each member thereat. 3. They shall submit to the Society, at the antepenultimate meeting, a list of periodicals, etc. , recommended to be sup- plied to the Reading Koom for the succeeding year. 4. They shall have power to appoint an Assistant Curator, whose duties and salary shall be under their control. 5. In case any officer of the Society is absent from three consecutive meetings of the (General Committee, it shall be the duty of the Secretary to report the same forthwith to the Society, who may, at their discretion, declare such office vacant. ... ^ ' ' ' ' 6. Special Committees of not less than three members may be appointed for any purpose, and such Committees shall continue in office until discharged by vote of the Society. 7. The member first named on such Committee shall be convener thereof, but the Committee may, at its first meet- ing, appoint a Chairman and Secretary. A majority of the Committee shall constitute a quorum. 8. The minutes of such Committee shall be kept in a Special Committee Minute Book, which shall be deposited with the Secretary of the Society as soon as the Committee has reported. :/ : ' 9. In case a quorum is not present at any duly appointed meeting of any Committee, the Secretary thereof shall record the names of those members present and report the same at the next regular meeting of the Society. In cases of misconduct or neglect of duty by any Officer, the office of such offender may be declared vacant by a two-thirds vote of the Society. 3. The Regular Meetings of the Society shall be held every alternate Friday evening during the Session, at half past seven o'clock, unless otherwise ordered ; and seven members shall form a quorum. 2. The annual meeting shall be the last regular meeting of the year. 3. Appointments for regular meetings shall be posted in the Reading Room one week previous to such meetings. * 4. The General Committee or the Recording Secretary, at the request of six ordinary members, shall have power to call a special meeting of the Society at any time and for any pur- pose, by giving not less than twenty-four hours' notice thereof. Article VII. — Elections. - 1. The Election of Officers shall take place yearly, by ballot, at the annual meeting. 2. Candidates for offices in the Society shall be nominated at the ordinary meeting preceding the election. 3. Before the election for any office the President shall amiounce from the chair, or cause to be written in a conspic- uous place, the names of all candidates for such office in the order of their nomination. 4. Before passing the ballots the President shall appoint two scrutineers, whose duty it shall be to distribute the ballots, watch the voting, and assist in the count. Those entitled to vote after having marked their ballots, shall deposit them in the ballot box on the President's table, in presence of the scrutineers. 6. When five minutes shall have elapsed without a vote ])eing cast, the President shall declare the poll closed. 7. Immediately on the close of the poll the President shtUl proceed to open the ballots, count being kept by the Secre- tary and scrutineers, and all three must agree as to the result before it is announced. /*"*% ^. No candidate for office shal^ be\ declared elected who has not a clear majority over all'the' other candidates, and the name of the candidate having the least number of votes shall be dropped ; this does not apply to the election of Councillors. In the election of Councillors, the five candidates re- ceiving the highest number of votes shall be declared elected ; in case of a tie, however, between the fifth and sixth, the President shall decide. . , ;U ^ « i 10. In announcing the result, the Presidert shall give the number of votes for each candidate, except in the election of C/Ouncillors, when only the numbers of the successful candi- dates shall be announced. Article VIII.— Rbadino Room. J 1. The Reading Room shall be open daily (Sundays ex- cepted) during the ordinary hours for lectures. 2. One member of the General Committee shall be in charge of the Reading Room one week by turns, whose name shall be posted up therein, and who shall be responsible for the pr*».servation of due order and decorum. 3. I'he room shall be used purely as a reading room, and to fulfil this object, there shall be no laughing, no talking above a whisper, no smoking, no spitting, ^lo card-playing, nor any disturbance which would interfere with readers. 14 TORONTO UNIVERSITY MEDICAL SOOIKTY. 4. Any member may extend the privileges of the Society to members of other Colleges, for a period not exceeding one week at a time, on entering his name in the Visitors' Book kept for that purpose. 5. A list shall be deposited in the Reading Room of all persons entitled to the use thereof. Akticlb IX. — Property of the Society. 1. The whole of the property and efifects of the Society of what kind soever, shall be vested in the General Committee of the Society and subject to its control ; with the distinct understanding that no person or persons, whether member of the Faculty or other members of the Society, shall ever at any time have the right to permanently remove or dispose of any such property ; but that the property snail always re- main as a permanent Library and Reading Room for the benefit of the Society, in the building at present occupied by the Medical Faculty of the University of Toronto, or what- ever building may at any future time be occupied by the said Faculty. 2. All papers and contributions of any kind which may be read or presented to the Society, shall be considered the pro- perty thereof, unless there shall have been some previous ar- rangement to the contrary. 3. Papers read before the Society may be published by the General Committee, with the consent f the author, and no communication made to the Society shall be published by any other person but the author, without the previous consent of the General Committee. 4. The above mentioned property shall be under the im- mediate charge and control of the General Committee. 5. Members of the Society may obtain from the member in charge any of the above mentioned property, subject to the regulations of the General Committee. 6. Any member obtaining any property of the Society shall be responsible for the safe-keeping thereof, and shall make good any loss sustained while in his possestion. The order of business at the Aimual Meeting shall be as follows : — (a) Minutes read, approved and signed. (b) Reports of General Committee, Assistant Treasurer, and Curator. When a member intends speaking on any question he shall rise in his place and respectfully address the chair, con- fine himself to the question and avoid personalities. If not objected to by any member, it may, however, by courtesy, be permitted at times. 5. No member shall speak more than once upon any ques- tion nnless with the permission of the Society, except in ex- Elanation of a material part of his speech which may have oen misconceived, and no new matter shall be introduced upon such explanation. A reply is allowed to a member who haF opened a debate or moved a substantive motion other than those enumerated in Rule 10, but not to the mover of an amendment. 6. When two or more members rise at once to speak, the Chairman shall deteimine their precedence. 7. When a member is speaking, no person shall interrupt except for the purpose of calling him to order. 8. When any member is called to order he shall immedi- ately take his seat until the point is settled by the Chair. 9. Any member may appeal to the Society from the deci- sion of the Chair, the President shall thereupon put the question : '^ Shall the decision of the Chair be sustained? " 10. Motions, notices of motion, and reports of committees shall be presented to the Secretary in writing, except votes of thanks, and notices to reconsider, to adjourn, to take the previous question, to close the debate, to lay it on the table, to postpone the discussion to some future meeting, to divide or to refer. 11. All motions shall be seconded, and read from the Chair before being discussed. 12. When a motion is before the Society, the only motions in order shall be : 1st, to adjourn ; 2nd, the previous question ; .3rd, to postpone ; 4th, to commit ; 5th, to attend ; to take precedence as herein arranged, and the first two to be de- cided without debate. 13. When the " previous question " is moved and seconded, it shall be put in this form, *' Shall the main question be now put?" If this be carried, all further motions, amendments and debate shall be excluded, and the question shall be put without delay. ., , 16. The President shall state every question properly pre- sented to the Society, and before putting it to vote shall ask, *' Are you ready for the question? " Should no member offer to speak, he shall rise to put the motion ; and after he has risen, no member shall be permitted to speak upon it. 16. Upon the request of any five members the Yeas and Nays on any question shall be recorded on the minutes. 17. Any member offering a protest against any of the pro ceedings of this Society, may have the same, if in respectful language, entered in full upon the minutes. 18. it shall be in order to move a reconsideration of any question within two week asfter its decision. A motion for a second reconsideration of the same question shall not be in order at any time. 19. A motion to reconsider the decision of the Society on any question, must be made by a member who voted in favor * of such decision, and shall be put without discussion. 20. A motion to adjourn simply, shall always be in order, except : Ist, when a member is in possession of the floor ; 2nd, when members are voting ; 3rd, when an adjournment was the last preceding motion; or, 4th, when it has been de- cided that the previous question shall be put. 21. A motion to adjourn simply, cannot be amended, but,a motion to adjourn to a given time may be amended axid debated. 22. Two weeks' notice in writing shall be given of motions for the appointment of committees, the suspension, expul- sion, re-election, or censuring of a member, the reconsidera- tion, or discussion of any question, or resolution, to amend the laws and rules of order, or for a return from an ojficer or t". A vote of two-thirds of the members present at a regn lar meeting shall be required to alter, add, strike out or sos- pend a rule of order, to change the order of business or to suspend or expel a member. 24. When the Society goes into Committee of the Whole, the President may leave the chair, and call upon some other member to preside. The minutes of the Committee shall be kept in the Special Committee minute book. 25. Twenty- four hours' notice of the meeting of every Committee shall be posted in the Reading Room. 26. When the report of any Committee has been read to the Society, it sL «11 be deemed to be received without any motion to that effect, and may then be adopted with or with- out amendments, considered in Committee of the Whole, referred, or laid on the table. 27. Any conversation or reading of books or papers, cal- culated to disturb a member speaking, or hinder the transac- tion of business, shall be deemed a violation of order. 28. No member shall leave the room during the meeting without the permission of the President. 29. Any member may admit a visitor to a regular meeting of the Society. 30. All points of order not included in the above shall be decided according to the rules of Parliamentary usage.
