On the twenty-ninth day of October, in the year of Ouir Lord one thousand eight hundred and forty seven, at the City of Quebec, in that part of the Province of Canada, called Lowev Canada, before the undersigned Public Notaries, duly commis- sioned and sworn, in and for the said part of the said Province, appeared : The Mayor and Councillors of the City of Quebec, by George Okill Stuart, Esquire, of the said City of Quebec, Mayor of the said City of Quebec, of the one part : and the Honorable William Walker, of the said City of Quebec, Mer- chant, Robert Cassels, of the said City of Quebec, Esquire, William Petry, of the said City of Quebec, Merchant, Henry Pemberton, of the said City of Quebec, Merchant, James Mc- Kenzie, of the said City of Quebec, Merchant, and Archibald Laurie, also of the !»aid City of Quebec, Merchant, Directors of the " Quebec Gas Company,^' acting in this behalf as well for themselves as for and in the name and on the behalf of the said Company, of the other part : — which said parties in the presence of the said Notaries did and do hereby declare, consent, covenant, promise and agree to and with each other in manner follQwing, that is to say : — ^Whereas by an Act of the Legislature of this Province, passed in the Session held in (he ninth year of Her Majesty's Raign, and intituled : ** An Act for Lighting the City of Quebec with Gas," after reciting that the lighting the streets of the City of Quebec with Gas would be of a great public advantage, and also reciting that the Mayor and Councillors of the said City of Quebec, incorporated by law, had not funds at theitr disposal or which they were then empowered by law lo raise^ sufficient to effect the object afofesaid, unless they suspended the imblio Works and iaiprovementB then requisite in the said Cityi^ ■.ki;"(.l X wmmmK \ !■ T .^:#~-|r-'.;.-^, (2) I; k i\. , and they had therefore prayed that further power should be granted them in the behalf aforesaid, it was thereby among other things enacted that it should and might be lawful to and for the said Corporation of the Mayor and Councillors of the City oi Quebec to establish Gas Works in and for the said City, and for that pur- pose to break up, dig and trench so much and so many of the streets, squares and public places of the said City of Quebec, (commencing at the Gas Works to be established by the said Cor- poration and running throughout the said City of Quebec,) as might be necessary for laying the mains and pipes to conduct the Gas from the said Gas Works to the consumers thereof, doing no unnecessary damage in the premises, and taking all necessary pr<.> cautions for the prevention of accidents to passengers and others ; and it was further enacted that where there were buildings within the said City of Quebec, the different parts whereof should belong to different proprietors or should be in pos ession of different tenants, or lessees,the said Corporation should have power to carry pijjes to any part of any building so situate, passing over the pro- perty of one or more proprietors or in possession of one or more tenants to convey the Gas to that of another or in the possession of another, the pipes being carried up, and attached to the outside of the buildings and also to brake up and uplight all passages which might be in common servitude to neighbouring proprietors, and to dig or cut trenches therein for the purpose of laying down pipes or taking up or repairing the same, the said Corporation doing as little damage as might be necessary in the execution of the powers granted by that Act, and making satisfaction to the owners or proprietors of buildings or other property for all damages to be by them sustained in or to the execution of all or any of the said powers, subject to which provisions that Act should be suffi- cient to indemnify the said Corporation or their servants or those by them employed, for what they or any of them should do in pur- suance of the powers granted by that Act. -X'i And it was further enacted that if any person or persons should lay or cause to be laid any pipe or main to communicate with any pipe or main belonging to the said Corporation, or in any way obtain or use its gas without the consent of the said Corpo- ration or its officer appointed to grant such consent, he or they should forfeit or' pay to the said Corporation the sum of twentyf five pounds, and also a further sum of t^yeiity shillings tor each day such pipe should so remain, which said sum together with all costs of suit in that behalf incurred, might be recovered by civil (3) action in any Court of Law in this Province, having civil juris- diction to the amount. And it was further enacted that if any person or persons should wilfully or maliciously break up, pull down or damage, injure, put out of order or destroy any main pipe, engine or other works or apparatus, appertenances or dependencies of the Gas Works to be made and provided by the said Corporation as afore- said, or any of the materials used and provided by the same, or ordered to be erected, laid down or belonging to the said Corpo- ration, or should in any wise wilfully do any other injury or damage, for the purpose of obstructing, hindering or embarrassing the construction, completion, maintaining or repairing of the said works, or should cause or procure the same to be done, or should increase the supply of Gas agreed for w th the said Corporation, by increasing the number or size of the holes in the Gas burners or by using the Gas without burners or otherwise wrongfully, negligently or wastefully burning the same, or by wrongfully or improperly wasting the Gas, every such person or persons should be g'uilty of a misdemeanor, and on conviction thereof the Court before whom such person should be tried and convicted should have power and authority to condemn such per!>ons to pay a penalty not exceeding five pounds currency, or to be imprisoned in the common gaol of the District foi a «pace not exceeding three months as to such Court might seem meet. And it was further enacted in and by the fifteenth section of the said Act : That the said Corporation should be and they were thereby required to keep or cause to be kept separate books and accounts of the receipts and disbursements fur and on account of the said Gas Works, distinct from the books tnnd accounts relating to the other property^ funds or assets belonging to the said City, and should annually on or alter the first day of Jai'uary in each and every year, cause a statement of the "Ifairs of the said Gas Works to be published in two or more of the newspapers of the said City in the English and French Languages, wherein should be stated the amount of the rents, issues and profits, arising from the said Gas Works,' the number of tenants supplied with Gas, the extent and value of the moveable aiid immoveable property thereunto belonging ; ihe expenses of collection and management, and all other contingencies, salaries of officers and servants, the cost of repairs, improvements and alterations, the prices paid for the acquisition of any real estate that might be required for the use of the said Gas Works, as also the value received for any real jfiiM'Hif r-" "T r * (4) •state that might be sold and disposed of by the said Corpon^ion, and generally such a statement of the revenue and expenditure of the said Gas Works as would at all times a£lbrd to the citizens of the said City of Quebec a full and complete knowledge of the state of the a(leirs of the said Gas Works, and the matters there- with connected. And it was by the said Act further enacted, that it should be lawful for the said Corporation,, before or after the said Gas Works were commenced to lease, assign, transfer and make over the rights, privileges, powers and authorities thereby conferred for such period not exceeding twenty years, and upon such terms and conditions as might be established by a By-Law to be by them made in that behalf, and at the end of such period, (or sooner by consent of parties) it should and might be lawful for the said Corporation to repurchase the same in the mapr>er and by the means in the said Act specified, and thereupon to establish the said works in the same manner and way as if the same had been made and completed by the said Corporation according to the provisions of (hat Act. And whereas at a Special Meeting of the Council of the City of Quebec, held at the City Hall, in the said City, on the ninth day of April, one thousand eight hundred and forty seven, the said Coimcil did ordain and make a certajn By-Law to estft- blish the terms and conditions of an Assignnrent ^o the said Quebec Gas Company of the powers vested in the Mayor and Councillors of the City of Quebec, to establish Gas Works in and for the said City by the said in part recited Act ; whereby it was ordained and enacted that the terms and conditions of a lease, assignment and transfer of the rights, privileges, powers and authorities con- ferred upon the said Corporation by the said Act, should be the fbllowing : y*'- lo. — That the period for which such lease, assignment and transfer should be made should not exceed twenty years, to be computed from ibe first day of November in the year of Our Laid one thousand eight hundred and forty seven. . 2o. — That the said Corporation might purchase the rights, privileges, powers and authorities aforesaid, from the assignee or assignees thereof after (he expiration of ten years to be computed from the first day of November in the year of Orrf Lord one thousand eight hundred and fifty, by paying to the AssigiRee or Assignees the outlay and expenditure incurred l>y him oi them in {&) establishing Gas Works in and for the said C'lty^ to the amount of \fbich outlay tind expenditure shoulil be added a premium of ten per cent to be likewise paid to the said Assignee or Assignes if such repurchase should be made at the expiration of ten years to be computed from the said first day of November in the year of Our Lord one thousand eight hundred and fifty, but if such re- purchase should be made after that period and before the expi- ration of the said period of twenty years, the said premium should be one per cent less for every year that the said works should remain in the possession of the said Assignee or Assignees until the expiration of the said period of twenty years when no premium on the said outlay and expenditure should be paid. 3ip. — That the outlay and expenditure aforesaid should be established by vouchers to be procured by the Assignee or As- signees to the said Corporation at the expiration of each year, and that the said Assignee or Assignees should morecver furnish to the said Corporation every year at the close thereof, and made up to the thirty-first day of December thereof a particular statement of the reven^ and expenditure of the said Gas, Works in the manner required from the said Corporation and prescribed by the fifteenth action of the said Act. 1^ 4o. — That the said Assignee or Assignees should furnish to the Corporation and the said Corporation should accept from him or them the Gas light of two hundred Street Lamps to be placed in the Strefets and Public Places enumerated in a By-Law of the said Corporation passed on the ninth day of October in the year of Our Lord one thousand eight hundred and forty-six and at adisr tance oi one hundred and fifty feet from each other upon an averagi}, for the light of e»)ch of whk^h lamps to be furnished as hereinafter mentioned, the said Corporation should pay at the rate of sixvpoundft per annum for each and every light during a period of three yefirs to he computed from theficst lighting of each lamp and five pounds per annum for each and every lamp for every subsequent year aft^r the expiration of three years from the time of its bieittg lighted, from thie first time as aforesaid, which said sums should be paid 'as a ting of the said Corporation, these presents and everything therein contained shall cease and be utterly void to all intents and purposes whatsoever. And lastly the said Mayor and Councillors of the City of Quebec do hereby covenant, declare and agree to and with the iaid William Walker, Robert Cassels, Henry Pember ton, William Petry, James McKenzie and Archibald Laurie, their heirs, exe> cutors, curators and administrators that the said Corporation shall and will from time to time observe, perform, fulfil and keep to and with the said Quebec Gas Company, (notwithstanding any change that might take place in the Company by the death or retirement of any of the shareholders or proprietors, or the accession of new B ;••■■■•-■-■-■• (10) ; shareholders or proprietors,) the tarnis and conditions established by the hereinbefore recited By-Law, and also the ai tides, clauses, stipulations and agreements herein contained to be observed, per- formed and kept by the said Corporation according to the true intent and meaning of ihe said By-Law and of these presents. And in consideration of the premises, the said William Walker, Robert Cassels, William Petry. Henry Pemberton, James Mc- Kenzie and Archibald Laurie, for themselves and for their several and respective heirs, executors, curators and administrators and for the said Quebec Gas Company hereby covenant and agree with the said Mayor and Councillors of the City of Quebec, that the said Quebec Gas Company and the surviving and continuing shareholders or proprietors from time to time constituting the said Quebec Gas Company, and all and every other person or persons who may become sharoholdem or proprietors therein through every change in the Association by death, retirement or accession, shall and will from time to time, observe, perform, fulfil and keep to and with the Mayor and Councillors of the City of Quebec, the articles, clauses, teims and conditions established by the said hereinbefore recited By-Law, to be observed, performed and kept by the Assignee or Assignees of the said Corporation and the stipulations and agreements herein contained on the part and be- half of the said Quebec Gas Company according to the true intent and meaning of these presents.
