All payments of money by the Board must be made by cheque, signed by the Treasurer, and countersigned by the Secretary. All vouchers, certificates, contracts and other documents must be signed by all the members of the Board to make them valid. Should the Board not be unanimous on any subject, the decision of any tM'o of them shall be acted upon unless the dissentient Trustee protests against it, in which case action on the disputed subject shall be delayed and an emergent meeting called {see Rule 24), the decision of which meeting shall be final. DnHes of the President. 11. — The duties of the President shall be to preside at all meetings of the Association, its Committees and the Board; to maintain order and decorum, at all such meetings, and to see that all these Rules are strictly observed. Should he be absent from any of those meetings, the officers and members present shall elect one of their number as Chairman for that occasion. He shall also assist the Treasurer and Secretary in- conducting the business of the Association. At all meetings of the Association the President shall have the casting vote, in addition to his own vote as a shareholder ; but this clause shall not apply to meet- ings of the Board. E ledum of Auditors. 15— At the annual meeting in June of each \ ear two auditors shall be appointed, who shall continue in office until the following annual meeting. It shall be their duty to audit the books and accounts of the Association, and, in doin^ so, shall be particular to examine every item of expenditure, and see that in every case receipts for the same are held by the Secretary. They shall have access to all tlie books and accounts ..f the Association. They, or either of them, shall perform the above duties at the following times during their year <.f office: (1) At any time during the usual business h(.urs. (2) At anv time on receipt of a rfc((uest to do so signed by 20 per cert, in number of the shareholders. (8) Between the 15th and 22nd days of June and December of each year. In each of the foregoint; cases they shall report to the next ensuing meeting of shareholders the cor- rectness (or otherwise) of the accounts. No other business shall be transacted at that meet- ing than is stated on the notice, except at a half-year- ly meeting, when such further business may be transacted as may arise, providing it is not in contra- vention to Rule 23. Half-yearly Meetings. 22.— A half-yearly meeting shall be called between the twenty-third and last days of June aid December in each year, for the purpose of receiving and adopt- ing (or otherwise) the half-yearly report of the Board; the Secretary's balance-sheet and fananeial statement ; the minutes of all Committee, special and emergent meetings, held during the half-year ; for the election of a member of the Board to take the place of one re- tiring ; for discussing the affairs of the Association • for making suggestions for the guidance of the Board; for deciding the rates of division of the profits ; and for any other business of which previous notice shall have been given. The Secretary shall give at least seven clear days' notice of these meetings. Fourth— Should the profits of the Association be auttioient to allow of a dividend to shareholders in pursuance of the last clause, of more than ten per cent, then a dividend on share capital at a rate not exceeding nine per cent, per annum may be declared ; and should the dividend on purchases, as aforesaid exceed twelve per cent., then ten per cent, per annum may be paid on share capital. Fifth —Any balance remaining after all the forego- ing divisions have been made sliall be paid to the Reserve Fund. Purposes of Reserve Fund. 26 -The Reserve Fund shall be devoted to the pay- ment of all claims on account of buildings, fixtures fittings, implements, tools, and all other fixed stock ' for the renewal, repair, or altf^rati(m of the same ; and tor all charges other than those incurred in the course oi trade, or coyts of management.
