This Indenture made the fourth day of May, in the year of our Lord one thousand eight hundred and sixty-three, between the Right Beyerend Benjamin Oronyn, Lord Bishop of the Diocese of Huron, in the Province of Canada, and tho Venerable Isaac Hellmuth, Doctor of Divinity and Archdeacon of the Diocese of Huron aforesaid, of the First Part ; and the said the Right Reverend Benjamin Cronyn, the said the Venerable Isaac Hellmuth, the Venerable Charles C. Brough, Archdeacon of London, and Charles Monsarrat, of tho city of London, in tho said Province of Canada, Esquire, hereinafter called the Trustees, of the Second Part. Whereas the Lord Bishop of Huron aforesaid, being_^de8irous of establishing an Educational Institution in the said l)iocese, for the objects and purposes hereinafter specified, commissioned the Venerable Archdeacon Hellmuth to obtain therefor donations and sub- scriptions of money and otherwise, in England and elsewhere. And whereas the said Archdeacon Hellmuth hath already obtained the sum of Twenty-two Thousand One Hundred and Fifty Dollars, or thereabouts, for such purposes. And whereas the Reverend Alfred Peache, Incumbent of Man- golsfield-with-Downend, in the County of Grloucester, in the Kingdom of England, hath agreed by way of donation to invest a sum of Five Thousand Grounds, Sterling, in the hands of Trustees for the endow- ment of a Chair or Divinity, to be called the Peache Chair, in the said College, upon certain terms and conditions set forth and declared in an Indenture intended to bear even date with these Presents. And whereas on or about the first day of July, in the year of our Lord one thousand eight hundred and sixty-two, the said parties of the First Part applied the sum of Twelve Thousand One Hundred and Thirty Dollars and Thirty-five Cents, being part of the sum so collected by Archdeacon Hellmuth as aforesaid, in the purchase of certain freehold Lands, situated in the City of London, m the County of Middlesex, and Province of Canada, containing by admeasurement fourteen acres, be the same more or less, commonly called and known by the name of Rough Park, and which may be otherwise known and described as bounded on the North by Grosvenor-street, on the South by James-st., on the East by G-eorge-street, and on the West by the River Thames, saye and except that part or portion thereof running through the same, laid out and known as Great Talbot-street, and which said parcel of land may be otherwise known as being the northerly two blocks of four blocks of land, in the City of London, granted by the Crown to John B« Askin, and such lands by Indenture dated on the first day of July, in the yew of onr Lord one thousand eight hundred and Bizty>two. and expressed to be made between GeorM Feroival Ridont. of the Oity of Toronto, in the Oounty of York, and Proyince of Oanadai Esquirei Lawrence Lawrason, of the Oity of London, in the Oounty of Middlesex and Province of Oanada, Esqnue. and Henry 0. R. Becher, of the said Oi^ of London, Esquire, of the First Part; Louisa Ridout, of the Oity of London, widow of Lionel Ridout, late of the same plaoe, deceased, ofthe Second Part; Alexander Bridport Becher, of m. 13 Dorset Place, Dorset Square, London, in that part of the United Kingdom of Great Britain and Ireland oalled England, Post Oaptain in the Ro^al Navy, of the Third Part ; Sir Richard Ayrey, of Louden last aforesaid, Knigntj Oommander of the Bath, and M%jor-General in Her Majesty's Land Forces, of the Fourth Part} and the Right Reverend Benjamin Oronyn, Lord Bishop of the Diocese of Huron, and the Venerable Isaac Uellmuth, D. D>, of the City of London^ in the Oounty apd Province aforesaid, Archdeacon of Huron, of th^ Fifth Part. And the said parties of the First Part have caused the balance of the said moneys so collected to be invested in mortgages on Real Estate, and have contracted and agreed for the ereetion of additional buildings on the said lands, at and for the price or sum of Three Thousand Five Hundred Dollars, or thereabouts, 'and have sot apart also a sum not exceeding Eight, Hundred Dollars, for the necessary repairs of the aforesaiahouse and premises. And whereas it is desirable to declare the Trusts upon which the said Lands are so held, and to define, settle, determine and declare the Oonstitution of the said proposed Institution, and the several Rules and Regulations under and subject to which the said Institution shall be carried on, governed and managed. And whereas the said parties hereto, of the Second Part, have been nominated, constituted ana apjpointed the Trustees of the said Insti- tution, according to the provisions in that behalf hereinafter contained. Now, therefore, this Indenture witnesseth, and it is hereby declared and agreed by and oetween the parties hereto, that the said Institu* tion shall be and is hereby established, and that the same shall here* after be governed and managed under and subject to the several provisions, rules and regulations hereinafter contained, that is to say : 1.— The name of the Institution is " Huron Oollege." : 2.7-The Institution shall be conducted and carried on in or near the said Oity of London. 3.— The objects for which the Institution is established are :— F1B8TLT, to provide instruction for candidates for holy orders in the United Church of England and Ireland, so as to fit them for the work of the ministry; Secondly, to provide instruction in the hi£[her branches of education, such as usually appertains to a OoUegiate course, for such students or pupils as may be desirous of entering the Institution ; Thibdlt, to combine with these primary objects, such kindred efibrts, including a preparatory Oollegiate School, as may hereafter be found desirable and expedient ; Fousthlt and generally, to perform such acts, matters and things as are incidental or other- wise conducive to the attainment of the before-mentioned objects, or anyoftiiein. 4.--'The teaching and government of the said Institution, shall always be stnotly Protestant and Svangelioal, in conformity with the doctrines of the United Ghnroh of Ensland and Ireland, as ezprMied in the Thirty-Nine Artioles, as now by law established, interpreted according to the plain and natural meaning thereof. 6.7-The government of the Institution shall be vested in the Council, consisting of not less than five, nor more than sixteen members, exclusive of the Bishop of the Diocese of Huron for the time being, and the Principal of the College for the time being, each of whom shall be a member of the Goilsge Council, t»-officio. 6.— The following shall be members of the first Council : — The Venerable Charles C. Brough, AM., Archdeacon of London: the Reverend Biohard Flood, A.M., Incumbent of Delaware ; the Rev. William Bettridge, B.D., Rector of Woodstock and Rural Dean; the Reverend F. W. Sandys, D.D., of Chatham, and Rural Dean} the Rev. Edward L. Elwood, A.M., of Goderich, Rural Dean: the Rev. Michael Boomer, of Gait, L.L.D., Rural Dean, and Chas. Monsarrat, of the City of London, Esquire, and the Reverend J. Walker Marsh, M.A., of the City of London, and the said, the Bishop of Huron, shall have power to nominate and appoint aaditionid members to the said Cfouncil, until the whole number appointed, including those named in this Indenture, shall have reached sixteen, exclusive of the Bishop and the Principal of the College." , "^ 7. — There shall be a President of the Institution, whose dtlty it shall be to pireside over any meetings of the Council at which he may from time to time be present, and to assist in tHeir respective delibera- tions; and the Bishop of Huron, for the time being, shall, by virtue of his office, be such President. 8. — ^If at any time, (after the said Bishop shall have appointed the number of members of the Council he is hereinbefore authorized to appoint), by death, resignation, or otherwise, the number of the members of the Council shall be reduced below the number of thirteen, exclusive of the Bishop of the Diocese and the Prinoipal of the College, then, and in such case, and as often as the same jpiall happen, the remaining members of the Council shall, as soon'M conveniently mav be, at a meeting to be holden for that purpose,
