Herbert W'allis, Montreal, ami all other persons vvlio may hereafter be associated with them, shall be and they arc hereby constituted a body politic and corporate, under the name of "The Canadian Society of Civil ICn^ineers." 2. The said Society shall have power to acquire and hold all lands and property necessary and required, in order to carry out the objects and purposes for which incorporation is souL,dit, i)rovided that the annual value of the real estate, held at anj- one time for the actual use of the Society, shall not exceed five thousand dollars ; and the said Society shall also have power to sue and be sued, and implead in their corporate name ; to make and pass ret:juIations anil b)--laws for the direction and manay;ement of the said Society, inclu- ding all rules that may be deemed necessary for the main- tenance of the honour and dignity of the profession. . 3. The said Society shall be governed by a president, vice-presidents and council, to be constituted in such manner as may be pro\ ided by the by-laws hereafter to be made, and the persons named in the first section shall constitute such council, until such appointments are made. 4. A meeting of the said council shall be held within six months after the incorporation of the society, for organization, making by-laws, the election of officers and the transaction , of any other businps;-- that may arise. 5. The head office of the Society shall be in the City of Montreal, or in such other place as may from to time be determined by a vote of two-thirds of the members of the Society. This Society shall be called "TllE Caxadfan Socikty OF Civil Knginkkus," and be designated by the letters " Ca.\. Soc. C. K." 2. The objects of this Society shall be, (i) to facilitate the acquiremc'it and interchange of professional knowledge among its members, and (2) to encourage original investi- gation. 3. The term "Civil Engineer," as used in this Society, shall mean all who arc or who have been engaged in the design- ing or construction of railways, canals, harbours, light-houses, bridges, roads, river improvements and other ii\-draulic works, sanitary, electrical, mining, mechanical or military works, in the study and practice of navigation by water or air, or in tile directing of the great sources of poww in nature for the use and convenience of man. 4. The corporate Society shall consist of all those persons who had been admitted previous to its incorporation, together with all those who may be admitted hereafter. They shall be classified as Honorary Members, Members, Associate Members, Associates, and Students. Honorary Members shall not be subject to fees or dues, but shall not be entitled to vote. Associates and Students shall possess all the rights and privilegf^s of Members or Associate Members, except the right to vote or to hold office.' 5. Any Honorary Member, Member, Associate Member, Associate or Student, having occasion to designate himself as belonging to the Society, shall state the class to which he belongs, according to the following abbreviated forms: — Hon. Ill every case the candidate must have held a responsible position for at least two years in s of students more than nine years. MANNER Ol' KMUTION. 19. Honorary Members must be nominateil by a unani- mous vote of the Council, one month's notice having been given to the members of the said Council of the names of the nonn"nees, and of the meeting at which it is proposed to make the nomination. 1 lie election of Honorary Members shall be by vote of the Members of the Society, given in the same manner as in the election of members. The number of Honorary Members shall not, at any one time, exceed twenty. ?o. The Secretary shall notify by letter the honorary member of his election, and shall request him to notify the Society of his acceptance of the same within six months. Without such acceptance his election will be cancelled. 21.' Proposals for admission to the Society as Member, Associate Member or Associate, (Form A in the appendix) or for transfer from one class to a higher, (I'orm B in the 10 Bij-Litivs of the duiadiaii Society of Civil Engineer/^. appendix) shall be endorsed by at least five members, who shall certify that they personally know the candidate, and that he is worthy of acceptance or promotion. The proposal shall contain a statement, over the candidate's signature, of his age, residence, and the nature and term of his professional service, also an agreement to conform to the regulations of the Society if elected or promoted. The proposals for Students shall be signed by the applicant, and •endorsed by one Member. In the elections for any class or for promotion. Members shall vote by letter ballot in the usual way, and such ballot shall be taken at the first ordinary meeting, held after the lapse of at least twenty-five days from the date of mailing the notification. Ten negative votes shall exclude a candi- date. In such case of non-election, no record of the trans- action shall be kept. 23. On the election of a candidate, he shall be immediately notified by the Secretary (Form C in the Appendix). On receipt of the notification he must subscribe to the Consti- tution and By-Laws (in the terms set forth in Form D in the Appendix), and pay to the Treasurer the regular fees (see Article 24) before he can be entitled to receive his certificate of membership. If this be not done within six months from the date of the notification of the election, he shall cease to be a member. Membership shall date from the day of election. DUES. 23. Members, Associate Members, Associates and Stu- dents, who reside within 50 miles of headquarters, shall be deemed resident ; those who reside beyond the limit of 50 miles shall be deemed non-resident. 24. Iilach resident Member shall pay $S.oo, and each non- resident Member $6.00, per annum. Each resident Associate Member shall pay $6.00, and each non-resident Associate Member $4.00 per annum, l^ach Associate shall pay $8.00 per annum. ICach Student shall pay one dollar pei annum. All annua! subscri[)tions shall become due on the first day of January in each year, for the \'ear then commencing, and must be paid before the 1st of April of tliat year. No alter- ation in the amount of said fees shall apnlj' to the fiscal year during which it is made, but shall take effect on and after the first da)- of January next succeeding the date of such alteration. The Council may, for sufficient cause, exempt front payment of annual dues any member distinguished in his professional career, who from ill health, advanced age, or for other good reason assigned, does not continue to carry on a lucrative practice, and is unable to pay such dues. The Council may remit the whole or part of any arrears, or accept, in lieu thereof, desirable additions to the library and museum. Exrui.siox. 30. Upon the request of ten or more members, that, for causes specified, a person belonging to the Society should be expelled, the Council shall consider the matter, and, if there be sufficient reason, shall advise the accused that his resig- nation will be accepted. He may, upon demand, receive a copy of the charges against him, and present a written defence. Two months after such action on his part, the Council shall finally consider the case, and, if resignation has not been tendered, or a satisfactory defence made, will then notify the member that he will be expelled in one month, unless he elects to appeal from this decision. Appeals shall be voted on by the Society by letter ballot, and the Council shall notify the accused and the Society of the result. In case no api)eal is made, the Council shall expel the accused, and notify him and the Society of the same, and such notification shall in any event be the only notice, public or private, taken of the matter. liRANCHlvS. 31. A local Branch of the Society may be established under the authority of the Council, at the request of not fewer than ten members, who are desirous of forming them- selves into such local liranch, in any place not less than one hundred miles distant from the headquarters of the Society, or from any existing branch. The establishment of a Branch shall not release members from any of their obligations to the Society, whether as regards or fees membership in any class By-Lav:s of the Canadian Sacief)/ of Civil Engineers. 13 32. Local l^ranchcs, althouf^^h formed strictly of members of the Society, may be distinjniished by the name of their locality, as for example " The Branch of the Cana- dian Society of Civil Engineers." 33. The officers of local Branches shall be a Chairman and Secretary-Treasurer, who shall be elected by the members of the Branch. 34. AH classes of members of local Branches must be elected by the Society in the usual way, and shall enjoy the privileges, and shall be subject to all the conditions of resi- dent or non-resident members of the Society in their respec- tive classes (see Clauses 14 to i.S), and in no case shall their numbers be added t > locally or otherwise than i;i the regu- larly prescribed way. 35. Members of a local Branch shall pay to the Society the fees of a resident member of the Society, and the Society shall remit to the Branch, on application of the Secretary- Treasurer, the difference between a resident and non-resi- dent's fees. The Society shall not be liable for any expenses incurred by a liranch. 36. Tile regular meetings in all Branches shall be held on the same date as the corresponding meetings of the Society at headquarters. SJ. In by-laws, rules of order, Sic, and in particulars not specially referred to, the Branches shall conform to the methods and rules adopted by the Society. MEETINGS. 3.S. The meetings of the Society shall be as follows : — (A). The Annual Meeting of the Society for the election of Officers shall be held on the second Tuesday in January or on such other day as the Council may direct. At such annual meetings, fifteen voting members sliall constitute a quorum, A notice of twenty-one days shall be required for an annual meeting. (B). Special General Meetings of the Society may be called,, by order of the Council, for the transaction of special busi- ness. The quorum at a special General Meeting shall be fifteen. A notice of twenty-one days shall be required for a special General Meeting. (C). Ordinary Meetings of the Society shall be held at eight o'clock in the evening, on every alternate TJiursday during the months of October, November, December, Janu- ary, February, March, April, May and June, commencing with the second Thursday in October, but it shall be in the power of an ordinary meeting to make such changes in these dates as may be deemed advisable. The business of an ordinary meeting shall be transacted aa nearly as possible in the following order : — (a). The minutes of the preceding meeting to be read, approved, and signed by the Chairman and Secretary. (b). lousiness arising out of the minutes to be discussed. (c). Candidates for membership to be balloted for, (d). Candidates for admission into the Society to be an- nounced. (e). Communications from the Council to be considered. (f). New business to be proposed. (g). Original papers to be read and discussed. (D). Students' meetings shall be held at eight o'clock in the evening, at such dates as shall be determined by the Coan- cil, and of which due notice shall be given. PAPERS. 39. All papers shall be forwarc'cd to the Secretary of the Society, when they will be examined by the Council, and if deemed of sufficient inteiest, copies shall be made and sent to every Branch ot the Society. Such papers shall be read By-Lairs of the Canadian Societij of C'tc'd Engineers, l" and presented for discussion at all Branches, at the same time as at the headquarters of the Society, or as soon there- after as may be practicable. A report of the discussion at the Branches shall be forwarded to tlie Secretary of the Society within one week after the date fixed for the readin<; by the Society. 40. The papers shall be the property of the Society, and no publication of any papers or discussion shall be made, except /)j' the Society, or under its express permission. AMENDMENTS. 41. These by-laws may be added to or amended by a vote taken at the annual meeting, provided that notice of the proposed change shall have been given at least two months, previously.
