 Sir, — In confirmation of the understanding arrived at Ix-tween us respecting the partially 
 free grant of the Kootenay River bottom lands and certain other lands, the conrlitions and 
 provisions of which grant wen^ matured by cmrespondence and veri)al (!onferei"ces, I have now 
 the honour of making you formally, under the authority J hold from the Kootenay Lake 
 Syndicate, the following i)roposal endiracing the prinuiry conditions and provisions upon which 
 the Governminit shall grant to me, under si'ction r)8 of the " I"nd Act, 1884," partially free 
 grant of the swamp and bottom lands situated on Kootenay River and Kootenay Lake, and of 
 other tracts, all of which are hereinafter designated under the separate heads of — 
 
 Lands A. — Containing and consisting of about two thousand (2,000) acres of grazing 
 land situated between the Ujqier Columbia Like and the Upper Kootenay River at the point 
 where the latter approaches the former to within a distance of two miles or less, and which 
 point 's known as the "first cro.ssing of Kootenay River;" also the swamp and bottom lands 
 on the TTppcr and Middle Kootenay River between the " first crossing" and the International 
 boundary line, which are now subject to an overflow during high-water season, and which 
 swamp and bottom lands are of an estimated area of about twenty-two thousand rive hundred 
 (22,r)00) acres. 
 
 Lands B. — Containing and consisting of the following approximated areas of swamp and 
 bottom lands on the Lower Kootenay River, describ(>d in Mr. A. S. Farwell's report on the 
 Kootenay reclamation scheme, under date of .'31st Decendier, 1883, as consisting of — 
 
 Flat 1 — Containing aijout 9,000 acres

 before described as flat No. 1 ; and thence; along the foot-hills in a southerly direction to the

 Lower Kootenay River, at the head of tho Island. 
 
 Lands 0. — Containing and consisting of the approximated areas described in the afore- 
 said Report on the Kootenay reclamation .scheme as Hat No. 2, consisting of about tL'teen 
 thousand (15,000) acres of more or less permanently overflowed marsh or lagoon land lying on 
 the right bank of the Lower Kootenay River, between Goat River and Kootenay Lake.

 2. That we ]ilaci^ a steam-tug or steanu^r on Ivootenay River iiwthc course of the present 
 
 .'$. That we un<1ertake to ))lace a similar steamer or steam-tug on the Cpper Coiund)ia 
 River to navigate the stream from tlie Canada I'aciti ' IJailway, first crossing of the (Johnnliia, 
 to tlie Upper Columliia Lake, within six months after the connnencement of our ict-iamation 
 works, at the Upper Koott-nay River Canal; always j)rovided that this afore-mentioned stretch 
 of water is navigable for steamers, and that no othi^r steamer be navigating tlie .said waters by 
 that time. 
 
 ■1. That within six montlis after the receipt of our Engineer's final report on the Kootenay 
 ri'clamation scheme, we form a limited liability company, with a cajiital of at least tifty 
 thousand ( t.'idJlOO) pounds sterling, for the purpose of carrying through th(^ reclamation and 
 colonisation of the lands now considered. That the head otlice of this com))any be in London, 
 England, with an agent in Victoria, M. C, and represeutatives in at least six of the most iui- 
 jiortant Amei'ican and Hui'opean cities. 
 
 f). Th.'it the reclamation works lie commenced within six months after the formation of 
 the said Colonisation Company, and that they be connneiiccd at the " Uapids, ' "Narrows," 
 and "Canal," or at any mie or two of the said points. 
 
 (). That in the criurse of the said reclamation works, as *^he several tracts on the Upper, 
 Middle, or Lower Kootenay River and Lake become reclaimed, or partially reclaimed and fit 
 for settlement, we cause surveys to be made, at our cost, of the said tracts, and that the said 
 surveys lie carried out in accordance with the now existing land laws of the Province, by 
 surveyors approved of by tlu^ (^hief (commissioner of Lands and Woi'ks, and that the plans and 
 held notes be di'posilcil with the Chief Commissioner of Lands and Works. 
 
 7. That if within eigiit (S) years fl'oni the date of thi'se pi'esents, or if within two {'!) years 
 after the completion of the reclamation works thei'e sha'l be ivsidcnt lunni fili' settlers on said 
 Lands A, Crown grants for all or any part or parts of the said Land A shall be issued to us at

 11. That in consideration of our |ilacing a saw-mill, with a capacity of at least ten thoUHarid 
 (10,0(JO) feet per day, on said land, we shall hii,v<' the right to acipiire two thousand {'J.OOO) 
 acres, and to leceive Ciowii grants at tlu' rate of one dollar per acre. 
 
 1-'. That in order to carry <ait the icclamat ion works we shall have a right of way oM-r 
 and full ingress and egress upon any Crown lands, anil the right to I'oiistruct a ditch or canal, 
 or such other work, between the I'jiper Kootenay Uiver and the l'])|)er Coliindiia Lake, that 
 will enahle us to turn the Upjier Kootenay l!i\er into the C]ijier Coluinhia Lake; that we 
 shall have similar right of way over and fid! ingress and egress over Crown lands at the points 
 known as the " l{a]iids " ai:d "Narrows" on western ai ii of Kootenay Lake (outlet), and 
 that we have free pci'mission from the (Jovernment to coniluct the said works at the said three 
 points. 
 
 L'{. That no land tax or real estate tiix he charged on Lands A, !!, and C, until (-rown 
 grants are issued for the lands acipiired. 
 
 IL That the (government he at liherty to apiiro]>i'iate out of Lands A such area as may 
 have been reserved for Indian jiuiposes; that the ( loveinment he at liherty to a|>pro]>riate out of 
 Lands It and C an area not exceeding twehe hundred and eighty (1,2H(}) acres for Indian 
 reserves. 
 
 1"). That the (Jovernment he at liherty to resume possession of not exceeding live |ier 
 cent, of land conveyed hy any Crown grant for school sites and for purpo.ses and woi'ks of 
 puhlic utility and convenience. 
 
 I'o. That a formal agreenient, endiracing the conditions and pi'ovisions of the partially free 
 grant now under consideration, may lie drawn uji and entered into; it heing understood that in 
 such agreement the date " of those picsents " lo mean the dati^ when the final agreement in 
 executed. 
 
 17. That within six months after the incorporation of the limited liahility com])any heforo 
 dcscrilied, we deposit with the (lo\ernment a sum amounting to ten (10) cents upon the one 
 dollai' per acre for which, under the jiresent agreement, we shall, upon fulliliing the afore- 
 mentioned several conditions and provisions, have the right to acipiire the Lands A, l>, and 
 considered in this agreement. 
 
 18. That in consideration of the considerahle expenditures already incurred hy us, and the 
 further expenditures provided as before described, the (Jovei'nment, in accordance with tlic 
 partially free grant of the said Lands A, B, and C, place immediately a resi-rve, for our hiMielit, 
 on all the lands considered in these presents, and maintain tlie said reserve for a term of ten 
 (10) years, and that in accordance with the rei|uiri'ments of section M of the " ].,and Amend- 
 ment Act, I 88 I,"' a report of a Committee of the Honourable the Kxecutive (jouneil, approved 
 by the liieuteiiant-tiovornor, wherein the aforesaid conditions and provisions of this partially 
 free grant he contirmed, be furnished to the Kootenay Lake Syndicate, or their representative, 
 Mr. VV. A. Haillie-(irohman, to enable us to form the afore-described company for the recla- 
 mation and colonisation of the lands agreed to be conveyed to us,
