I. All former Rules and Regulations are hereby rescinded. II. Politics and religious questions of every kind shall be absolutely excluded from open discussion in the Club. MEETINGS. III. The Annual General Meeting of the Club shall take place on the third Thursday in January, for the purpose of electing, by ballot, the Committee of Management, appointing two yVuditors for the succeeding year, and for general business ; at which meeting it will be the duty of the Com- mittee to present a Report and detailed statement of the accounts, assets, and liabilities of the Club for the past year. Such Report having been first passed by the Auditors, also an estimate of receipts and disbursements for the current year, which Report and estimate shall be printed and distributed amongst the members, at least one 4 RULES AND REGULATIONS week before such Annual Meeting; notices oi motion to be brought up at the Annual Meeting shall be left with the Secretar}^ and posted at least seven days before such meeting in the Club. IV. The Secretary shall summon a Special Meet- ing at any time, on receiving directions from the Committee ot Management, or on a requisition to the President, signed by not less than ten members. In all such cases there must be at least seven days' notice of meeting posted up in the Club, which notice shall state the object of the meeting, and no subject shall be discussed beyond that specified in the notice. V. The President shall take the chair at all Club Meetings ; in his absence the members present at such meeting shall elect a Chairman. VI. A quorum of twenty qualified members shall be necessar}^ to constitute any Annual or Special Meeting. VII. When any General or Special Meeting is about to be held, the Billiard and Card Rooms shall be closed at least a quarter of an hour before the time, and remain closed during such Meeting. OFFICERS. VIII. Theelectionof the Committee of Manage- ment shall be by ballot, as follows : Within three weeks of the ballot, and at any time thereafter up OF THE TORONTO CLUB. to one week of the General Meeting or any Special General Meeting called for that purpose, any member may, in writing communicated to the Secretary, nominate nine members for the Committee of Management, and the Secretary shall, from day to day, as received, post up in the Club, the names of all persons so nominated with the names of their respective nominators subscribed thereto. In case no nominations or not a sufficient number have been posted, the Meeting shall elect a Committee, which must include the names posted, if any. IX. The Committee of Management shall consist of nine members, and shall elect a President from their own number at its first meeting ; it shall appoint all sub-Committees, a Secretary and Treasurer, Solicitors, Bankers, and shall have all the powers of the Club, except as to the rescission or alteration or By-laws, raising money by way of loan on Mortgage or Debentures, Election or Expulsion of Members, and Annual Election of Officers. Four shall form a quorum. X. The Committee of Management, at a Special Meeting of that body to be called for that purpose, of which meeting at least three clear days' notice shall be given, are empowered to fill up any vacancies that may occur during the year in their own number. XI. The Committee shall meet weekly, on a stated day, to transact current business and to audit the accounts of the week, and to take immediate cognizance of any infraction of the Rules and Regulations of the Club. 6 RULES AND RECxULATIONS XII. The Conimitte of Manaj^cment sliall have power to levy an assessment of not more than J|t>io in any 5'ear, subject to tlie approval of two- thirds of those present at a special general meet- ing called for the purpose of considering the same, and any members making default in payment of such assessment, so ordered, will be deprived of the uses and privileges of the Club as for non- payment of subscription asset forth in Rule No. 22. XIII. The Secretary-Treasurer shall keep correct Minutes of the proceedings of the Club, and shall also receive all Club monies and pay all accounts. He shall discharge all duties assigned to him b}^ the Committee of Management, shall be paid such salar}- as the Committee of Manage- ment may decide, and hold office during pleasure. XIV. The Auditors shall examine and audit the Club accounts, and report thereon to the Com- mittee of Management yearh', or when required. XV. vShould any member of the Committee of Management be absent from six consecutive meetings of that l)ody, without a satisfactory excuse to the other members, he shall cease to hold office, and his place be filled according to By-law No. 10. BALLOT. XVI. Each candidate for admission shall be proposed by one member and seconded by another, by a proposal in writing stating the candidate's tisual residence, rank, profession or other description, which shall be inserted in the Book of Candidates, OF THE TORONTO CLUD. 7 and sif^ned by both mover and seconder, and such candidate sliall be balloted lor after the lapse of two weeks from the time of such proposal, pro- vided the names of the candidate and his proposer and seconder have been posted in the Club Room, under the hand of the Secretary, at least two weeks before the day of ballot. No ballot shall be valid unless twenty-four members actually ballot, and one l)lackballm six shall exclude. No candidate who shall have been rejected shall be eligible to be proposed again wnthin twelve months. No person shall be admitted a member of the Club or to its privileges, save to the strangers' room, unless of the full age of twenty-one years, except ofticers in Her Majesty's service. XVII. The ballot shall take place between the hours of twelve and six p.m. on any Saturday, and each member voting shall write his name on a card to be provided for that purpose, and such card shall be placed by such member in a box ; and the Secretary and one member of the Committee, or, in his absence, two members of the Committee, shall open the ballot box and declare the result. XVIII. On the election of each new member the Secretary shall notify the same to him, and furnish him with a printed copy of the Rules and Regulations, and request him to remit the amount of his entrance fee and subscription to the Secretary-Treasurer ; and until the same be paid he shall not be entitled to the privileges of the Club. 8 RULES AND REGULATIONS FEES. XIX. The entrance fee shall be fifty dollars, ancf the annual subscription for resident members^ twenty dollars ; for non-resident members, ten dollars. Formembers residing out of the Dominion, five dollars, payable in advance on the first of December in each year. The subscription for new members, elected on or after the first day of February, shall be at the rate of two dollars per month for town members, and one dollar for country members to first of December following. XX. Any member having his place of business in the city, or residing within ten miles of the city limits, shall be considered a resident member under this rule. XXI. The name of every member failing to pay his annual subscription before the first of February shall be posted in the Club, and if not paid then he shall pay an additional sum of two dollars for each month or portion thereof he is so in default, and if the subscription with all fines be not paid before the first of June following, he shall then cease to be a member, and his name erased from the Books of the Club, unless the non-pay- ment be explained to the satisfaction of the Committee of Management. XXII. No member shall be allowed to take part in any proceedings of the Club, to vote on any subject connected therewith, to be balloted for as an officer, to use the Club House or exercise any of the privileges of membership, until he shall have paid all arrears to the Club or Steward, and subscriptions which may be due by him. It shall .1 I OF THE TORONTO CLUB be the duty of the Secretary to notify all members who are over one month in arrears. i 1 XXIII. All entrance fees and annual subscrip- tions shall be paid to the Secretary-Treasurer. XXIV. Any member who may be absent from Canada during the whole period for which the annual subscription is payable, may be considered a supernumerary member, and pay an annual subscription of five dollars during the continu- ance of such absence ; but any member availing himself of this indulgence must previously notify the same by letter to the Secretary, who shall insert his name in the Book of Supernumerary Members, and such member shall be re-admitted to all the privileges of the Club upon his return being notified, in writing, to the Secretary, such notifica- tion to be given within one month'after his return to Canada, and upon payment of his subscription for the current year ; and failing in such notifica- tion and payment, such member shall be con- sidered as having withdrawn from the Club. XXV. Any member, whose dues and debts to the Club, or to the Steward are paid, shall be at hberty to withdraw from the Club, on his written application to that effect, sent to the Committee. XXVI. Any member who shall withdraw, resign or be expelled, shall cease to be a member of the Club, and shall forfeit ipso facto all right or claim thereon, or in or to its property or funds ; and any member who shall be expelled, shall for ever thereafter be ineligible to be re-admitled a member of the Club. 10 RULES AND REGULATIONS PRIVILEGED MEMBERS. XXVII. Tlie Committee shall have the power to admit to the privileges of the Club, as visiting members, for such periods as they may from time to time think fit, any stranger of distinguished rank or position visiting Toronto, to whom it may seem proper to offer such a compliment, but the resolution to admit them must be agreed to by a majority of the Committee. XXVIII. Officers m Her Majesty's army and navy, and persons holding civil or militar}^ appoint- ments under the Imperial Government who may be temporarily stationed in Canada, may be admit- ted to the privileges of the Club on payment of the subscription quarterly, in advance ; and such strangers as may be temporarily resident in Canada, whose names have been submitted to and approved of by the Committee, shall be admitted in like manner. This privilege to stramrers shall not exceed twelve months. XXIX. All members of St. James' Clul), Montreal, Stadacona Club, Quebec, The Halifax Club, Halifax, The Rideau Club, Ottawa, whose usual residence shall be one liundred miles from Toronto, sliall be eligible for election on payment of an annual subscription of §20 without entrance fee. XXX. A member may introduce a friend, a non-resident of Ontario, for two weeks : such privilege not to be repeated within six months. XXXI. By consent of the Committee, or a quorum thereof, non-residents of Ontario may, on OF THE TORONTO CLUB. II the proposal of a member of the Chib, be admitted to the privileges of the Club for a pe^vodnot exceeding three months in any year on pa ymenfl^ in advance, of a monthly subscription of four dollars ; the name of any person admitted under tliis Rule, witli the name of his proposer, shall be entered in the Visitors' Book by such proposer in his own writing, with the date of entry and period for which admission is required. XXXII. No privileged member shall at anytime introduce a friend, attend the meetings, or in any Avay interfere with the management of the Club. XXXIII. The member introducing a friend or a privileged member, shall be answerable for any debt he may incur to the Steward, and for any damage done by him to the Club property. XXXIV. The names of privileged members, with the duration of their privilege, shall be posted in a conspicuous part of the Club. * VISITORS. XXXV. Any member, at his sole expense, shall havetheprivdegeof introducing a friend to the Club and at breakfast, lunch, or dinner, provided the name of such friend shall have been previously subscribed in the guest book. XXXVI. Guests, who are non-residents of Toronto, shall have all the privileges of the Club for the day, with the exception of the Billiard and Card Rooms, provided they have lunched at the 12 RULES AND REGULATIONS Club, and while the Member introducing them is present with them, XXXVII. Guests of Members shall have all the privileges of the Club after seven o'clock in the evening, provided they have dined at the Club, and while the Member introducing them is present with them. XXXVI II. The Club shall beopenever}^ day for the reception of members, at 8 o'clock in the fore- noon, and shall be closed and the lights extin- guished at one a.m., except on Saturdays and Sundays, when the hour of closing shall be midnight; and no member shall be admitted into or remain in the Club after these hours on any pretence whatever, unless specially authorized by the Committee. XXXIX. No game shall, on any account, be played for money, except whist, ecarte, picquet, euchre, billiards, and pool ; nor dice used, except at backgammon. XL. No higher stakes than quarter dollar points shall be played for at whist, nor shall any bet exceed one dollar. ^^ XLI. The games of ecarte, picquet, euchre, billiards, and pool may be played for limited stakes, the limits to be fixed by the Committee, and the Committee shall have power to fix a limit to the hours during which cards shall be played in the Club, and to make such regulations in respect thereof as circumstances may hereafter call for. :i. ^• OF THE TORONTO CLUB. 1^^: i XLII. Any member deviating from, or com- mitting any breach ot, the foregoing regulations, shall be liable to expulsion, and the mode ot proceeding shall be as provided lor in Rule 45. XLIII. All members are to pay their bills for every expense they may incur in the Club before they leave the house. XLI V. Any cause of complaint that may arise is to be written and signed by the member so com- plaining, in the Complaint Book established for that purpose, or by letter to the Secretary, which complaint must be speciall}^ noticed by the Com- mittee at their weekly meeting ; and any over- charge, inattention, or improper conduct on the part of a servant, is to be stated by letter, under the signature of such member, which being put in the Secretary's box, must be laid before the Committee at their next weekly meeting. XLV. Any member wih^'ully infringing the rules and regulations of the Club, or being guilty of conduct unbecoming a gentleman, shall be liable to suspension from all the privileges of the Club on a vote of two-thirds of the Committee present at the meeting when the question of the member's conduct shall be reported, subject to an appeal to a general meeting of the Club to be held within a fortnight of such suspension, of which meeting at least seven days' notice shall be given ; and if such suspension is sustained at the general meeting so called, the member so suspended shall be considered to be expelled. XLVI. All notices posted in the Club shall be considered as sufficient as regards meetings. '* RULBS AND REGULATIONS. AMENDMENTS, ETC. XLVII. All members having any new by-la*w to propose, or any suggestion to make for the alter- ation of existing by-laws, must forward the same in writing to the Secretary at least seven days previous to the Annual General Meeting or any Special General Meeting, and such communica- tion, or a copy thereof, shall be posted by the Secretary in some conspicuous place in the Club for at least seven days next preceding such meeting. At such meeting the same shall be discussed, and, if approved of, then adopted. XLVni. No addition, alteration, or amendment shall be made to these By-laws, unless notice thereof in writing shall be given as provided in by-law No. 4, nor without the consent of two- thirds of the members present at such meeting. i i
