An Act to Incorporate the Hamilton and Gore Mechanics' Institute. [30th May. 1849.] Whereas an Association hath been formed in the City of Hamilton in this Province, by clivers persons engaged as Mecha- ics and otherwise, resident in and near that City, under the name of The Hamilton and Gore Mechanics' Institute, for the purpose of diffusing Scientific and Literary knowledge, by a Lib- rary of reference and circulation ; by the formation of a Museum of Specimens in Zoology, Geology or other subjects of Nature, Sci- ence or Manufactures ; by Lectures ; by Philosophical Apparatus; by Conversations j and by any other method the Committee may judge necessary : — And whereas the persons hereinafter named, Office-Bearers of the said Association, actinginbehalf of the mem- bers thereof, have by their petition to the Legislature represent- ed that the said Association was originally founded in the year eighteen hundred and thirty nine, for the purposes above-mention- ed ; and the Petitioners have further represented that the benefits derivable from the said Association would not only be secured but be greatly enhanced by the Incorporation of the Members thereof, and they have prayed that they may be so incorporated : And whereas it is expedient to grant the prayer of the said Petitioners, subject to the provisions and enactments hereinafter made : Be it therefcxC enacted by the Queen's most Excellent Majesty, by and with the advice and consent of the Legislative Council and of the Legislative Assembly of the Province of Canada, constituted and assembled by virtue of and under the authority of an Act passed in the Parliament of the United Kingdom of Great Britain and Ireland, and intituled, " An Act to re-unite the Provinces of Up- per and Lower Canada, and for the Government of Canada, it is hereby enacted by the authority of the same. Baker, D, MoLellan and Samuel Kirkendall, with all such persons as now are, or being duly competent may liereafter be associated with them for the purposes hereinbefore mentioned, and their success- ors forever, shall be one body Politic and Corporate in deed and in name, by the name and style of The IlAMii/rn.v and Gore Mechanics' Institute, and by that name shall have perpetual successsion and a common seal, and shall have power from time to time to alter, reuevf or change such common seal at their pleasure, and shall by the same name from time to time, and at all times hereafter, be able and capable to have, receive, take purchase, ac- quire, hold, possess, enjoy to them and their successors as afore- said, by the name of The Hamilton and Gore Mechanics' Institute, to and for the use of the said Corporation, any mes- suages, lands, tenements and hereditaments, of what nature, kind or quality aoever, situate, lyinj; and being within this Province, not exceeding in yearly value the sum of one thousand pounds currency , and also by the said Corporate name to grant, bargain, sell, alien, assure, assign, convey, mortgag*^. encumber, lease, or let the same, or any pirt thereof, at any time or times, in as am- ple and eflfectual a manner, to all intents and purposes, as could be done by a private individual in such manner, for such purposes and to such uses, as by the Rules of the said Corporation, and the directions thereof duly given, they may be empowered ( subject however to the provisions hereinafter in that behalf contained ; and also to take, rjceive, purchase, acquire, have, hold and pos sess (provideu *he same do not exceed a like sum in yearly value") to and for the same uses and purposes, any goods, chattels, gifts, benefactions whatsoever ; and also to sell and convey the same or any part thereof in as ample and full a manner, and by the same authority as is above-mentioned with regard to real property (also subject to the provisions hereinafter in that behalf contained) and shall and may by the said name of The Hamilton and Gore Mechanics' Institute be able and capable to sue and be sued, implead and be impleaded, answer and be answered unto in all Courts of Law or Equity and places whatsoever in all and singu- lar actions, causes, pleas, suits, matters and demands whatsoever, in as large, ample and beneficial a manner and form as any other body politic or corporate, or any persons able and capable in law 4 u BiU- Fcrrie, )n, Ro- James , Thos. II. And 1)0 it enacted, That in all and every suit or suits in law or equity, which may hereafter be instituted against the said Corporation, service of Process at the residence of the President, or of the Secretary for the time being, shall be sufficient to com- pel the said Corporation to appear and plead to such suit or suits, and in ens; no appearance is made to the said suit or suits, service of all sul:se(iupnt proceeding in such suit or suits shall bo made eiihor personally on the j^-csidont, or the Secretary, for the time being, or at the residence or plncn of business of one or othc of the same Officers ; any law, custom or usage to the contrary in any wise notwithstanding. III. And be it enacted, That for the management of the affairs of the said Corporation, there shall be elected by the Honorary and Ordinary ^Members of the said Corporation, from their own number and by a majority of the votes of the Members present (who shall vote by ballot) at the Special or Annual Meeting, hereafter provided for, the following Officers, a President, Vice- President, and nine DirectorSj which nine Directors, together with the two Officers first named, shall constitute and form the Board of Directors of the said Corporation, which Board shall at its first Meeting after such election, appoint a Secretary from the ordinary Members of the Corporutiuu, aud if not already a Mem- ber of the Board he shall be one ex officio / thoy shall also at the said first Meetinur appoint, from the number of Directors, a Treas- urer and Librarian. IV. And be it enacted. That the annual fleeting for the elec- tion of the said Board of Directors shall be held at the rooms of the Institute for the time being, on the last Friday of F e b r ua ry, in each and every year : Provided that the Officers and Com- mittee in office at the passing of this Act shall remain in office, and be considered .'is acting under the provision of this Statute, until the Ai^nual Election to be held in February, one thousand eight hundred and fifty, and shall have all the powers hereby granted to the contemplated Board of Directors : Provided, that whenever the said last Friday of Fdaruary shall happen on a public holy-day, the said Annual Meeting shall take place in manner hereafter provided ; and the Board of Directors thereat elected shall serve in the said offices during the year then next ensuing, and until others being elected in their stead shall enter upon the discharge of the duties of their office as hereinafter pro- / V 4 6 ACT or TNCORPORATION. vidod ; and if by reapon of any matter or thing soever tlio clco- tions 80 to bo hud and uiado on the lust Friday of February as aforesaid, shall bo prevented, or shall not be had or niude, then, and m every such case, it ylmll bo competent to the Members of the said Corporation and their successors, or to the major part of such of them as may be present at a IMeeting to be culled by the President, or any of the Vice-Presidents for the time being, in the manner hereinafter proiicribed, and held as soon after as shall be convenient, to proceed to and make the election of such Board of Directors as aforesaid ; and the election so made shall be as valid and effectual as it had been made on such last Friday of February. V. And bo it enacted, That if at any time or times it shall happen that if any of the persons chosen to be Members of the Board of Directors shall die, or be removed therefrom, or resign during the period for which they shall have been respectively elected, then and in every such case it shall be lawful and com- petent for the remaining Members of the said Board of Directors, or a majority of a quorum thereof, at any duly appointed meeting of the same Comniittoe, to chose u Member or Members of the Corporation to fill the office or offices so vacatea : Provided always, that the person or persons who may then bo elected shall retain the said office only until the Member or Members in whose place he or they shall have been appointed, would have gone out of office. VI. And be it enacted, That the said Corporation shall consist of an indefinite number of Ordinary, Junior and Honorary Mem- bers, all of whom shall be elected from time to time, in accord- ance with the Rules and By laws of the Institute, and shall be chosen according to the forms and under the restrictions and conditions hereinafter described, the Ordinary Membeis being those above the age of eighteen years, who shall pay and con- tribute to the funds of the said Corporation, such entrance money and annual subscription as may from time be enacted by the By-laws, Rules and Regulations of the said Corporation ; the Junior Members, being those who are under the age of eighteen years, shall pay and contribute to such funds the entrance money and annual subscription which may as to them be fixed by the said By-laws, Rules and Regulations ; but who shall not vote at any meeting of the said Corporation, nor be eligible to fill any office therein ; and the Honorary Members being those only who, having made a donation to the Corporation to the amount of twenty pounds, or who, being distinguished for their soientifio attainments, or who have signally benefitted the Institute by their I jIco- ACT OF INCORPOllATION. Bcrvioos or otherwise, shall be elected us Honorary Members at a General or Annual Meeting of the said Corporation, and shall be entitled to all the priviledges of Ordinary Members. VII. And be it enacted, That all Meetings of the said Board of Directors, five Members thereof shall be a quorum to transact the business of the said Board ; and all (questions and matters before them shud bo decided by a majority of those present at such Meeting;. VIII. And be it enacted, That the said Corporation may hold Special Meetings, to be called by tiie President or one of the Vice- Presidents, who are hereby required to call such Meeting or Meetings, at the recjuest of a majority of the (juorutn of the Board of Directors, or of twelve Members of the Institute, and the Board of Directors may hold Special Meetings on the summons of the President, or the Vice-President, or of any three Members thereof. IX. And be it enacted. That the Board of Directors shiillhave the entire control (except as herinafter mentioned) of all the pro- perty of the Institute, real, personal and mixed, and the manage- ment of its funds ; it shall be their duty to mako such purchases of books, apparatus, periodicals, papers, furniture, specimens, models and other articles as they may deem expedient for the prosperity of the Institute ; to frame, alter and amend regulations for the Library and Heading or News Room ; to engage and pay Lecturers and Class Teachers; to borrow money or secure debts on the real property only of the Institute, and generally to trans- act the business of the Institute: Provided always, that no purchase or incumbrance of any real property shall be made without the consent of three-fourths of the Members present at a Special Meeting of the said Corporation called for the purpose, of which Meeting notice shall have been given for ton days in at least two of the city newspapers, . which notice shall bo fully specified the object of the said Meeting ; and that no absolute sale or conveyance of any of the p* ■^nerty, real, personal or mixed, of the Corporation, shall be ms.1 /ithout the consent of four- fifths of the Members present, at a Special Meeting of the said Corporation, also called for that purpose in manner aforesaid. X. And be it enacted. That the said Corporation shall from time to time, forever, hereafter have power to make, constitute, ordain and establish, repeal, alter, or amend such By-Laws, Rules and Regulations (not being contrary to this Act or to law) as they shall judge proper for the mode of election of the said Board of Directo* s — for prescribing their functions and the mode of dis arging the ^ame — for the admission of new members — y A tf I 1^ ACT 0/ INCORPORATION. for the frivernment of the Officers and Members of the Corpora- tion— for prescribing the amount, collecting and appointing the time of payment of the annual contributions of the C rdinary and Junior Members to the funds thereof— for reprulating the times and places and mode of summoning ihe ordinary and special meeting of the said Corporation or of the Board of Directors — for suspending or expelling such members as shall neglect or refuse to comply wi'h the By-Laws and Regulations — for the remunera- tiin of Ptrch Officers as they may from time to time require, and taking from those holding responsible situations sufficient securi- ty ; and generally for the managing and directing of aflfairs and concerns of the said Corporation : Provided always that the By- Laws and Eogulations now in force in the Association hereby incorporated, where the same are not inconsistent with this Statute, shall remain and be in force until altered or amended under the authority of this Act; And provided, that no such By Law, Rule or Regulation, or any repeal, amendment or altera- tion thereof, shall have ciFect unless the same shall have been annou iced and rend at a meeting of the Board of Directors, at least fourteen days previous to its being submitted for the adop- tion thereof by the said Corporation, at an annual or special meeting thereof, nor unless the same shall be adopted by a ma- jority of the members then present. XI. And be it enacted, That it shall and may be lawi'ul for the Governor or person administering the Government of the Province for the time being, or for any or either of the Branches of the Provincial Pailiaircnt from time to time to require from the said Corporation, or IVom the Board of Directors thereof, true statements under oath of the Secretary or Treasurer of the said Corporation (which oath any Justice of the Peace is hereby authorized and required, upon request, to administer) of the receipts and expenditure of the said Corporation; and a state- ment iif the real and personal estate held and enjoyed by the said Corporation, shall (if required by the said Governor or person aduiiuistering the Government of the Province) be laid before each Branch of the Proviuciul Legislature, within fifteen days after the opening of each Session thereof Xn. And be it enacted, That nothing in the present Act con- tained, shall eflFect or be construed to eflfect in any manner or way whatsoever, the rights of Her Majesty, Her Heirs or Successors, or any person or persons, or of any body politic or incorporate, such only excepted as are herein mentioned. XIV. And be it enacted. That this Act shall be held and con- sidered to be a Public Act, and as such shall be judicially taken notice of, held and considered in all Courts of Justice, and by all Judges and Justices of the Peace, and all others whom it may concern, without being specially pleaded. RULES AND REGULATIONS. 1. All previous By-laws are h?reby repealed. 2. Apprentices and persons under eighteen years of age, itommeoded by a Member, may be admitted as Junior Members, and oa paying one dollar and fifty cents in advance, annually, shall be entitled to all the privileges of the Institute, except a vote in its management. Females in all cases to be Junior Members. 5. Any one may, if approved by the Board, be admitted to the use of the Reading Room, on paying seventy-five cents, quarterly in advance, and after one year's subscription has been paid in this way, may, if desirous, be elected a Member. 6. Persons elected Members shall sign a declaration that they will keep all Rules and Regulations of the Institute. 7. Any mcatber ftiiling to pay his subscription for six months after it is due, shall be liable to have his name erased from the Roll ; he will, however, be elij^^ib.e for re-election on payment of all arrears, 9. Any person may resign his Membership, such resignation to be in writing, addressed to the Secretary or Superintendent ; but if such person owe any fine or -ubscription, or have any book or other property of the Institute in his possession, his resignation may be refused by the Board, until he return such property, or pay the amount due. 10. Clergymen, of all d^inominations, shall be admitted to the privileges of the Library and News Room without charge, but shall neither be entitled to vo^ nor be eligible for office, unless they become paying members- 11» Members of other Mechanic's Institutes, in Canada, visiting the City, shull, upon production of their ticket of Membership, be entitled to all the privileges of this Institute, except that of a vote in its managenieut ; and strangers may frequent the News Room for one mouth, provided they are introduced by a member ; in either case the name must be entered in the Visitor's book. K 12. No member shull be deemed quaafied to vote at any General meeting, or to hold office, while in arrears for Subscriptions or Fines. 13. A Registry of members shall be kept by the Secretary, who shall cause a list of all who are qualified to vote, or to hold office, to be placed in some conspicuous part of the Institute, at least twenty-one days previous to each annual meeting. Any two members, entitled to vote, niay nominate another member for each of the vacant offices, and shall sign such nomination as mover and seconder, and if, one week previous to theday of election, the number of nominees does not amount to eleven, the Directors shall fill it up to that number, or beyond that number if they see fit, and these nominees shall be the only candidates allowed. A list of the Candidates shall immediately thereafter be printed and circulated among the Members. 14. The Board of Directors shall be elected by ballot, and a majority of the votes cast shall be requisite to constitute an election. The members of the Institute entitled to vote shall be fur- nished, as they enter the place of voting, with a stamped printed list of the Candidates nominated, and shall mark on that list the names of the Candidates for whom they vote. The lists shall then be collected and examined by the Scrutineers, in the presence of the meeting, and the Candidates having a majority of the votes cast, shall be declared duly elected; in case of more than one ballot, fresh lists shall be issued. 16. Previous to the election, the meeting shall appoint two members, not being Candidates, to act as Scrutineers. 17. The President, or in his absence the Vice-President, shall preside at all meetings of the Institute, and Board of Directors. In the absence of both these officers, a Chairman shall be selected from the Directors present at such meeting. 18. The Board of Directors shall have power to fill up any va- cancies that may occur between the periods of electlou ; and shall determine and make known their regular days of meetmg. 19. The President shall have a casting vote only. 20. The President shall have power to call an extraordinary meeting of the Board ; and is required to do so, on the requisition of any three members thereof, or if he refuse, the requisitionists may themselves call such meeting. 21. The Board of Directors, at their first meeting, shall appoint one of their number as Treasurer, and one as Librarian, also a Member of the Institute as Secretary, who, if not a Member of the Board shall be one ex-oficio ; they shall "Iso appoint a Super- intendent, under such conditions as they may consider proper. 22. The Board shall appoint from among themselves the fol- lowing Committees, each of which shall appoint its own chairman, namely, Hall, Building, and Finance Committee —Library and Reading-room Committee — and. Lecture Committee. 23. The Hall, Building, and Finance Committee shall consist of three or more Directors, the President and Secretary being ex officio members thereof. It shull be the duty of the Committee to pay special attention to the financial afiuirs of the Institute, and to audit all accounts. The Chairman of this Committee shall have power to decide any question that may oceur regarding the letting or appropriating the Hall, when there may Le no oppor- tunity of bringing such question before the Board of Directors. 2-lr. The Library and Reading Room Committee, shall consist of three or more Directors, who shall pay special attention to the i good management of the Library and Reading Room ; shall attend to enforcing the Rules , conduct the half-yearly Sales of News- papers, and the annual examination of the Library ; they shall ; ,1 I 'I. i >l{ 12 RULES AND RKGULATIONS ' see that the Books, Periodicals, and Newspapers are properly arranged and kept in good order, that tho Superintendent perform his duties ; and certify all accounts connected with their Depart- ment. 25. The Lecture Committee shall consist of three or more Directors ; it shall he their duty to make diligent enquiry as to Lecturers, and report from time to time regarding Lectures. They shall have the management of any Course of Lectures decided upon by the Board. The Treasurer shall have control over the Cash receipts, and the Committee shall certify all accounts connected with the Lectures. 26. The Audit Committee shall consist of two Members, not Directors, appointed by the Board, whose duty it shall be to examine all account-books and vouchers, which shall be submitted to them at least fourteen days before the Annual Meeting, as well as the annual statement to be submitted at the General Meeting, and certify to the accuracy of the same. 27. The Secretary shall have the custody of the common Seal ; he shall issue all uotices relative to meetings of the Institute, and record the proceedings of such meetings, and of the meetings of the Board of Directors. 28. The Treasurer shall have charge of all moneys deposited in the Bank ; he shall not disburse any money, without the sanc- tion of the Board, signed by the President or Vice-President, and Secretary ; he shall keep an Account Book, entering therein his receipts and disbursements, which book shall be laid before the Board of Directors at each of its meetings. 29. The Librarian shall see that the books and periodicals are kept in good order and '^"''ition ; and shall make and keep cata- logues of the books in the Library, in such form as the Board of Directors may determine. 30. The Board of Directors shall lay before the Annuul Meet- ing, a Report of the aflfairs of the Institute, containing the follow- ing, amongst other particulars : 1st — The number of Members at the date of the previous Report. 2nd — The number of persons elected Members during the year, and the number who have retired. 3rd — The total number of Members at the date of the Report. 4th — The number of volumes added to the Library during the year, and the total number of volumes at the date of the Report. 5th — The number of Volumes issued during the year. 6th— A list of the Newspapers and Magazines received in tho Reading Room. The Board of Dire-jtors shall also submit to the Annual Meeting:, a detailed statement of receipts and disbursements, and of the liabilities and assets of the Institute at the close of the Financial year, — the first day of ffcbniary. 'A 32. It shall be the duty of the Superintendent to call all meet- ings of the Board of Directors* and of the several Committees. 33. The Superintendent shall be empowered to canvass for members, collect subscriptions, grant receipts for the same, or for any other moneys coming into l>i8 hands, which he must deposit in the Bank, to the credit of the Institute, as often as circum- stances may require. 31. Applications for forming Classes for the study of any branch of Science or Literature, shall be made in writing to the Board of Directors, stating the object and nature of the class, the probable plan that will be pursued, and the names of Members willing to unite in it; but no class shall be formed without the consent of the Board. 35. The members of classes may make rules for their own guidance, subject to the approval of the Board of Directors. 36. Classes so organized shall be provided with rooms, furni- ture, fire and ligl t, without charge. 37. The annual meeting of the Members of the Institute shall be held on the last Friday in F e biiraiji , at 7 o'clock, P. M. 38. The retiring Board shall meet with the newlv elected Board on the first Tuesday after their election, and transfer all books, papers, documents, &c., to the new Board. 39. Due notification shall be given of all General Meetings by advertisement in the daily papers not less than ten days before the day of meeting, and again on the morning of that day ; also by printed handbills hung up in the Reading Room, or otherwise distributed. 40. Th% Board of Directors shall cause to be printed at least fifty copies of their Annual Report, six of which shall be placed in the News Room, for the inspection of members, not less than three days previous to the Annual Meeting. 41 . No repeal or alteration of these Rules and Regulations shall be valid, unless notice of the motion for such repeal or alteration shall have been placed in some conspicuous part of the Reading Room, for at least one calendar month previous to the general meeting, at which such motion shall be made and con- sidered. , ^'/>v 'A ^ 14 RULES AND REGULATIONS. 1.
