 INVESTMENTS. 
 
 The Coujpuiiy's investments are made upon such securities 
 as in tliis country would be regarded as tirst-class landed and 
 urban securities, on which money couhl easily be obtained at 
 from 'il to 4J, per cent. Moreover, the proportion between 
 the valuation of the property and the amount lent upon it is 
 nmch greater in Canada than at home, for while here the 
 borr<jw«n' expects to get at least two-thirds • »f the value of the 
 property, in Canada the usual proportion of the value lent is 
 on«vhalf. All Loans are granted on first Mortgage only.

 John Stirling, Esq., of Kippendavie, ('hairman of the CJompuny, 
 presided, and was accompanied to the platform hy Itohert Young, 
 Esq., 1\ Sturrock, Ivsq., Peter Kintoul, Ksq., and Sanuul (Sunn, 
 Esq., Directors. 
 
 'i'ho Secretary having read the notice calling the meeting, the 
 following Report by the Directors was submitted to the meeting: — 
 
 REPORT BY THE DIRECTORS TO THE SECOND ORDINARV 
 GENERAL MEETING OF THE COMPANY. 
 
 The Company was mcorporated on the 14th of October, 1870, the fiist issue 
 of Shares subscribed by the 4th of November in the same year, and business 
 commenced shortly thereafter. Tlio Directors luive now the pleasure ol" lay- 
 ing before the Shareholders accounts sliowing the results of the Co)n])any's 
 business from the commencement down to the 31st of December, 1877. 
 
 The Revenue Account, after paying off the whole of the preliminary 
 expenses, and carrying £272 9s. to the Reserve Fund, shows a nett balance of 
 £2491 28. Id. available for dinsion among the Shareholders. Out of tliis the 
 Directors recommend a dividend at the rate of 7 J per cent, per annum on the 
 paid-up capital, calculated according to the dates of payment of the various 
 ealls. This will yield 2s. 6d. per share on the first issue of 11,000 shares, and 
 Is. 3d. per share on the second issue of 14,000, and will amount in all to 
 .€2250, leaving £241 2s. Id. to be carried forward to next year. 
 
 On the second issue of shares premiums to the amount of £3927 1 Is. were 
 received. This sum, along with the above £272 98. taken from Revenue, has 
 been carried to Reserve Fund, which, therefore, amounts to £4200. 
 
 It will be observed that the Company's borrowing margin (at present 
 £200,000) has been taken up lo the extent of £158,802 14s., by issue of 
 Debentures to the amount of £154,690 14s., and by payments by Shareholdci-s 
 in anticipation of calls to the amount of £4112. The available margin thus 
 left has, since 31st December, been considerably decreased by the is»\xe of

 The investment of the Company's funds in Canada has had the very anxious . 
 and careful consideration of tlie Directors, and they believe that that part of 
 the Comjiany's business is established on a sound basis. 
 
 The whole of tlie Directors, in terms of the Articles of As.sooiution, retire at 
 the date of tho meeting, but are eligible for re-election. 
 
 The Auditors for the current year will be elected by the meeting. 
 
 After the ordinary business of tho meeting, a Special Resolution will, in 
 terms of tho notice calling the meeting, be proposed. The first i)art of tliis 
 llesolntion was rendered necessary by tht* rales of tho Glasgow Stock Exchange, 
 in (mler that the CVtmpany's shares might be quoteil in the Official List, the 
 second is necessary for tlie imr[tose of complying with certain formalities

 In moving the adoption of the Report, 
 
 The Chairman said — Gentlemen, I congratulate you on the 
 small attendance, for it shows, at all events, that the report is of a 
 satisfactory nature. My experience has always been that when a 
 Company is in trouble, you have large attendances of the Share- 
 holders ; but, on the contrary, when a Company is thriving, they 
 do not think it necessary to attend. (Hear, hear.) I must say 
 I think the report of the Directors at this time is highly 
 satisfactory. "VVe have only been a little more than twelve months 
 in operation, and yet during that time we have made very fair

 progress. You will observe that wo have paid off the wholo of our 
 jjroliminary oxpcnsos, which T think is a most desirablo fact. Then 
 we have reduced your furniture account to the nominal sum of j£50, 
 nieroly to koci) it in the books. Next wo liave paid off one-fifth of 
 tho expenHO on loans and commissions, most of which run on the 
 average over a period of five years. Then we also obtained a consider- 
 able Himi on account of premiums, to which wo have added 
 tho sum of £'110 odds, taken from Revenue and put to tho 
 Itosorvo Fund, so as to brinj,* it up, at tho end of tho first yoav of 
 our pxistcnco, to £4200. I look upon the getting up of the llcservo 
 Fund as a most important point for the company. Not that 
 I fear tliat we shall over require to draw upon it, but still it gives 
 confidence to the Shareholders and the public. (Hear, hear.) I 
 venture to think that 71 per cent, is a fairly-earned dividend. 
 (Applause.) 1 hope the Sliareholdors will consider it satisfactory, 
 and I can only say that we have done all in our power to work 
 tho Company fairly and well. Wo have urged on our Canadian 
 Hoard not to lend money on doubtful security, but rather to 
 lend money moderately — not to seek to do a largo business, but 
 rather to aim at doing a perfectly safe one. (Applause.) I have 
 got here a statement of the different ways in which our money has 
 been lent. It shows that 39 per cent, of the wholo loans are on 
 farm property, 22 per cent, on property in tho City of Toronto, 34 
 per cent, on town property not in Toronto, and 5 per cent, on pro- 
 [jorty, full particulars of which wo have not received. I think 
 a satisfactory point in tho statement is that one-half tho wholo loans 
 run in sums from £200 to £1000. It also shows that these loans 
 are spread over a very good description of property, and, as 
 far as possible at least, not more than half the value of the pro- 
 perty is advanced. I really do not know that I can make a long 
 speech, indeed there is very little to add to what is in the Eeport, 
 which is very full. We are going to issue an allotment of new 
 shares, which I believe the Shareholders will readily take up, and 
 I hope the premiums will bo added to the Reserve Fund, the same 
 as in the last issue. In conclusion, all I can say is that I trust the 
 Shareholdei-s will keep us in mind both amongst themselves and 
 their friends, and do what they can to get us plenty of money 
 on Debentures. The security we give the public is an ample

 one. Thoy have not only our uncalled capital, which covers tho 
 total amount of our loans, but in addition thoy also have tho

 only one thing that I will allude to, and it is that the object wt- 
 have in view in issuing more capital is that we may bo enabled to 
 tho full extent to employ our borrowing powers, and it ia an actual 
 result of the progress of our business. Your borrowing margin is 
 now very nearly expendoil, and, as you are aware by tho Articles of 
 Association, you cannot borrow further, unless by issuing more 
 capital. Therefore, what we now issue will give us an additional 
 borrowing power to tho extent of about .£80,000. I trust that 
 each Shareholder will consider that while amongst his friends ho 
 is bringing forward the claims of our Company, he is doing them a 
 benefit while promoting his oAvn selfish interests. (A laugh.) The 
 more money we can borrow from the public (for which we give 
 ample security), the more likelihood is there of our profits as a 
 Company increasing. (Hear, hear.) 
 
 The Chairman — Is the motion for the adoption of the report 
 agreed to? (Applause.) My next duty is to propose that a divi- 
 dend of 7J per cent, be declared, payable at the bank on and after 
 to-morrow. T have no doubt that will be satisfactory. (Applause.)

 was unanimously agreed to. 
 
 Mr. Hyndman, of Springside, had much pleasure in moving the 
 re-election of the Directors of the Company — namely, Mr. Stirling of 
 Kippendavie, Mr. Robert Young, Mr. William Ross, Mr. Peter 
 Sturrock, Mr. Peter Rintoul, and Mr. Samuel Gunn. (Applatise.)
