" For the establishment and support of Gaelic Schools. '* For rtlieving distressed Highlanders at a distance from their native homes, and " For the promoting the improvement and general welfare of the northern parts of the Island." And Whereas the said Society, to extend the benefit of their institution, and to unite together in a central union their Coun- trymen, wherever situated, have resolved to issue Commissions for the establishment of Branches thereof in the British Coloniei abroad, as well as in other places, abroad and at home where Highlanders are resident, and being extremely desirous that a Branch should be established in Miramichi, New Brunswick: You are hereby authorised and empowered in pursuance of this Resolution, to found a Branch of the Highland Society of Lon- don AT MiRAMicHi, New Brunswick, accordingly, with autho- rity to make such bye-laws as may be necessary for the manage- ment thereof, in conformity to the principles and rules of the said Society. Given at London under the Seal of the Society, this 13th day of June, 1842. To His Excellency Sir William McBean G. Colebrooke, K. H. Lieut. Governor, James Gilmour and Alexander Rankin, Esquires. ' - 4 An Act to Incorporate the Highland Society of New Bruns- wick at Miramichi. Passed 11th April, 1846. " Whereas, the Highland Society of London, instituted in the year one thousand seven hundred and seventy eight, and incor- porated by Act of Imperial Parliament in the year one thousand eight hundred and sixteen, by its Commission beaiinji; date the thirteenth day of June, one thousand eight hundred and forty- two, given at London, under the Seal of the said Society, and directed to Sir William McBean George Colebrooke, K. H., Lieutenant-Governor of the Province of New Brunswick, James Gilmour, and Alexander Rankin, also of New Brunswick, Esqra. , after reciting among other things that the said Society, to ex- tend its benefits, and unite together in a central union, High- landers, wheresoever situated, had resolved to issue Commissions for the establishment of Branches thereof in the British Colonies abroad, as well as other places at home, where Highlanders are, and that being extremely desirous that a Branch should be es- tablished in New Brunswick, at Miramichi, the said Commission authorised and empowered the said persons to whom it was di- rected, to form a Branch of the said Highland Society of Lon- don, at Miramichi, New Brunswick, with authority to make such bye laws as might he necessary for the management there- of in conformity to the principles and rules of the said Society ; and whereas, in pursuance of the said Commission, the said Sir William McBean George Colebrooke, K. Macbean, John McDonald, Roderick McLeod, Donald McKay, George Kerr, and Neil McLean, and such other person or per- sons as are now, or may hereafter be admitted members of the Society, agreeably to the rules and bye laws of the said Corpo- ration, their associates and successors, be, and they are hereby erected into a Body Corporate, in connection with the Highland Society of London, under the name and style of The Highland Society of New-Brunswick at Miramichi, for the purpose, in addition to the objects contemphated by the Parent Society, of extending relief to destitute Scotsmen, Scotswomen, or their *' descendants, and the educaticm of their children, and for these purposes shall have and enjoy all general powers made incident to Corporations by the Act of, the General Assembly of the Pro- vince, made and passed in the Reign of his late Majesty King William the Fourth ; provided that the Real Estate which the said Corporation may iiold at any one time shall not exceed the sum of two thousand pounds in value. Passed 10th September, 1847. 1. — The Title shall b" The Highland Society of New Bruns- wick at Miramichi. 2. — That appropriations of the Society may, in addition to the ob- jects contemplated by the Parent Society, extend to the relief of destitute Scotsmen, Scotswomen, or their descendants, and the Education of their Children. 3. — All persons eligible for Members of the Society, shall be Scots- men, descendants of Scotsmen, or the Husbands of Scotswoman. 4. — The office bearers shall be elected annually, and shall consist of a President, Three Vice Presidents, a Chaplain, a Trea- surer, A Secreq'ary, and Twenty-four Directors. 5. — The aflFairs of the Society shall be managed by a Committee, consisting of the Office Bearers, seven of whom shall be a quorum. 6.-r-Per8ons desirous of becoming^Members, shall be proposed at any General or Special Meeting of the Society, or any Regular or Special Meeting of the Committee, by one Member and seconded by another, I 6 and when elected, it shall be the duty of the Member who proposed such Candidate, to notify him of his election. 7. — The payment of Five Pounds shall constitute a Li/e Member, who shall be so styled in the Ticket he receives ; and Five Shillimjs annually shall constitute an Annual Member, who shall be so styled in the Ticket he receives on admission. 8. — On admission and payment of the sum requisite, or as soon after as convenient, every Member shall be entitled to receive a Ticket, bearing the seal of the Society, signed by the President and .Secretary, with a Copy of the Rules of the Society, for which he will pay a sum agreed upon by the Committee. 9. — Every Member when once elected, shall be considered such until signifying in writinij to the Secretary, his wish to resign, and to pay up all arrears due by him to the Society. 10. —No person shall be eligible for an Office Bearer nor vote on any question of the Society, unless Life Members or Members who have paid up their annual subscriptions. 11. — In the event of a vacancy occurring in any of the offices, be- tween the annual meetings, the Committee may appoint other per- sons to fill such vacancy at any regular or special meeting. 12. — There shall be a General Meeting of the Society on the Thirteenth of January, and in case that day fall on Sunday, the Meeting will take place the day following, (Monday) and a regular Meeting of the Committee on the fourth Tuesday in March, and the seco7id Tuesday in August in each year. 13. — The General Annual Meeting shall be held alternately IN THE Towns of Newcastle and Chatham, in either of which places, where such Meeting shall have been held, all the Meetings for the same year shall also take place. 14. — At the General Meeting of the Society the Treasurer's Ac- count shall be submitted and audited by three Members, not Office Bearers, a Report of the proceedings for the past year shall be made by the Committee, all the business of the Society transacted, and Office Bearers for the ensuing year elected. 15. — Notice of all Meetings of the Society, whether Annual or Special, or of regular Committee Meetings, shall be given by the Secretary at least two weeks previous, in the local newspaper, in which shall also be inserted the Annual Report of the Society. 16. — In order to keep up the national appearance of the Society, the Office Bearers, at all General Meetings, and on all public occa* fffm sions shall wear Scarfs of Highland Tartan, and a Highland Piper shall be attached, who shall be under the direction of a Committee. 17. — In order to facilitate the business of the Society, it shall be in the p( wer of any Jive Members of the GommiUee, or ten Members of the Societji, by reauisition addressed to the President, or in his absence, to any of the vice Presidents, to call a Special General Mebtinu of the Society, specifying its object. 18. — The number of Honorary Members shall be limited to ten, who can only be admitted at the Annual Meetings, having first been proposed to the Committee at least three months previous to the same, and such election shall be by ballot, five negatives to exclude such proposed Honorary Member's admission. 19. — The sum accumulated after defraying the necessary expenses, since organization to the present time, sliall be made a permanent FUND, to which shall be added all donations to the Society, not otherwise expressed by the Donors, and the admission fees, of such Life Members as desire it. 20. —The amount shall be voted at the General Annual Meeting for expenditure by the Committee in the course of the year, however, not to exceed the Subscriqtiona for the past year, together with in- terest accruing from the Society's Stock. 21. — The Secretary shall have the custody of the Books, Seal, Plate, &c., &c., of the Society, whose duty it shall be at every An- nual or Special Meeting of the Society or Regular Meeting of the Committee, to have the whole present for use or refer nee if required. 22. — All elections of office Bearcs or votes oi the Society, whether Annual, Special or Regular Committee, shall be viva voce, with the exception of Rule 18 for the admittance of Honorary Mem- bers. 23. — In order to meet every possible emcrqency that may occur, it shall be competent for the Committee to make such Bye Laws as may from time to time be found expedient for the better manage- ment of the Society's business ; such Bye Laws shall first be submit- ted for the approval of the majority in attendance at any General, Annual, or Special Meeting of the Society. 24. — That none of the foreyoing Rules shall be affected in spirit by any of the Bye Laws that may from time to time be made for ex- pediency, as provided for in Rule 23 ; Neither shall any of them be altered or rejtealed unless by the unanimous concurrence of a Gene- ral Meeting of the Society, at which every life member shall be pre- sent, either in person or by proxy. mrE'iiimws, 1. In all casus of apparent emergency, the President, or either of the Vice-Presidents, may direct the Secietary to call a Special Meet- ing of the Committee. 2. Violations or infringements of any of the Eules, shall be pun- ished by tines, suspensions from Office, or expulsions from the So- ciety, as may be decided on by a majority of the Committee, at any regular meeting, subject, however, to a re-hearing at the Annual Meeting : all decisious at the annual meeting shall be final. 3. The price of the Ticket and Pamphlet shall be as ordered in Rule 8. which, together with all fines, shall be paid to the Cashier, to be by him placed to the credit of the Society. 4. It shall be the duty of the Secretary to read over the minutes of each meeting, prior to adjournment, as well as at the opening of each subsequent meeting the minutes of the prsviois meeting.
