The name of the club shall be the **Uniqn CiiUB OF Bkitish Columbia." II. All persons who have already paid their entrance fee, and three months' subscription, and all persons who shall be duly elected here- after under these rules and regulations, and shall pay their entrance fee and monthly sub- scription for the time being, shall be ordinary members of the Club. Such members may be required at any time to sign a copy of the rules and !)y-laws. III. The legal title and ownership of all the pro- perty, effects and assets of the Club shall vest in the trustees In trust in the first place for securing the amount for the time being due and outstanding on Debentures and subject thereto In trust for the benefit and enjoyment of the const:! VI. An extraordinary or special general meet- ing may be called at any time by any three committee-men, or by oue-fifth of the ordinary members, to consider any special matter. No special matter shall be brought forward or dis- cussed at any meeting unless such notice shall have been given. vii: At all general meetings the chair shall, at the expiration of ten minutes from the hour of assembling, be taken by the President, or in his absence by such Committeeman, or in the ab- sence of all Committeemen, then by such ordi- nary member as may be chosen by the meeting. Twenty-five ordinary members shall be a quorum at an ordinary general met ting, but at any spe- cial general meeting, or for discussing any special question, not less than one-fourth of the ordinary members of the Club mus*^^ be present. If at the expiration of thirty minutes from the hour of meeting there shall not be a quorum present the meeting shall ipso facto stand ad- journed until that day week at the same time and place. No business shall be taken at an adjourned meeting except the unfinished busi- ness at the meeting from which the adjourn- ment has taken place. At any general meeting all questions except the windiTig up of the Club, or the alt'^ration of any rale or by-] aw, shall be decided by a majority of votes cast. Every ordinary mem- ber shall have one vote At ^^eneral meetings all voting shall be open except for the election of Committeemen. I'he Chairman shall have a casting vote in additicm to his own vote. Every Trustee shall hold office until he die, or resign, or become bankrupt, or insolvent, or cease to reside in Victoria, or otherwise become incompetent. Every vacancy among th », Trus- tees Hhall be forthwHh filled by a new Trustee, to be chosen by the (^ommittee. The first Trustees shall be William Curtis Ward, Esq., Leopold Lowenberg, Esq., and Sir Matthew Baillie Begbie. IX. All the government and administration of the affairs of the Club shall be vested in a Com- mittee, to consist of ten members. The first Committeemen shall be: Mr. Justice Gray, and Messrs. C. W. K. Thomson, W. C. Ward, Dr. Matthews, C. E. Pooley, C. T. Dupont, Sir M. B. Begbie, M. W. T. Drake, Leopold Lowen- berg, and H. E. Croasdaile. The Committee shall meet on the firHt Thursday in every month if necessary, or of tenosted lip on the notice board, and also on such other place (if anj^) as the Committee shall think fit to direct, for at least two weeks before the ballot meeting. The ballot box shall be kei»t open from 1 p. m. to 2:30 p. m., and from 4 I), m. to 6 p. m., and shall daring these hours be in the charge of the Secretary and one of the ordinary membeiS of the Club. At 6 p. m. the ballot-lxjix shall be opened and the ballots counted in the presence of three ordinary mem- bers, one at least of whom shall be a Commit- teeman. If three Committeemen are in the Club at 6 p. m. then the three Committeemen shall count the votes. If only one Committee- man be in the Club at 6 p. m. then he shall request such two ordinary members as he may think fit to assist in counting the ballots in the presence of the Secretary. If there are not three ordinary members (one being a Committeeman) on the following day, then the whole of that ballot shall be void as if it had never taken place. If any candidate has less than 21 votes in all, the ballot shall (but as to such candidate only) be null. One black ball in seven shall exclude. The result, election or non-election, shall be immediately declared, but no other particulars, except in case of a deficiency of the total number of votes. No unsucceBsf ul candidate shall be again proposed until a lapse of three calendar months, unless such candidate was not elected on account of a deficiency of the total number of votes, in which case he may be again proposed for election at the next ballot. A candidate twice unsuccessful shall not be proposed a third time until twelve months from the last occasion. The minutife of the mode of balloting shall be at the discretion of the Committee. 16 CONSTITUTION. XVII. The entrance fee shall be $1()0. The monthly subscription shall be $2 for resident ordinary, and honorary members, and $1 for non-resident ordinary members. Payable in advance. XVIII. The Committee may place on a list of Honorary members (without ballot) : All officers of the re/yrular navy or array of any recognized State, being on active service or on temporary leave of absence from their ships or corps, shall on payment of one month's ordinary member's subscri ption in adviince, be admitted without any ballot or entrance fee to all the privileges of the Club for a period of one calendar month, and shall at the end of such period of one month be re-eligible for a like period, and so on from time to time. XIX. The Committee may place such persons as they think proper, not more than three in number at one time, upon a list of privileged members without ballot, entrance fee or monthly subscription. XX. The Committee shall have the power of admitting by ballot any person not being a resident of British Columbia who has been duly proposed and seconded by two ordinary members of the Club and whose name shall have been placed on the blackboard for at least three days previous to his election as a temporary subscriber for a period of a month, and not exceeding three (3) months, at the rate of $5 per month payable in advance. * No temporary subscriber can be re-elected as a temporary subscriber until ihe expiration of six (6) months from the time he last ceased to be a temporary subscriber. A register of the number of days for which a visitor is introduced shall be kept by the Secretary of the Club and the introduced mem- ber shall be forthwith notified accordingly. Every honorary, privileged, introduced member or temporary subscriber shall be enti- tled during his respective membership to all the privileges an^ advantages of the Club, except voting, holding office or introducing members. XXI. Any ordinary member who shall remain \ 'W i; y\ i 18 CONBTITUTION. fifty miles distant from the Clubhouse duriuff the whole of any month in the calendar, and notifies the Secretary thereof, shall be liable for $1 only as his subscription for that month. But residence during any portion of a month named in the calendar shall be deemed residence for the whole month, and entail the liability for that month's full subscription. XXTI. Any ordinary member, nave as above stated, who shall be for on(^ calendar month in arrear of any payment whatever due to the Club, may be posted as indebted to the Club, and after notice and a default of two calendar months further, it shall be the duty of the Committee to suspend him from being a member, and he shall thereupon lone all the privileges of a mem- ber and shall not be entitled to be admitted upon the premises unless restored as herein- after mentioned. XXIII. In case the conduct of any member either in or out of the Club-house shall, in the opinion of the Committee, be injurious to the character or interests of the Club, the Committee shall be empowered to recommend such member tb resign; provided that no sroh recommendation shall be sent to any menober unless the same shall have been agreed to by two-thirds of the members of the whole Committee, at a meeting of the Committee specially summoned for that purpose. And if such member do not resign within the space of one calendar month from the notification of such recommendation of the Committee, it shall be the duty of the Commit- tee to suspend him. Provided also, that if the Committeemen present at such meeting are unanimously of opinion that the offence of such member is of so grave a character as in the interest of the Club to warrant his immediate expulsion, the Committee at such meeting are hereby empowered forthwith tj suspend him from the use of the Club. All suspensions, either under this rule or the last rule, shall be final, unless twenty ordinary members of the Club shall, within twenty-one days, demand an extraordinary general meeting to take tbe con- duct of the offending member into consideration, I ,.'8 ^1 20 CONSTITUTION. The Club shall be open every day except Sunday until 1 a m., closing on that day at 12 midnight 2. No dogs shall be admitted on any part of the premises. 8. No games shall be allowed in the Club on Sundays, No games at cards shall be per- mitted in the Club, except such as are author- ized and approved by the Committee, who are also to have power to fix the limits of all staketi at any game played in the Club. 4. No letter or communication for any newspaper shall be dated from the Club, nor shall the address of the Club be used for any advertisement. 5. No notice or advertisement shall be posted up or published in the Club, except such as are countersigned by the Secretary, and sanctioned by the Committee. 6. All communications are to be addressed to the Secretary. 7. No member is to chide or in any way find fault with a servant, but shall, if he thinks 22 BY-LAWS. I fit, report him to the Committee, who shall deal with the case and announce the result. 8. No member shall give any gratuity whatsoever to an> servant. Any member breaking or injuring any article shall replace or pay the cost thereof to the Club. 12. No member shall under any pretext remove from the Club premises any book, paper or other article belonging to the Club, except in accordance with the house rules which the Committee are hereby authorized to make for such purposes if they shall think fit. 18. Should a member infringe this rule a second time, he shall, in the discretion of the Commit- tee, be liable to expulsion from the Club. 14. No member being in arrear of any pay- ment to the Club shall be allowed to retire from membership without the sanction of the Com- mittee. 15.
