^ioNSTITUTION. 
 
 Name. 
 
 1. The name of this Association shall be " The Union 
 
 Club." 
 
 Object. 
 
 2. The Association is organized for social, literary and 
 artistic i5urposes ; and to establish and maintain a Club- 
 house, which shall contain a Reading-room, Library and 
 Art-gallery, Billard and Card-rooms, and such other 
 appurtenances as may be deemed expedient and proper. 
 
 Management. 
 
 3. The management of the Club shall be vested in a 
 Committee of twelve of its members, to be known as the 
 Board of Governors ; which shall be divided into four 
 equal classes, and the term of office of the oldest class 
 shall expire on the first day of December of each year, or 
 when their successors are elected. Members to replace 
 the outgoing class and to fill vacancies in the other classes, 
 shall be elected by the Club at the Annual Meeting. A 
 majority of all the votes cast shall be necessary to elect a 
 member of the Board of Governors.

 4. The B(:»ard of Governors shall elect each year from 
 its own nuuiber, and before the fifteenth day of Decem- 
 ber, a President, Vice-President, Secretary, Treasurer, 
 and a House Committee of three members. 
 
 The Board shall also appoint a Committee on Literature 
 and Art, consistinjjj of three members. 
 
 Powers of the Board of Oovernops. 
 
 5. The Board of Governors shall have general charge 
 of ^he alliiirs, funds and property of the Club ; shall carry 
 out the objects and purposes thereof, subject to this 
 Constitution, and to such amendments as may be made to 
 the same ; and at the Annual Meeting shall make a report 
 of its proceedings during the previous year, and render a 
 full statement of the condition of the Club. 
 
 The Board shall have power to make regulations for the 
 admission, suspension and expulsion of members : to call 
 special meetings of the Club : to make rules for the ad- 
 mission of strangers ; for the use of the Club by the mem- 
 bers, and for their conduct in the Club-rooms ; and to fix, 
 and enforce or remit, penalties for the violation of such 
 rules. 
 
 The Board shall hold regular monthly meetings. Any 
 member who shall absent himself from three consecutive 
 meetings (regular or special), unless he shall present at 
 the next regular meeting a satisfactory excuse for his ab- 
 sence, shall cease to be a member of the Board of Gov- 
 ernors. A majority of the members shall constitute a 
 quorum. The proceedings of the Board shall be secret and 
 confidential ; and no member shall be questioned as to 
 the action of the Board on any subject whatsoever.

 Duties of the House Committee. 
 
 0, It shall bo tho duty of tho House Coiinuittee to hold 
 weekly meetings ; and, under the direction andccjutrjl of 
 the Board o( Governors, to manage the Clulj-rooms; to pur- 
 chase all supplies and furniture ; to reg'date prices ; to 
 attend to alterations and repairs ; to a})point and dismiss 
 all employees ; to keep the rooms and premises of the Clul> 
 in good condition ; to enforce obedience to the rules ; to 
 receive and redress complaints ; and to make monthly 
 
 reports to the Board of Governors.

 Duties of tlio Committee on Literature and Art. 
 
 7. The Committee on Literature and Art, under tlie 
 direction and control of the Board of Gt)vernors, shall 
 have charge of the Reading room, Library and Art-galler}- ; 
 shall have power to solicit and receive donations ; shall 
 make all proper efforts to enlarge tho Library and Art- 
 collection ; and shall expend such sums of money, as may 
 be voted therefov by the Board of Governors, upon the 
 purchase of newspapers, periodicals, books and works of 
 art. 
 
 Members. 
 
 8. Candidates for membership — regular and non-resid- 
 ent — must be proposed and seconded by two members, in 
 their own handwriting in a book kept for that purpose, 
 at least ten days previous to a meeting of the Board of 
 Governors. No member of the Board shall propose or 
 second a candidate. Non-resident members shall not be 
 entitled to vote, and must reside at a distance of not less 
 than fifty miles from the City of Quebec.

 Fees and Duos.

 dollars. The Annual dues shall bo Twonfcy-live dollars 
 for regular, and Twelve and a half dollars for non-resident 
 members, payable on tho first day of December of each 
 year. Non-resident members may at any^ time become 
 regular members, by declaring the intention to do so, and 
 by paying an additional ontranoo fee of Fifty dollars. No 
 member shall receive any salary, emolument or profit from 
 tlie funds of the Club. ^ 
 
 Meeting's. 
 
 10. The annual meeting shall be held on the second 
 Saturday of November at eight p.m. A special meeting 
 shall be called by the Board of Governors at any time, 
 on the written request of ten members of the Club j 
 which request shall specify the object of the meeting. 
 Twenty members shall constitute a quorum. At the an- 
 nual meeting two Auditors shall be elected for the follow- 
 ing year. 
 
 Amendments. 
 
 11. Notice of proposed amendments to this Constitution 
 shall be furnished to the Secretary at least fifteen days 
 before the meeting at which it is proposed to consider 
 them ; and the Secretary shall post the same in a con- 
 spicuous place in the Club-house, at least seven days be- 
 fore the meeting. A two-thirds' affirmative vote of those 
 present shall be necessary to make any change.
