I. — This association shall be known as the Builders, Contractors and Dealers Exchange of the city of Hamilton and the County of Wentworth. ARTICLE IL MEMBERSHIP. Sec. I. — Any person or firm in good standing in any of the Trade Associations represented on the Board of Directors of this exchange, shall be and are bona fide members of this exchange Sec. 2. — Any person or firm beirig a dealer in or manufacturer of builders supplies, or any builder or contractor whose branch of business is without an '* 'id '* \S '1- i i ^ '9 i association wishing to become a member of this Exchange, his or their names shall be placed in a conspicuous place in the Exchange rooms for eight days after his or their application in writing has been iieceived. i Sec. 3. — All such applications shall be referred to the Board of Directors, who shall make such invest! gation as will enable them to decide upon the qualifi- cations of such applicant for membership. Sec 4. — A two-third vote of the members of the Board present shall be necessary to elect a member. Sec. 5.— Upon such approval of the Board of Directors the applicant shall be notified by the Secretary of,his election and shall become a member upon payment of the sum of $5 and signing the Constitution and By-Laws of the Exchange. Sec. 6. — Any person, firm or company otherwise eligible, but whose residence is without the City of Hamilton or County of Wenthworth, may become a member of the Exchange on the approval of the Board of Directors and the payment of the sum of $20. The names of all members shall be kept posted in a prominent place in the Exchange rooms. ARTICLE III. OFFICERS. t / The officers shall consist of a Board of Directors composed of three Directors from each Mechanical Branch, who shall elect from their numbers a Presi dent, Vice-President, Secretary and Treasurer. This Board of Directors shall be elected at the first meet- ing in January and shall hold office for one year or until their successors are elected and qualified. ARTICLE IV. DUTIES OF OFFICERS. Sec. I. — The President shall preside at meetings, preserve order, decide points of order, etc. He shall act as Chairman of the Board of Direct oi;s, and shall also approve all' bills before being paid by the Treasurer. Sec. 2. — The Vice-President shall preside at meet- ings in the absence of the President, and in case of sickness or protracted absence of that officer, he may approve all bills and perform the duties usually incumbent on the President. Sec 3. — The Secretary shall keep a record of all meetings ; issue certificates of membership ; give notices of meetings ; collect dues or assessments, and V -vA k M *« n i 'a 4 m pay the same to the Treasurer, taking his receipt for the same and faithfully perform all the duties of hir. office. Sec. 4. — The Treasurer shall receive from the Secretary all moneys, giving his receipt iherefor ; pay all bills upon approval of the Board of Directors; shall invest any surplus funds that may accrue from' time to time in such security as the Board of Directors may direct ; he shall make a true and faithful report at the annual meeting and at any time when called upon by the Board of Directors. Sec. 5.— The Board of Directors shall fix the compensation of the Secretary and all other persons appointed to perform any service They shall require from the Secretary and Treasurer bonds for the faiths ful performance of their duties. ARTICLE V. DUTIES OF DIRECTORS. Sec. I.— The Board of Directors shall hold regular meetings on the second Monday in each month, or oftener if necessary for the transaction of business. Sec. 2.— They shall cause to be provided suitable rooms for the meeting of members which shall be open for members during the business hours of the day, viz : from 8 a. nv. 10 6 n m anrl frnm T 1 O to I p. m. daily, shall be especially set apart for a general meeting for the transaction of business. One director to be present daily between ii a.m. to i p*m. Days of attendance to be arranged by the Board of Directors. The rooms allocated to the different trades for evening meetings are as follows: -Master Masons Association, 3rd Monday. Carpenters " 4ih Saturday. Plasterers " 3rd ** Painters " ist Tuesday. Tinsmiths " 2nd fC cc «< Ci (( Plumbers " 3rd Board of Directors, 2nd Monday. General Meetings of the Exchange, 4th Monday. Sec. 3. — No appropriation shall be made for any purpose except for legitimate expenses of the Ex- change. The members j>hall at the annual meeting elect a committee of three, whose duties it shall be to examine and audit the books of the Secretary and Treasurer and to report to the Exchange. ARTICLE VI. MEETINGS. Sec. — An annual meeting of the Directors shall be held in January of each year for the election of officers. Submitting annual reports and such other business as may come before it. I h i OiiC. — Special meetings shall be called by the President at any time at the written request of six members, they stating the subject they wish to bring before the meeting. Sec 3. — A quorum for Exchange meetings shall consist of not less than fifteen members, and no meeting shall be held unless a quorum is present. Sec. 4. — In case of deficiency in the funds^ the Directors may levy a special assessment on the mem- bers which shall become payable within thirty days- after such assessment. ARTICLE VII. DUES AND ASSESSMENT. Sec. t. — The annual dues shall be $2.00 for each* member of the Exchange^ and the same to be paid over to the Secretary of the Exchange by the different organizations, accompanied by a list of members. The several organizations represented to be responsible to the Exchange for said amount per member, payable in advance, and members of this Exchange who are not members of any organized trade or body to pay the same annual dues. Sec. 2. — In default of the payment of dues op assessments within thirteen weeks from the time it 8 shall have become due and payable, the members name shall be dropped from the roll and his interest and privileges in the Exchange shall cease. ARTICLE VIII. PRIVILEGES. Sec. I. — Every member of a firm belonging to or subscribing to the Exchange shall receive from the Secretary a certificate, which shall be a ticket of admission to tht: Exchange rooms, and the door keeper may request such ticket to be shown if he does not recognize the nuniber. Each member shall be entitled to an additional ticket for the use of his clerk or foreman. • ■ Sec. 2. — No person shall be admitted to the Ex- change rooms who is not a member or subscriber, except under the following conditions, viz : Any person wishing to see a member can enquire for him from the door keeper ; if he is present and desirej that such person be admitted the door keeper shall allow him to enter. I : Sec. 3. — Any member may also admit a visiting f(iend, and a register shall be kept in which visitors will be requested to sign their names. Sec 4.— Smoking shall not be allowed in the Exchange rooms during hours prescribed by the Board of Directors. ARTICLE IX. EXPULSION. For the expulsion of any member from the Exchange, it shall be necessary for two members to petition in writing to the Board of Directors, stating their reasons therefor ; the Board shall then appoint a hearing of the case and present the result of said hearing at the next meeting of the ExC^hange, when a two-third vote of the members present shall be necessary for expulsion, and that the vote be taken by ballot. ARTICLE X. COMMITTEES. Sec t.— There shall be a Standing Committee chosen at the annual meeting for determining all such disputes as may be submitted to them to be styled the Committee of Arbitration. This Committee to consist of six members, one from each trade, one of whom shall be the Vice-President ; this Committee shall have power to summon witnesses from the members of the Exchange. 10 Sec. 2. — The fees for Arbitration under the sanction of the Exchange shall be decided by the Board of Directors. Sep. 3.~A11 reports of Arbitration shall be laid 'before the Exchange at the following regular meeting after the same takes place. ARTICLE XI. AMENDMENTS. Sec. I.— Alterations or amendments can be made to this Constitution or By-Laws on one month's notice of motion having been given, stating proposed alterations or amendments at least one month previous to meeting, at which such proposed alteration or amendment is to be submitted. I.— a quorum being present, the President shall take the Chair, and on a call to order the memr bers shall take their seats and proceed to business, avoiding all private conversation. Sec. 2.— Every member that speaks shall rise and address the Chair. No person shall speak over ten (10) minutes nor more than twice on the same subject unless by permission of the Chair. Members* deviating from the subject shall be called to order. Sec. 3.— No business before the Association shall be ii/terrupted except by motion for the previous 12 question, postponement, adjournment or to lay upon the table ; such motion shall preclude amendment or discussion of the oiiginal subject until disposed of, but the previous question shall not be moved by less than two (2) members, neither shall any motion be entertained while a member is speaking or has the floor except by his consent, except a motion to adjourn which will always be in order. Sec 4.— The Committee of Arbitration shall in all cases submitted to them for decision determine by whom the fee shall be paid. Sec. 5. — When a vacancy shall happen, either by death, resignation or otherwise, in any of the offices established by the Constitution or By Laws of the Society, it shall be filled by ballot at the next meet- ing following the knowledge of the vacancy having occurred. Sec. 6. — It shall be the duty of all officers of this Exchange, if practicable, to attend regularly the meetings of the Exchange, and at the close of their official terms to hand over to their successors in office or deposit with the proper committee all books» papers or other documents in their possession.
