ELGIN AND KINCARDINE. ICTORIA by the Grace of God of the United Kingdom of Great Britain and Ireland, Clueen, De- fender of the Faith, &c. &c. To all whom these presents shall come, greeting : WHEREAS WiUiam E. Logan, John O. Browne, Frederick F. Passmore, Kivas Tully , WilUam Thomas, Thomas Ridout, Sandford Fleming, and others of our loving subjects in our Province of Canada, have formed themselves into a Society for the encourage- ment and general advancement of the Physical Sciences, the Arts and the Manufactures in this part of our Dominions, and more particularly for promoting the acquisition of those branches of Knowledge which are connected with the Professions of Surveying, Engineering and Architecture, being the Arts of opening up the Wilderness and preparing the Country for the pursuits of the Agriculturist, of adjusting with accuracy the boundaries of Properties, of improving CHARTER OF INCORPORATION OF and adorning our Cities and the Habitations of our subjects, and otherwise smoothing the path of Civihza- tion, and also being the A^ts of directing the great fiourcesof Power in Nature for the use and convenience of man as the means of production and of traffic both for external and internal trade, and materially ad- vancing the development of the Resources andol the Industrial Productions and Commerce of the Country, and have commenced the formation of a Museum for collections of Models and Drawings of Machines and Constructions, New Inventions and Improvements, Geological and Mineralogical Specimens, and what- ever may be calculated, either as Natural Productions or Specimens of Art, to promote the purposes of Science and the general interests of society, and have subscribed and collected certain sums of money for these purposes. AND WHEREAS, in order to secure the pro- perty of the said Society and to extend its useful operations and at the same time to give it a more permanent establishment among the Literary and Scientific Institutions of this part of our Dominions, we have been besought to grant to the said William E. Logan, John O. Browne, Frederick F. Passmore, Kivas TuUy, William Thomas, Thomas Ridout, Sandford Fleming, and to those who now are or shall hereafter become members of the said Society, our Royal Charter op Incorforatjon, for the purpose aforesaid. NOW KNOW YE THAT WE, being desirous THE CANADIAN INSTITUTE. 5 of encouraging a design so laudable and salutary, of our especial grace, certain knowledge, and mere motion Have willed, granted and declared, and DO by these presents for us, our heirs and successors, WILL, GRANT AND DECLARE that tbc said William E. Logan. John O. Browne. Frederick Passmore, Kivas Tully. William Thomas. Thomas Ridout, Sandford Fleming, and such others of our loving subjects as now are members of the said Society or shall at any time hereafter become members thereof according to such regulations or by-laws as shall be hereafter framed or enacted, shall by virtue of these presents be the members of. and form one body politic and corporate for the purposes aforesaid, by the name of .. THE CANADIAN INSTITUTE.'' by which name they shall have perpetual succession and a common seal, with full power and authority to alter, vary, break, and renew the same at their discretion; and by the same name to sue and be sued, implead and be impleaded, answer and be answered unto, in every court, of us, our heirs and successors, and be forever capable in the law to purchase, receive, possess, and enjoy to them and their successors any good^, and chattels whatsoever, and also to be able and capable in law (notwithstanding the Statutes of Mortmain) to take, purchase, possess, hold and enjoy, to them and their successors, a Hall or House, and any Messuages, Lands, Tenements, or Hereditaments whatsoever, the yearly value of which, Including the s\h- of the said Hall, shall not exceed in the whole the sum of Two CHARTER OF INCORPORATION OF thousand pounds, computing the same respectively at the rack rent which might have been had or gotten for the same respectively at the time of the purchase or acquisition thereof, and to act in all the concerns of the said body politic and corporate for the purposes aforesaid as fully and effectually, to all intents, effects, constructions, and purposes w hatsoever, as any other of our liege subjects or any other body politic or corporeite in our said Province of Canada, not being under any disability, might do in their respective concerns. AND we do hereby grant our especial license and authority unto all and every person and persons, bodies politic and corporate, otherwise competent, to grant, sell, alien, and convey in Mortmain unto and to the use of the said Society and their successors any Messuages, Lands, TenementSj or Hereditaments •not exceeding such annual value as aforesaid. And our will and pleasure is, and we furthe. grant and declare, that there shall be a General Meeting of the Members of the said body politic and corporate, to be held from time to time as hereinafter mentioned, and that there shall always be a Council to direct and manage the concerns of the said body politic and corporate, and that the general meetings of the. council shall have the entire direction and manage- ment of the same in the manner and subject to the regulations hereinafter mentioned* But our will and pleasure is, that at all General Meetings and Meetings of the Council the majority of the members present. THR CANADIAN INSTITUTE. and having a right to vote thereat respectively, shall decide upon the matters propounded at such meetings the person presiding therem having, i-^ case of an equality of numbers, a second or casting vote. AND we do hereby also will, grant, and declare that the Council shall consist of a President, not more than three nor less than one Vice President, and not more than eleven ror less than three other Members, to be elected out of the members of the said body politic and corporate, and that the first ,ve of the President, T months after the the said William at of the said body Members of the Council shall be elected within s". date of this our Charter. AND we do hereby further will, grant and declare that it shall be lawful for the members of tVe said body politic and corporate hereby established to hold General Meetings once in the year or oftener, for the purposes hereinafter mentioned — viz.^that the General Meeting shall choose the President, Vice Presidents, and other Members of the Council; that the General Meetings shall make and establish such by-laws as they shall deem to be useful and necessary for the regulation of the said body politic and corporate, for the admission of members, the establishment of Branch Societies, the management of the estate, goods, and business of the said body politic and corporate, rnd for fixing and determining the manner of electing the President, Vice President, and other Members of the i CHARTER OF INCORPORATIOH OF Council, and the period of their continuance in office, as also of electing and appointing a Treasurer, two Auditors, and two Secretaries, and such other officers, attendants, and servants as shall be deemed necessary or useful for the said body politic and corporate, and such by-laws from time to time shall or may alter, vary or revoke, and sUall and may make such new and other by-laws as they shall think most useful and expedient, so that th*? same be not repugnant %o the laws of England, to these presents, or to the laws and statutes of this our Province of Canada, and shall and may also enter into any resolution and make any regulation respecting any of the affairs and concerns of the said body politic and corporate as shall be thought necessary and proper. AND we further will, grant and declare that the Council shall have the sole management of the income and funds of the said body politic and cor- porate, and also the entire management and superin- tendence of all the other affairs and concerns thereof, and shall and nay — but not inconsistently with or contrary to the provisions of this our Charter or any existing by-law, the laws of England, or the laws and statutes of our said Province of Canada — do all such acts and deeds as shall appear to them necessary or essential to be done for the purpose of carrying into effect the objects and views of the said body politic and corporate. AND we further will, grant and declare that the THE CANADIAN INSTITUTE. 9 •hull bo vested, and we dc hereby vest the same, solely and absohitely in the members thereof, and that they shall have full power and authority to selU alienate charge or otherwise dispose of the same as they shall think proper; but that no sale, mortgage, incumbrance, or other disposition of any Messuages, Lands, Tene--«ents, or Hereditaments belonging to the said body politic and corporate shall be made, except with the approbation and com ire> ce of a General Meeting. AND we lastly declare it to be our royal will and pleasure that no resolution or by-law shall on any account or pretence whatsoever be made by the said body politic and corporate in opposition to the general scope, true intent and meaning of this our Charter, the laws of England, or the laws and statutes of ihis our said Province of Canada, and that if any such rule or by-law shall be made the same shall be abso- lutely null and void to all intents, effects, constructions and purposes whatsoever- IN testimony whereof we have caused these our Letters to be made Patent, and the Great Seal of i> r aaid Province to be hereunto affixed.
