LXIV. An Act to incorporate " The Graduates' Society of McGill University.'' (Assented to 24th July, 1880.) WHEREAS there have, at divers times here- lofore existed in the city of Montreal, an association or associations of the graduates of McGill University, and whereas there exists at the present time, such an association bearing the name of : **The Graduates' Society of McGill University," and having for their object to afford the members thereof the means by united efforts, to more effectually promote the interests of the University, and to bind the graduates more closely to one another and to the University, and whereas the persons hereinafter named, members of the said society, have prayed that it should be incorporated, and whereas it is ex- pedient to grant their petition ; Therefore, Her Majesty, by and with the advice and consent of the Legislature of Quebec, enacts as follows : I. John Redpath Dougall, M.A., Robert Anstrucher Ramsay, M.A., B.CL., William Osier, M.D., William Busby Lambe, B.C.L., Levi Ruggles Church, M.D., Browne Chamber lain, D.CL., William Warren Lynch, B.C.L., Frederick W. Kelly, B. A., John J. Maclaren, B.A., B.CL , George Ross, M.A., M.D., Elson Irvine Rexford, B.A., C. J. Fleet, B.A., B.C.L., Alexander D. Blackader, B.A., M D., A. Dun- bar Taylor, B.A., B.C.L., Henry Herbert Ly- man, M.A., Clement McLeod, M.A., and such other persons, as are now or shall hereafter be- come members of the said society, and their sue- : ' ' ': *^' ' ', ■'.■:■' cessors, shall be and they are hereby constituted a body politic and corporate under the name of : ** The Graduates^ Society of McGill Univer- sity," with power to purchase, receive, acquire, hold and enjoy property, both real and per- sonal, for the use of the said corporation and to sell, alienate, mortgage, lease, or otherwise dis- pose of the same ; Provided always that any real estate, which the said corporation may acquire, beyond such as may be acquired for the use and occupation of the said corporation, shall be dis posed of, within five years from the date of its acquisition. 2. The affairs and business of the corporation shall be managed by such officers and com- mittees, and under such restrictions as to their duties and powers as, by the by-laws in that be- half, the corporation may, from time to time, ordain. 3. The corporation may make such by laws, not contrary to law or the provisions of this act. as they shall deem expedient for the administra- tion and government of the corporation, and may repeal or annul the same, from time to time, observing always, however, such formalities as by such by-laws may be lawfully prescribed to that end, and generally shall have all the cor- porate powers necessary to the ends of this act. 4. The by-laws, constitution and regulations of the said society, not being contrary to law or to the provisions of this act, shall be the by-laws of the corporation hereby constituted, until they shall be repealed or altered, as aforesaid ; and until others shall be elected, according to the by-laws of the corporation, the present officers of the society shall be those of the corporation ; and the said corporation is hereby vested with all the assets and rights, and made responsible for all obligations and liabilities of the said society. 5. All subscriptions, heretofore made to the the said society, shall be payable to the said corporation, and are hereby declared to be as binding upon the subscribers as if this act had been previously passed. •V By-Laws as Adopted the 28th April, 1888. 1. The society shall be composed of all graduates of the university elected in accord- ance with the by-laws who pay an annual sub- scnption of one dollar or who commute the same ///by the payment of ten dollars. The subscription shall be payable in advance on the first day of May in each year. 2. The officers of the society shall be a* president, three vice-presidents, a secretary, a treasurer, six resident councillors and six non- resident councillors who shall form the executive of the society. They shall be elected by ballot 8 at the annual meeting and shall enter upon the duties of their offices two weeks after their elec- tion. Vacancies occurring during the year shall be filled by the executive committee. It shall not be necessary to notify the non-resident councillors of meetings of the committee. 3. The annual meeting shall be held on the evening preceding the arts convocation. 4. Two auditors shall be elected at the annual meeting who shall duly audit all accounts of the society. 5. General meetings of the society shall be called by the secretary on the requisition of the president, three members of the executive com- mittee, or ten members of the society. 6. Ten shall form a quorum of the society and five a quorum of the executive committee. 7. The place of any officer absent from three consecutive committee meetings without suffi- cient cause may be declared vacant by the com- mittee after notice to the officer. 8. Members may be elected by the executive committee at a meeting called for the purpose. Members may also be elected at any meeting of the society provided that notice of their pro- posal at such meeting shall have been given to the members. All such elections shall be by ballot and one black ball in seven shall dis" qualify. 9. Any member who is two years in arrears with his subscription and who neglects after being duly notified to pay the same shall cease to be a member of the society until such time as his arrears are paid. No member in arrears shall be entitled to vote at any meeting of ine society or any of its committees. 10. The secretary shall call a special meeting of the society for the first day of March in each 10 year or such other day as the executive com- mittee may appoint. All graduates of the univer- sity shall be invited to attend. The different re- presentative fellows shall be requested to attend and report to the meeting on university business and their action thereon. After the report and discussion thereon representative fellows shall be nominated for each faculty, a ballot or ballots shall be taken and the nominee in any faculty receiving an actual majority of the votes cast shall be declared the nominee of the society. Only members of the society shall be entitled to vote on such nominations. 1 1 .
